ITEM BACKGROUND: The Florida Keys Land and Sea Trust, Inc. (FKLST) owns and manages Crane Point Hammock near mile marker 50 on the bay side in Marathon. FKLST purchased the site in 1988 with a $700,000 mortgage loan issued by the Monroe County Land Authority (MCLA), which FKLST satisfied in 1997. FKLST now wishes to acquire a 35 foot wide strip of right -of -way fronting Crane Point Hammock from the Florida Department of Transportation (FDOT), which FDOT has agreed to sell for $125,000. FKLST proposes to use the right -of -way to provide greater access and visibility through the provision of environmental education forums and art, historic, scientific, and cultural events. The Marathon City Council has nominated the right -of -way for purchase by MCLA and subsequent conveyance to the City of Marathon. Upon receipt of title, the City intends to lease the property to FKLST. The right -of -way totals approximately 1. 102 acres. FDOT will retain an easement over 16 feet of the 35 foot width, which will encumber approximately 0.504 acre of the 1.102 acre total. A RESOLUTION OF THE MONROE COUNTY COMPREHENSIVE PLAN LAND AUTHORITY AUTHORIZING THE PURCHASE OF A 35 FOOT WIDE STRIP OF RIGHT -OF- WAY FRONTING CRANE POINT HAMMOCK FROM THE STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION FOR RECREATION AND CONSERVATION AND AUTHORIZING THE SUBSEQUENT CONVEYANCE OF THE PROPERTY TO THE CITY OF MARATHON. Dear Charles: The Florida Keys Land and Sea Trust has requested that the Monroe County Land Authority purchase a portion of the Florida Department of Transportation Right -Of -Way in front of the Trust's Crane Point Hammock property. In response, Mark Rosch had requested a response to a number of questions concerning the FKLST's interest and intent for future use of the FDOT property which would be added to the Crane Point Hammock site. The following is our response. 1. Describe the property to be acquired. The property to be acquired is a 35 foot (depth) by approximately 1,372 foot (long) section or approximately 48,020 square feet of Florida Department of Transportation Right -Of -Way contiguous with the front property line of Crane Point Hammock owned by the Florida Keys Land and Sea Trust ( FKLST). The property is located at mile marker 50 centered approximately at the intersection of U. S. Highway 1 and Sombrero Beach Road, Marathon. See Figures 1 & 2. 2. Identify the Buyer, Borrower, Seller, and any other parties in the proposed acquisition The City of Marathon requests that the Monroe County Land Authority purchase the property in question from the Florida Department of Transportation. The purchase price is approximately $125,000. Further, the City requests that the property be transferred in ownership to the City. The City will then lease the property to the FKLST in a lease / purchase agreement with same, terms to be determined by the City and the FKLST. 3. Indicate the proposed purchase price for the property. If an appraisal is available, please provide a copy. The FKLST has obtained a letter agreement with the FDOT to purchase the piece in question at a price of $2.60 per square foot (net) (see Exhibit 1). The agreement includes an additional agreement for the FKLST to transfer a piece of property in their ownership on the4 Bridle Path in Key West to the FDOT. The resulting purchase price for the property in front of Crane Point Hammock is $125,000.00 plus recording fees and stamp duty. 4. Describe the amount and terms of the mortgage loan being requested from the Land Authority. As for the other properties owned by the FKLST, conservation and environmental education is the ultimate purpose. Figure 2 Location Map — Proposed FDOT ROW Purchase (35 Ft. X 1,372 Ft.) Crane Point Hammock conserves 65.65 acres of pristine hardwood forest, saltmarsh and buttonwood habitat, mangroves, and some limited submerged lands as well as the three historic structures on the property — the Crane Family House, the Adderly House, and the Crane Point Museum. It will be the intent of the FKLST to provide greater access to the public and visibility to the property by utilizing the area as an additional component of the educational forum presented by the Crane Museum building at the front of the property. We would anticipate utilizing the area of environmental education forums and art, historical, scientific, and cultural events. Describe the sources of funds that will be used to repay the Land Authority loan. The FKLST will utilize its revenue from entry fees, sales, and membership dollars to meet any agreement by and between the City of Marathon, as the purchase sponsor, and the FKLST. We will also use revenues from grants and fund raising events. 7. Describe the time constraints associated with the transaction, if any. The FKLST has a limited time agreement with FDOT. Though flexible, the time frame should be considered as the end of this physical year. See Exhibit A. 8. Describe other sources of funds that will leverage Land Authority funds in this acquisition, if any. Crane Point Hammock and its physical amenities and well as other FKLST properties. 9. Confirm the applicant's willingness to accept a deed restriction restricting use of the property to conservation and recreation activities in accordance with the Land Authority's statute. There is no issue with the placement of a conservation easement on the acquired property pursuant to the MCLA statutory mandate is absolutely acceptable. 10. Identify the person or persons who will be point of contact interfacing with the Land Authority for this acquisition and repayment of the loan. Terms and persons bound. This CC &R is perpetual, runs with the land, and is binding on all present and subsequent owners and mortgagees of the servient estate. Grantor represents that the mortgagee(s), if any, whose consent is attached hereto, is (are) the only mortgagee(s) having a security interest in the servient estate. 6. Modification of Declaration of CC &R. No modification of this Declaration is binding unless evidenced in writing and signed by an authorized representative of the Grantor and Grantee. 7. Attorney's fees. In the event of any controversy, claim, or dispute arising under this instrument, the prevailing party shall be entitled to recover reasonable attorney's fees and costs, including appeals. 8. Entry of Grantee's representative on the servient estate.
