The Employment Agreement for one of the EMS Billing Specialists needs to be renewed as it will expire on 07/24/20. PREVIOUS RELEVANT BOCC ACTION: 12/11/13: BOCC and BOG approved creating positions of EMS Billing Supervisor and EMS Billing Specialist as Monroe County contract employees and to hire individuals into those positions; providing authority for Fire Chief to execute contracts. 02/15/17: BOCC (C.26) and BOG approved creating a second EMS Billing Specialist position as a Monroe County contract employee. 06/21/17: BOCC (C.3) and BOG (G.3) approved the Employment Agreement for the EMS Billing Specialist. 06/19/19: BOCC (C.1) and BOG (H.1) approved an Amendment to extend existing EMS Billing Specialist contract through 07/24/20. Work hours performed, annual leave,personal leave, and sick leave hours taken 2 will be documented on a form or forms to be provided by the County. A. Base Pay: In return for performance of the duties set forth in Exhibit A, including but not limited to specific duties assigned by MCFR from time to time, Employee shall N receive an annual salary in the amount of$52,000. B. Financial Incentive: In lieu of any annual merit or cost-of-living adjustment, the Employee will be eligible for a financial lump sum incentive based upon billing and X w collections performance. After the conclusion of each fiscal-year period, a comparison of EMS user fee revenue will be conducted to determine whether a supplemental lump- sum payment is warranted for increased revenue receipts, not to exceed ten percent(10%) of base salary. 0 C. Benefits: Except as otherwise set forth herein, the Employee shall also receive all a� benefits set forth in the Monroe County Personnel Policies & Procedures Manual ("Manual") as said Manual may be amended from time to time. D. Transportation and Business Related Travel: Employee agrees that she will be responsible for providing her own motor vehicle for transportation. Tuition costs related to the certification are eligible for reimbursement by MCFR of the actual u expenditure in accordance with Section 2.11 of the Monroe County Personnel 0. Policies and Procedures Manual, including the condition that the Employee must reimburse the cost of tuition if Employee terminates from Monroe County o 76 within one (1)year of completion of the course. 4. SOLE EMPLOYMENT: The Employee agrees that he or she will not perform any 0 work, consulting services, or other activities for any other person or entity, whether for > 2 remuneration or at no charge, without the prior express written approval of MCFR. e( 5. TERM OF AGREEMENT; TERMINATION; CANCELLATION; GENERAL RELEASE: N A. Normal Term. The normal term of this Agreement will be a period of nineteen months (19) months commencing July 25, 2020 and terminating on February 19, 2022. 2 . X B. Extension of Time. The parties may extend the term of Agreement by written o addendum to this Agreement. C. Termination of Agreement: i. In entering into this Agreement, the Employee understands that she serves at the pleasure of MCFR; and that the Employee can be terminated at any time 0 upon thirty (30) days written notice by MCFR without cause. a ii. In entering into this Agreement, the Employee also understands that she can 2 be terminated at any time upon 24 hours written notice by MCFR for cause. As used in this paragraph, the term "for cause" will mean (a) dishonesty with respect to the business and operation of the County; (b) confirmed violation of 0. The Employee further understands that in the event of termination, the w Employee is free to apply to the County for any other position then currently - open and the County is free to consider the Employee for any open position, but that County has no obligation to place the Employee in another position and specifically has no obligation to place the Employee in a position of 0 76 equivalent or comparable salary, grade, or benefits. In entering into this 2 0. Agreement,the Employee therefore specifically waives the right to utilize the grievance procedure set forth in Sections 9 and 10 of the Manual; House Bill a� No. 2658, Chapter 69-1321, the Monroe County Career Service Council; as N well as any rights to which a Monroe County employee would otherwise be entitled under Chapter 447, Florida Statutes. iv. Resignation. In the event the Employee resigns from the position prior to the normal expiration date of this Agreement,the Employee shall be entitled only X to payment for salary through the effective date of the resignation and any accrued annual and sick leave in accordance the Monroe County Personnel Policies and Procedures. 6. Except as set forth herein, the Employee is subject to all terms and conditions set E forth in the Monroe County Personnel Policies &Procedures Manual ("Manual") 4- 0 as may be amended from time to time. To the extent there is a conflict between 6 0 the terms of this Agreement and the Manual, the terms of this Agreement shall o: prevail. 0 B. If any provision, term, or portion of this Agreement shall be held to be 2 unconstitutional, illegal, invalid, or enforceable by a court of competent jurisdiction, the remaining terms, conditions, and portions shall remain in full 0 force and effect as if originally agreed to without the term, condition, or portion N that has been determined to be unconstitutional, illegal, invalid or unenforceable. C. The waiver by either the County or the Employee of a breach or violation of any N 0 term or provision of this Agreement by the other parry shall not operate or bed x construed as a waiver of any subsequent breach or violation by the other party. 0 D. The County and Employee acknowledge that each has shared equally in the review of this Agreement and, accordingly, no court or administrative hearing officer shall construe any provision of this Agreement more strictly against one party over the other parry, and every term, condition, covenant, and provision of this 0 Agreement shall be construed simply according to its fair meaning. Employee E 0 further acknowledges that she or he has had the Agreement reviewed by an e( attorney or has been given the opportunity to do so and has waived that a� opportunity. 0 0. The text herein constitutes the entire agreement between the Employee and the o County, and this agreement cannot be amended except by a written document mutually agreed to and executed with the same formalities as this Agreement. The 0 rights and obligations of this Agreement are personal to the Employee and cannot 76 be assigned or transferred. 2 9. CONTRACTS; PUBLIC RECORDS-F.S.119.0701: A. For purposes of this section, the term: cv i. "Contractor" means an individual, partnership, corporation, or business entity that enters into a contract for services with a public agency and is acting on behalf of the public agency as provided under s. 119.011(2). 2 .a X ii. "Public Agency" means a state, county, district, authority, or municipal o officer, or department, division, board, bureau, commission, or other separate unit of government created or established by law. B. In addition to other contract requirements provided by law, each public agency contract for services must include a provision that requires the contractor to comply 0 with public records laws, specifically: E Public Records Compliance. Contractor must comply with Florida public records laws, including but not limited to Chapter 119, Florida Statutes and Section 24 of a article I of the Constitution of Florida. The County shall have the right to unilaterally cancel this contract E 0 upon violation of this provision by the Contractor.Failure of the Contractor to abide ' �t by the terms of this provision shall be deemed a material breach of this contract and 0 the County may enforce the terms of this provision in the form of a court proceeding 0 and shall, as a prevailing party, be entitled to reimbursement of all attorney's fees w and costs associated with that proceeding. This provision shall survive any - termination or expiration of the contract. The Contractor is encouraged to consult 0 with its advisors about Florida Public Records Law in order to comply with this provision. 76 Pursuant to F.S. 119.0701 and the terms and conditions of this contract, the Contractor is required to: t� i. Keep and maintain public records that would be required by the CO N County to perform the service. N ii. Upon receipt from the County's custodian of records,provide the N County with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does w not exceed the cost provided in this chapter or as otherwise 0 provided by law. iii. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract 0 term and following completion of the contract if the contractor does not transfer the records to the County. o= iv. Upon completion of the contract, transfer, at no cost, to the County a� all public records in possession of the Contractor or keep and E 0 maintain public records that would be required by the County to perform the service. A request to inspect or copy public records relating to a County contract must be made directly to the County,but if the County does 0 not possess the requested records, the County shall immediately notify the Contractor of the request, and the Contractor must provide the records to the County or allow the records to be inspected or t� copied within a reasonable time. N If the Contractor does not comply with the County's request for N records, the County shall enforce the public records contract N provisions in accordance with the contract, notwithstanding the County's option and right to unilaterally cancel this contract upon w violation of this provision by the Contractor.
