WHEREAS, the DISTRICT and the FIRE AND AMBULANCE CORPS desire to provide advanced life support anbulance service fran premises in '1avemier, Florida, to serve the area generally described as being fran Snake Creek north to SOuth Bay Harlx>r Drive and IDb3ter lane, ~ THEREFORE, THE DISTRICT AND THE FIRE AND AMBULANCE CORPS, agree upon the following tenns and conditions for the operation of the above-described anbulance se:r:vice: 1. The term of this AGREEMENT shall camence as of the 1st day of October, 1988 and end on the 30th day of Sept:eIrber, 1989. 2. All operations of the advanced life support anbulance service by the FIRE AND AMBULANCE CORPS shall confonn to the Florida Energency M:!dical Se:r:vices Act of 1973, as anended, and all applicable standards, rules and regulations, including but not limited to those standards set forth in Monroe Cmmty Code, O1apter 6.5, the Monroe County Emergency and Non-errergency Medical Services Ordinance of 1982, heretofore adopted by Monroe County on Jamary 26, 1982, and any anendnents thereto. 3. Tl'E FIRE AND AMBULANCE CORPS shall have on call all necessary peroonnel to provide the anbtilance service on a t\enty-four (24) hour basis. A conbination of paid part-tine or full-time employees and volunteer peroonne1 of the FIRE AND AMBULANCE CORPS shall be utilized to ensure that sufficient staffing for at least one (1) advanced life support penni.tted arrbulance is available at all times. Part-time or full~ime enployees of the FIRE AND AMBULANCE CORPS shall be carpensated by the FIRE AND AMBULANCE CORPS at an hourly wage or salary level carmensurate with that of enployees in similar positions of other fire and anbulance districts within Monroe County . 4. ' '!he DISTRICT shall reimburse to the FIRE AND AMBULA'ta: CORPS all costs, charges or expenditures directly relating to the employment of the part-time or full-time personnel described in Section 3 of this agreement on a llDnthly basis and in a sum not to exceed the budgeted allocation. The DISTRICT shall provide reinbursem:mt of volunteer personnel of the FIRE AND AMBUI.JIN::E CCJU>S in acoordance with the provisions of Chapter 2, Article V, Division 2 of the Monroe County Code. 5. '!he DISTRICT shall provide the existing vehicles and equiprent owned by the DISTRICT or f.t:mroe County, per attachment A hereto, for use by the FIRE AND AMBULANCE CORPS to provide the ambulance service. The Emergency Medical SerVices (EMS) Department of M::>nroe County on behalf of the DISTRICT shall provide for the general and preventive maintenance of the vehicles and equiptent according to the manufacturer' s reccmnended maintenance schedule and specifications as a minimum1 periodic testing and certification of applicable nedica1 equipnent and devices shall be perfonned accordingly; repairs or corrective maintenance shall be perfonned as needed. The EM; Departnent shall have the right to inspect the vehicles and equipnent at any reasonable time. '!be EM) Deparbnent, upon receipt of proper requisition, shall provide, in a timely manner, the equiptent suWlies and other support materials required by the FIRE AND AMBULANCE CCRPS for advanced life sup{x>rt ambulance service functions and for which the DISTRICT has allocated funds in the current budget. 6. The FIRE AND AMBULANCE CORPS shall provide a system for property control of the vehicles and equipnent owned by the DISTRICT or M::m:roe CO\mty, per attachment A hereto, and used by the FIRE AND AMBUI..ANCE CORPS to provide the anbulance service. The FIRE AND AMBULANCE OORPS shall assist the EMS Departnent in the perfonnance of the annual inventory of the vehicles and equipnent. '!he FIRE AND AMBt.JLANCE OORPS shall notify, in a timely nanner, the EM; Deparbnent of ~ County when a repair or corrective maintenance' of a vehicle or equiptent is required and shall assist in the delivery of the affected vehicle or equiprent to the awropriate service famli ty . The FIRE AND AMBULANCE CORPS shall assist the EMS Departnent in scheduling the vehicles and equiptelt for general and preventive maintenance, and periodic testing and certification of applicable nedi.ca1 devices. The FIRE AND AMBTJLANCE CORPS shall requisition equiprent, suwlies and other support materials in accordance with the M:>nroe Cbunty Purchasing Procedure and through the EM; Deparbnent. 7. '!he DISTRtCT and/or r-t>nroe COl.mty on behalf of the DISTRICT shall provide \\Orker' s coopmsation insurance on the volunteer personnel of the FIRE AND AMBUIANCE OORPS. 8. '!he DISTRICT and/or Monroe County on behalf of the DISTRICT shall keep in full force and effect a policy of liability insurance on all vehicles a-med by the DISTRICT or Monroe County and used by the FIRE AND AMBULANCE Ccm>S, which policy shall also provide secondary, or back-up coverage on private vehicles only during such time as they are operated in response to a call for the energency services of the FIRE AND AMBt.JL1\NCE OORPS. Such period of operation shall be deeued to begin at the time a volunteer enters a private vehicle for the purpose of responding to a call and to end at such tine as a volunteer returns to his hate, or in the case of a volunteer who makes an intenrediate stop on his way to his hane, to the first location to which he drives, after the canpletion of his participation in the energency serviCes that were the subject of the call. 9. '!he DISTRICT and/or l-t>nroe Colmty on behalf of the DISTRICT shall provide oc:mrercial general liability insurance with miniIrun lindts of $300,000.00 per occurrence, $1,000,000.00 annual aggregate. '!he policy shall include medical malpractice coverage on the volunteer personnel and all paid part-time and full-time enployees of the FIRE AND AMBULANCE CORPS. The FIRE AND AMBULAN:E CORPS is to be listed as naned insured for all coverages. 10. '!he FIRE AND AMBUI.ANCE CORPS shall provide worker's CQI~lsation insurance for all paid part-time and full-time employees of the FIRE AND AKmLANCE CORPS in carpliance with Florida Statutes Chapter 440 and shall provide for employer's liability coverage with minimum limits of $500,000.00. Par;; No. 2 11. The cost of all insurance policies required under the provisions of Sections 10 of this PGREEMENT shall be a cost, charge or expenditure of the FIRE AND AMBUIRa CORPS for which the DISTRICT, upon receipt of proper invoices and other applicable documentation, shall reimburse the FIRE AND AMBt.lIAR:E COOPS in a sum not to exceed the budgeted allocation for such costs, charges or expenditures. 12. '!he FIRE AND AMBULANCE: CORPS shall keep in full force and effect a policy of liability insurance on all emergency vehicles owned by the FIRE AND AMB~CE OORPS and used in providing emergency sezvices within the DISTRICT. Said policy shall be in the anount of at least $300,000.00 canbined single bt for bodily injury and/or property damage to third persons and shall also name both the DISTRICT and l-bnroe County as additional insureds. Proof of insurance in a fonn acceptable to the DISTRICT shall be provided by the FIRE AND AMB~ CORPS. 13. Each of the volunteers of the FIRE AND AMBULANCE: CORPS shall furnish and keep in full force and effect a policy of liability insurance on his private vehicle (s) in suchannunts of coverage as are l:eqUi.red under Florida law. Proof of insurance in a fonn acceptable to the DISTRICT shall be provided by each volunteer and maintained on file in the business office of the FIRE AND AMB~ CORPS. '!he FIRE AND AMBtJL1.\NCE CORPS shall provide conplete copies of all insurance policies to the DISTRICT upon request. 14. '!he FIRE AND AMBT.lLANCE OORPS, to the fullest extent r:ennitted by law, shall indenmify and forever hold hann1ess the DISTRICT and M:m.roe Comty, their officers, agents and enployees, fran all claim3 of any sort whatsoever that may arise from the negligence, acts or anissions of the paid part-time and full-time euployees of the FIRE AND AMBULANCE CORPS. 15. The FIRE AND AMBULANCE CORPS shall contract with a Florida licensed P1ysician who shall serve as the ~dical Director of the mnbulance service. The DISTRICT shall reimburse the FIRE AND AMBULANCE CORPS for the cost of the Medical Director's contractual services, upon receipt of proper invoices and otrer suFPOrting docunentation and in a sum not to exceed the budgeted allocation. . 16. '!he FIRE AND AMBUlANCE: CORPS shall provide pl:'OOf of medical malpractice insurance" with mi.n.:i.num limits of $300,000.00 per occurrence, $1,000,000.00 aromal aggregate, on the Medical Director of the FIRE AND AMB~ COOPS in a funn acceptable to the DISTRICT. 17. '!he volunteer personnel and the paid enployees of the FIRE AND AMBtJI...AN:E CORPS may, and are encouraged to, participate in E!lergenCY medical and other eIretgency services related training programs provided through the EMS Department. '!he cost of such participation, by the FIRE AND AMBllIANCE OORPS, shall be calculated Proportionally and charged to the DISTRICT. The DISTRICT shall provide reimbursement of certain other training related expenses for the volunteer personnel of the FIRE AND AMBUIRa COOPS as provided for in Section 2-221, M:m.roe County Cbde. Travel expenses directly related to training activities shall ~ rei.rrbursable by the DISTRICT in accordance with applicable laws, rules and regulations. '!he FIRE AND AMBULANCE CORPS shall subnit requests for approval to travel to the EMS Department in proper fonn and at least t\<<> (2) P<lqe Nn. 3 weeks (minimum) in advance of the expected departure date. '!he FIRE AND AMBUU\NCE OORPS shall assist the EM:) Depart:Irent in making such travel arrangarents, if and wren necessaiy. 18. The FIRE AND AMBULANCE CORPS shall provide pre-hospital anbulance service within their designated service area, and mutual aid and interlx>spital transfer services up:>n request and in accordance with applicable laws, rules, regulations and standards. 19. '!he FIRE AND AMBULANCE CORPS shall have the autOOrity, if it so desires, to set user fees to be charged for seoondaiy transport mrbulance service with the approval by majority vote of the DISTRIcr Boan:i, as provided for in Section 2-238 (d) lobu:oe County Code, and the FIRE AND AMBULANCE CORPS shall have the sole authority to render statem:mts to patients for services rendered by the anbulance service. '!he FIRE AND AloBUIJ\NCE CORPS shall have the sole authority to detennine the procedures to be used in the collection of user fees for the secondaiy transport ambulance service. '!be institution of a lawsuit or any other legal procedure shall be strictly at the discretion of the FIRE AND ~ CORPS. For the purpose of this AGREEMENT, secondary transport ambulance service shall mean; transportation of a patient by ground anbulance to a destination other than Mariners Hospital, Plantation Key, Florida. '!he FIRE AND AMBtlI.J.\tOCE CORPS may provide conpensation on an hourly basis, for volunteer persormel, only for the time actually spent in perfonning secondal:y transport ambulance services. All user fees collected by the FIRE AND ~ CORPS for the secondaxy transport anbulance service shall be used exclusively for providing conpensation on an hourly basis, for volunteer persomel and related administrative costs. 20. '!he FIRE AND AMBULANCE CORPS shall provide lOOIlthly financial statenents of the operation of the anbulance service by line item expense ac:cx>unts. The DISTRICT shall reinburse the FIRE AND AMB~ COOPS m:mthly for said expenses as provided for in this AGREEMENT. 21. The DISTRICT blrlget, as adopted, per Attaclment B hereto, provides funding for other costs, charges or expenditures necessary or incidental to the operation of the anbulance service contenplated within this AGREEMENT, which have not been previously en\.D'nerated herein. '!tie EM3 Depart:Irent on behalf of the DISTRICT shall be responsible for providing the necessalY accountability and controls for these funds. 22. '!he DISTRICT shall provide to the FIRE AND AMBT.J!.AlCE CORPS a nonthly trial balance 'of the DIsTRICT's funds so as to maintain ccncurrency and awareness of blrlgeted awropriation and expenditures; detailed expenditure reports shall be provided ,upon proper request. 23. '!he FIRE AND AMBULANCE CORPS shall sul:mit to the EM) Depart:Irent, on a rronthly basis, for the purposes of statistical analysis and suPIX>rting documentation for grants, a detailed operational report, including, but not limited to, the total number of service responses and patients transported, by awropriate categories, and average response tines; such reports shall be subnitted in a format approved by f.t)nroe County. '!he FIRE AND ~ CORPS shall utilize the"current County approved standardized run report. 24. The FIRE AND AMBULANCE CORPS shall be accountable to the !blroe County EMS Director, or his designee, as required by this J\GRED1ENr. The Page No. 4 EMS Director or his designee shall have the authority and responsibility for coordination and cxmtrol of all Emargency ~cal Services resources during disasters, major energencies and other major incidents requiring the response of nultiple agencies and/or resources. '!he EM) Department shall provide administrative and teclmical assistance to the FIRE AND AMBUUH::E CXRPS in matters relating to the operation of the anbulance semce. 25. M:>nroe Co\mty shall provide for an exclusive central ccmra.m.ications system for the dispatching of all energency and non-emergency calls wi thin the seJ:Vice area. Said system shall consist of the ambulances used by the FIRE AND ~ CORPS, the hospitals within the county, the central dispatch centers of the county , and the two-way radios installed in the anbulances used by the FIRE AND AMBtJLANCE CORPS. '!he central dispatchers of the county shall have the urx:rualified right to coordinate and dispatch all anbulanoes of the FIRE AND AMBtJLANCE CORPS and to receive inmediate confinnation of the status and location of all arrbulances, whether such anbulanoes are in service or not. It is hereby recognized and acknCMledged that the right of the central dispatchers to dispatch and confinn status is param:>unt in order to effectively coordinate the provision of both emergency and non-energency anbulanoe seJ:Vice wi thin M:>nroe County, and that failure of the FIRE AND AMBUI..ANCE CORPS to respond :imtediately and accurately to the directions and i.nquires of the central dispatchers shall be a severe violation of the tenns of this ~. 26. '!he DISTRIC1' may tenninate this ll.GREEMENT at any titre during its term if the FIRE AND AMBt:JI.Ra CORPS defaults under any of the provisions specified herein, or violates any standard specified in this ll.GREEMENT, or violates any other law, regulations or standard applicable to furnishing of anbulanoe service in M:>m:oe County. In such event, the Mndnistrator of the County shall furnish the FIRE AND AMBUI..AN:E CORPS written notice of any such default or violation and the FIRE AND AMBtn:..AN:E CORPS shall have thirty (30) days fr:an receipt of said notice to correct or renedy such default or violation. If such violation is not corrected or such default is not remedied within said thirty (30) day period, or is of such nature that is can not be corrected or renedied, this ll.GREEMENT shall be considered void. The FIRE AND AMBULANCE CORPS may tenni.nate this AGREEMENT without cause by giving sixty (60) days written notice indicating their desire to tenninate saIne . 27. Notice under this AGREEMENT shall be given to the DISTRIC1' by sending written notice to the Office of the County Administrator, Public SeJ:Vice Building, Wing II, Key West, Florida 33040 and notice shall be given to the FIRE AND AMBULANCE CORPS by sending written notice to the President of the Tavernier Volunteer Fire and Ambulance CotpS, Inc., Post Office Box 301, Tavernier, Florida 33070. 28. Upon request of the DISTRICT, the FIRE AND AMBt.JL1R::E CORPS shall sul:rni.t a proposed bud;Jet appropriations request, by'line item account, for the forthcaning fiscal year. When deEmed necessary by both parties, the DISTRIC1' shall cxmsider a budget appropriations request for rem:nmting ~ replacement of anbulances provided to the FIRE AND AMBt1.I.Ra CORPS by the DISTRICT. The FIRE AND AMBUI..ANCE CORPS shall be involved in the specification writing, IOOni toring all phases of manufacturing and. Page No. 5 recx:mnendi.ng acceptance of rarounted or replacerrent ambulances to be used by the FIRE AND AMBULANCE COOPS. The EMS DepartnElt shall assist the FIRE AND AmUIANCE CORPS in awlying for grants for the ambulance operation. 29. In the event of unforeseen circumstances, such as illness, injury or other cause of absence of the regular paid part-tine or full-tine employees of the FIRE AND AMBtJLANCE CORPS, the FIRE AND J.\MBUI.J\R:E CORPS shall make every reasonable attempt to te!tp:>rarily employ personnel to maintain sufficient staffing as to ensure the uninterrupted provision of advanced life support anbulance services within the DISTRICT. '!he cost of su:::h tenporary employees shall be a cost of the FIRE AND AMBtJLANCE CORPS as provided for in Section 3 of this AGRmmm' and shall be reimbursable by the DISTRICT as provided for in Section 4 of this J\GREEMENT. '!he EMS Depa.rtnent shall assist the FIRE AND AMBtJIJ.\NCE CORPS in attempting to ob~in such tercporary employees. 30. In circumstances in which the FIRE AND AMB~ CORPS are unable to imnediately respond an advanced life support permitted ambulance to a request for anbulance service, reganUess of reason, the FIRE AND AMBtJL.1\tCE CCRPS shall i..nroodiately respond a n:edical first response unit and request through the central dispatch center for an advanced life support nutual aid response fran the nearest adjacent service provider.
