RESOLUTION NO. 139 -1985
A RESOLUTION AUTHORIZING THE CHAIRMAN OF THE
BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, TO EXECUTE AN AGREEMENT BY
AND BETWEEN KEY WEST FISHING TOURNAMENT, INC.
AND THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, FOR PROFESSIONAL
PHOTOGRAPHY SERVICES FOR PHOTOCAPTIONS OF
SPORT FISHING CATCHES MADE IN KEY WEST.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, as follows:
That the Mayor and Chairman of the Board of County Commis-
sioners of Monroe County, Florida, is hereby authorized to
execute an Agreement by and between Key West Fishing Tournament,
Inc. and the Board of County Commissioners of Monroe County,
Florida, a copy of same being attached hereto, for professional
photography services for photocaptions of sport fishing catches
made in Key West.
PASSED AND ADOPTED by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on the 10th day of May, A.D. 1985.

AGREEMENT
An Agreement entered into on this day of
A.D. 1985, by and between MONROE COUNTY, a political subdivision
of the State of Florida, hereinafter referred to as "County" and
KEY WEST FISHING TOURNAMENT INC., a Florida non-profit corpo-
ration, hereinafter referred to as the "Photographer".
WIT N E SSE T H:
WHEREAS, the County, through its Board of County Commission-
ers, authorized and directed the County Mayor/Chairman of the
Board to enter into this professional services agreement with the
Photographer by Monroe County Resolution No. , passed
and adopted on the 10th day of May, A. D. 1985, now, therefore,
FOR AND IN CONSIDERATION of the mutual covenants hereinafter
contained, the parties agree as follows:
1. The term of this Agreement is for a term of approxi-
mately four and one-half (4~) months commencing on May 10, 1985,
and terminating on September 30, 1985.
2. Compensation shall be paid by the County to the Photog-
rapher for photocaptions of sport fishing catches made here in
Key West for the purpose of sending them to the local hometown
newspapers of the tourist so involved.
3. The cost of this Agreement shall be $12.00 per photo
paid to the Photo program for during the term of this Agreement,
averaging twenty (20) shots per week.
4. The performance of all services by the Photographer
will be in full cooperation with and under the direct supervision
of the Monroe County Tourist Development Council. When an
approval is required from the Monroe County Tourist Development
Council, hereinafter called "Council", said approval shall be in
writing from the Chairman, Vice-Chairman or designee. Whenever
approval of the COUNTY is required pursuant to this Agreement,
the approval of the County Mayor or his/her designee will be
deemed sufficient.
5. Either party shall have the right to cancel this
contract at its sole discretion for any reason whatsoever, at any
time upon sixty (60) days prior written notice to the other
party.
6. This Agreement shall be governed by and construed
according to the laws of the State of Florida, and all actions
brought under or pursuant to this Agreement shall be brought in a
court of competent jurisdiction in Monroe County, Florida;
provided, however, that the parties may mutually agree in writing
to arbitrate any dispute rising under this Agreement.
There
shall be no arbitration of any dispute unless at the time of the
dispute, both parties agree in writing to be bound by the deter-
mination by the arbitrator(s).
7. This writing embodies the entire Agreement and under-
standing between the parties hereto, and there are no other
agreements and understandings, oral or written, with reference to
the subj ect matter hereof that are not merged herein and su-
perseded hereby.
IN WITNESS WHEREOF, the parties hereto have caused this
instrument to be executed in their names and seals impressed
herein, and Monroe County, all as of the day and year first above
written.
