AGENDA ITEM WORDING: Approval of an Amendment to the Letter of Engagement wilh the law finn of

ITEM BACKGROUND: Under its Letter of Engagement with Monroe County, the annual cap for fees to be paid
the law tirm of Morgan and Hendrick for Land Use-Growth !'v1anagement representation is $350,000 of which
$150,000 is earmarked for payment of fees for oul'\ide counsel and expert witness testimony 011 the Shadek case. It
is estimated that an additional $100,000 is required for this fiscal year for payment of fees to outside counsel and
expert witnesses.
Therefore, the firm of Morgan and Hendrick is requesting that its Letter of Engagement be amended to increase its
annual cap for the current fiscal year to $450,000. This additional increase will be budgeted from the Fund Balance
Stabilization Account.
PREVIOUS RELEVANT BOARD ACTION: Approved initial Letter of Engagement on December 8, 1992.

Dear Commissioners:
As a n:sult of the trial costs in Shadek v. Monroe County, the annual cap of our Letter of Engagement for
the 2001-2002 fiscal year will be exceeded. While these fees and costs are included in MorgCUl &
Hendrick's aruma! fee cap, please note that these costs are being directly billed by and paid to outside
counsel Frie1ich- Leitner & Carlisle who arc now acting as lead counsel in this matter, as well as our
expert witnesses who will be providing testimony as to a much lowcr damages calculation than that
which WIll be presented by Plaintiffs. This letler is sent as a request to amend our 2001-2002 Letter of
Engagement 10 increase the annual cap by SI00,000.00, as set fonh below. (Please also note that th.i~
incrcase to the annual cap will include the $150,000 previously allocated to defend the Shadek case).
The law firm of Morgan & Hendrick ("Law Finn") and the Board of County COIlUDissioners hereby
agree to amend their FY 2001-2002 Letter of Engagement initially entered into between the parties
December 8, 1992. All tenns and conditions shall be as set forth. in the December 8, 1992 engagement
letter except that the cap on total fees for the fiscal year ending September 30, 2002, shall be set at
$450,000.00 per annum. subject to the budget for that fiscal year, allocating sul1icicnt funds. Thjs
amendment increases the annual cap by S100,OOO.00 to cover additional costs incurred due to the trial
costs associated with Shadek v. Monroe County.

RE: Land Use - Growth Management Representation - Letter of Engagement
Dear Mayor and Commissioners:
The law firm of Morgan & Hendrick ("Law Firm'') and the Board of County Commissioners
hereby agree to renew for an additional term of one year the Letter of Engagement initially entered into
between the parties dated December 8. 1992. All terms and conditions shall be as set forth in the
December 8, 1992 engagement letter except that the cap on total fees for the fiscal year ending
September 30, 2002, shall be set at $350,000.00 per annum, subject to the budget for that fiscal year,
allocating sufficient funds.
Beginning October 1,2001, attorney's fees shall be billed at $225.00 per hour, law clerk fees at
$150.00 per hour (must have law degree), and paralegal fees at $75.00 per hour.
The County also agrees to reimburse the Law Firm for all costs that are incurred in the course of
representation. Nonnal costs include expert witness fees, copying charges, long distance telephone
calls, travel and lodging expenses, mailing charges, fax charges, mileage, research charges, court
reporters and other out-of-pocket expenses. Further, the County will reimburse the Law Firm for the
acquisition oftegal informational materials specifically related to the legal representation of the County,
including the cost of seminar fees, travel and lodging not to exceed $2,500 per year. A statement
showing the amount of fees and expenses will be forwarded monthly. Each statement is payable upon
receipt.
The Law Finn will not bilJ for any services performed by James T. Hendrick while he serves as
County Attorney.
