PRINTING CONTRACT
THIS CONTRACT is entered into this 28th day of February, 2000, by and between Monroe
County, a political subdivision of the State of Florida, whose address is 5100 College Road, Key
West, FL 33040, hereafter County, and Universal Printing Company, a Florida corporation, whose
address is 3100 NW 74 Avenue, Miami, FL 33122, hereafter Contractor.
WHEREAS, the County requires the printing of its annual report in the soonest time possible;
WHEREAS, the Contractor represents that it is qualified and able to print the County's annual
report within the time frame required by the County; now, therefore

1. The Contractor shall print 35,000 copies of the County annual report, n~~~xcid ~
pages including a four-page cover, in accordance with the specifications set fortb=1rt:Exhibit .;q
Exhibit A is attached to and made a part of this agreement. The County must ~fsh t~ diij

2. The copies of the printed annual report, satisfactorily printed in accor"dan'a .., ~
specifications must be delivered to the County's address written above on or before April 28,
2000. Acceptance of the report by the County Administrator constitutes the determination by
the County that the report was satisfactorily printed in accordance with the specifications.
Time is of the essence in the County receiving the report because the report must be
distributed as quickly as possible to citizens and taxpayers throughout the County. Therefore,
$100 per day will be assessed against the Contractor, not as a penalty but as liquidated
damages, for each day after April 28, 2000 that the satisfactorily printed copies of the report
remain undelivered. Any liquidated damages assessed pursuant to this paragraph may, at the
discretion of the County Administrator, be deducted from the final contract sum otherwise due
the Contractor under paragraph 3.
3. Within 20 days of the County Administrator's acceptance of the printed report copies,
the County must pay the Contractor the total sum of $22,324.
4. The Contractor may not subcontract its obligations under this contract without the
written authorization of the County Administrator.
5. Contractor warrants that he/it has not employed, retained or otherwise had act on
his/its behalf any former County officer or employee subject to the prohibition of Section 2 of
Ordinance No. 010-1990 or any County officer or employee in violation of Section 3 of
Ordinance No. 010-1990. For breach or yiolation of this provis.ion the County may, in its
discretion, terminate this contract without liability and may also, in its discretion, deduct from

the contract or purchase price, or otherwise recover, the full amount of any fee, commission,
percentage, gift, or consideration paid to the former County officer or employee.
6. A person or affiliate who has been placed on the convicted vendor list following a
conviction for public entity crime may not submit a bid on a contract to provide any goods or
services to a public entity, may not submit a bid on a contract with a public entity for the
construction or repair of a public building or public work, may not submit bids n leases of real
property to public entity, may not be awarded or perform work as a contractor, supplier,
subcontractor, or consultant under a contract with any public entity, and may not transact
business with any public entity in excess of the threshold amount provided in Sec. 287.017, for
CATEGORY TWO for a period of 36 months from the date of being placed on the convicted
vendor list. The Contractor warrants that it is not on the convicted vendor list. If the
Contractor is on the list, then this contract is automatically void with no compensation, or any
other amount, however denominated, payable to the Contractor.
7. The parties acknowledge that the status of the Contractor under this contract is that of
an independent contractor and not that of County employee, officer or agent.
8. This contract is goyerned by the laws of the State of Florida. Venue for any litigation
arising under this contract must be in a court of competent jurisdiction in Monroe County,
Florida.
9. This written contract represents the parties' final and complete agreement. This
contract may not be amended except through a written instrument signed by an authorized
representative of each party.
