Resolution 141-1990 County Commission / RESOLUTION NO. 141-1990 ;' A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, AUTHORIZING THE MAYOR/CHAIRMAN OF THE BOARD TO EXECUTE AN AGREEMENT BY AND BETWEEN MONROE COUNTY, FLORIDA, AND HENRY NAUBEREIT AS MONROE COUNTY TRANSLATOR CONSULTANT. BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, as follows: That the Mayor/Chairman of the Board is hereby authorized to execute an agreement by and between Monroe County, Florida and Henry Naubereit, a copy of same being attached hereto and made a part hereof, concerning consulting services for the Monroe County Translator System. KOLHAGE, Clerk ~~~f~~ APPROVED M TO FORM ,t, 'I'D UZGAL SUFFICIENCY, CONSULTING AGREEMENT This consulting agreement entered into this day of 1990, for a period of one (1) year by and between the Monroe County Board of County Commissioners, a political subdivision of the State of Florida, hereinafter referred to as "Client" and Henry Naubereit, hereinafter referred to as "Consultant". RECITALS WHEREAS, Consultant is engaged in the business of offering technical assistance and consulting support for the operation of translator systems, and WHEREAS, Client is in need of professional services of consulting for the purpose of operating a translator system, and WHEREAS, the parties are desirous to enter into this contract, to establish a contractual relationship and set up the fees to be charged by Consultant to Client for the services to be rendered and to establish the guidelines of consulting work to be performed, IT IS THEREFORE AGREED AS FOLLOWS: " 1. Client hereby employs, engages, and hires Consultant as the Translator Engineer, under the direct management of the County Administrator. 2. Consultant shall carry out to the best of his ability the ." functions and duties as described in Exhibit "A" attached hereto and made a part of this contract. 3. In exchange for Consultant performing the services as established ,herein, Client agrees to pay Consultant the sum of Twenty Four Thousand Dollars ($24,000.00) annually. Client agrees that payment herein shall be made monthly at the rate of Two Thousand Dollars ($2,000.00) per month by the 10TH of the following month after the invoice rendered by Consultant. 4. Client agrees to pay all reasonable travel and expenses of Consultant according to F.S. 112.06 for approved County business. 5. Consultant shall have no purchase or approval authorization for any act dealing with the translator. 6. Consultant will conform to and follow all Monroe County statutory laws, ordinances and regulations concerning the translator in the Monroe County Code. 7. The County Administrator will obtain and control all public records involving the translator. 8. All FCC or litigation actions contemplated shall be handled directly through the County Attorney's Office. 9. This agreement shall be terminated by either party giving . the other sixty (60) days advance notice in writing. 10. The Consultant warrants that he has not employed or retained any company or person, other than a bona fide employee working solely for the Consultant to solicitor secure this agreement and that he has not paid or agreed to pay any person, company, corporation, individual, or firm, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, gift, or other consideration contingent upon or resulting from the award or making of this agreement. 2 ;- IN WITNESS WHEREOF, the parties hereto have executed this agreement the day and year first above written. BY 3 EXHIBIT "A" Following are representative duties to be performed by Consultant: 1. Provide technical assistance for the Translator System. 2. Liaison with all participating contractors, requested by the County Administrator. as 3. Consul t with the maintenance contractor on different and unusual service problems and on performance measurements. 4. Report all F. C. C. notices and actions to the County Administrator. 5. Review maintenance data recommend redesign or reliability. for recurring modifications failures and to improve 6. Recommend design criteria for system improvements. 7. Recommend system improvements or modifications required to suppress interference, improve reception and increase reliability. 8. Continuously performance systems. monitor monitoring all failure systems and alarm fault systems, isolation 9. Keep the County Administrator abreast of all TV channel allocations in South Florida to identify the need for a system channel change before being forced off the air by interfering signals. Alert the County Administrator to the need for a channel change and provide system downtime and response time estimates. 4 10. Review proposals for modifications or maintenance of the system and prepare recommendations for the Administrator's considerations. 11. Supervise maintenance or modification to the system. 12. At the request of the Administrator, prepare reports, technical analysis and provide supporting data. 5
