IN RE: Stuart Newman Contract
After an examination of the known facts concerning the charge
that the contract with Stuart Newman and the County is invalid
because of a conflict of interest, it is the undersigned's opinion
that there is no conflict of interest t the point that the contract
would be rendered illegal. This opinion is being rendered for
the purpose of complying with the County Commission's direction
and to suggest that said contract be executed and finalized.

Pear Judge Proby:
The Monroe County Tourist Development Council has once again
selected the firm of Newman Blitz McConnell to handle the advertising
and P.R. account for Key West and the Florida Keys for a period of
two years.
We are presently negotiating the terms of the new contract which
should begin on October 1. Unfortunately, however, this will take
several more days to complete.
We are requesting, at this time, that Newman Blitz McConnell be
granted a 30 day extension on their present contract which expires
September 20, while negotiating the new contract. We will need
County Commission approval for this extension, and would appreciate
it if your office would place this item -on the agenda for the next
meeting.
Your cooperation in this matter is appreciated by all concerned.

RE: McCluskey contract.
Dear Stuart:
I met with Danny Kolhage this morning and he provided me with a copy of the
original contract which you entered into with McCluskey Associates. Unfortunately, I
was not aware of the language in paragraph 14 of the original contract,' or, if I was, I
assumed that the matter would be taken to the TOC and BaCC and di'd not consider it
further.
The original language of paragraph 14 states "this agreement may be amended as
needed by mutual consent of M&A and S&A, subject to the approval of TOC: and the
Board of County Commissioners of Monroe County."
Due to that language, the amendment does need to be approved by the TOC and
BaCC. I see no reason why it cannot be approved at the January County Commission
meeting effective as of the date the amendment was made. The TOC merely needs to
place this item on the agenda for approval with an agenda summary sheet that sets
forth the requested action of approval of amendment of contract between McCluskey
Associates International and Stuart Newman Associates, Inc., which contract originally
required amendments to be approved by the TOC and BaCC. The background item
would state that the McCluskey & Associates International contract with Stuart Newman
Associates, Inc. ultimately receives payment from the County Commission pursuant to
the County's contract with Stuart Newman Associates. Inasmuch as there is an annual
review in the budget process, any changes to the contract between McCluskey and
Stuart Newman which affect payment would come under scrutiny of the TOC in its
budget preparation process. Accordingly, it is not necessary to entail County review
and considerable paperwork every time an item may become the subject of an
amendment to a contract between two parties, neither of which is the County.
I apologize for not catching this problem earlier so that you would not encounter this
difficulty in obtaining appropriate payment. Please let me know if there is anything
further I can do to assist in this matter.
