subdivision of the State of Florida, whose address is 5100 College Road, Key West,
FL 33040, hereafter County and Sensis Corporation, a corporation authorized to do
business in the State of Florida, whose address is 5793 Widewaters Parkway,
DeWitt, NY 13214, hereafter Sensis.
WHEREAS, the Navy has agreed to make the flight control radar service at
the Boca Chica NAS available to the control tower at the Key West International
Airport (KWIA);
WHEREAS, the County desires to make available such radar service at KWIA;
WHEREAS, the radar at the NAS is in analog form and the receiving
computers at the KWIA tower are digital; and
WHEREAS, Sensis represents that it is a vendor engaged in the business of
furnishing equipment that can translate the analog form into the digital as needed
by the County; now, therefore,
IN CONSIDERATION of the mutual promises and covenants set forth below,
the parties agree as follows:
1. Sensis agrees to provide to the County the equipment, installation,
and training services set forth in the Statement of Work For The Beacon Data
Extractor System Installation at Key West International Airport. A copy of the
Statement is attached as Exhibit A to this contract as Exhibit A and is incorporated
into this contract as if fully set out in this paragraph one. The time for performance
described in the Statement begins to run on the effective date of this contract as
described in paragraph 7.
2. The County will pay Sensis an amount not to exceed $82,207.00 upon
the delivery of the equipment conforming to the specifications in Exhibit A and upon
satisfactorily completing the equipment installation and user training. Upon
completion of the foregoing, Sensis must invoice the County for the amount due
and the County must pay Sensis within 30 days of the County's receipt of the
invoice.
3. The document entitled Terms and Conditions of Sale is attached as
Exhibit B to this contract and made a part of it as if it were fully set out in this
paragraph. Except, however, paragraphs 12 and 13 of the Terms and Condition are
altered to read:
12. In the event the Buyer attempts to cancel an order for any
reason other than default on the part of Sensis, it is to be expected
that a cancellation charge will be imposed on the Buyer by Sensis of a
value to be ultimately established after negotiation with the Buyer.
13. This Exhibit B, the document entitled Contract for Beacon Data
Extractor System at Key West International Airport and Exhibit A
attached thereto contain all the terms and conditions with respect to
the sale, purchase, installation, and training of the users of the
material named herein. No modification of these terms and conditions
shall be of any force, unless such modification is reduced to writing
and signed by the party claimed to be bound thereby, this instrument
shall not be affected by the acknowledgment or acceptance of
purchase order forms containing different conditions. This contract is
governed by the laws of the State of Florida. Venue for any litigation
based on this contract must be in a court of competent jurisdiction in
Monroe County, Florida.
4. The warranties covering the equipment and its installation are those
set forth in the Statement and Terms and Conditions.
5. A person or affiliate who has been placed on the convicted vendor list
following a conviction for public entity crime may not submit a bid on a contract to
provide any goods or services to a public entity, may not submit a bid on a contract
with a publiC entity for the construction or repair of a public building or public work,
may not submit bids n leases of real property to publiC entity, may not be awarded
or perform work as a contractor, supplier, subcontractor, or consultant under a
contract with any public entity, and may not transact business with any public
entity in excess of the threshold amount provided in Sec. 287.017, for Category
Two for a period of 36 months from the date of being placed on the convicted
vendor list. If the Contractor is on the convicted vendor list, then this Contract is
void ab initio with the County under no obligation to pay Sensis any compensation
or damages under any legal theory whatsoever.
6. Sensis warrants that it has not employed, retained or otherwise had
act on its behalf any former County officer or employee subject to the prohibition of
Section 2 of Ordinance No. 010-1990 or any County officer or employee in violation
of Section 3 of Ordinance No. 010-1990. For breach or violation of this provision
the County may, in its discretion, terminate this contract without liability and may
also, in its discretion, deduct from the contract or purchase price, or otherwise
recover, the full amount of any fee, commission, percentage, gift, or consideration
paid to the former County officer or employee.
7. This contract will take effect on the signature date of the last party to
execute the contract.
IN WITNESS WHEREOF, the parties hereto have set their hands and seals the

Equipment, Material and Service
The following items of equipment, material and services as itemized in Table I are
requirements of this Statement of Work. The work, render of services, including facilities,
personnel, materials and supplies necessary to manufacture, inspect, test, package, and
deliver the equipment complete to specification, together with other documentation as set
forth in this Statement of Work and in accordance with the delivery schedule listed in Table
I.

Equipment Design
Commercial off the shelf (COTS) equipment as described in the technical description
document.
Material and Services
Sensis Corporation will provide the equipment and services described in Table 1 configured
to conform to the interface requirements ofNAS Key West and Key West International
Airport. Sensis Corporation will provide 6 days support for the installation and optimization
for the equipment and radar system as installed at Key West NAS, Florida. Additional days
are available at $1,200/man day plus T&L expenses. Site spare parts and the extended
maintenance contract will not be provided, at this time. All Sensis Corporation equipment is
warranted for a term of one year from the date of installation. All other equipment will
follow the COTS manufacturer's warranty. The airport manager or their representative will
be provided with warranty information upon completion of installation and acceptance.
Inspection and Acceptance
Hardware inspection and acceptance will take place when the equipment specified for
delivery herein, has successfully passed all inspections and test. Delivery of equipment
furnished under Table I shall be FOB Key West International Airport.
Notice of Delay
Sensis Corporation shall notify the airport manager, or designee, any time a problem arises
that could endanger the schedule. Such notices will be telephoned to the airport manger and
shall be confIrmed by email of fax within twenty-four (24) hours after occurrence. The
report shall contain at least the following information or dates when each will become
available:
1. Reason for the delay
2. Action being taken to correct or make up for the delay
3. Clearly indicate impact on schedule
Schedules
The delivery/schedule requirements shall be as specified in Table 1.
Warranty
The Sensis equipment delivered will be covered by a factory warranty against material or
workmanship for a period of one year from the date of delivery. Shipping of equipment or
travel and living cost associated with sending a technician to the site are not included.

TERMS AND CONDITIONS OF SALE
1. Ownership, title to, and risk of loss of goods sold hereunder shall pass at the point of delivery specified in the price quotation.
2. Buyer assumes all risk and liability for the results obtained by the use of the equipment described by this price quotation.
3. Sensis equipment is warranted against defects in material or workmanship for one year from the date of delivery. This warranty does not
include transportation costs involved in the return of components to the point-of-repair or the travel and living (T&L) costs associated with
sending a technician to the site where the equipment is located. All such warranties are contingent upon proper use of the equipment.
These warranties will not apply: (1) if adjustment, repair, or parts replacement is required due to accident, unusual physical or electrical
power, air conditioning, humidity control. or causes other than intended ordinary use. or; (2) if the equipment has been modified by the
customer, or where Sensis equipment serial numbers have been removed or altered without prior written approval of Sensis.
4. The terms of payment are those specifically quoted to the Buyer in writing. Unless otherwise specified. payment must be made for all
partial deliveries according to the terms of the individual billings. The payment term begins with the date of the invoice. In the event the
Buyer fails to fulfill the terms of payment. or in case Sensis shall have any doubt at any time as to the Buyer's financial responsibility.
Sensis may decline to make further deliveries.
5. Buyer is responsible for the ultimate payment of all taxes including stamp charges, licenses. duties, and governmental exactions by
whatever name. which may be assessed or levied on or on account of the products sold hereunder.
6. Any alteration requested by the Buyer in the normal operating characteristics of the eqUipment ordered is subject to a price adjustment to
be specified by Sensis.
7. Packing of the goods to be provided by Sensis to the Buyer will be according to Sensis standard commercial practice.
8. Operation and Maintenance Manuals or general product descriptions will be provided in accordance with Sensis standard commercial
practice. In cases where no bona-fide manual exists a technical specification sheet or product description will be supplied to the Buyer.
9. Inspection reports and test results will not be provided by Sensis for items ordered, unless specifically agreed to by Sensis, or unless
such reports are normally issued by Sensis for the equipment in question as standard commercial practice.
10. Upon request. Sensis will endeavor to furnish such technical advice or assistance as it has available in reference to the use of its product
by the Buyer; it is expressly understood, however. that all such general advice or assistance is given gratis and Sensis assumes no
obligation or liability for the advice given or the results obtained; all such advice or assistance being given and accepted at the Buyer's
risk. Separate provision can be made for the purchase of installation and technical support services apart from the general advice implied
above.
11. In no case will Sensis be subject to monetary or other penalties for failure to deliver within the period specified on the price quotation,
purchase order or acknowledgment, independent of what terms and conditions may be specified on the Buyer's purchase order or its
attachments. In the event of inability for any reason to supply the total demands for the material specified in this order, Sensis may
allocate its available supply among any or all purchases on such basis as it may deem fair and practical without liability for failure of
performance which may result therefrom. It is expressly understood that payment by the Buyer is required for the portion of the order that
was provided by Sensis.
12. In the event the Buyer attempts to cancel an order for any reason other than flagrant default on the part of Sensis. it is to be expected
that a cancellation charge will be imposed on the Buyer by Sensis of a value to be ultimately established after negotiation with the Buyer.
13. This instrument contains all the Terms and Conditions with respect to the sale and purchase of the material named herein. No
modification of these Terms and Conditions shall be of any force. unless such modification is reduced to writing and signed by the party
claimed to be bound thereby, this instrument shall not be affected by the acknowledgment or acceptance of purchase order forms
containing different conditions. Any dispute between the Buyer and Sensis will be arbitrated in the laws of the State of New York. U.S.A.
14. In the event that any provision in these Terms and Conditions shall be deemed in contravention of law, it shall be excised from this
document, and, in&vfar as possible, the balance of this document shall remain in full force and effect.
