Dear Steve:
Thank you for taking the time to meet with me a couple of days ago to
discuss this project and how we can continue to work together to complete
it as expeditiously as possible. Given what I perceived to be a very
reasonable and cooperative attitude from both of us during our discussion, I
see no reason why Monroe County and Rovel Construdion can't come to
terms on this matter. Below please find a synopsis of our discussion, at
least my interpretation of same. Should yours be in any way different,
please advise so we can talk about it.
In general we agreed that Rovel will complete the projed within a yet to be
determined reasonable time limit, which time will be split into two separate
time frames. Rovel will continue work on all portions of the work which can
be completed without environmental controls. Generally, this work is the
site work, masonry work, architectural elements and all other work which
can be installed without damage or deterioration due to the lack of HVAC.
The remaining portion of the work shall be completed by Rovel, again within
a yet to be determined reasonable time limit, after the building can be
environmentally controlled through the tie-in to the yet to be built chiller
system. The wo!1( to be performed and completed within the second phase
of this scenario shall be comprised of what are generally defined as finish
items, such as carpeting. VCT. acoustical ceilings, etc.
Assuming mutual agreement on the time frames for both phases, Monroe
County shall issue a no-cost change order to Rovel for the time required for
this work to be performed, which time shall be sufficient to completely avoid
the possibility of liquidated damages being imposed on Rovel. As a quid
pro quo, Rovel shall agree not to press any claim against Monroe County
for extended general conditions and any other costs associated with this
matter of time.

We agreed to participate in good faith negotiations in order to arrive at the
actual amount of time involved. In order to document the necessity for this
time you will review some of our old change order requests (COR's) and
related documentation where we felt we were not given enough time to
perform the additional work required and reserved our rights in the
executed change orders (CO's) or by related documents. More speciflC8t1y,
you would review the change order for asbestos abatement where Rovel
requested 36 calendar days but only 20 days were approved. More
significantly, you would review the matter of the structural investigation,
additional structural work and ftoor plan changes in the old courthouse
building, where the time elapsed from the date of the first RFI issued by
Rovel (January 15th, 1999) and the date of the final resolution of this issue
(October 2~th. 1999) was more than nine months. Rovel was given an
extension of only 3 months. Also, for some time now, Rovel has been
reserving its rights to request additional time on all our COR's. We can
provide you with a detailed list of these and the time we would request for
each to assist you with your evaluation. Although we did not discuss it at
our meeting, I would requeSt that Ravel be given at least 30 days notice
prior to the commencement of the work on the finishes to line up our
subcontractors and schedule the work.
In addition to the time issue, we discussed several other issues which have
been discussed before but on which no final resolution has been reached.
. We agreed to participate in good faith negotiations on these issues. The
first is the exterior brick repair.
Our discussion on this matter touched upon Rovel's strong belief and
position that the extent of damage to and condition of the exterior brick
where there was a building attached to the old courthouse W86 an
unforeseen and hidden condition worthy of consideration for additional
compensation through a change order. You indicated that although you
could not approve the $63,000 (approx.) requested in our original change
order request, there was room for compromise on this issue. I agreed to
review our change order request. Once again, we both agreed to good faith
negotiations on this.
The second issue we talked about was the file cabinet issue.
Correspondence on this could fill a book. I reminded you that at our March
17. 2000 meeting Monroe County had already conceded that they could
pay at lQaat the $12,000 (again, approx.) amount the archited's sole source
supplier staled it should cost. Again, our hard costs for adding this work is
much more than that amount and can be evidenced by invoices. However,
I believe we once again agreed that good faith negotiations could likely
produce a compromise acceptable to both of us.

The last issue we discussed specifically was the issue of the fire sprinklers,
I agreed with you that your consultant seemed to have made some points
with the analysis provided to us some time after our March 17, 2000
meeting. I promised you I would look into this matter right away in an
attempt to resolve it. I have done so and a more specific response will be
sent under separate cover. We agreed to further discuss this issue and
negotiate fairly with each other.
We also discussed and agreed that Monroe County would allow Rovel to

An integral part of our discussion what the need for us to set any agreement
reached down in writing and follow up with the necessary documentation so
as to maintain on-going funding for this project. Rovel cannot continue to
work if we do not get paid our progress payments on a timely basis.
Although not specifically discussed at our meeting, there is another COR
item still pending which was discussed at our March 17, 2000 meeting and
that is the damaged electrical line to the generator. At that meeting we
discussed that the line would be energized and located and if found to be
outside the 2 foot limit Rovel was given to dig, we would be compensated
for this work. This item is covered In Mr. Ira Ubanoffs letter documenting
the issues discussed at that meeting.
I can't recall discussing anything else but if I missed something, please let
me know. Also, I have made every effort to accurately represent our
discussion without emotional involvement or posturing in any way, shape or
form. I hope I have achieved that but, again, let me know if I've
misrepresented anything.
We agree that until such time as we reach a more formal agreement as to
all the above and reduce it to writing, both parties shall continue to reserve
their rights and all our correspondence and discussions on these matters
shall be considered as having taken place for settlement purposes only.

The meeting was called to resolve outstanding items and to determine final completion
times and schedules.
The fIrst items that were discussed concerned outstanding Change Order Request. Listed
below are the COR's and the amounts that Monroe County would recommend for a
Change Order.
1. COR #8-Underground Electrical Secondary Damage-- This item has been in
dispute for a year. In order to resolve, MCCM has agreed to recommend 50% of
the cost. $8,702.86.
2. COR's # 28 & #44-Sprinkler System Modifications. In order to resolve this
issue, MCCM would accept COR #28 with the following modifIcations.
. Delete the shop drawing charge.
. Omit the 10% charge on labor.
. Readjust the percentages ofO.H. & .P. as per our contract.
. Adjust cost of COR #28 = $17,934.39.
. COR #44 Accepted credit of < $3,037.00>
Total cost of sprinkler modifIcation = $14,897.39.
3. COR's #18; 37; & 38-Filing System-MCCM has agreed to recommend these
COR's with a modifIcation to #18. Reduce overhead to 5%. Adjusted amount to
be $23,191.00
COR #37 -- <$819.50>
COR #38 - $1,323.00.
Total for fIling system--$23,694.50
4. COR #36 Exterior Brick Repair-There is a disagreement between Rovel and
GonzalezJMCCM. In order to bring this issue to a close, MCCM would
recommend a total of $20,000.00 to settle the issue.

COR #54-Reduce site size.- The credit offered by Rovel Construction did not
include sod and irrigation in their cost reduction. Additionally, any grading or
site modification will need to be included. Rovel to revise COR and resubmit.

COR # 55-Floor reinforcing.- This item has accepted by Gonzalez Architects
8nd MCCM.
The second issue discussed concerns the completion of the project and the related time
schedules. Because the Central Chiller Plant will not be in on line until later this year, we
have elected to break out the finishes as a separate element to be completed after the
HV AC system is operable. As described in Mr. Grenet's letter of May 31, 2000. The
completion date for this portion of the project called Phase I, would be August 30, 2000.
For this phase, a Partial Substantial Completion will be issued with an attached punchlist.
Once Rovel has completed the punchllst, the retainer for that portion of work would be
reduced to 5% in lieu of 10%. The remainder of the retainage would be released on
completion of the project. The second phase, providing the finishes and testing, will
notify Rovel Construction 30 days in advance in order for them to mobilize. Liquidated
damages will be in effect after August 30, 2000 and once again after the 45-day calendar
day for Phase ll. Therefore, the time extension incorporated into this Change Order will
be executed in two parts to match the construction phases.
Mr. Grenet's letter of 5/3/00, Page 2, talks about the items to be completed in Phase ll. In
addition to those items listed, a value for General Conditions will need to added and a
line item for final cleaning. With these changes, everyone was in agreement that this
would be the best approach to complete the project. Mr. Grenet stated that Rovel
Construction would not ask for additional moneys for this split in construction as long as
Monroe County would give the time extension as stated above.
The final item of discussion was the pre-cast concrete components. Rovel has tried
various methods to correct the finish on the pre-cast and presented a unit for approval.
After reviewing the sample, the following comments were made.
1. The sample shown had a hollow spot which was chipped out and had some spider
cracks.

2. If this mixture were to be used, MCCM would review each window and accept on
a one by one basis. Additionally, a clear waterproof product such as Thoroseal
would be required for moisture protection.
3. Gonzalez Architects recommended a bagged product for uniformity. Bonsal, this
product would have a built in sealer and be able to be feathered. Rovel to submit
a product for approval.
At the end, it was determined that Rovel could proceed with the current application with
the modification noted in #2.
MCCM stated that we would have to review the items discussed with the County
Attorney for acceptance. The County Attorney would need an acceptance agreement
with Rovel Construction concerning litigation and final resolution of reserving the right
for additional time and money. Rovel stated that their attorney would also need to review
these items for acceptance.

I do want to issue a heartfelt apology for anything which may not have been "perfect"
when you moved in, I can honestly say we tried our damndest to make sure they would
be acceptable. Unfortunately, construction projects are somewhat like ship building,
You probably know that all new ships have go out on a shakedown cruise before they're
classified as seaworthy, New buildings are just like that. Once all systems are turned
on and actually used by the intended occupants, there are always adjustments which
need to be made, In the big scheme of things, most of them are minor. However, I
recognize that they are, whether minor or not, inconveniences and bothersome for
everyone concerned,
Mr. Kolhage, you mayor may not know that this project has been fraught with problems
almost from the very beginning, the great majority of them not caused by Rovel and
totally beyond our control. I won't be foolish enough to tell you that we haven't screwed
up! That would be a lie and I try not to do that. When all is said and done, however,
despite the very serious financial stress this project has caused my company, we have
met all our obligations to Monroe County. I hope that counts for something in your eyes!
