CONTRACT
TillS AGREEMENT, made and entered into this 17th day of January, 2001, A.D. by and between
Monroe County, Florida, (hereinafter called the "Owner"), and R.L. James. Inc. (hereinafter called the
"Contractor").

3.01 THE CONTRACT
The contract between the owner and the contractor, of which this agreement is a part, consists
of the contract documents.
3.02 THE CONTRACT DOCUMENTS
The contract documents consist of this agreement, general conditions, the specifications, all
change orders, and any addenda issued hereafter, any other amendments hereto executed by the
parties hereafter, together with the. bid proposal and all required insurance documentation.
3.03 SCOPE OF WORK
The Contractor shall furnish all labor, materials, equipment, machinery, tools, apparatus, and
transportation, and perform all of the work described in the Specification entitled:

The passing, approval, and/or acceptance of any part of the work or material bilhe Aw~ shil
not operate as a waiver by the Owner of strict compliance with the terms of tlRS Contract, and
Specifications covering said work; and the Owner may require the Contractor and/or his surety
to repair, replace, restore, and/or make to comply strictly and in all things with the Contract and
Specifications any and all of said work and/or materials which within a period of one year from
and after the date of the passing, approval, and/or acceptance of any such work or material, are

found to be defective or to fail in any way to comply with this Contract or with the
Specifications. This provision shall not apply to materials or equipment normally expected to
deteriorate or wear out and become subject to normal repair and replacement before their
condition is discovered. Failure on the part of the Contractor and/or his Surety, immediately
after Notice to either, to repair or replace any such defective materials and workmanship shall
entitle the Owner, if it sees fit, to replace or repair the same and recover the reasonable cost of
such replacement and/or repair from the Contractor and/or his surety, who shall in any event be
jointly and severally liable to the Owner for all damage, loss, and expense caused to the Owner
by reason of the Contractor's breach of this Contract and/or his failure to comply strictly and in
all things with this Contract and with the Specifications.
3.06 LIQUIDATED DAMAGES
Time is of the essence of this Contract and should the Contractor fail to complete the repairs
within the specified time, or any authorized extension thereof, there shall be deducted from the
compensation otherwise to be paid to the Contractor, and the Owner will retain the amount of
Fifty Dollars ($50.00) per calendar day for the first 15 days, $100.00 per day for the second 15
days, and $250.00 per day thereafter, as fixed, agreed, and liquidated damages for each
calendar day elapsing beyond the specified time for completion or any authorized extension
thereof, which sum shall represent the actual damages which the Owner will have sustained by
failure ofthe Contractor to complete work within the specified time; it being further agreed that
said sum is not a penalty, but is the stipulated amount of damages sustained by the Owner in
the event of such default by the Contractor.
3.07 PAYMENTS
In accordance with the provisions fully set forth, and subject to additions and deductions as
provided, the Owner shall pay the Contractor as follows:
The County shall pay to the Contractor upon completion of the approved schedule of values for
mobilization, on-site stored materials (accompanied by an invoice), and insurance. Balance
will be paid upon satisfactory completion of the project.
The Owner will, within ten days after receipt of each application for payment, either process
payment or return the application to the Contractor indicating in writing the Owner's reasons
for refusing to recommend payment. In the latter case, the Contractor may make the necessary
corrections and resubmit the application. Twenty days after presentation of the application for
payment with the Owners recommendation, the amount recommended will become due and
will be paid to the Contractor.
3.08 TERM OF CONTRACT
A. This contract shall commence within ten days from obtaining permit, and shall expire sixty (60)
calendar days, unless otherwise noted by change order.
B. Either of the parties hereto may cancel this agreement without cause by giving the other party
sixty (60) days written notice of its intention to do so. The county may terminate this agreement
for cause with 7 days written notice of its intent to do so.

3.09 HOLD HARMLESS
The Contractor shall defend, indemnify and hold harmless the Monroe County Board of County
Commissioners.
3.10 INDEPENDENT CONTRACTOR
At all times and for all purposes under this agreement the Contractor is an independent
contractor and not an employee of the Board of County Commissioners for Monroe County.
No statement contained in this agreement shall be construed so as to find the contractor or any
of his/her employees, contractors, servants, or agents to be employees of the Board of County
Commissioners for Monroe County.
3.11 ASSURANCE AGAINST DISCRIMINATION
The Contractor shall not discriminate against any person on the basis of race, creed, color,
national origin, sex, age, or any other characteristic or aspect which is not job related, in its
recruiting, hiring, promoting, terminating, or any other area affecting employment under this
agreement or with the provision of services or goods under this agreement.
3.12 ASSIGNMENT
The contractor shall not assign or subcontract this agreement, except in writing and with the
prior written approval of the Board of County Commissioners for Monroe County and
Contractor, which approval shall be subject to such conditions and provisions as the Owner and
Contractor may deem necessary. This agreement shall be incorporated by reference into any
assignment or subcontract, and any assignee or subcontractor shall comply with all of the
provisions of this agreement. Unless expressly provided for therein, such approval shall in no
manner or event be deemed to impose any obligation upon the Owner in addition to the total
agreed-upon price of the services/goods of the contractor, nor relieve the contractor of is
obligations under this contract.
3.13 COMPLIANCE Wlm LAW
In providing all services/goods pursuant to this agreement, the contractor shall abide by all
statutes, ordinances, rules and regulations pertaining to, or regulating the provisions of, such
services, including those now in effect and hereinafter adopted. Any violation of said statutes,
ordinances, rules and regulations shall constitute a material breach of this agreement and shall
entitle the Owner to terminate this contract immediately upon delivery of written notice of
termination to the contractor.
\ 3.14 INSURANCE
Prior to execution of this agreement, the Contractor shall furnish the Owner Certificates of
Insurance indicating the minimum coverage limitations as indicated by an "X" on the attached
forms identified as INSCKLST 1-5, as further detailed on forms WC1, GL1, and VLl, each
attached hereto and incorporated as part of this contract document.
3.15 FUNDING AVAILABILITY

In the event that funds from Facilities Maintenance Contractual Services are partially reduced
or cannot be obtained or cannot be continued at level sufficient to allow for the purchase of the
services/goods specified herein, this agreement may then be terminated immediately at the
option of the Owner by written notice of termination delivered in person or by mail to the
Contractor. The Owner shall not be obligated to pay for any services provided by the
Contractor after the Contractor has received written notice of termination.
3.16 PROFESSIONAL RESPONSffiILITY
The Contractor warrants that it is authorized by law to engage in the performance of the
activities encompassed by the project herein described, subject to the terms and conditions set
forth in the Public Works Specification Manual entitled "Key West Courthouse Annex Stucco
Repair and Painting", which is attached hereto and incorporated herein as a part of this
contract/agreement. The provider shall at all times exercise independent, professional
judgment and shall assume professional responsibility for the services to be provided.
Continued funding by the Owner is contingent upon retention of appropriate local, state, and/or
federal certification and/or licensure of contractor.
3.17 NOTICE REQUIREMENT
Any notice required or permitted under this agreement shall be in writing and hand delivered or
mailed, postage prepaid, to the other party be certified mail, returned receipt requested, to the

3.18 GOVERNING LAWS
This Agreement is governed by the laws of the State of Florida. Venue for any litigation
arising under this Agreement must be in Monroe County, Florida.

3.19 CONTINGENCY STATEMENT
Monroe County's performance and obligation to pay under this contract is contingent upon an
annual appropriation by the Monroe County Board of County Commissioners.
WHEREOF the parties hereto have executed this Agreement on the day and date first
four (4) counterparts, each of which shall, without proof or accounting for the other

General Insurance Requirements
For Other Contractors and Subcontractors
As a pre-requisite of the work governed, or the goods supplied under this contract (including the
pre-staging of personnel and material), the Contractor shall obtain, at his/her own expense,
insurance as specified in any attached schedules, which are made part of this contract. The
Contractor will ensure that the insurance obtained will extend protection to all Subcontractors
engaged by the Contractor. As an alternative, the Contractor may require all Subcontractors to
obtain insurance consistent with the attached schedules.
The Contractor will not be permitted to commence work governed by this contract (including
pre-staging of personnel and material) until satisfactory evidence of the required insurance has
been furnished to the County as specified below. Delays in the commencement of work,
resulting from the failure of the Contractor to provide satisfactory evidence of the required
insurance, shall not extend deadlines specified in the contract and any penalties and failure to
perform assessments shall be imposed as if the work commenced on the specified date and time,
except for the Contractor's failure to provide satisfactory evidence.
The Contractor shall maintain the required insurance throughout the entire term of this contract
and any extensions specified in the attached schedules. Failure to comply with this provision
may result in the immediate suspension of all work until the required insurance has been
reinstated or replaced. Delays in the completion of work resulting from the failure of the
Contractor to maintain the required insurance shall not extend deadlines specified in this contract
and any penalties and failure to perform assessments shall be imposed as if the work had not
been suspended, except for the Contractor's failure to maintain the required insurance.
The Contractor shall provide, to the County, as satisfactory evidence of the required insurance,
either:
· Certificate of Insurance
Or
· A Certified copy of the actual insurance policy
The County, at its sole option, has the right to request a certified copy of any or all insurance
policies required by this contract.
All insurance policies must specify that they are not subject to cancellation, non-renewal,
material change, or reduction in coverage unless a minimum of thirty (3) days prior notification
is given to the County by the insurer.

The acceptance and/or approval of the Contractor's insurance shall not be construed as relieving
the Contractor from any liability or obligation assumed under this contract or imposed by law.
The Monroe County Board of County Commissioners, its employees and officials will be
included as "Additional Insured" on all policies, except for Workers' Compensation.
Any deviations from these General Insurance Requirements must be requested in writing on the
County prepared form entitled "Request for Waiver of Insurance Requirements" and
approved by Monroe County Risk Management.

Indemnification and Hold Harmless
for
Construction Contractors and Subcontractors
The Contractor covenants and agrees to indemnify and hold harmless Monroe County Board of
County Commissioners from any and all claims for bodily injury (including death), personal
injury, and property damage (including property owned by Monroe County) and any other losses,
damages, and expenses (including attorney's fees) which arise out of, in connection with, or by
reason of services provided by the Contractor or any of its Subcontractor(s) in any tier,
occasioned by the negligence, errors, or other wrongful act or omission of the Contractor or its
Subcontractor(s) in any tier, their employees, or agents.
In the event the completion of the project (to include the work of others) is delayed or suspended
as a result of the Contractor's failure to purchase or maintain the required insurance, the
Contractor shall indemnify the County from any and all increased expenses resulting from such
delay.
The first ten dollars ($10.00) of remuneration paid to the Contractor is for the indemnification
provided for above.
The extent of liability is in no way limited to, reduced, or lessened by the insurance requirements
contained elsewhere within this agreement.

BETWEEN

Prior to the commencement of work governed by this contract, the Contractor shall obtain General
Liability Insurance. Coverage shall be maintained throughout the life of the contract and include, as a
minimum:

The minimum limits acceptable shall be:

An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy, its provisions
should include coverage for claims filed on or after the effective date of this contract. In addition, the
period for which claims may be reported should extend for a minimum of twelve (12) months following
the acceptance of work by the County.
The Monroe County Board of County Commissioners shall be named as Additional Insured on all policies
issued to satisfy the above requirements.

WORKERS' COMPENSATION

Prior to the commencement of work governed by this contract, the Contractor shall obtain Workers'
Compensation Insurance with limits sufficient to respond to the applicable state statutes.
In addition, the Contractor shall obtain Employers' Liability Insurance with limits of not less than:
$500,000 Bodily Injury by Accident
$500,000 Bodily Injury by Disease, policy limits
$500,000 Bodily Injury by Disease, each employee
Coverage shall be maintained throughout the entire term of the contract.
Coverage shall be provided by a company or companies authorized to transact business in the State of
Florida and the company or companies must maintain a minimum rating of A-VI, as assigned by the A.M.
Best Company.
If the Contractor has been approved by Florida's Department of Labor, as an authorized self-insurer, the
County shall recognize and honor the Contractor's status. The Contractor may be required to submit a
Letter of Authorization issued by the Department of Labor and a Certificate of Insurance, providing
details on the Contractor's Excess Insurance Program.
If the Contractor participates in a self-insurance fund, a Certificate of Insurance will be required. In
addition, the contractor may be required to submit updated financial statements from the fund upon
request from the County.

WAIVER OF INSURANCE REQUIREMENTS
There will be times when it will be necessary, or in the best interest of the County, to deviate from the
standard insurance requirements specified within this manual. Recognizing this potential, and acting on
the advice of the County Attorney, the Board of County Commissioners has granted authorization to Risk
Management to waive and modify various insurance provisions.
Specifically excluded from this authorization is the right to waive:
. The County as being named as an Additional Insured-If a letter from the Insurance
Company (not the Agent) is presented, stating that they are unable or unwilling to name the
County as an Additional Insured, Risk Management has been granted the authority to waive
this provision.
and
. The Indemnification and Hold Harmless provisions
WaivinQ of insurance provisions could expose the County to economic loss. For this reason, every
attempt should be made to obtain the standard insurance requirements. If a waiver or a modification is
desired, a Request for Waiver of Insurance Requirements form should be completed and submitted
for consideration with the proposal.
After consideration by Risk Management and if approved, the form will be returned, to the County
Attorney who will submit the Waiver with the other contract documents for execution by the Clerk of the
Courts.
Should Risk Management deny the Waiver Request, the other party may file an appeal with the County
Administrator or the Board of County Commissioners, who retains the final decision-making authority.

As per Monroe County Purchasing Policy Chapter 3, A-7 (a), any addendum to a
request for formal sealed bids shall be approved by the Requesting Department
Director, Division Director or designee and the OMB Director or designee.

The information contained in this Addendwn modifies, supplements or replaces information contained in
the Bid and is hereby made a part of the Contract Documents.
I. Pursuant to Monroe County Purchasing Policy Chapter J paragraph A (6), each bid must be
accompanied by a bid security in an amount equal to 5% of the bid price either in the form of a
certified check made payable to the County or in a bond from surety company authorized to do
business in Florida. The bid securities will remain in the custody of the OMBlPurchasing
Director until forfeited or released. If, after the Board accepts the bid the bidder refused to
execute the contract or commence the work or provide the goods called for, then the bid security
will be forfeited. The bid securities ofunsucccssfuI bidders and the bid securities in the County's
possession for more than 90 days from the date of bid opening must also be returned.
2. Pursuant to Florida Statute Chapter 255 paragraph 255.05 (l)(a), a contract for repairs upon a
public building for $100,000.00 or less does not require a payment and performance bond.
Monroe County will for the purposes of this contract if over the amount of $100,000.00 will
require a payment and performance bond.
3. Attached is the sign-in sheet of contractors who attended the pre-bid conference on December 5,
2000. Attendance was mandatory to awarding the bid.

GENERAL CONDITIONS
4.01 DEFINITIONS
Wherever used in these General Conditions or in the other contract documents the terms below have
the meanings indicated which are applicable to both the singular and plural thereof. The use of the
tcnns ..he", .'him", "himself', or '.his" shall refer to male and female persons alike and should not be
construed as derogatory or discriminatory to female persons.
Addenda
Written or graphic instruments issued prior to the opening of bids which clarify. correct, or
change the bidding documents or the contract documents.
Agreement
The written agreement between the Owner and the Contractor covering the worle to be
performed; other contract documents are attached to the agreement and made a part thereof as
provided therein.
ADl'lication for Payment
The form accepted by the Owner which is to be used. by the Contractor in requesting payments
and which is to include such supporting documentation as is required by the contract
documents.
Bid
The offer. proposal, or bid of the bidder submitted on the prescribed form setting forth the
prices for the work to be performed.

Contract Documents
The bidding documents, agreement, addenda (which pertain to the contract documents). the
Contractor's bid (including documentation accompanying the bid and any post.bid
documentation submitted prior to the notice of award) when attached as an exhibit to the
agreement, the bonds, these General Conditions, and the specifications as the same arc more
specifically identified in the agreement, together with all amendments. modifications, and
supplements.
Contract Price
The moneys payable by the Owner to the Contractor under the contract documents as stated in
the agreement.
Contract Time
The Contract shall be in force and binding on the Owner and the Contractor for the term of the
agreement.
Contractor
The person, fum, or corporation with whom the Owner has entered in to the agn:cm.ent.
Defective
An adjective which when modifying the wOld work: refers to work that is unsatisfactory, faulty.
or deficient, or docs not conform to the contract documents or does not meet the requirements
of any inspection, reference standard, test, or approval referred to in the contract documents, or
baa been damaged prior to the Owner's ~dation of payment.
Effecjive Date of the A~nt
The date indicated in the agreement on which it becomes effective, but if no such date is

4.02 PRELIMINARY MATI'ERS

4.0~ CONTRACIOR'S RESPONSIBILITIES
The ContIactor shall supervise and direct the work competently and efficiently, devoting such
attention thereto and applying such skills and expertise as may be necessary to perform the
work in accordance with the contract documents. The Contractor shall be solely responsible
for the means, methods, techniques, sequences, and procedures of construction. The Contractor
shall be responsible to see that the finished work complies accurately with the contract
documents.
Suoervision and Personn~
4.05.1 The Contractor shall supervise and din:ct the work: competently and efficiendy, devoting such
attention thereto and applying such sldlls and expertise as may be nc:ct"Cl~ry to perform the
work in accordance with the contract documents. The Contractor shal1 be solely responsible
for the means, methods, techniques, sequences. and procedures of construction. The Contractor
shall be responsible to see that the finished work complies accurately with the contmct

Parts. Materials. and Eauipment
4.0.5.2 Unless otherwise specified in the contract, the Contractor shall furnish and 1SSUD1C full
responsibility for all materials. equipment, labor, transportation, machinery, tools. and all other'
incidentals necessary for the completion of the work.
4.0S.3 All parts. materials, and equipment shall be of good quality and new. All parts and materials
shall meet or acecd all applicable Standard SpecificatiODS. If required by the Owner, the
Contractor shall furnish satisfactory evidence (including reports of required tests) as to the kind

4.05.4 The Contractor shall record maintenance activities in a maintenance log, whicb shall contain all
pertinent information.

4.05.5 The Contractor shall not employ any supplier or other person or orpuization whether initially
or as a substitute, against whom the Owner may have reasonable objection. The contractor
shall not be required to employ any supplier or other person or organization to furnish or
perfonn any of the work. against whom the Contractor has reasonable objection.
4.0'.6 The Contractor shall be fully responsible to the Owner for all acts and omissions of the
suppliers and other persons and organizations perfonning or furniMing any of the work under a
direct or indirect contract with the Contt'actor just as the Contractor is responsible for the
Contractor's own acts and omissions. Nothing in thecontnICt documents shall create any
contractual relationship between the Owner and any such supplier or other person or
orpni7.atio~ nor shall it create any obligation on the part of the Owner to pay or to see to the
payment of any monies due any such supplier or other person or orpuization except as may
otherwise by required by laws and regulations.
4.05.7 The Contractor shall make every effort to obtain the parts and materials at the lowest pluible
cost without sacrificing the quality of said parts and materials. The Contractor is lapODSiblc,
however, for maintaining a parts and materials inventory of sufficient size to support all repair
operations (routine and emergency) regardless of the location oftbe supplier.
Permjts
4.05.8 The Contractor shall obtain and pay for all required pennits and licenses. The Owner shall
assist the Contractor, when necessary, in obmit,;ng such permits and licenses. The Contractor
shall pay all governmental charges and inspection fees necessary for the proscwtion of the
work, which are applicable on the effective date of the agreement. 1bc Contndor shalI pay all
charges of utility owners for connections to the work. Monroe County will waive the fees for
such pcnnits as it normally issucs.
Laws and Regulations
4.0S.9 The Contractor shall give all notices and comply with all laws and regulations applicable to
furnishing and performance of the work. Except where otherwise expressly ~ by
applicable laws and regulations, the Owner shall not be responsible for monitoring the
Contractor's compliance with any laws or regulations.

The Contractor shall pay all sales, consumer, use, and other similar taxes required to be
paid by the Contractor in accordance with the laws and regulations of the place of the
project which are applicable during the perfommnce of the work.

safety precautions and programs in connection with the work. The Contractor shall take
all necessary precautions for the safety of, and shall provide the necessary protection to
prevent damage, injury, or loss to:

The Contractor shall comply with all applicable laws and regulations of any public body
having jurisdiction for the safety of persons or property or to protect them from damage,
injury, or loss; and shall erect and maintain all necessary safeguards for such safety and
protection. The Contractor shall notifY owners of adjacent property and of underground
facilities and utility owners when prosecution of the work may affect them, aDd shall
cooperate with them in the protection, removal, relocation, and replacement of their
property. All damage. injury. or loss to any property cllU8ed, directly or indim;tly, in
whole or in part, by the Contractor. any supplier, or any other person or orpni'7lltion
directly oc indin:ctly employed by them to perform or furnish any of the work or anyone
for whose acts any of them may be liable, shall be remedied by the Contractor. The
Contractor's duties and responsibilities for the safety and protection of the work shall
continue until such time as all the worlc. is completed.
To the fullest extent permitted by laws and r:egulations, the Contractor shall indemnify
and hold harmless the Owner and the Owner's consultants, agents, and employees from"
and against all claims, damages, losses, and expenses, direct., indirect, or consequential
(including but not limited to fees and charges of engineers. architects, attorneys. and
other professionals, and court costs) arising out of or resulting from the performance of
the work, provided that any such claim, daJn-ge, loss, or expense: (a) is attributable to
bodily injury, sickness, disease or death, or to injury (0 or destruction of tangible
property (other than the work itself) including the loss ofuse resulting thea-etiOOlIlDd (b)
is caused in whole or in part by any negligent act Of omission of the Contractor, or
person or orpni7.ation directly or indirectly employed by the Contractor to perfonn or
furnish any of the work or anyone for whose acts any of them may be liable regardless

of whether or not it is caused in part by a party indemnified hereunder or arises by or is
imposed by law and regulations regardless of the negligence of any such part.
4.05.13
In any and all claims against the Owner or any of the Owner's consultants, agents or
employees by any employee of the Contractor, or any person or organization directly or
indirectly employed by the Contractor to perform or furnish any of the work or anyone
for whose acts any of them may be liable, the indemnification obligation shall not be
limited in any way by and limitation on the amount or type of damages, compeusatign,
or benefits payable by or for the Contmctor or other person or Ol'8"nh:ation under
workers' or workmens t compensation acts, disability beocfit acts, or other employee
benefit~. .
4.06
WARRANTY AND GUARANTEE: TESTS AND INSPECI10NS;
CORRECTION, REMOVAL OR ACCEPTANCE OF DEFECl1VE WORK
Warranty and Guarantee
4.06.1 The Contractor wammts and guarantees to the Owner that all work will be in
accordance with the contract documents and will not be defective for one (1) yeu_

4.06.2 The Owner, representatives ofb Owner, testing agencies, and governmental agencies
with jurisdictional interests will have access to the work at reasonable times for their
observation, inspecting. and testing. The contractor sball provide proper and safe
conditions for such access.
Tests and Inspections:
4.06.3 If laws or regulations of any public body having jurisdiction require any work (or part
thereot) to specifically be inspected. t~ or approved, the Contractor sballlllB11JDe

4.06.4 Neither observations by the Owner nor inspections, tests, or approvals by others shall

4.06.5 If the work. is defective. o( the Contractor fails to supply sufficient skilled workers or
suitable materials or equipment, or fails to furnish or perfonn the work in such a way
that the completed work will conform to the contract docwnents, the Owner may order
the Contractor to stop the work. or any portion thereof, until the cause for such order
has been eliminated; however, this right of the Owner to stop the work. shall not give
rise to any duty on the part of the Owner to exercise this right for the benefit of the
Contractor or any other party. If the Owner stops the work for the reasons listed in this
paragraph, the Contractor will not be entitled to any extension in the time limits. as
stated elsewhere in this document.
Correction or Removal of Defective Work
4.06.6 If required by the Owner, the Contnlctor shall promptly, as directed, either correct all
defective work., whether or not fabricated, install~ or completed, or, it the work has
been rejected by the Owner. remove it from the site and replace it with non-defective
work. The Contractor shall bear all direct, indirect, and consequential costs of such
correction or removal (including but not limited to fees and charges of engineers,
architects, attorneys. and other professionals) made necessary thereby.
One Y car Correction Period
4.06.7 If within one year after the date of completion or such longer period of time as may be
prescribed by laws or regulations, any work is found to be defective, the Contractor
shall promptly, without cost to the Owner and. in accordance with the OWner's written
instructions, either correct such defective work, or, if it bas been rejected by the Owner,
remove it from the site and replace it with non-defective work. If the Con1ractor does
not promptly comply with the terms of such insttuctioDS. or in an emergency where
delay would cause serious risk of loss or damage, the Owner may have the defective
wolk corrected or the rejected work removed and replaeed. and all din:ct, indirect. and
consequential costs of such removal and replacement (including but not limited to fees
and charges of engineers, architects. attorneys, and other professionals) will be paid by
the Contractor.
4.07 PAYMENTS TO CONTRACTOR AND COMPLETION

4.07.1 Once a month (or less often if no work has been completed in the previous month), the
Contractor shall submit to the Owner an application for payment for all labor. materials.
equipment, and parts used in the previous montb. Supporting documents must
accompany the application for payment.

4.07.2 The Contractor warrants and guarantees that title to all work. materials, and equipment
covered by any application for payment, will puss to the Owner no later than the time of
payment free and clear of all liens.
Review of APDlications for Pavrnent
4.01.3 The Owner will, within ten days after receipt of each application for payment, either
process payment or return the application to the Contractor indicating in writing the
Owner's reasons for refusing to recommend payment In the latter case, the Contractor
may make the necessary corrections and resubmit the application. Twenty days after
presentation of the application for payment with the Owner's recommendation, the
amount recommended will become due and will be paid to the Contractor.
4.07.4 The Owner may refuse to pay the whole or any part of any payment if. in the Owner's
opinion, it would be incorrect to make such payments. The Owner may also refuse to
pay any such payment, or, because of subsequently discovered evidence or the results of
subsequent inspections or tests, nullify any such payment previously paid to such extent
as may be necessary in the Owner's opinion to protect the Owner from loss because:

The Owner may refuse to make payment of the full amount because claims have been

entitling the Owner to a set-off against the amount requested, including liability for
liquidated damages payable by the Contractor, but the Owner must give the Contractor
immediate written notice stating the reasons for such action.
Contractor's Obliution
4.07.5 The Contractor's obligation to perform and complete the work in accordance with the
contract documents shall be absolute. Neither ~datiOD of any payment by the
OWner nor any payment by the BOCC to the Con1ractOr under the contract docmnents,

on-the-job experiences within the industry involving,

and painting projects. 1992 was the first year

activities in which Bob played a vital role

of the Company's operations as it has grown
and diversified over the ensuing years.
.:. JOhll B. Dahill, Jr., a Florida State-Certified
General Contractor, joined the Company in
early 1993 to enhance' and complete
development of the Company's Restoration
Division bringing with him a 25 year history in general
construction and remodeling activities. His current
responsibilities extend from the inception of each project
beginning with the evaluation and specification phase, and
continuing to the ultimate completion of the work.
A close working relationship has been developed
with many well-respected engineering tirms, other
professional firms, and property management tirms

term as a Navy Seal Team Member and Leader.
Pat concentrates the majority of his time in the

The exterior maintenance of a commercial
property, such as a condominium building
begins with cleaning and preparation. The
removal of salts, dirt, mildew, and chalk or
oxidation of existing paint film is critical to
the Success of a properly installed coating
system. As an approved applicator for most
major manufacturers, our standard coating
system includes a full prime of all exposed
vertical stucco and masonry surfaces. The
proper application (typically brush and roll)
of a top line acrylic mildew resistant coating
or a high-build elastomeric coating in
accordance with the manufacturer's application I
procedures is standard. Warranties including

R.L. James, Inc., has been working primarily with South Florida Condominium Associations,
Property Managers, Engineering firms, and Commercial Property Owners since 1988 as a full-
service State Licensed Painting & Waterproofing contractor. We are currently into our sixth year
operating as a Concrete Restoration Contractor, under a Florida Certified General Contractor's
License, # CGC057958.
In 1993, we added a new level in mid-management supervisory and quality control, as well as
integrating the addition of a professional Accountant to deal with all Corporate fiscal matters.
Due to the annual volume level at which we now function, the Company has been divided into a
Painting!Waterproofing Division and a Restoration Division All of the changes incorporated into
the organizational structure are specifically designed to allow better quality control, as our
industry continues to evolve and increase in complexity of technical requirements. As a final
overall quality control check, this re-structuring will allow Bob James the opportunity to visit
each on-going job on a more regular basis.
At present, the Corporation owns $360,000 worth of equipment, including motorized work
platforms, high-reach machines, job-site trailers, demolition and sand-blasting equipment, dustless
grinding equipment and all types of painting equipment. With the support of various equipment
leasing sources and qualified specialty sub-contractors, we are able to include all phases of work
within our control, for scheduling, efficiency and quality control.

Boathouse owners, Tom Brown of RDI Resort Services and the

the time frame allowed. When I show the plctures of what

the best foreman anyone could wish for. He kept his crew
busy with a firm but friendly hand and it was obvious that
they respected him. All work was done in a very pro-

of the project were under control. John Dahin was always
at hand to answer my many questions and to make sure
supplies were delivered as promised.
I also appreciate the warrantee work that was done at this

I am writing you in regards to the project your are doing at Windward Bay Condominium,
on Longboat Key.
I am sure you know the historic background of this ill fated project and all the
inconvenience, mess and lack of communication of the fanner project managers. This
mess started June 7,1998 and it will continue into 1999.
However, we are not going to bore you with "what .was" but to inform you on "what
is."
The two men on this project are the best in the business. We have observed the
operations on five other buildings in our condo, so we recognize who knows the business
and those who pretend to know the business. Your two men on this job "know their
business, and short cuts are certainly not part of their act.
These men came on the job the 9th of November and went right to work. They kept
us informed, H what they were going to do, and when they would do it. " They did the job
as promised, except when the weather intervened. They cleaned up the area each night
before leaving the area.
Chuck and Eric are professionals in their work habits and are gentlemen in their
relationships with the unit owners who were being discomfIted by the distasteful mess we
had to endure to get our building back in a livable condition. The undersigned are
pleased to commend Chuck and Eric for their for their fine work on Bldg."B" of
Windward Bay Condominium.

Company, began his career in the paint and coatings
industry in 1978. After a period of ten years of valuable
on-the-job experiences within the industry involving
management, sales, and production responsibilities in a
variety of settings. Bob formed R.L. James, Inc in
May of 1988 with himself and a few employees
contracting small to moderate waterproofing
and painting projects. 1992 was the first year
of the Company's Concrete Restoration
activities in which Bob' played a vital role
including the initial training, education and
certification process. He has remained
totally involved and in charge of all phases
of the Company's operations as it has grown
and diversified over the ensuing years.
.:. John B, Dahin, Jr., a Florida State-Certified
General Contractor, joined the Company in
early 1993 to enhance and complete
development of the Company's Restoration
Division bringing with him a 25 year history in general
construction and remodeling activities. His current
responsibilities extend from the inception of each project
beginning with the evaluation and specification phase, and
continuing to the ultimate completion of the work.
A close working relationship has been developed
with many well-respected engineering firms, other
professional firms, and property management firms
on the planning and completion of large and
complex structural concrete repair projects,
.:. Patrick If. Elek joined the Company in 1998. Pat is
the General Manager and a Stockholder with
responsibilities ranging from production
management, purchasing, personnel & training,
and quality control. Pat comes from 20 years of
experience in all phases of the new construction
industry including having become a Class I
Building Inspector after completing a distinguished
term as a Navy Seal Team Member and Leader.
Pat concentrates the majority of his time in the
direction of the Restoration Division. He also plays
a major role in the ongoing development of the
New Construction Project Management portion of

RL. James, Inc., has been working primarily with South Florida Condominium Associations,
Property Managers, Engineering firms, and Commercial Property Owners since 1988 as a full-
service State Licensed Painting & Waterproofing contractor. Weare currently into our sixth year
operating as a Concrete Restoration Contractor, under a Florida Certified General Contractor's
License, # CGC057958.
In 1993, we added a new level in mid-management supervisory and quality control, as well as
integrating the addition of a professional Accountant to deal with all Corporate fiscal matters.
Due to the annual volume level at which we now function, the Company has been divided into a
PaintingIW aterproofing Division and a Restoration Division. All of the changes incorporated into
the organizational structure are specifically designed to allow better quality control, as our
industry continues to evolve and increase in complexity of technical requirements. As a final
overall quality control check, this re-structuring will allow Bob James the opportunity to visit
each on-going job on a more regular basis.
At present, the Corporation owns $360,000 worth of equipment, including motorized work
platforms, high-reach machines, job-site trailers, demolition and sand-blasting equipment, dustless
grinding equipment and all types of painting equipment. With the support of various equipment
leasing sources and qualified specialty sub-contractors, we are able to include all phases of work
within our control, for scheduling, efficiency and quality control.
Summarily, it continues to be our Corporate commitment to live up to the slogan which appears

Pool operation located right upstairs continued to function, was a
marvel in coordination and effort.

Dear Bob,
I want to take this opportunity in the name of the
Boathouse owners, Tom Brown of RDI' Resort Services and the
Boathouse staff to recognize the hard work and diligence
your crew showed in completing our balconr restorat~on in
the time frame allowed. When I show the p~ctures of what
we went through during the three weeks in which the
project took place, everyone is even more appreciative of
the finished product. The quartz finish on the balconies
turned out beautiful and we are getting alot of positive
feedback from our owners.
I'd like to thank you for your own visits to the ~roperty
and on the crew you put together for us. Rick Pep~n was
the best foreman anyone could wish for. He kept his crew
busy with a firm but friendly hand and it was obvious that
they respected him. All work was done in a very pro-
fessional manner and I continually felt that all aspects
of the project were under control. John Dahin was always
at hand to answer my many questions and to make sure
supplies were delivered as promised.
I also a~preciate the warrantee work that was done at this
time. I have always felt that this is one of the strengths
of your company, that you stand behind your products and
workmanship.
All in all, we are well pleased with both service and
products and look forward to working with you on future
projects.

Dear Mr. Patrick W. Elek:
I am writing you in regards to the project your are doing at Windward Bay Condominium,
on Longboat Key.
I am sure you know the historic background of this ill fated project and aU the
inconvenience, mess and lack of communication of the fonner project managers. This
mess started June 7,1998 and it will continue into 1999.
However, we are not going to bore you with "what was" but to inform you on "what
is."
The two men on this project are the best in the business. We have observed the
operations on five other buildings in OUf condo, so we recognize who knows the business
and those who pretend to know the business. Your two men on this job "know their
business, and short cuts are certainly not part of their act.
These men came on the job the 9th of November and went right to work. They kept
us informed, H what they were going to do. and when they would do it. " They did the job
as promised, except when the weather intervened. They cleaned up the area each night
before leaving the area.
Chuck and Eric are professionals in their work habits and are gentlemen in their
relationships with the unit owners who were being discomfited by the distasteful mess we
had to endure to get our building back in a livable condition. The undersigned are
pleased to commend Chuck and Eric for their for their fine work on Bldg. fiB" of
Windward Bay Condominium.
