Date: August 24, 1987 On August 18, 1987, the Board of County Commissioners authorized the execution of a Consulting Agreement by and between the County and Langton Associates, Inc. for grant- writing services. Attached are two originals and one copy of the Agreement, now executed and sealed on behalf of the County. It is our understanding that your office will handle obtaining the remaining necessary signatures. Please be sure to return one original to the undersigned promptly after proper execution. Langton agrees to provide professional consult- ing services to Client for the term of one (1) year, commencing September 1, 1987 and ending August 31, 1988. Langton agrees to exercise his best efforts to obtain governmental grants and benefits for Client. It is understood however, that Langton cannot guarantee results that any certain amount of funds will be obtained for Client. 2. The consulting proposal that furnished to Client is attached hereto of this contract as Exhibit "A". was previously and made a part 3. Langton will submit the invoice for these expenses which shall be paid together with the salary by the next month. If desired, Client can require a prior approval for travel expenses to be incurred by Langton. If Client so desires, such request shall be made in writing separate from this agreement. The notice shall require Langton to notify Client fifteen (15) days in advance of any necessary travel expenses, unless said time is waived in a particular case. 5. Langton agrees to devote the necessary time and performance of his duties for Client. Inasmuch as the professional services rendered are of a subjective nature, subject to differences of opinion, mutual confidence and respect is necessary. Accordingly, this contract can be terminated by either party without cause upon the giving of a thirty (30) day written notice as follows: A. A strategic plan tailored to address your specific needs is developed by our consultants. Langton Associates, Inc., uses this analysis to accurately recommend appropriate funding sources for accomplishing the county's goals. Preparation and submission of grant applications as well as follow-up contact with grantor agencies ensure the client of comprehensive benefits. The specific activities and work elements we propose to perform for Monroe County are as follows: A. In-Depth Needs Assessment. views with various county investigation of available action is developed to determined needs. Intergovernmental Relations with Federal and State Governments. Langton Associates, Inc., acts as a liaison between the county and the government funding agency before, during, and after the application is made. Our extensive network of contacts in Washington, D.C. and Tallahassee, Florida, and our proximity to Tallahassee, Florida enable us to provide our client with the most accurate, up-to-date grantsmanship information available. Langton Associates, Ine., serViCl?S for Monroe County on the fee of $18,000.00. proposes to perform the above an annual contract basis for (7) This fee includes charges incurred for: Travel of Langton Associates, Inc., employees between Jacksonville and Monroe County, research, professional staff, local and long distance telephone charges, and administrative costs for typing, printing, postage, and miscellaneous supplies. Costs which may be incurred by Langton Associates, Inc., employees for perfurming annual contract services on behalf of the client, but which are r,ot included in the annual fee are all travel expenses between locations other than Jacksonville and Monroe County. This may include but not be limited to Washington, D.C. and Tallahassee, Florida. This offer is binding on the part of Langton Associates, Inc., for 45 days from August 12, 1987.
