ITEM BACKGROUND: This course will be added as another part of the ongoing educational assistance that Monroe
County offers its employees. Certified Public Manager (CPM) programs in other states have been very successful
In training public employees in a wide variety of areas of public management. This is a major step forward for those
Individuals who do not wish to obtain college level degrees but who wish to improve their abilities and career
opportunities in County or other local governments.
PREVIOUS RELEVANT BOCC ACTION: Approved in concept to enter into a sole source contract 2/21-22/01.

LETTER OF AGREEl\lENT
March 1, 2001
This Letter of Agreement between the Monroe County Board of County Commissioners
(hereinafter referred to as "MC"), and Florida State University through the Florida Center for
Public Management (hereinafter referred to as CONTRACTOR), a unit of Florida State
Uni\'ersity, defines the professional services to be provided by CONTRACTOR to MC and the
condi tions under which services will be provided. This agreement covers the period beginning
Mav 1,2001, and ending May 31, 2001, unless amended in writing by both CONTRACTOR and
Me.
I. SCOPE OF WORK
A. CONTRACTOR Agrees:
1. To provide one four-day presentation of Level I of the Certified Public
Manager course series in Key West, FL on May 22-25, 2001.
2. To provide all participant materials including films, notebooks,
copyrighted test instruments, and handouts for a maximum of thirty (30)
participants for the course presentation.
B. MC Agrees:
1. To pay CONTRACTOR $5050.00, plus travel expenses pursuant to
112.061 Florida Statutes for the delivered course in the Scope of Work
Statement LA.l for a total of$5050.00. The $5050.00 fee is for up to
twenty-five (25) participants. MC will pay an additional $202.00 per
person over twenty-five (25), but not to exceed thirty (30) for the course
presentation.
2. To be invoiced for $5050.00, plus travel expenses, plus $202.00 for any
participants over twenty-five (25), at the conclusion of each deli\'ered
course in the Scope of Work Statements LA. 1.
3. To select participants and provide CONTRACTOR with a roster ten (10)
working days prior to the course presentation.
4. To provide facility space agreeable to both CONTRACTOR and Me on
the days of the course presentation.

5. To provide all audio-visual equipment necessary for the delivery of the
course presentation.
II. ADDITIONAL CONDITIONS
A. This agreement can be tenninated by either party upon 30 day written notice to
the other party. In the event oftennination the contractor shall be reimbursed for
all cost incurred and irrevocable commitments made.
B. If the signed Letter of Agreement is not returned at least twenty (20) working days
prior to the first delivery date, the presentation(s) is subject to rescheduling.

Indemnification and Hold Hannless
For
Inter-Governmental Agreements
The parties to this agreement stipulate that each is a state governmental agency as defined
by Florida Statutes and represents to the other that it has purchased suitable Public
Liability, Vehicle Liability, and Workers' Compensation insurance, or is self-insured, in
amounts adequate to respond to any and all claims within the limitations of Florida
Statute 768.28 and 440, arising out of the activities governed by this agreement.
Each party shall be responsible for any acts of negligence on the part of its employees,
agents, contractors, and subcontractors and shall defend, indemnify and hold the other
party hannless from all claims arising out of such actions.
