Box 1026 Key West, FL 33041-1026 RE number: Declaration of Electric Utility Easement THIS UTILITY EASEMENT is Inade this ~~day of /?h, ~ , 2009 by and between Monroe County, a political subdivision of the S~ida, 1100 Simonton Street, Key West, Florida 33040 ("Grantor") and Keys Energy Services, 1001 James Street, Key West, Florida 33040 ("Grantee"). 1. Grantor is the fee simple owner of the property described as the Big Pine Key Fire Station, 390 Key Deer Boulevard, Big Pine Key, Florida 33043; Part of the NE 1/4 of the NW ~ of Section 26, Township 665, Range 29E, OR 194/383/384 OR 504/819-822 of the Public Records of Monroe County, Florida (the "Property); and does hereby warrant title to the land herein described, and will defend the same against the lawful claims of all persons. Said parcel is the benefited parcel. 2. For good and valuable consideration, the sufficiency of which is hereby acknowledged, Grantor grants to Florida Keys Electric Service, ("Grantee"), its heirs, legal representatives, successors and assigns, and unto their servants, agents, employees, successors and assigns, agents, guests, licensees, and invitees, a utility easement across the parcel as drawn on the survey attached as Exhibit "A" hereto (the "Easement") under, over, across, and below the Property. The Easement herein granted for the purpose of ingress and egress for persons, motor vehicles, material, equipment and trailers to and from the benefited parcel. The easement shall not be used as a staging area by Grantees. Grantees shall not use the easement as a storage area for vehicles, trailers, or articles of any kind disposal of trash, including but not limited to tires, hazardous waste, vehicle fluids, or any other solid or non-solid waste. 3. Grantee, its agents, successors and assigns shall have the right to install, construct, maintain, locate, repair, replace, remove, and inspect power lines and poles, and facilities and other comparable public utilities, together with the rights of ingress and egress thereon. 4. Grantee's right to utilize the easement area shall be exclusive to the extent that Grantor shall grant no other easement or license, or make any other covenant, having the effect of permitting the use of the easement area by someone other than Grantee. 5. Grantor shall not construct, place, or allow the placing or construction of any obstruction that would interfere with the Grantee's safe or proper installation, operation, maintenance, inspection or removal of power lines and poles, and facilities and other comparable public utilities, and all appurtenances thereto. Grantee shall have the right to remove any natural or man-made obstructions placed on the easement, which in1pede the eaSCJ11ent herein granted. Grantee shall give reasonable notice to Grantor of any natural or 1l1an-tllade obstructions and shall give the Grantor reasonable titne ren10ve the obstructions. Grantor shall have the right to tnake any other use of the easeInent area that does not interfere with the Grantee's rights. 6. Grantees are responsible for the upkeep, repair and maintenance of the easeInent. 7. Grantee hereby agrees to indelTInify and hold hanllless the Grantor fronl any and all actions, causes of action, clailns, liabilities, demands and losses of any kind whatsoever which Inay be filed or Inade against Grantor by reason of Grantees' use of the easelnent. 8. Grantees shall not pennit any Inechanics lien or similar lien arising by reason of Grantees' work relating to the easement to relnain an encumbrance against the easement. 9. This easement willlun with the land in perpetuity and will be binding on and will inure to the benefit of the parties hereto. 10. Failure by either party to enforce any covenant, condition or restriction contained in this Declaration in any future breach of the same or any other covenant, condition or restriction. 11. The Grantor warrants that it has full power of authority to grant this easement. 12. In the event action is instituted to enforce any of the provisions contained in this Declaration, the prevailing party in such action shall be entitled to recover from the other party thereto reasonable attorney's fees as determined by the court or as part of the judgment. 13. Any notice hereunder shall be in writing and shall be deemed to have been properly delivered when directed to the addressee as follows: If to Grantor Monroe County: County Administrator and Project Management 1100 Simonton Street Key West, Florida 33040 If to Grantee: Keys Energy Services 1001 James Street Key West, Florida 33040 Any notice, request, demand, instruction or other communication to be given to any party hereunder shall be in writing and shall be either (i) hand delivered, (ii) sent by Federal Express or a comparable overnight mail service, or (iii) sent by facsimile or electronic mail provided an original copy of the transmission shall be mailed by regular mail to the respective addresses set forth above. The addressees and addresses for the purpose of this paragraph may be changed by giving notice. Unless and until such written notice is received, the last addressee and address stated herein shall be deemed to continue in effect for all purposes hereunder. 2 14. This Declaration shall be gove111ed and interpreted pursuant to the laws of the State of Florida. Grantor and Grantees, their successors and assigns, shall pert01111 their respective obligations under the Declaration in cOlllpliance with all applicable laws. Venue shall be in tv10nroe County Florida. 15. The Declaration lllay be lnodified only in a writing executed by the parties to this Declaration or their respective successors or assigns. This Declaration constitutes the entire agreement between all parties herein with respect to the subject matter hereof and shall be binding upon and inure to the benefit of the parties hereto and their respecti ve successors and assigns. 16. Grantor and Grantee hereby knowingly voluntarily and intentionally, waive trial by jury in any action brought by one against the other in cOlmection with any matter arising out of or in any way connected with this Easement. This waiver shall apply to any original claim, counterclaim, cross claim, or other claim of any kind asserted by either party in such action. 17. The palties acknowledge that the provisions of this section are a material inducement to their entering into this Easement.
