THIS AGREEMENT, made and entered into this 7th day of August,
1991, A.D., by and between Monroe County, Florida, party of the
first part (hereinafter sometimes called the "Owner"), and
Coastal Electric Service Incorporated
party of the second part (hereinafter sometimes called the "Con-
tractor"), for a period of one year from date of letter: "Notice
to Proceed".
WITNESSETH: That the parties hereto, for the consideration
hereinafter set forth, mutually agree as follows:
1.01 SCOPE OF THE WORK
The Contractor shall furnish all labor, materials,
equipment, machinery, tools, apparatus, and transporta-
tion and perform all of the work described in the
Specification entitled:
TRAFFIC SIGNAL
MAINTENANCE AND REPAIR FROM THE
SEVEN MILE BRIDGE TO THE DADE COUNTY LINE
MONROE COUNTY, FLORIDA
and shall do everything required by this Contract,
other Contract Documents, and specifications.
1.02 THE CONTRACT SUM
The Owner shall pay to the Contractor for the faithful
performance of the Contract, in lawful money of the
United States, as follows:
A. The actual cost of parts and materials used by the
Contractor to fulfill the obligations of the Contract.
Such costs must be documented with sales slips,
invoices, or other acceptable proof of purchase and
included with all Applications for Payment.
B. The cost of labor and equipment used by the Contractor
to fulfill the obligations of the Contract. The labor
and equipment costs will be calculated using the unit
prices set forth in the CONTRACTOR'S bid. Such costs
must be documented for each repair and/or maintenance
job and included with all Applications for Payment.
1.03 CONTRACTOR'S ACCEPTANCE OF CONDITIONS
A. The Contractor hereby agrees that he has carefully
examined the sites and has made investigations to fully
satisfy himself that such sites are correct and
suitable ones for this work and he assumes full
responsibility therefore. The provisions of the
Contract shall control any inconsistent provisions
contained in the specifications. All Specifications
have been read and carefully considered by the
Contractor, who understands the same and agrees to
their sufficiency for the work to be done. Under no
circumstances, conditions, or situations shall this
Contract be more strongly construed against the Owner
than against the Contractor and his Surety.
B. Any ambiguity or uncertainty in the Specifications
shall be interpreted and construed by the Owner, and
his decision shall be final and binding upon all
parties.
C. The passing, approval, and/or acceptance of any part of
the work or material by the Owner shall not operate as
a waiver by the Owner of strict compliance with the
terms of this Contract, and Specifications covering
said work; and the Owner may require the Contracotr
and/or his surety to repair, replace, restore, and/or
make to comply strictly and in all things with the
Contract and Specifications any and all of said work
and/or materials which within a period of one year from
and after the date of the passing, approval, and/or
acceptance ofany such work or material, are found to be
defective or to fail in any way to comply with this
Contract or with the Specificaitons. This provision
shall not apply to materials or equipment normally
expected to deteriorate or wear out and become subject
to normal repair and replacement before their condition
is discovered. Failure on the part of the Contracotr
and/or his Surety, immediately after Notice to either,
to repair or replace any such defective materials and
workmanship shall entitle the Owner, if it sees fit, to
replace or repair the same and recover the reasonable
cost of such replacement and/or repair from the
Contractor and/or his surety, who shall in any event be
jointly and severally liable to the Owner for all
damage, loss, and expense caused to the Owner by reason
of the Contractor's breach of this Contract and/or his
failure to comply strictly and in all things with this
Contract and with the Specifications.
1.04 LIQUIDATED DAMAGES
Time is of the essence of this Contract and should the
Contractor fail to complete the emergency repairs
within the specified time, or any authorized extension
thereof, there shall be deducted from the compensation
otherwise to be paid to the Contractor, and the Owner
will retain the amount of Fifty dollars ($50.00) per
calendar day as fixed, agreed, and liquidated damages
for each calendar day elapsing beyond the specified
time for completion or any authorized extension
thereof, which sum shall represent the actural damages
which the Owner will have sustained by failure of the
Contractor to complete the work within the specified
time; it being further agreed that said sum is not a
penalty, but is the stipulated amount of damages
sustained by the Owner in the event of such default by
the Contractor.
1.05 PAYMENTS
In accordance with the prOV1S1ons fully set forth in
the General Conditions, and subject to additions and
deductions as proved, the Owner shall pay the
Contractor as follows:
The OWNER shall, within thirty (30) days after
receipt of each monthly Application for Payment, either
make payment to the contractor or return the
Application to the CONTRACTOR indicating in writing the
reasons for refusing payment. However, the owner will
require sixty (60) days to process the Final
Application for Payment.
1.06 TERMINATION
A. The performance of work or prOV1S1on of goods under
this agreement may be terminated, delayed, or
temporarily suspended by the County, in whole or in
part, form time to time, whenever the County shall
determine that such termination is in the best interest
of the County. The County shall pay all reasonable
costs incurred by the contractor up to the time of
termination, and all reasonable costs to the contractor
shall not be reimbursed for any anticipatory profits
which have not been earned up to the date of
termination.
B. If the contractor fails to fulfill the terms of this
agreement, or attachments, properly or on time, or
otherwise violates the provisions of the agreement or
of applicable laws or regulations governing the use of
funds, the County may terminate the contract by written
notice. The notice shall specify cause. All finished
or unfinished supplies or services shall, at the option
of the County, become property of the County. The
County shall pay the contractor fair and equitable
compensation for expenses incurred prior to termination
of the agreement, less any amount of damages caused by
the contractor's breach. If the damages are more than
compensation payable, the contractor will remain liable
after terminaiton and the County can affirmatively
collect damages.
1.07 INDEPENDENT CONTRACTOR
At all times and for all purposes under this agreement
the contractor is an independent contractor and not an
employee of the Board of County Commissioners for
Monroe County. No statement contained in this
agreement shall be construed so as to find the
contractor or any of his/her employees, contractors,
servants, or agents to be employees of the Board of
County Commissioners for Monroe County.
1.08
DISCRIMINATION
Contractor shall not discriminate against any person on
the basis of race, creed, color, national origin, sex,
age, or any other characteristic or aspect which is not
job related, in its recruiting, hiring, promoting,
terminating, or any other area affecting employment
under this agreement or with the provision of services
or goods under this agreement.
1.09
ASSIGNMENT
Contractor shall not assign this agreement, except in
writing and with the prior written approval of the
Board of County Commissioners for Monroe County, which
approval shall be subject to such conditions and
provisions as the Board may deem necessary. This
agreement shall be incorporated by reference into any
assignment and any assignee shall comply with all of
the provisions of this agreement. Unless expressly
provided for therein, such approval shall in no manner
or event be deemed to impose any obligation upon the
Board in addition to the total agreed-upon price of the
services/goods of the contractor.
1.10
COMPLIANCE
In providing all services/goods pursuant to this
agreement, the contractor shall abide by all statutes,
ordinances, rules and regulations pertaining to, or
regulating the provisions of, such services, including
those now in effect and hereinafter adopted. Any
violation of said statues, ordinances, rules and
regulations shall constitue a material breach of this
agreement and shall entitle the Board to terminate this
contractor immediately upon delivery of written notice
of termination to the contractor.
1.11 NOTICE AND SERVICE
Any notice required or permitted under this agreement
shall be in writing and hand delivered or mailed,
postage prepaid, to the other party by certified mail,
returned receipt requested, to the following:

1.12 PROFESSIONAL RESPONSIBILITY
The contractor warrants that it is authorized by law to
engage in the performance of the work encompassed by
the project herein described, subject to the terms and
conditions set forth in the Plans and Specifications
entitled "Traffic Signal Maintenance and Repair - Seven
Mile Bridge to Dade County Line". The provider shall
at all times exercise independent, professional
judgment and shall assume professional responsibility
for the services to be provided. Continued funding by
the Board is contingent upon retention of appropriate
local, state, and/or federal certification and/or
licensure of contractor.
1.13
FUNDING SOURCE
In the event that County funding is partially
reduced or cannot be obtained or cannot be continued at
level sufficient to allow for the purchase of the
services specified herein, this agreement may then be
terminated immediately at the option of the Board by
written notice of termination delivedred in person or
by mail to the contractor. The Board shall not he
obligated to pay for any services provided by the
contractor after the contractor has received written
notice of termination.
IN WITNESS WHEREOF the parties hereto have executed this Agreement
on the day and date first above written in four (4) counterparts,
each of which shall, without proof or accounting for the other
counterparts, be deemed an original Contract*

County Clerk's office, 500 Whitehead Street, Key ~est, Florida.
No bids will be received at the opening.
All bids will be presented to the Board of County Commissioners
of Monroe County, Florida, at~. puture meeting for final award.

The contract covers the maintenance, routine repairs, and emergen-
cy repairs of all county-maintained traffic signals within the
boundaries of the County of MOnroe for a period of one year from
date of letter "Notice to Proceed"

Bid information may be obtained from the Office of the County
Clerk, 500 Whitehead Street, Key West, Florida 33040. No deposit
will be required.
All bids shall be in sealed envelopes marked on the outside
"Sealed Bid for Traffic Signal Maintenance and Repair from the
Seven Mile Bridge to the Dade County Line". Four-complete copies
of the Bid shall be submitted with original signatures on each
copy.
A bidder awarded a contract in accordance with this notice shall
post a performance bond guaranteeing completion and quality of the
work under the specifications.
The successful bidder shall possess a valid Electrical Contrac-
tor's License issued by Monroe County or equivalent State of
Florida Contractor's License prior to Award of Contract.

herein and shall be irrevocable after the time announced for the
opening thereof. No bidder may withdraw his bid within sixty (60)

The Commission reserves the right to reject bids, to waive infor-
malities in bids, 'and to readvertise for bids. An award, if made,
will be to the lowest, most responsible and qualified bidder that

The Commission reserves the right to separately accept or reject
any item(s) of a bid which the commission deems to be in the best

INSTRUCTIONS TO BIDDERS
1.01 DESCRIPTION
A. This project requires the furnishing of all labor,
materials, equipment, tools, transportation, services,
and incidentals, and the performing of all work neces-
sary in accordance with the specifications entitled:

1.03 COPIES OF BIDDING'DOCUMENTS
A. Only complete sets of Bidding Documents will be issued
and shall be used in preparing bids. The OWNER does not
assume any responsibility for errors or misinterpreta-
tions resulting from the use of incomplete sets.
B. Complete sets of Bidding Documents may be obtained in
the manner and at the location stated in the Notice of
Calling for Bids.
1.04 QUALIFICATIONS OF BIDDERS
A. All work shall be performed by or under the strict
supervision of a Level Two traffic signal technician,
certified by the International Municipal Signal
Association, IMSA.
A copy of the IMSA certification or a letter stating the
Bidder's qualifications shall be submitted with the Bid.
Any such letter of qualifications shall be accompanied
by a time schedule indicating all steps that will be
taken to obtain the Level Two certification. A grace
period of up to four (4) months shall be allowed from
the date of the award to obtain the certification.
During this interim period the qualified contractor will
be authorized to work under the strict supervision of a
certified electricar contractor. The County reserves
the right to terminate the contract if the required
Level Two certification is not secured
within the grace period.
B. To demonstrate his qualifications to perform the Work,
each bidder shall submit with his bid written evidence
as to his financial status, previous successful

contractual and technical experience in similar work
including references, description, and volume of present
commitments.
Each bid must contain either evidence of the bidder's
qualifications to do business in the area where the
project is located or covenant to obtain such
qualifications prior to award of contract. This
requirement shall include, but not be limited to, all
state, county, and local licenses, including an
electrical contractor's license, and Certificates of
Competency covering all operations.
Failure to submit the proper proof of qualifications may
result in the disqualification of the Bidder.
DISQUALIFICATION OF BIDDERS
One Proposal: Only one proposal from an individual
firm, partnership oT#~corporation under the same or under
different names will be considered. If it is discovered
that a bidder is interested in more than one proposal
for the work involved, all proposals in which such a
bidder is interested will be rejected.
Collusion Among Bidders: If it is discovered that
collusion exists among the bidders, the proposals of all
participants in such collusion will be rejected, and no
participants in such collusion will be considered in
future proposals for the same work.
EXAMINATION OF SITE CONDITIONS
Each bidder, by and through the submission of his bid,
agrees that he shall be held responsible for having
examined the sites, the location of all proposed work,
and for having satisfied himself from his own personal
knowledge and experience or professional advice as to
the character and location of the sites, the nature of
the ground, surface and subsurface, the water eleva-
tions, location of buried utilities, and any other
conditions surrounding and affecting the work, any
obstructions, the nature of any existing construction,
and all other physical characteristics of the job, in
order that he may include in the prices which he bids
all costs pertaining to the work and thereby provide for
the satisfactory completion thereof, including the
removal, relocation, or replacement of any objects or
obstructions which may be encountered in doing the
proposed work.
EXAMINATION OF CONTRACT DOCUMENTS
Each bidder shall carefully examine the specifications
and other contract documents, and inform himself thor-
oughly regarding any and all conditions and requirements

that may in any manner affect cost, progress, or perfor-
mance of the work to be performed under the contract.
Ignorance on the part of the CONTRACTOR will in no way
relieve him of the obligations and responsibilities
assumed under the contract.
B. Should a bidder find discrepancies or ambiguities in, or
omissions from, the specifications, or should he be in
doubt as to their meaning, he shall at once notify:

1 . 08 INTERPRETATIONS, CLARIFICATIONS, AND ADDENDA
No oral interpretations will be made to any bidder as to
the meaning of the contract documents. Any inquiry or
request for interpretation received seven (7) or more
days prior to the da~e fixed for opening of bids will be
given consideratiori~ .~AII such changes or interpreta-
tions will be made in writing in the form of an addendum
and, if issued, .will be mailed or sent by available
means to all known prospective bidders prior to the
established bid opening date. Each bidder shall ac-
knowledge receipt of such addenda in the space provided
therefore in the proposal form. In case any bidder
fails to acknowledge receipt of such addenda or adden-
dum, his bid will nevertheless be construed as though it
had been received and acknowledged and the submission of
his bid will constitute acknowledgement of the receipt
of same. All addenda are a part of the contract docu-
ments and each bidder will be bound by such addenda,
whether or not received by him. It is the responsibili-
ty of each bidder to verify that he has received all
addenda issued before bids are opened.
1 . 09 GOVERNING LAWS AND REGULATIONS
A.
The bidder is required to be familiar with and shall
responsible for complying with all federal, state
local laws, ordinances, rules, and regulations that
any manner affect the work.
B. The bidder shall include in his bid prices all sales,
consumer, use, and other taxes required to be paid in
accordance with the law of the State of Florida and the
County of Monroe.

1.10 PREPARATION OF BIDS
A. Signature of the bidder: The bidder must sign the
Proposal forms in the space provided for the signature.
If the bidder is an individual, the words "doing busi-
ness as II, or "Sole Owner" must appear beneath

such signature. In the case of a partnership, the
signature of at least one of the partners must follow
the firm name and the words "Member of the Firm" should
be written beneath such signature. If the bidder is a
corporation, the title of the officer signing the
proposal in behalf of the corporation must be stated and
evidence of his authority to sign the proposal must be
submitted. The bidder shall state in the proposal the
name and address of each person interested therein.
B. Basis for Bidding: The price bid for each item shall be
o~ a unit price basis according to the form of the
proposal. The bid prices shall remain unchanged for the
duration of the contract and no claims for cost escala-
tion during the progress of the work will be considered.
1.11 SUBMISSION OF BIDS
A. Each proposal bid mu8~ be submitted on the Proposal Form
in 4 copies as furriished.
B. The proposal shall be submitted in a sealed envelope
which shall be marked so as to clearly indicate its
contents and the name of the bidder. If forwarded by
mail, the above mentioned envelope shall be enclosed in
another envelope addressed to the entity and address
stated in the Notice Of Calling For Bids, and preferably
by special delivery, registered mail; if forwarded
otherwise than by mail, it shall be delivered to the
same address. Proposals will be received until the date
and hour stated in the Notice Of Calling For Bids.
C. Each bidder shall submit with his proposal the required
evidence of his qualifications, experience and financial
status as outlined in Article 1.04.
1.12 WITHDRAWAL OF BID
Any bid may be withdrawn prior to the time scheduled in
the Notice of Calling For Bids for the opening thereof.
A bid may also be withdrawn thirty (30) days after the
date of the opening of the bids, provided that the
. bidder has not been notified that his bid has been
accepted.
1.13 MODIFICATION OF BIDS
A. Written bid modification will be accepted from bidders
if addressed to the entity and address indicated in the
Notice of Calling For Bids and received prior to bid due
date and time.
B. A bidder may modify his bid by telegraphic communication
at any time prior to the scheduled closing time for

receipt of bids, provided such telegraphic communication
is received prior to the closing time, and provided
further, the OWNER is satisfied that a written confirma-
tion of the telegraphic modification over the signature
of the bidder was mailed prior to the closing time. The
telegraphic communication should not reveal the bid
price, but should provide the addition or subtraction or
other modification so that the final prices or terms
will not be known until the sealed bid is opened. If
written confirmation is not received within two days
from the closing time, no consideration will be given to
the telegraphic modification.
1.14 RECEIPT AND OPENING OF BIDS
Bids will be received until the designated time and will
be publicly opened and read aloud at the appointed time
and place stated in the Notice Of Calling For Bids. The
person whose duty i,tr-/'is to open them will decide when
the specified time. has arrived and no bids received
thereafter will be considered. No responsibility will
be attached to anyone for the premature opening of a bid
not properly addressed and identified. Bidders or their
authorized agents are invited to be present.
1.15 DETERMINATION OF SUCCESSFUL BIDDER
Until the final award of the contract, the OWNER does
not bind to accept the minimum bid, but reserves the
right to reject any and all bids and to waive technical
errors and irregularities as may be deemed best for the
interests of the OWNER. Bids which contain modifica-
tions, are incomplete, unbalanced, conditional, obscure,
or which contain additions not requested or irregulari-
ties of any kind, or which do not comply in every
respect with the Instructions to Bidders, and the
contract documents, may be rejected at the option of the
OWNER.
1.16 AWARD OF CONTRACT
A. The OWNER reserves the right to reject any or all bids,
or any part of any bid, to waive any informality in any
bid, or to readvertise for all or part of the work
contemplated. If bids are found to be acceptable by the
OWNER, written notice will be given to the selected
bidder of the acceptance of his proposal and of the
award of the contract to him.
B. If the award of the contract is annulled, the OWNER may
award the contract to another bidder or the work may be
readvertised or may be performed by day labor as the
OWNER decides.

C. The contract will be awarded to the qualified bidder
complying with the applicable conditions of the contract
documents.
D. The OWNER also reserves the right to reject the proposal
of a bidder who has previously failed to perform proper-
ly or to complete contracts of a similar nature on time.
1.17 EXECUTION OF CONTRACT
The bidder to whom a contract is awarded will be re-
quired to return to the OWNER four (4) executed counter-
p~rts of the prescribed contract together with the
required certificate of insurance within ten (10) days
from the date of notice of acceptance of the bidder's
proposal.
1.18 CERTIFICATE OF INSURANCE
Simultaneously withYR1s delivery of the executed con-
tract to the OWNER,". the bidder to whom a contract has
been awarded shall deliver to the OWNER the required
certificate of insurance and endorsements on the
prescribed form certifying insurance coverage in amounts
not less than the limits of liability and coverages
provided in the General Conditions, or required by law,
whichever is greater.

which the work pertains; that this Proposal is made without
connection or arrangement with any other person, company, or
parties making a bid or proposal and that the Proposal is in all
respects fair and made in good faith without collusion or fraud.
The Bidder further declares that he has examined the sites of the
work and that from personal knowledge and experience, has fully
satisfied himself that such sites are correct and suitable for
this work and he assumes full responsibility therefor; that he has
examined the Specifications for the work and from his own experi-
ence or from professional advice has fully satisfied himself that
the Specifications are sufficient for the work to be done and he
has examined the other Contractual Documents relating thereto,
including the Instructions to Bidder, Proposal, Contract, Perfor-
mance Bond, General Conditions, Specifications, and has read all
addenda prior to the opening of bids, and that he has satisfied
himself fully, relative to all matters and conditions with respect
to the work to which this Proposal pertains.
The Bidder proposes and agrees, if this Proposal is accepted, to
contract with Monroe County, Florida, (Owner) in the form of
contract specified, to furnish all necessary materials, all
equipment, all necessary machinery, tools, apparatus, means of
transportation, and labor necessary to complete the work specified
in the Proposal and the Contract, and called for by the Specifica-
tions and in the manner specified.
The Bidder further proposes and agrees to comply in all respects
with the time limits for commencement and completion of the work
as stated in the Contract Form.

The Bidder further agrees that the deductions for liquidated
damages, as stated in the Contract Form, constitute fixed, agreed,
and liquidated damages to reimburse the Owner for additional costs
to the Owner resulting from the work not being completed within
the time limit stated in the Contract Form.
The Bidder further agrees to execute a Contract within ten (10)
consecutive calendar days after written notice being given by the
Owner of the award of the Contract.
The undersigned agrees to accept in full compensation therefor the
unit prices for the items named in the Bid Form. It is understood
that the unit prices quoted or established for a particular item
are to be used for computing the amount to be paid to the
Contractor. In addition, the Contractor is to be reimbursed for
the actual cost to him of any parts and materials used to fulfill
the requirements of the Contract.

GENERAL CONDITIONS
ARTICLE 1 - DEFINITIONS
Wherever used in these General Conditions or in the other contract
documents the terms below have the meanings indicated which are
applicable to both the singular and plural thereof. The use of
the terms "he", "him", "himself", or "his" shall refer to male and
female persons alike and should not be construed as derogatory or
discriminatory to female persons.
Addenda
Written or graphic instruments issued prior to the
opening of bids which clarify, correct, or change the
bidding documents or the contract documents.
Agreement
The written agreement between the OWNER and the CONTRAC-
TOR covering the work to be performed; other contract
documents are attached to the agreement and made a part
thereof as provided therein.
Application for Payment
The form accepted by the OWNER which is to be used by
the CONTRACTOR in requesting payments and which is to
include such supporting documentation as is required by
the contract documents.
Bid
The offer or proposal of the bidder submitted on the
prescribed form setting forth the prices for the work to
be performed.
Bidding Documents
The advertisement or invitation to bid, instructions to
bidders, the bid form, and the proposed contract docu-
ments (including all addenda issued prior to receipt of
bids) .
Bonds
Performance bonds and other instruments of security.
Change Order
A document which is signed by the CONTRACTOR and the
OWNER and directs or authorizes an addition, deletion or

into the construction, all as required by the contract

Work Directive Change

Work Directive Change

change directed or documented by a work directive change
will be incorporated in a subsequently issued change
order following negotiations by the parties as to its
effect, if any, on the contract price or contract time.
Written Amendment
A written amendment of the contract documents, signed by
the OWNER and the CONTRACTOR on or after the effective
date of the agreement and normally dealing with the
nonengineering or nontechnical rather than strictly
work-related aspects of the contract documents.

ARTICLE 2 - PRELIMINARY MATTERS
Copies of Documents:
2.1 The OWNER shall furnish to the CONTRACTOR three copies
of the contract documents. Additional copies will be
furnished, upon request, at the cost of reproduction.
Commencement of Contract Time; Notice to Proceed:
2.2 The date of letter: Notice to Proceed, shall be the
beginning date of the agreement which will last one year
(365 days).
ARTICLE 3 - Amending and Supplementing Contract Documents:
The contract documents may be amended to provide for
additions, deletions, and revisions in the Work or to
modify the terms and conditions thereof in one or more

The contract price and contract time may only be changed

ARTICLE 4 - INSURANCE
Contractor's Liability Insurance:
4.1 The CONTRACTOR shall purchase and maintain such compre-
hensive general liability and other insurance as is
appropriate for the work being performed and furnished
and as will provide protection from claims set forth
below which may arise out of or result from the
CONTRACTOR's performance and furnishing of the work and
the CONTRACTOR's other obligations under the contract
documents, whether it is to be performed or furnished by
the CONTRACTOR, or by anyone directly or indirectly
employed by the CONTRACTOR to perform or furnish any of
the work, or by anyone for whose acts any of them may be

purchased and maintained (or the certificates or other

evidence thereof) shall contain a prov~s~on or endorse-
ment that the coverage afforded will not be cancelled,
materially changed, or renewal refused until at least
thirty days prior written notice has been given to the
OWNER by certified mail. All, such insurance shall
remain in effect until final payment and at all times
thereafter when the CONTRACTOR may be correcting,
removing, or replacing defective work.

Acceptance of Insurance:
4.3 If the OWNER has any objection to the coverage afforded
by or other provisions of the insurance required to be
purchased and maintained by the CONTRACTOR on the basis
of its not complying with the contract documents, the
OWNER shall notify the CONTRACTOR in writing thereof
within ten days of the date of delivery of such certifi-
cates to the OWNER. The CONTRACTOR shall provide to the
OWNER such additional information in respect of insur-
ance provided as the OWNER may reasonably request.
Failure by the OWNER to give any such notice of objec-
tion within the time provided shall constitute accep-
tance of such insurance purchased by the CONTRACTOR as
complying with the contract documents.

ARTICLE 5 - CONTRACTOR'S RESPONSIBILITIES
Operation
5.1 The CONTRACTOR shall maintain and operate the traffic
signals and signal systems in a manner that will ensure
safe and efficient movement of highway traffic and in
accordance with maintenance practices prescribed by the
International Municipal Signal Association and opera-
tional requirements of the Manual on Uniform Traffic
Control Devices as amended. Maintenance shall include,
but shall not be limited to, routine repairs, emergency
repairs and trouble shooting in the event of equipment
malfunction, failure, or damage.
Supervision and Personnel:
5.2 The CONTRACTOR shall supervise and direct the work
competently and efficiently, devoting such attention
thereto and applying such skills and exper~ise as may be
necessary to perform the work in accordance with the
contract documents. The CONTRACTOR shall employ a
sufficient number of traffic signal technicians, certi-
fied by the International Municipal Signal Association
at Level II or higher, or equivalent thereto as judged
solely by the FDOT District Traffic Operations Engineer
to adequately maintain and operate the signals or signal
system. The CONTRACTOR shall be solely responsible for
the means, methods, techniques, sequences, and proce-
dures of construction. The CONTRACTOR shall be respon.-
sible to see that the finished work complies accurately
with the contract documents.
5.8 The CONTRACTOR shall make every effort to obtain the
parts and materials at the lowest possible cost without
sacrificing the quality of said parts and materials.
The CONTRACTOR is responsible, however, for maintaining
a parts and materials inventory of sufficient size to
support all repair operations (routine and emergency),
which shall be paid for as materials on hand, when
documented on a monthly application for payment form.
Permits:
5.9 The CONTRACTOR shall obtain and pay for all required
permits and licenses. The OWNER shall assist the
CONTRACTOR, when necessary, in obtaining such permits
and licenses. The CONTRACTOR shall pay all governmental
charges and inspection fees necessary for the prosecu-
tion of the work, which are applicable on the effective
date of the agreement. The CONTRACTOR shall pay all
charges of utility owners for connections to the work.
Monroe County will waive the fees for such permits as it
normally issues.

Laws and Regulations:
5.10
The CONTRACTOR shall give all notices and comply with
all laws and regulations applicable to furnishing and
performance of the work. Except where otherwise ex-
pressly required by applicable laws and regulations,
the OWNER shall not be responsible for monitoring the
CONTRACTOR's compliance with any laws or regulations.
Taxes:
5.11 The CONTRACTOR shall pay all sales, consumer, use, and
other similar taxes required to be paid by the CONTRAC-
TOR in accordance with the laws and regulations of the
place of the project which are applicable during the
performance of the work.
Safety and Protection:

5.12
The CONTRACTOR shall be responsible for initiating,
maintaining, and "supervising all safety precautions and
programs in connection with the work. The CONTRACTOR
shall take all necessary precautions for the safety of,
and shall provide the necessary protection to prevent
damage, injury, or loss to:
5.12.1
all employees on the work and other persons and
organizations who may be affected thereby:
all the work and materials and equipment to be
incorporated therein, whether in storage on or
off the site; and
5.12.2
5.12.3
other property at the site or adjacent thereto,
including trees, shrubs, lawns, walks, pave-
ments, roadways, structures, utilities, and
underground facilities.
The CONTRACTOR shall comply with all applicable laws and
regulations of any public body having jurisdiction for
the safety of persons or property or to protect them
from damage, injury, or loss; and shall erect and
maintain all necessary safeguards for such safety and
protection. The CONTRACTOR shall notify owners of
adjacent property and of underground facilities and
utility owners when prosecution of the work may affect
them, and shall cooperate with them in the protection,
removal, relocation, and replacement of their property.
All damage, injury,. or loss to any property caused,
directly or indirectly, in whole or in part, by the
CONTRACTOR, any supplier, or any other person or organ-
ization directly or indirectly employed by them to
perform or furnish any of the work or anyone for whose

acts any of them may be liable, shall be remedied by the
CONTRACTOR. The CONTRACTOR's duties and responsibili-
ties for the safety and protection of the work shall
continue until such time as all the work is completed.
Indemnification:
5.13 To the fullest extent permitted by laws and regulations,
the CONTRACTOR shall indemnify and hold harmless the
OWNER and the OWNER's consultants, agents, employees,
and Florida Department of Transportation from and
against all claims, damages, losses, and expenses,
direct, indirect, or consequential (including but not
limited to fees and charges of engineers, architects,
attorneys, and other professionals, and court costs)
arising out of or resulting from the performance of the
work, provided that any such claim, damage, loss, or
expense (a) is attributable to bodily injury, sickness,
disease or death, or#~o injury to or destruction of
tangible property (oth~r than the work itself) including
the loss of use resulting therefrom and (b) is caused
in whole or in part by any negligent act or omission of
the CONTRACTOR, or any person or organization directly
or indirectly employed by the CONTRACTOR to perform or
furnish any of the work or anyone for whose acts any of
them may be liable, regardless of whether or not it is
caused in part by a party indemnified hereunder or
arises by or is imposed by law and regulations
regardless of the negligence of any such party.
5.14 In any and all claims against the OWNER or any of the
OWNER's consultants, agents, employees or Florida
Department of Transportation by any employee of the
CONTRACTOR, or any person or organizations directly or
indirectly employed by the CONTRACTOR to perform or
furnish any of the work or anyone for whose acts any of
them may be liable, the indemnification obligation shall
not be limited in any way by any limitation on the
amount or type of damages, compensation, or benefits
payable by or for the CONTRACTOR or other person or
organization under workers' or workmens' compensation
acts, disability benefit acts, or other employee benefit
acts.
ARTICLE 6 WARRANTY AND GUARANTEE: TESTS AND INSPECTIONS;
CORRECTION , REMOVAL OR ACCEPTANCE OF DEFECTIVE WORK
Warranty and Guarantee:
6.1 The CONTRACTOR warrants and guarantees to the OWNER that
all work will be in accordance with the contract docu-
ments and will not be defective for one (1) year. Prompt
notice of all defects shall be given to the CONTRACTOR.

Access to Work:
6.2 The OWNER, representatives of the OWNER, testing agen-
cies, and governmental agencies with jurisdictional
interests will have access to. the work at reasonable
times for their observation, inspecting, and testing.
The CONTRACTOR shall provide proper and safe conditions
for such access.
Tests and Inspections:
6.3 I~ laws or regulations of any public body having juris-
diction require any work (or part thereof) to specifi-
cally be inspected, tested, or approved, the CONTRACTOR
shall assume full responsibility therefore, pay all
costs in connection therewith and furnish the OWNER the
required certificates of inspection, testing, or approv-
al. The CONTRACTOR shall also be responsible for and
shall pay all costw'zn connection with any inspection or
testing required lri. connection with the OWNER's accep-
tance of a supplier . of materials or equipment proposed
to be incorporated in the work, or of materials or
equipment submitted for approval prior to the
CONTRACTOR's purchase thereof for incorporation in the
work.
6.4 Neither observations by the OWNER nor inspections,
tests, or approvals by others shall relieve the CONTRAC-
TOR from the CONTRACTOR's obligations to perform the
work in accordance with the contract documents.
Owner May Stop the Work:
6.5 If the work is defective, or the CONTRACTOR fails to
supply sufficient skilled workers or suitable materials
or equipment, or fails to furnish or perform the work in
such a way that the completed work will conform to the
contract documents, the OWNER may order the CONTRACTOR
to stop the work, or any portion thereof, until the
cause for such order has been eliminated; however, this
right of the OWNER to stop the work shall not give rise
to any duty on the part of the OWNER to exercise this
right for the benefit of the CONTRACTOR or any other
party. If the OWNER stops the work for the reasons
listed in this paragraph, the CONTRACTOR will not be
entitled to any extension in the time limits as stated
elsewhere in this document.
Correction or Removal of Defective Work:
6.6 If required by the OWNER, the CONTRACTOR shall promptly,
as directed, either correct all defective work, whether
or not fabricated, installed, or completed, or, if the
work has been rejected by the OWNER, remove it from the

site and replace it with nondefective work. The CON-
TRACTOR shall bear all direct, indirect, and consequen-
tial costs of such correction or removal (including but
not limited to fees and charges of engineers, archi-
tects, attorneys, and other professionals) made neces-
sary thereby.
One Year Correction Period:
6.7 If within one year after the date of completion or such
longer period of time as may be prescribed by laws or
regulations, any work is found to be defective, the
CONTRACTOR shall promptly, without cost to the OWNER and
in accordance with the OWNER's written instructions,
either correct such defective work, or, if it has been
rejected by the OWNER, remove it from the site and
replace it with nondefective work. If the CONTRACTOR
does not promptly comply with the terms of such instruc-
tions, or in an<.~':?"~mergency where delay would cause
serious risk of' 'lo"ss or dama"ge, the OWNER .may have the
defective work corrected or the rejected work removed
and replaced, and all direct, indirect, and consequen-
tial costs of such removal and replacement (including
but not limited to fees and charges of engineers,
architects, attorneys, and other professionals) will be
paid by the CONTRACTOR.
ARTICLE 7 - PAYMENTS TO CONTRACTOR AND COMPLETION
Application for Progress Payment:
7.1 Once a month (or less often if no work has been complet-
ed in the previous month), the CONTRACTOR shall submit
to the OWNER an application for payment for all labor,
materials, equipment, and parts used in the previous
month. Supporting documents must accompany the applica-
tion for payment.
CONTRACTOR's Warranty of Title:
7.2 The CONTRACTOR warrants and guarantees that title to all
work, materials, and equipment covered by any applica-
tion for payment, will pass to the OWNER no later than
the time of payment free and clear of all liens.
Review of Applications for Payment:
7.3 The OWNER will, within ten days after receipt of each
application for payment, either indicate in writing a
recommendation of payment and present the application to
the BOCC at the next commission meeting, or return the
application to the CONTRACTOR indicating in writing the
OWNER's reasons for refusing to recommend payment. In
the latter case, the CONTRACTOR may make the necessary

CONTRACTOR's Obligation:
7.5 The CONTRACTOR's obligation to perform and complete the
work in accordance with the contract documents shall be
absolute. Neither recommendation of any payment by the
OWNER nor any payment by the BOCC to the CONTRACTOR
under the contract documents, nor any use of the work by
the OWNER, nor any act of acceptance by the OWNER nor
any failure to do so, nor any correction of defective
work by the OWNER will constitute an acceptance of work
not in accordance with the contract documents or a
release of the CONTRACTOR's obligation to perform the
work in accordance with the contract documents.

TECHNICAL SPECIFICATIONS
A.
The Contractor shall maintain the traffic signals along
US 1 fromMM 47 just north of seven mile bridge to MM
112 just south of the MOnroe, Dade County line plus the
flashing light at the intersection of CR 905 A and CR
905.
B.
Maintenance shall be in strict accord with maintenance
practices prescribed by the international municipal
signal association, operational requirements of the
Manual on Uniform Traffic Control Devices Part IV as
amended, and with all FDOT standards, which by this
reference are made a valid and enforceable part of these
specifications.
The Contractor shall provide all equipment, tools,
services and labor including a traffic signal techni-
cian, certified by:,,~t?fie International Municipal Signal
Association at Level tl or higher or the equivalent
thereto as judged solely by the FDOT District Traffic
Operations Engineer. Certification shall be required
within four months of the contract Notice to Proceed.

The Contractor shall supply to the Monroe County Public
Works and Sheriff's Department a 24 hour telephone
number responsive to emergency calls only.
Routine calls are to be made to the Contractor's
business phone during regular hours, defined for this
contract as 8:00 AM to 5:00 PM Monday through Friday.
D.
E.
The Contractor shall maintain signals under the direct
supervision of the person designated by Monroe County's
Director of Engineering, Division of Public Works.
The maintenance shall consist of emergency repair,
routine maintenance and preventive maintenance.

G.
Emergency repair:
1. Intersection signals totally inoperative. (Black
out)
2. Structural failure of any part of signal support
system.
3. Parts of signal head or supports loose and in danger
of dislodging.
4. Signal head grossly misaligned with traffic lane.
5. When a situation is deemed an emergency by Monroe
County personnel.

6. When the contractor is notified by Monroe County
that an emergency exists, the contractor shall respond and be in
route to the site within fifteen minutes. Travel shall not be
interrupted except by documented unavoidable delays such as road
blocked by accident, draw bridge malfunction, etc.
7. When the signal malfunctions and is placed in the
flashing mode, by the signal monitor, or by a qualified person,
that condition shall not be deemed an emergency.
8. Overtime charges will be accepted where warranted by
the emergency. Overtime charges will not be approved otherwise
except by prearrangement.

7. The contractor is not to patrol in search of
malfunctions, but is to respond when called by the
Monroe County Public Works personal, or the Sheriff's
Department in case of an emergency.
8. Request for repair from other persons, either by
phone or personal contract at job sites, must be cleared
through county supervision before investigations or
repairs are made.
I.
9. Routine repair request will be made only by Monroe
County Public Works Department personal to the contrac-
tor's business phone during regular working hours
defined by this contract as 8:00 AM: 5:00 PM Monday
through Friday.
10. Routine repair response time shall be by the
beginning of the next regular work day.
11. Overtime charges#/'for routine repairs will not be
acceptable except "by prIor arrangement.
Preventive Maintenance: Monroe County may choose not to
have preventive maintenance performed, therefore,
written authorization shall be required before beginning
this work.
1. Visually inspect unit housing inside and out.
2. Visually check door gasket and treat with Armoral.
3. Oil door lock and latching mechanism with lubricant
equal to L. P. S. 2 as manufactured by Holt Lloyd
Corp.
4. Change door filter.
5. Visually inspect all wire, cannon plugs, and
terminal strips.
6. Tighten all terminal strip nuts and screws.
7. Check each phase operation for proper timing and log
any which are different from previous record.
8. Check lamp and fan for proper operation.
9. Visually inspect signal head unit inside and out.
10. Remove all lamps, and install new ones.
11. Clean all lens.

12. Clean all reflectors.
13. Clean gaskets.
14. Inspect and oil sockets with lubricant equal to L.
P. S. 1 as manufactured by Holt Lloyd Corp.
15. Check all terminal screws for tightness.
16. Inspect all signal supports for tightness of all
bolts.

17. Visually inspect cables, anchors and clamps.
18. Replace any weathered ties.
Parts and Materials
1. Within ten (lQ~)#i'-calendar days of notification to
proceed the contractor, using.hi~ experience and expertise, shall
provide Monroe County Engineering Department with a detailed list
of parts and materials necessary for the successful uninterrupted
operation of the county's traffic signal system.
2. Upon the Engineering Department approval the con-
tractor shall place an order for the list, the cost for which
shall be included in the next monthly payment request.
3. The parts and materials shall be cataloged, stored,
and secured on property provided by the contractor.
4. Upon four hours verbal notice the property shall be
opened for inspection of it's contents. In case of shortages
their cost will be deducted from the next payment request.
5. Parts and materials necessary to perform the routine
task items identified in the bid form shall be stored on the
contractor's truck, supplied from the storage inventory.

Payment
1. Request for payment shall be made monthly to include
the last calendar day of each month.
2. Standard company invoice forms may be used, but must
be supplemented by the payment application forms provided.
3. Labor and equipment charges shall be made in fifteen
minute intervals.
4. Routine maintenance travel and task charges shall be
made under the applicable item numbers of the bid form.
5. Task problems which are not applicable to listed bid
form items shall be billed at appropriate labor and equipment
rates established by item numbers 64 through 66, travel time
however, shall be billed under the appropriate site item number.

6. Overtime bid . form~item numbers 65 and 67 are ex-
pressly for emergency repairs and will not be approved for payment
outside those parameters.
7. Payment request for work other than routine mainte-
nance item numbers shall be described by a short, but detailed,
comprehensive narrative report written on the reverse side of the
payment application form.
8. Within thirty (30) days after receipt of the monthly
payment request, Monroe County shall make payment to the contrac-
tor for work performed during the proceeding month or return it to
the contractor with a written explanation as to why the request
was denied.
9. Within sixty (60) days after receipt of the final
payment request Monroe County shall make payment to the contractor
for work performed during the final month.
