political subdivision of the State of Florida, (UBuyer") of 500 Whitehead Street,
Key West, FL 33040, (305)294-3470, hereby agree that the Seller shall sell and
Buyer shall buy the following real property (UReal Property") upon the following
terms and conditions.

1. Description:
Lots 312 through 325, 328 through 353, and 355
through 384, all inclusive, Port Largo Subdivision Fourth Addition, as per plat
thereof recorded in Plat Book 6 at page 90 Monroe County Public Records.
2.
Purchase Price:
The purchase price for full fee ownership is One
Million Seven Hundred Thousand Dollars ($1,700,000).
3.
Time for Acceptance; Effective Date:
If this offer is not executed
by and delivered to all parties or effective execution communicated in writing
between the parties on or before November 30, 1994, the offer shall be withdrawn.
The date of this contract (UEffective Date") will be the date when the last one of
the Buyer and the Seller has signed this offer.

4. Title Evidence: At least thirty (30) days before closing date, Seller
shall, at Buyer's expense, deliver to Buyer or Buyer's attorney, in accordance

with Standard A, title insurance commitment. Seller shall be reimbursed the cost
of title insurance at closing.
5. ClosinQ Date: This transaction shall be closed and the deed and
other closing papers delivered on or before 28 February 1995, unless extended
by other provisions of contract.
6. Restrictions; Easements; Limitations: Buyer shall take title subject
to: zoning, restrictions, prohibitions and other requirements imposed by
governmental authorities; restrictions and matters appearing on the plat or
otherwise common to the subdivision; public utility easements of record

(easements are to be located contiguous to Real Property lines and not more
than 10' in width as to the rear or front lines and 7-1/2' in width as to the side
lines, unless otherwise specified herein); provided that there exist at closing no
violation of the fOregOinfiurposes.

7. Occupancy: Seller 'Na~that there are no parties in occupancy
other than Seller. Seller agrees to deliver occupancy of Property at time of
closing unless otherwise stated herein. If occupancy is to be delivered before
closing, Buyer assumes all risks of loss to Property from date of occupancy,
shall be responsible and liable for maintenance from that date and shall be
deemed to have accepted Property in existing conditions as of the time of taking
occupancy unless otherwise stated herein or in a separate writing.
8. Handwritten/Typewritten Provisions: Handwritten or typewritten
provisions shall control all printed provisions of contract in conflict with them.

Coastal Construction Control Line ("CCCL") Rider:
If contract is
utilized for the sale of Property effected by the CCCL, Chapter 161, Florida
Statutes, 1984 as amended, it shall apply and the CCCL Rider or equivalent may
be attached to this contract.
10. ForeiQn Investment in Real Property Tax (FIRPTA) Rider: The
parties shall comply with the provisions of FIRPT A and applicable regulations
which could require Seller to provide additional cash at closing to meet
withholding requirements, and the FIRPT A Rider or equivalent may be attached to
this contract.

11. AssiQnability: Buyer may assign contract.
12. Special Clauses:
A. ClosinQ Date and Purchase Price: Provided Seller has
delivered a title commitment to Buyer on or before January 15, 1995,
this transaction shall be closed and the deed and other closing
papers delivered on February 28, 1995, unless extension by other
provisions of contract. The purchase price shall be payable in full at
closing.
B. Commission Fees: Seller has dealt directly with Buyer
and no broker or finder has been involved in this transaction. Seller
agrees to indemnify Buyer against any loss or expense arising by
reason of the claims of any person claiming a commission from this
transaction. Seller further agrees to defend Buyer against any and

all claims which may be brought for any commission or fee in
connection with this transaction. This indemnification shall survive
the closing of this transaction.
C.
Default and Specific Performance:
Buyer
acknowledges that monetary damages will not sufficiently
compensate Seller if Buyer fails to perform this contract. In
consideration of this, and in recognition of the fact that Buyer is not
tendering a deposit hereunder, Buyer agrees that Seller shall be
entitled to seek the remedy of specific performance if Buyer fails to

perform this contract. If Seller fails to perform this contract, Buyer
may seek specific performance.
D. Radon Gas Notice to Prospective Purchaser: Radon is
a naturally occurring radioactive gas that, when it has been
accumulated in a building in sufficient quantities, may present health
risk to person who are exposed to it over time. Levels of radon that
exist federal and state guidelines have been found in buildings in
Florida. Additional information regarding radon and radon testing
may be obtained from your county public health unit. Pursuant to
paragraph 404.056(8), F.S.
E. Notice of Facsimile Transmissions (fax): An executed
counterpart of the Contract for Sale and Purchase, received by way
of fax transmission shall be deemed to be an executed contract,
