I am writing the memorandum to advise you of the substance of a
telephone conversation that I have had this date with Mr. Lucien
Cantin of Risk Control Associates, Inc.
As you are aware the Board of County Commissioners at a regular
meeting on January 12, 1982 awarded the County's Comprehensive
General Liability Insurance coverage to the firm of Arthur J.
Gallagher and Co.
The specifications were prepared requesting bids on the basis of
gross payroll instead of the former basis which described the
specific exposures on a site by site basis. Arthur J. Gallagher
and Co., submitted their bid on that basis and it was awarded
accordingly.
Shortly after the policy was awarded, I spoke to Mr. Pickles of
Gallagher and we discussed the problem that I would have with those
exposures wbich the County had that did not have corresponding
payrolls. These included the Martello Towers and the fire houses
on the Keys which are manned by volunteers and the expenses for
which are budgeted and paid out of special district funds. Mr.
Pickles suggested that I talk to Mr. Cantin. I called Mr. Cantin
at that ti~e and made him aware of the problem.

lie advised me that he was really not aware that the County had
conditions where a liability would exist without a corresponding
payroll, but that it would be no problem for him to provide us
with the breakdown that we needed to properly charge the policy.
At the meeting of the Board of County Commissioners on March 8,
1932 vou approached me with a memorandum from Donna Perez of your
?e:s~~~el/Safety Department which indicated that I was holding
up the payment of the policy and which again stated "All departments
have payroll!"
I received a telephone call from Mr. Cantin this date who began
tDc conversation by asking "what seemed to be the problem" with
the pavment of the premium for the policy. I responded that I
was still waiting for the premium breakdown that he had said he
would provide 2 months earlier;e At which time Mr. Cantin became
very beligerent and dictatoriai and stated that we should pay the
p~~~i~~ no~ and wait for the breakdown and charge the appropriate
:':::':'''~~:'? 2~ some later date and that we had "until the end of the
iiscai year to do that...ff.
Also during this conversation, Mr. Cantin threatened me with the
following: (1) appearing before the Board of County Commissioners;
and (2) writing a letter to the County Attorney who would be asked
to direct me to do certain things. Neither I, Mr. White, or any-
one in the Clerk's Office will transact the business of the County
with anyone on the basis of threats or intimidation tactics.
At this point I informed ~lr. Cantin that in the future he would
have to direct his communications with the County to you and the
people in your office.
Mra Lewi!l, I am sure that you are aware that before any County
funds are disbursed, a specific cost center which is in accordance
with the budget duly adopted by the Board of County Commissioners
nust be appropriately charged. Further, those charges must be
made at the time of the disbursement and not at some later time.
Also, the charge cannot exceed the amounts duly authorized and
approved for the particular cost centers and there must be suf-
ficient documentation to reflect that it is a proper charge for
the department.
I am sure that you would agree that there are no conditions which
would allow expenses which are properly chargeable to special
districts to be spread among General Fund Departments.

I am, by this memorandum, advising you that upon receipt from
your office of a breakdown of the premium for the County's
Comprehensive General Liability Policy which will allow for the
appropriate distribution or this expense to the various County
case cenLers, I will proceed to make payment to Arthur J. Gallagher,
insedi2telv. This, of course, assumes that there are adequate
6~;:~=~~2~ions budgeted in each affected department line item.
I understand from Donna Perez that you have a complete copy of the
former Policy No. GLA7045 which includes a list of the properties
covered and that you have made some amendments and modifications
to tb2t list.

Co. of New York expires on November 1, 1980.
When Mr. John Pickles,. our area Vice-President, and I visited with
Elsie Freeman on September 17th, she was kind enough to give us
copies of your current policies in order for us to try and get
a competitive quote on these coverages. Since Elsie is involved
only with the Workers' Compensation for the Board of Commissioners,
she suggested we present our findings to you. (

improvement over your current program, I am taking the liberty of
presenting our quotes to you for consideration. They are based
solely on a duplication of your current coverages, as up-dated in-

In accordance with our conversation on November 7, 1980, I
am pleased to reiterate that there will be no additional
charge for the endorsements which were subsequently sent to
us on the General Liability coverage.
Therefore, it is understood that the premiums as quoted to you
in our letter of October 14, 1980 which duplicates the coverages
you now have, will remain unchanged.
As discussed, you will recommend to the Board of County Commis-
sioners when they meet on November 18, 1980, that they accept
our program and institute proceedings for the change-over of
your coverages to North-West Insurance Company.
I look forward to hearing from you as to the results of your
recommendation to the board.

Dear Commissioners:
Some weeks ago, I advised you that I had received a Proposal
from Arthur Gallagher & Company of Miami, agreeing to write
our General Liability and Auto Liability policies at a figure
which is $27,635.00 less than we are paying our present carrier
for the same coverage.
I have conducted a thorough study of the matter, and strongly
recommend that you allow me to place the insurance with
Arthur G. Gallagher & Company.
I have attached, copies of two letters of commitment from the
above mentioned Company, which are self-explanatory.
Because of the vast difference in cost between our present
policies and the Gallagher Company submittal, and because of
certain difficulties with "exceptions" in the Sheriff's insurance
package, I feel that it is imperative that we employ a risk-
management firm to audit our insurance portfolio and advise us
of the feasibility or adequacy of our insurance program.
I have attached, Proposals from two firms and recommend that one
of them be employed for this purpose.

In accordance with your request when we spoke on the telephone today,
I would like to offer you and the Board our reassurance that the
quote for the above captioned coverage as set forth in our letter
of October 14, 1980, will duplicate the coverages you now have under
Policy #L1300260 and Policy #LBA 1300260.
It is understood that this duplication is based on all the material
provided to us by copies of the aforementioned policies, and sub-
sequent endorsements given us by the Board of Commissioners, and
which photocopies of same were sent to you on October 24, 1980. It
is also a duplication of the additional copies of the endorsements
which were provided to us, and which you and I went over on the phone.
If necessary, either Mr. Pickles and/or myself would be available to
attend the Board meeting on December 2, 1980, and would be happy to
bring with us the policies/endorsements which our company is willing
to duplicate, now written with The Fidelity and Casualty Company of
New York, to ease everyone1s mind.
Thank you for your personal recommendation and attention to our sub-
mission.
