10/30/1974 AgreementXerox Corporation Xerox Square Rochester, New York 14644 XEROX October 30, 19 74 Dear Coin -Op Customer: After considerable analysis and in response to the increased cost of doing business, we have found it necessary to imple- ment adjustments in our Consumer Coin -Op payment schedule. This action comes only after continuous efforts to absorb increasing labor and material expenses. In considering various alternatives, our action was influenced by the fact that increasing the vend price would cause a drop in both machine volume and machine revenue. This would place many units below the minimum acceptable volume level and force Xerox to remove a large number of machines. Instead we will maintain the 10� price level and discontinue the Host payback for the first 400 copies in each month. This will allow us to continue to offer the coin-op service for all machines averaging over 400 copies per month. Machines averaging less than 400 will be removed, A copy of the new Host Payment Schedule is attached. This change will become effective December 1, 1974. Tayl Product Marketing Manager Consumer Coin -Op Program DLT:sm XEROX CONSUMER COIN -OP — HOST PAYMENT SCHEDULE Effective December 1, 1974 10 CENT EDUCATION PLAN VEND PRICE 10 cents. COPY MODES There are two ways copies can be made on the coin - operated copier: 1. 10 cent Vend Mode 2. Bypass Key All copy volume is recorded on a single meter in the machine. HOST PAYMENT SCHEDULE The Host will be paid based upon the total monthly copy volume (10 cent vend copies plus copies made using bypass key) according to the following schedule: Total Monthly Vend Copy Host Bypass Volume Revenue Host Share Xerox Share Copy Cost 1 - 400 .10 �i .10 .10 4 01 -3 .10 .03 .07 .07 3 - 5 .10 .04 .06 .06 5,001 and above .10 .05 .05 .05 Host shall collect the vend cash from the machine and submit a meter card to Xerox on the last working day of each month. Each month Xerox will submit an invoice to Host setting forth the number of copies made and the amount to be remitted to Xerox. Host shall remit the required amount without discount upon receipt of the Xerox invoice. Monthly volume ranges will be based on total volume, both vend and bypass, less any service credits. CHANGE FUND - The coin device will accept nickels, dimes, and quarters and make the appropriate change. It will be the Host's responsibility to furnish. S5 change at the time of installation for this change fund. PRORATION Monthly copy volume ranges shall be prorated only if the billing time period is less than 25 days or more than 35 days. SALES TAX Xerox will pay all sales tax on both vend and bypass volume. INDEMNIFICATION Xerox shall indemnify and hold Host harmless from any and all claims, damages or losses resulting from the negligence of }crux alisirlg out of the performance of the contract and Xerox shall maintain liability insurance with a combined sinviz limit of not less than 5500,000 per occurrence for Bodily Injury and Property Damage. ELIGIBLE HOST A Host must be a Public Library or must be a non - profit educational institution which normally maintains a repular faculty, curriculum and an enrolled body of pupils or students in attendance at a location where its educational activities are regularly carried on. Educational institutions must provide a tax exemption certificate or a signed statement that it is a non - profit educational organization as defined in the Internal Revenue Code.
