01/08/1992 LeaseKey West, Florida This lease, entered into on the 8th day of January, 1992, by and between the Board of County Commissioners, Monroe County, Florida (Lessor) and Douglas R. Baetz, an individual, 1101 Casa Marina Court, Key West, Florida (Lessee), which expression shall include the heirs, executors, administrators and assigns of the Lessee when the context so admits. This lease evidences the grants covenants and agreements between the parties with reference to the described premises: A portion of Clarence S. Higgs Memorial Beach, Key West, Florida as evidenced by the attached drawing marked Exhibit "A" for the purposes of operating a concession on the beach. Said concession shall be for the purpose of renting beach chairs and umbrellas to the public. Lessee shall be permitted to use a portable rental stand for the operation of the concession. Should Lessee find it necessary for the proper operation of the concession and/or protection of Lessee's assets from weather, theft or vandalism to erect a rental/storage booth, Lessee shall be permitted to erect a booth similar in size and style to the booth used by Tropical Sailboats for the operation of its concession. In the event that Lessee desires to erect said booth, Lessee shall submit the plans for same to the County Administrator for his approval and shall obtain any permits deemed necessary. �1- �i - . • -,i - •- •. Being the owner in fee of the premises, Lessor does hereby demise and lease to Lessee for a term of three (3) years. This lease shall commence on the 8th day of January, 1992. Either party hereto may cancel this agreement with cause by giving the other party sixty (60) days written notice, sent certified mail of its intention to do so. In connection with the above demise, Lessor covenants with Lessee that, conditioned on Lessee's performance and observance of the Lessee's covenants herein, Lessee shall have the quiet title and peaceable possession of the premises during the term of the lease. -7l Page 1 of 2 Pages a. Payment In return for the privilege of using the designated portion of Clarence S. Higgs Memorial Beach, Lessee will make monthly payments of rent to Monroe County equal to ten percent (10%) of its total gross proceeds on the beach. The minimum rental payable to the County will be one hundred fifty dollars ($150) a month which this lessee shall pay to the County as a minimum each month. Payment to the County will be made on or before the 15th day of each successive month of the lease period. b. It is agreed that records of the gross revenues of the Lessee will be available for audit by the County at all reasonable times. c. The Lessee will continue to maintain current City and County occupational licenses, as required, during the period of the lease. d. The Lessee agrees that the concession will not interfere with beach cleaning. e. The Lessee will conduct its operation in a businesslike manner at all times. It will keep the area free of trash and will pick up, on a daily basis, the trash and debris left in the area of the concession by the public. All equipment will be maintained in good working order. f. The Lessee will obtain and keep in force during the term of this lease a commercial general liability policy with limits of five hundred thousand dollars ($500,000.00) naming Monroe County as an additional insured. Lessee shall defend, indemnify and hold harmless the County, its officials, employees and agents, from any and all claims, liabilities, losses and causes of action which may arise out of the Lessee's operation under this Lease except such claims, liabilities, losses and causes of action which may arise because of the County's negligent actions or omissions. Compliance with the insurance requirements shall not relieve the Lessee from the obligations imposed by this article. Signed and sealed at Key West, Florida, this Y-t' day of January, 1992 Douaad R.
