I will put into writing the situation as it exists with the
EMCEE contract. The Commission approved the contract with the
insertion of a new page 47 in the proposal, wherein the
prepayment was removed from the document, and there will be no
such thing as you are well aware. Though I am not particularly
pleased with the disclaimer, we will leave it in. There is one
thing else that must be done before we can contract with these
people and execute these agreements.
In looking at the document, you will see that there is one
provision that says they have made this proposal without giving
the County any type of performance bond. This was discussed at
the County Commission meeting and Mr. Sauls understood that we
could substitute a Letter of Credit for a performance bond as
such. We did not know the exact amount, but since leaving that
meeting I have read the statutes, and there is a statute that
compels us to obtain a performance bond for anything in a con-
tract agreement over $200,000. Since this contract is
$421,532.10, the Letter of Credit which we will substitute for
the performance bond must be in the amount of $221,532.10. You
should contract Mr. Sauls and advise him of this, and tell him
that before the contract can be entered into this will have to be
in the hands of the Clerk.
There is also a limited warranty, which I did not particu-
larly like, but I don't think we can change that. It has a one
year provision in it for any type of malfunction that is unfore-
seeable, so that will remain. As far as I can see, the document
as concerns the other aspects of it seem to be in place.

When -you contact Sauls and'get the Letter of Credit arranged
and have it sent to the County Clerk, please advise me so we can
go ahead with the contract documents. The last time we entered
into one of these the contract documents were sent by Mr. Sauls
and executed by both parties then.

This is a correction of the second paragraph in the letter of
September 24, that you should have. After a re-examination of
the state statute concerning performance bonds the statute
doesn't mean what was originally stated in the letter to you, but
simply that the County is exempt from requiring a performance
bond for the first $200,000 of the contract. However, the
statutes does say that if a contract is in excess of $200,000,
then there will be a performance bond for the full amount. That
simply means that the letter of credit which Mr. Sauls will have
to give to this County is in the sum of $421,532.10. If you have
contacted him about this, please make this correction, since we
can't go forward with this until we do have that letter of credit
in our hands.
Everybody's anxious to get started on this, I know, but the state
law has to be complied with. Consequently, I would appreciate it
if you would notify him and have him get this matter straightened
out immediately. When the contract documents are here, we will
go ahead and have the same executed so we can move forward with
this project.
