Employment Agreement'
Agreement entered into this a?/Stday of 1.989, for
a period of one year commencing 24 July 1989 by and between the
UPPER KEYS HEALTH CARE TAXING DISTRICT with the BOARD OF COUNTY
COMMISSIONERS OF MONROE COUNTY, FLORIDA, acting as governing
body, hereinafter referred to as "DISTRICT" and ELAINE GORMAN,
hereinafter referred to as "EMPLOYEE".
In consideration of the mutual covenants, promises, and
representations contained herein, the parties agree as follows:
The DISTRICT hereby employs, engages and hires EMPLOYEE as
Project Director of the Upper Keys Health Care Taxing District
for a term of one year, under the direct management of the Upper
Keys Health Care Taxing District Advisory Board, through the
County Administrator.
EMPLOYEE shall carry out to the best of her ability the
following functions and duties:
In addition to the jurisdiction, authority and
duties which may be conferred upon the EMPLOYEE by
other provisions of the Monroe County Code, the
EMPLOYEE shall have the following jurisdiction,
authority and duties, as described in addendum A
(attached signed copy of job description).
I. EMPLOYEE agrees that she will at all times
faithfully, industriously and to the best of her
ability, experience and talents, perform all of the
duties that may be required of and from her
pursuant to the terms hereof.
II. The DISTRICT shall pay EMPLOYEE, and EMPLOYEE shall
accept from the DISTRICT, in full payment for
EMPLOYEE'S services hereunder, compensation as
follows:
A. Salary of $27,000 per annum, payable bi-weekly.
B. Benefits and services received by other Monroe
County employees, including medical,
hospitalization, dental and vision care,
annual and sick leave and Social Security
benefits and retirement. Such benefits
previously accrued by EMPLOYEE in previous
Monroe County service shall be continued and
carried forward to be combined with benefits
herein.
C. EMPLOYEE, at the direction of the County
Administrator, shall represent the DISTRICT'S
interests at national, state and local
professional functions.
III. In the event the DISTRICT desires to extend the
contract for a subsequent year, salary shall be
renegotiated.
IV. EMPLOYEE shall devote all of her time, attention,
knowledge and skill during working hours solely to
DISTRICT matters, and EMPLOYEE shall not engage in
the practice of her profession in the private
sector.
V. EMPLOYEE shall have the use of DISTRICT services
and personnel to carry out the functions of her
job, including, but not limited to: legal,
accounting, secretarial and clerical assistance.
(Office space, utilities, telephone services,
custodial services, books, library, postage, office
supplies, photocopy equipment, furniture, office
equipment and computer equipment as may be
necessary.)
VI. The DISTRICT shall reimburse EMPLOYEE for all
travel and lodging expenses on approved DISTRICT

business at the rate specified under Florida
Statutes.
VII. EMPLOYEE may be terminated in the following
manner:
A. For Cause. The County Administrator may
remove the EMPLOYEE from office for cause as
set forth in the Monroe County Employment
Policies and Procedures Manual in accordance
with the procedures set forth in the County
Administration Law of 1974 also known as Part
III of Chapter 125, Florida Statutes, as
amended.
B. Termination Without Cause. The County
Administrator, with concurrence from the
Advisory Board of the Upper Keys Uealth Care
Taxing District and the Board of County
Commissioners, ma;r remove the EMPLOYEE at any
time without cause by enactment of
resolutions at any regularly convened Board
meeting in accordance with the procedures set
forth in the County Administration Law of
1974, also known as Part III of Chapter 125,
Florida Statutes, as amended. Upon adoption
of said resolution, the Board shall cause to
be paid to the EMPLOYEE 6 months severance
pay, together with payment for accrued annual
leave not yet taken by her. Full payment
shall be made by the Board within twenty (20)
days of such termination.
Additionally, in the event that said EMPLOYEE is
removed for cause cinder the provisions of VII.A. above, and
a court of competent jurisdiction renders a judgment which
shall become final after appeal, she shall receive her
reasonable attorney's fees and court costs incurred in
successfully bringing said suit, if EMPLOYEE is adjudicated
not guilty under VII.A.

In the event that the DISTRICT shall vote to abolish the
EMPLOYEE'S position during EMPLOYEE'S term of office, the same
shall be deemed a removal without cause under the provisions of
this subsection.
VIII. Notwithstanding Paragraph VII, the Upper Keys
Health Care Taxing District Advisory Board shall
review the EMPLOYEE'S performance at the end of the
first year's employment and made recommendation to
the County Administrator. The basis for said
review shall be an analysis of the EMPLOYEE'S
performance as specified in addendum A.
IX. EMPLOYEE may begin the period of her employment on
July 24, 1989 or at the Upper Keys Health Care
Taxing District Advisory Board's discretion, with
concurrence from the County Administrator.
IN WITNESS WHEREOF, the parties hereto have executed this
agreement the day and year first above written.

PROJECT DIRECTOR
ACCOUNTABILITY: The Project Director is responsible to the
Upper Keys Health Care Taxing District Advisory Board.
MAJOR FUNCTIONS: Highly responsible position to oversee and
coordinate all office responsibilities in an emergency medical
office.
EXAMPLES OF WORK:(Note: These examples arc intended only as
illustrations of the various types of work performed in posi-
tions allocated to this class. The omission of specific state-
ments of duties does not exclude them from the position if the
Work is similar, related or a logical assignment to the posi-
tion.)
Scheduling personnel.
State and local record keeping.
Act as departmental liaison.
Bookkeeping and billing involving hospital billing, medicare and
medicaid along with all procedures related to emergency service.
Travel to area trauma center representing the Upper Keys Health
Care Taxing District.
Insures compliance with federal, state and local laws and regula-
tion in developing political procedure.
MAJOR QUALIFICATIONS: Graduation from high school or equiva-
lent with a medical background (either administrative or technical.)
two yrs. preferred.Must be familiar with current legislation con-
cerning health care. Ability to operate and utilize a computer.
