10/14/1983CONTRACT FOR THE MAINTENANCE OF THE MONROE COUNTY TELEVISION TRANSLATOR SYSTEM THIS AGREEMENT made on 0c.+,D�ver 1L{ , 1983, between the MONROE COUNTY BOARD OF COUNTY COMMISSIONERS constituting the governing body of the Monroe County Special Taxing District for the Television Translator System, hereinafter referred to as the County and CARMELITA T. GOSSARD d/b/a C & M ELECTRONICS of Summerland Key, Monroe County, Florida, hereinafter referred to as the Contractor, whose mailing address is P. 0. Box 10, Summerland Key, Florida 33042. It is agreed and understood that wherever used herein, the term "County" shall mean the governing body of the Monroe County Special Taxing District for the Television Translator System. In consideration of the mutual covenants set forth below, County and Contractor agree as follows: I. Description of Work: 1. This contract is for the maintenance of the Monroe County Television Translator System, consisting of four sites located approximately as follows: a. Key Largo b. Islamorada C. Grassy Key d. West Summerland Key Each site is composed of one antenna tower, five translators and associated equipment all located in one, on -site, air conditioned building. The Contractor shall be responsible for maintaining all electronic equipment and its associated devices. The repair of the air conditioner, maintenance of the site, the building, antennas, the antenna towers, and transmission lines are excepted from this contract and are specifically not required as duties of the Contractor. 2. To facilitate services and quick response, the Contractor is required to sub -contract with strategically located 12 - 2 - technicians so that response to a service requirement at any of the sites at any time does not exceed two hours. 3. The Contractor must certify the possession of a valid FCC radiotelephone license meeting the requirements for maintenance of this equipment. 4. The Contractor must certify the possession of, or availability for his use, the required minimum test equipment in Section III. 5. Regularly scheduled maintenance shall be conducted mainly in accordance with tasks outlined in Section II. Scheduled maintenance requiring translator shut down shall be performed between the hours of midnight and 8:00 A.M. 6. All unscheduled maintenance resulting from equipment malfunction or failure requiring service may be billed by Contractor at the rate of $30.00 per hour. 7. A spare parts kit shall be supplied by the County at County expense for each translator site. The kits consist of specialized parts not usually stocked by commercial parts suppliers. Upon use, the failed parts must be returned to the County along with a request to reorder as required. All other parts will be suplied by the Contractor and billed to the County at the list price to the Contractor. 8. The following maintenance schedule will apply: a. Perform weekly inspection and maintenance to all sites, following the system start- up, for the first thirty (30) days. b. Perform semi-monthly inspection and maintenance visits to all sites, follow- ing the comletion of Item a, for the remainder of the contract. 9. The Contractor shall be responsible for the training of his sub -contractors. During the initial check out of the translator system, training sessions will be available at the -3- various sites for technicians employed by the Contractor as sub -contractors. 10. The Contractor shall provide and maintain a "Maintenance Log" at each site. The log shall contain the following information: a. Date b. Equipment serviced C. Service performed d. Name of technician e. Total down time of equipment The log shall be stored at the site and shall not be removed without the specific authorization of the County. 11. All work is to be performed in a workmanlike manner. II. Maintenance Tasks: 1. Clean air filters on all equipment and air conditioners. 2. Inspect and service all line dehydrators. 3. Inspect and clean and oil all blower motors. 4. Inspect all unenclosed relays and burnish contacts as required. 5. Inspect all meters for proper operation of translator and specified power output. 6. Make required adjustments to bring equipment to specified operating levels. 7. Inspect high voltage/high power components for signs of impending breakdown. Replace as required. 8. Enter required data in "Maintenance Log". 9. Return faulty parts to proper County Department with request for replacement and or reimbursement. 10. Verify and log each day, the proper operation of the Hazard Lighting as required by FCC Rules 17.37 and 17.38. III. Minimum Required Test Equipment: 1. VHF/UHF Sweep Generator with internal or external marker generator. -4- 2. VHF/UHF Field Strength Meter 3. VHF/UHF Frequency Counter 4. Oscilloscope (15 Mhz minimum frequency resopnse) 5. VHF/UHF Spectrum Analyzer 6. Thruline Power Meter 0-150 watts 7. High input impedance Voltmeter 8. 50 Ohm Detector 9. Attenuators (10DB, 20DB, 30DB) 10. Dummy Load 150 watts, 50 ohm IV. General Provisions: 1. This contract shall become effective beginning the date of acceptance by the County of the Translator System, and shall continue in force for one (1) year. 2. The County and/or its representatives shall have free access to make on -site inspections, and shall have the authority to reject or stop work which in its opinion does not conform to the contract. 3. The Contractor shall be fully responsible for all acts or omissions of his employees or sub -contractors or any other persons doing work under his direction. 4. The Contractor agrees to indemnify the County and hold the County harmless from and against all claims, damages, losses and expenses, including reasonable attorneys' fees in case it shall be necessary to file an action arising out of performance of the work herein including bodily injury, illness or death, or for property damage including loss of use, resulting from the Contractor's work. 5. Termination. The County may, without advance notice to the Contractor, terminate this contract before the termination date hereof, and without prejudice or any other remedy it may have, when Contractor defaults in performance of any provision herein, or fails to carry out his duties in accordance with the provisions of this contract. 6. This contract may not be assigned by either party. -5- V. Contract Compensation: The County agrees to pay the Contractor for the herein described work at the rate of Twenty-four Thousand Nine Hundred Dollars ($24,900.00) for 104 maintenance visits to the Translator sites. In no event shall travel time be paid for. Payment is subject to additions in accordance with Section I, paragraph 6 hereof. The Contractor shall bill the County monthly for the specified services at the rate of Two Thousand Seventy-five Dollars ($2,075.00) plus any additional amount due in accordance with Section I, paragraph 6 hereof.
