12/21/1976CONTRACT FOR PROFESSIONAL SERVICES FLORIDA MONROE COUNTY 21st December (o THIS AGREEMENT, entered into this day of , 197/, by and between MONROE COUNTY, FLORIDA, hereinafter referred to as "the County, " and Public Research and Management, Inc. , of Atlanta, Georgia, hereinafter referred to as "the Contractor. " WITNESSETH THAT: WHEREAS, the County desires to engage the Contractor to render certain tec-hnical and professional services in connection with An Economy in Government Study of the County Government. NOW THEREFORE, the parties hereto do mutually agree as follows: 1. Employment of Contractor The County hereby agrees to engage the Contractor and the Contractor hereby agrees to perform the services hereafter set forth subject to the contingency that the County receive a Federal Grant as set forth therein. 2. Scope of Services The Contractor shall do, perform, and carry out in a satisfactory and proper manner, as determined by the County the services described in Attachment "A" which is attached hereto and made a part hereof. 3. Data and Services to be Furnished to Contractor The County will assist the Contractor to secure such information, data, reports, records, as are currently in the possession of or readily obtainable by the County as are necessary for carrying out the work enumerated herein; and the County will cooperate with the Contractor in every way possible to insure that said work is carried out in a satisfactory and expeditious manner. 4. Personnel The Contractor represents that it has, or will secure at its own expense, all personnel required in performing the services under this contract. Such personnel will not be employees of or have any contractual relationship with the County. All of the services required hereunder will be performed by the Contractor or under his supervision, and all personnel engaged in the work will be fully qualified and will be authorized under State and local law to perform such services. None of the work or services of this Contract will be sub-co-ntracted without the prior written approval of the County. (I 5. Time of Performance and Contingency This contract and the services of the Contractor are expressly contingent upon the County receiving no less than a Fifteen Thousand ($15, 000. 00) Dollar federal funded grant from the U. S. Civil Service Inter -Governmental Personnel grant funds provided by said agency for "Economy in Government Personnel Expenditure Studies". The services of the Contractor are to commence as soon as practicable after the County receives notification that said grant has been granted and Contractor agrees to complete said study within a period of three and one-half (3 and 1/2) months from date of County notification to Contractor that said grant has been authorized for the County. 6. Compensation For the services as provided in paragraph 2 hereof, the County agreed to pay the Contractor a fixed price amount of $22, 000. 00, which shall include all cost of labor, overhead, materials, travel and subsistence. Such compensation shall be paid in equal installments as follow s : Completion of Work - Component A $ 6, 000 Completion of Work - Component B 6 000 Completion of Work - Component C 6,000 Final Payment upon project completion 4,000 7. Termination of Contract for Cause If, through any cause, the Contractor shall fail to fulfill in timely and proper manner his obligations under this Contract, or if the Contractor shall violate any of the covenants, agreements, or stipulations of this Contract, the County shall thereupon have the right to terminate this Contract by giving written notice to the Contractor of such termination and specifying the effective date thereof, at least 5 days before the effective date of such termination. In that event, all reports prepared by the Contractor shall, at the option of the County, become its property, and the Contractor shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials. Notwithstanding the above, the Contractor shall not be relieved of liability to the County for damages sustained by the County by virtue of any breach of the Contract by the Contractor for the purpose of setoff until such time as the exact amount of the damages due the County from the Con- tractor is determined. 8. Termination for Convenience of County The County may terminate this Contract at any time by giving written notice to the Contractor of such termination and specifying the effective date thereof, at least 15 days before the effective date of such termination. In that event, all finished or unfinished documents and other materials as described in Paragraph 7 above shall, at the option of the County, become its property. If the Contract is terminated by the County as provided herein, the Contractor will be paid an amount which bears the same ratio to the total compensation as the services actually performed bear to the total services of the Contractor covered by this Contract, less payments of com- pensation previously made. 9. Changes The County may, from time to time, require changes in the scope of services of the Contractor to be performed hereunder. Such changes including any increase or decrease in the amount of the Contractor's compensation which are mutually agreed upon by and between the County and the Contractor, shall be incorporated in written amendments to this Contract. 10. Equal Employment Opportunity In the carrying out of the Project, the Contractor will not dis- criminate against any employee or applicant for employment because of race, creed, color, or national origin. The Contractor will take affirmative action to insure that applicants are employed, and that employees are treated during employment without regard to their race, creed, color, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compen- sation; and selection for training, including apprenticeship. The Contrac+ for agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the County setting forth trhp--rpro- visions of this non-discrimination clause. The Contractor will, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, state that all qualified applicants will receive consideration for employment without regard to race, creed, color, or national origin. 11. Interest of Members of the County and Others No officer, member, or employee of the County, and no other public official of the locality or locations in which the Project is situated or being carried out who exercies any function or responsibility in the review or approval of the undertaking or carrying out of this Project, shall (a) participate in any decision relating to this Contract which affects his personal interest or the interest of any corporation, partnership, or association in which he is directly or indirectly interested; or (b) have any interest, direct or indirect, in this Contract or the proceeds thereof. 12. Assignability The Contractor shall not assign any interest in this Contract and shall not transfer any interest in the same (whether by assignment or novation) without the prior written consent of the County. 13. Interest of Contractor The Contractor covenants that �,he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of services required to be per- formed under this Contract. The Contractor further covenants that in the performance of this contract no person having such interest shall be employed. .� IN WITNESS WHEREOF, the County and the Contractor have executed this agreement as of the date first above written.
