WHEREAS: That the parties hereto, for
hereafter set forth, mutually agree as follows:
1. SCOPE OF THE WORK

The CONTRACTOR shall furnish all labor_; ma�§ri&hs,
equipment, machinery, tools, apparatus, and transpottat::�on *d
perform all other work as described in -the Specifications t.br
remount/refurbishment of an existing 'ry--pe III Ambulance for the
Monroe County Board of County Commissioners, the Notice of
Calling for Bids dated February 5, 1992 and as described in the
CONTRACTORS Bid Proposal dated March 10, 1992: all of which are
hereto attached and made part of this agreement by reference.
2. CONTRACT SUM
a. The COUNTY agrees to pay for the ambulance remount/
refurbishment delivered in the manner as set forth in the
contract documents the sum of Fifty Four Thousand Nine
Hundred Ninety Five Dollars ($54,995.00) to be paid to the
CONTRACTOR within 30 working days after acceptance of the
ambulance at the Monroe County EMS Office, Marathon,
Monroe County, Florida. Acceptance shall occur after the
unit is received, inspected and found to comply with
specifications, free of damage or defect and is properly
invoiced.
b. The COUNTY shall pay to the CONTRACTOR for the faithful
performance of the Contract, in lawful money of the United
States, based upon the prices shown in the Proposal, a
copy of the Proposal being a part of the Specifications
and the Contract Documents including contingency and
options, the aggregate amount in the sum of $54,995.00; as
follows:
Base Price $ 54,495.00
Contingency Fee 500.00
Total Contract Amount $ 54,995.00
3. GENERAL PROVISIONS
a. The CONTRACTOR agrees to indemnify the COUNTY and hold the
COUNTY harmless from and against all claims, damages,
losses and expenses, including reasonable attorneys' fees
in any an action arising out of performance of the work
herein, including bodily injury, illness or death, or for
property damage including loss of use, resulting from the
CONTRACTOR'S work.
b. The CONTRACTOR, warrants that it has not employed,
retained or otherwise had act on its behalf any former
County officer or employee subject to the prohibition of
Section 2 of Ordinance No. 010-1990 or any County Officer
or employee in violation of Section 3 of Ordinance No.
010-1990. For breach or violation of this provision the
County may, in its discretion, terminate this contract
without liability and may also, in its discretion, deduct
from the contract or purchase price, or other wise
recover, the full amount of any fee, commission,
percentage, gift, or consideration paid to the former
County officer of employee.
4. CONTRACT TERM
a. The Contract shall commence on the date on which the
Contract is signed by the last party of the two parties
signing the Contract. Delivery to be within sixty days of
receipt of the chassis.
b. The CONTRACTOR will not be held liable for delay in
delivery caused by strikes, inability to obtain materials
or equipment, production or manufacturing problems and all
other causes beyond the CONTRACTORS control. The
CONTRACTOR shall not be liable for any incidental damages
caused by delays in delivery.
5. CONTRACTOR'S ACCEPTANCE OF CONDITIONS
The CONTRACTOR understands all provisions of this Contract
and of the Specifications and agrees to their sufficiency for
the work to be done. Under no circumstances, conditions or
situations shall this Contract be more strongly construed
against the COUNTY than against the CONTRACTOR.
6. PARTIAL AND FINAL PAYMENT
a. The CONTRACTOR shall invoice the COUNTY, in accordance
with the pricing and terms as outlined in the contract
documents. Invoices shall be submitted to the Monroe
County EMS Office, 490 63rd Street, Ocean, Suite 170,
Marathon, Florida 33050, for approval and processing.
b. All payments shall be made directly to the CONTRACTOR at
the CONTRACTOR office, 833 New Franklin Road, LaGrange,
Georgia 30240.

7. MODIFICATIONS AND AMENDMENTS
Any and all modifications of the goods required, and/or
cost of goods to be delivered shall be amended by an Agreement
Amendment, which must be approved by the Board of County
Commissioners of Monroe County and such modification shall not
become effective until approved in writing by the COUNTY.
8. INDEPENDENT CONTRACTOR
At all times and for all purposes hereunder CONTRACTOR is
an independent contractor and not an employee of the Board of
County Commissioners of Monroe County. No statement contained
in this Agreement shall be construed so as to find the
CONTRACTOR or any of his/her employees, contractors, servants,
or agents to be employees of the Board of County Commissioners
of Monroe County, and they shall be entitled to none of the
rights, privileges, or benefits of employees of Monroe County.
9. COMPLIANCE WITH LAW
In providing all services pursuant to this Agreement, the
CONTRACTOR shall abide by all statutes, ordinances, rules and
regulations pertaining to, or regulating the provisions of such
goods, including those now in effect and hereinafter adopted.
Any violation of said statutes, ordinances, rules or
regulations shall constitute a material breach of this
Agreement and shall entitle the Board of County Commissioners
to terminate this contract immediately upon delivery of written
notice of termination to the CONTRACTOR.
10. SUBCONTRACTING/ASSIGNMENT
CONTRACTOR shall not assign, sublet, subcontract, sell or
transfer any interest in this contract without the prior
written consent of the COUNTY thereto.
11. NOTICE - GENERAL
Any notice or notices required or permitted to be given
pursuant to this contract may be personally served on the other
party by the party giving such notice, or may be served by
certified mail, return receipt requested, to the following
addresses:

12. ANTI DISCRIMINATION
CONTRACTOR agrees they will not discriminate against any
of their employees or applicants for employment or against
persons for any other benefit or service, because of their
race, color, religion, sex, or national origin, or physical or
mental handicap where the handicap does not affect the ability
of an individual to perform in a position of employment and to
abide by all Federal and State laws regarding
non-discrimination.
13. NON WAVIER
Any waiver of any breach of covenants herein contained to
be kept and performed by the CONTRACTOR shall not be deemed or
considered as a continuing waiver and shall not operate to bar
or prevent the COUNTY from declaring a forfeiture for any
succeeding breach either of the same conditions or covenants or
otherwise.
14. CONTRACTOR - GENERAL
The CONTRACTOR warrants that it is authorized by law to
engage in the performance of the activities encompassed by the
program herein described, subject to the terms and conditions
set forth in the Attachment, which is attached hereto and
incorporated herein as part of this Agreement.
Each of the signatories for the CONTRACTOR, below,
certifies and warrants that:
a. The CONTRACTOR'S name in this Agreement is the full name
as designated in its corporate charter, if CONTRACTOR is a
corporation; otherwise CONTRACTOR'S name is the business
enity, whether partnership of sole proprietorship, under
which CONTRACTOR normally conducts business.
b. They are empowered to act and contract for the CONTRACTOR,
and
C. This Agreement has been approved by the Board of Directors
of CONTRACTOR, if CONTRACTOR is a corporation.
d. CONTRACTOR has, if this contract calls for payment in
excess of $10,000, executed a sworn statement under F.S.
287.133 (3) (a), on public entity crimes. Said statement,
if not attached hereto, is already on file with the EMS
Office/Clerk of Court for the calendar year 1992.
15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement of the
parties hereto with respect to the subject matter hereof and
superseded any and all prior agreements with respect to such
subject matter between CONTRACTOR and the EMS Office or the
COUNTY.

16. CONSENT TO JURISDICTION
This Agreement, its performance, and all disputes arising
hereunder, shall be governed be the laws of the State of
Florida and both parties agree that a proper venue for any
action shall be Monroe County.
17. CONDITIONS OF TERMINATION:
a. The performance of work or provision of goods under this
agreement may be terminated, delayed, or temporarily
suspended by the COUNTY, in whole or in part, from time to
time, wherever the COUNTY shall determine that such
termination is in the best interest of the COUNTY. The
COUNTY shall pay all reasonable costs incurred by the
CONTRACTOR up to the time of termination, and all
reasonable costs to the CONTRACTOR associated with
termination.
b. If the CONTRACTOR fails to fulfill the terms of this
agreement, or attachments, properly or on time, or
otherwise violates the provisions of the agreement or of
applicable laws or regulations governing the use of funds,
the COUNTY may terminate the contract by written notice of
60 days. The notice shall specify cause. The COUNTY
shall pay the CONTRACTOR fair and equitable compensation
for expenses incurred prior to termination of the
agreement, less any amount of damages caused by the
CONTRACTOR'S breach. If the damages are more than
compensation payable, the CONTRACTOR will remain liable
after termination and the COUNTY can affirmatively collect
damages. Nothing herein shall be construed as restricting
the COUNTY'S right to proceed against the CONTRACTOR'S
performance bond or right to liquidated damages.
18. INSPECTION AND CORRECTIONS
The COUNTY shall have the right to inspect the ambulance at the
factory and at the time and place of delivery. Time limited on
acceptance and discrepancy correction shall be as stated in
section 2.14 of attached Specification. In the event of any
claimed defects in the chassis or deviations from
specifications, the CONTRACTOR shall have the necessary time to
inspect the ambulance and make any necessary changes or
corrections. In the event of any defect in the chassis, the
CONTRACTOR, as agent for the COUNTY, shall contact the
manufacturer of the chassis and advise them of any necessary
changes or corrections needed. COUNTY may elect to contact the
chassis manufacturer directly with regard to defects or
deviations from specifications. Nothing in this paragraph
shall affect any warranties for the ambulance, patent and
royalty indemnification, or any other obligation of the
CONTRACTOR under this agreement (including the Specifications
which are a part hereof) extending beyond the date of the
COUNTY'S acceptance of the ambulance.

19. WARRANTY
a. The warranties that are stated in section 2.9 of the
specifications are the only warranties given under this
contract and the CONTRACTOR disclaims all other
warranties, both express and implied, including any
implied warranty of merchantability or fitness for a
particular purpose. The COUNTY'S remedies for breach of
warranty are limited to those set forth in section 2.9.
The CONTRACTOR shall not be liable for incidental or
consequential damages resulting from a breach of any
warranty.
b. The CONTRACTOR does not warrant the chassis and the COUNTY
must look to the chassis manufacturer for any warranties
other than those specifically called for in section 2.9 of
the specification.

well and truly keep, do and preform, each and every, all and singular, the matters and things in said contract set forth and
specified to be by the said Principal kept, done and performed at the time and in the manner in said contract specified, and
shall pay over, make good and reimburse to the above named Obligee, all loss and damage which said Obligee may sustain by
reason of failure or default on the part of said Principal, then this obligation to be void; otherwise, to be and remain in full force
and effect.
PROVIDED, however, that this bond is executed by the Surety upon the express condition that no right of action shall accrue
upon or reason hereof to or for the use or benefit of any one other than the Obiigee named herein; and the obligation of the
Surety is and shall be construed strictly as one of suretyship only; and

1.0 Scope
This specification covers the removal of an existing Type III
modular patient compartment from the existing chassis, modification
of patient compartment, purchase of a new 1991 International
Navistar 470OLP Chassis and mounting of the modular patient
compartment on the new chassis, including all related work necessary
to provide a complete unit, serviced and ready for operation. Upon
completion of this, ambulance is *in general accord with the
Ambulance Design Criteria of the National Highway Traffic Safety
Administration, U.S. Department of Transportation, Washington, D.C.
This specification is based on the Federal Ambulance Specification
KKK-A-1822C dated January 1, 1990. Reference numbers used in this
document refer to applicable paragraphs of that document.
1.1 General Intent
This is an engineer, design, construct and delivery type
specification and it is not the intention of Monroe County to write
out vendors or manufacturers of similar or equal equipment of the
types specified. Proposals or alternate bids for any equip
that
will efficiently accomplish the same task will be giv n�1ent careful
consideration. Monroe County shall be -the sole judge of the
equipment that is the most advantageous and the decision of the
County shall be final.
This specification details the requirements for
general
criteria of the overall Emergency Care Vehicle including the engine,�
transmission, electrical, module, body, painting and equipment.
This specification shall become
part of the final bid.
1.2 Material and Standardization
The Emergency Care Vehicle, chassis, ambulance bod
devices, medical accessories and electronic aequipment y'quipment,
delivered under this bid shall be standard commercial odu to be
meet or exceed the requirements of this specification. which
ambulance shall The
Standards comply with all Federal Motor Vehicle Safety
(FMVSS), and Federal regulations applicable or specified
for the year of manufacture.

The supplier shall provide "total standardization and
inter -changeability between vehicles and like equipment and
accessories as specified. Materials fused in the construction shall
be new and not less than the quality conforming to current
engineering and manufacturing practices. Materials shall be free of
defects and suitable for the service intended.
1.3 Classification le
Ambulance type, class and floor plan. This specification calls
for the following type of ambulance:
Type I, Class I, floor plan A. (3.1.5.1, 3.11.3) KKK-A-1822C
1.4 Definitions
1.4.1 Purchaser: Monroe County, Florida a/k/a the Board of Governors
of the Lower and Middle Keys Fire and Ambulance District.
1.4.2 Bidder: The individual, firm, partnership, manufacturer or
corporation to whom the bid is awarded by the Purchaser and who is
subject to the terms thereof. For bidding purposes, the Contractor,
Vendor and Bidder are synonymous.
1.4.3 Equal: Shall be taken in its general sense and shall not mean
identical. These specifications are for the sole purpose of
establishing minimum requirements of level of quality, standards of
performance and deign and is in no way intended to prohibit the
bidding of any Manufacturer's item of equal material.
The County shall be the sole judge of equality in its best
interests and decision of the County as to equality shall be final.
1.4.4 Cab Chassis Manufacturer: Will be International and herein
referred to as the "Chassis Manufacturer".
1.4.5 Terms - Heavy Duty: The terms Heavy Duty or H. D. as applied
to these specifications shall be interpreted to mean that
to which the term is the item shall exceed the usual
quantity, or capacity of that supplied with standard quality,
vehicles and shall be able to withstand the unusualrostrain,�
exposure, temperature, wear and use to be expected in the intended
service.
1.5 Vehicle Identification
The existing ambulance is a 1980 Ford Type III manufactured
by EVF. The vehicle was remounted in 1986 onto a Ford 1986 cut. -
a -way chassis. The all aluminum modular patient compartment has
the following dimensions: 13811L x 9001W x 68"H. The ambulance is
based in Big Pine Key, Florida and is available for inspection by
qualified bidders at any time; however, prior to inspection of the
vehicle, arrangements should be made with Monroe County EMS
regarding the date and time'of inspection: (305) 289-6004.

2.0 Special Conditions

No bid shall be considered unless the Bidder can meet the
special conditions stated herein.
2.1 Bidder's Responsibility and qualifications
The vehicle .and equipment shalllt be delivered as a complete
unit, serviced and ready for operation. Any omission of details in
these specifications shall not relieve the Contractor from
furnishing a complete unit.
Minor details of design, construction and materials, where not
otherwise specified, are left to the discretion of the Contractor
who shall be solely responsible that such design, construction and
material shall be in conformance with the intended use.
Drawings and plans showing the size and location of
compartments, doors, seats, and other equipment not specifically
described in these specifications and not considered minor shall be
submitted for approval before fabrication and assembly of the
ambulance.
2.1.1 Examination of Specification
Each Bidder is required before submitting his proposal, to be
thoroughly familiar with the specifications contained herein. No
additional allowances will be made because of lack of knowledge of
the conditions. It is the responsibility of the successful Bidder
to ascertain if any components of the specification are unsafe and
that if any unsafe or poorly designed criteria are contained herein
that they be thoroughly explained to the Purchaser in the bid
proposal.
2.2 Quality Assurance
It is not the intent of these specifications to call for an
unusual or experimental vehicle. Nor is it the intent of this
department to accept such proposals. Therefore, as proof of the
ability to manufacture vehicles of the type called for in these
specifications, the manufacturer of the vehicle bid must be able to
show proof that they have produced at least 50 vehicles of the type
specified herein.
2.2.1 Bidder shall have in operation a factory adequate for and
devoted to the manufacture of the equipment herein specified. If
equipment 'is proposed other than of his own manufacture, he will
provide with his proposal a written statement that such equipment
offered is in complete compliance: with this specification. The
intent of this section is to ensure maximum single source
responsibility for all equipment proposed by the Bidder.
2.2.2 A list of five (5) Fire Departments and/or Emergency Medical
Service providers with contact names and telephone numbers where the

2.2.3 Each bidder shall disclose any, pending or anticipated
litigation between the Bidder and sub -contractors, other parties and
the Bidder or other parties and subcontractors.

2.2.4 Monroe County shall be advised" within the bid -proposals of any
anticipated labor contracts which may be negotiated or renegotiated
during the period of manufacturing. ' The Manufacturer's labor
contracts, if up for renewal, shall be noted with the expiration
date of the Bid and anticipated outcomes.
2.2.5 Any manufacturer or vendor responding to this bid shall enclose
in their bid proposal, test documents from a bonded testing
laboratory for those tests specified in paragraphs 4.4.1 and 4.4.2.
These documents must show that the tests have been conducted and
assed. A letter from the laboratory which performed and
certifies the tests must be provided along with the test documents.
Bids which fail to comply with these requirements shall not be
considered. _
2.2.6 The Bidder shall provide a list of manufacturer's authorized
service centers where repairs to the modular body, body components,
electrical system, and related components can be performed.
2.2.7 Equipment manufactured or assembled outside the United States
will not be considered.
2.3 Prices and Payments
2.3.1 ' All bid prices shall be. on a F.O.B.- Monroe County E.M.S.
Marathon, Florida delivered and accepted at Monroe County, Florida
per specifications and shall include warranty.
2.3.2 Payment shall be made in accordance with the specifications and
the bid proposal upon acceptance by the County of the hardware
and/or services performed by the successful Bidder.
2.3.3 All bid prices must be specified on the bid proposal form.
2.3.4 Two (2) categories of equipment are specified, "Mandatory Work
and Equipment" and "Optional Work and Equipment". The Bidders must
price and agree to do all work and furnish all of the equipment
listed under both categories, with the mandatory work and equipment
being included in the apparatus price. It is understood that the
successful Bidder must furnish with the apparatus any part or all of
the optional work and equipment listed that Monroe County elects to
purchase.
2.3.5 Bid prices shall be valid for at least ninety (90) days from
the date of the bid opening, or as otherwise specified herein.

2.3.6 Acceptance of the Emergency Care (Vehicle shall occur after the
unit is received, inspected and found �o comply with specifications,
free of damage or defect and is properly invoiced. All invoices
shall bear the purchase order number. Payment will be made within
30 working days after acceptance of the unit.

If the unit cannot be accepted fq any reason, within 30 days
maximum, of delivery to Monroe County, he successful bidder may be
deemed in default.
2.3.7 Any equipment shipped, rather than delivered with the unit,
shall be shipped pre -paid and shall bear the purchase order niu►tber
on the invoice.
2.4 Bid Evaluation
Bid proposals will be evaluated by the Purchaser. In
evaluating the Bid Proposals to determine which proposal is the most
advantageous to the County, major considerations in addition to
price which will be evaluated are:
2.4.1 Commitment to the special and general conditions contained
herein particularly to that which applies to warranty.
2.4.2 Completeness of the proposal, i.e.,
responds to all re the degree to which it
quirements and requests for information contained
herein.
2.4.3 Four (4) complete sets of descriptive photographs, diagrams, material such as plans,
illustrations,
descriptions, and manufacturer's literature which w will enable written
Purchaser to determine the exact dimension, quality, design, and
appearance of the proposed vehicle shall accompany the Bid. In
addition, Bidders shall supply at least four (4) complete sets of
technical engineering drawings and complete specifications covering
the vehicle offered, which detail the dimensions and details of the
vehicle. Said plans and drawings will become part of the final bid.
2.4.4 Manufacturing and delivery schedule.

2.4.12 These specifications are based upon design and performance
criteria which have been developed as a result of extensive research
and careful analysis of the data. Subsequently, these
specifications reflect the only type of emergency care vehicle that
is acceptable at this time. Therefore, major exceptions to the
specifications may not be accepted. Certain exceptions may be
accepted, if they are minor, equal, or superior to that which is
specified, and provided that they are listed and fully explained on
a ,separate page entitled "Exceptions to Specifications". The
exceptions shall refer to the specification's page and paragraph
number. In addition the Bidder shall submit with the proposal these
specifications with the "Comply and Exception" columns completed,
which will indicate whether the Bidder will comply or take exception
to the particular paragraph. In the event the Bidder takes
exception to any 'items of this specification, the Bidder shall
explain in detail, with full engineering support data, the reasons
why the proposed equipment or process will meet the intent of this
specification (Section 2.21-Reply to Specification). The Purchaser
shall determine which (if any) exceptions, are acceptable and this
determination will be final. The successful Bidder will be held
responsible for delivering a vehicle in strict compliance with these
specifications.
2.4.13 Cost of performance bonds and surety company.
2.4.14 Proposals taking total exception to specifications will not be
accepted.
2.4.15 In order for Monroe County to expedite repairs under warranty,
special consideration may be given Bidders who designate authorized
repair facilities within, or in close proximity to,
Florida. Monroe County,
2.5 Bid Award
2.5.1 The Purchaser reserves the right to reject any or all bids
deemed to be unresponsive and to accept any bid which in its best
interest most closely meets the evaluation criteria of section 2.4.
The Purchaser also reserves the right to waive any informalities,
irregularities and technicalities in procedure.

2.5.2 The Purchaser reserves the right before awarding the bid, to
require a Bidder to submit additional evidence of his qualifications
as it may deem necessary. Documentation that may be required is
financial, technical and/or other information substantiating the
Bidder's qualification and abilitdes,fincluding past performance
(experience) with Monroe County. The,$urchaser shall be the final
authority in the award of bids. T
2.6 Disputes
2.6.1 In case of any doubt or difference of opinion as to the items
to be furnished herein, the decision of the Purchaser shall be final
and binding on both parties.
2.6.2 It is understood that any legal action that may be brought by
either party pursuant to the terms of this bid, will be brought in
the appropriate jurisdictional court in Monroe County, Florida.
2.7 Anti -Collusion Statement
By signing this Bid, the Bidder agrees that his Bid is made
without any understanding, agreement, or connection with any other
person, firm, or corporation making a Bid for the same purpose and
that his Bid is in all respects fair and without collusion or fraud.
2.8 Travel to Manufacturer
2.8.1 Monroe County reserves the right if it so desires to travel to
the manufacturer for a pre -acceptance inspection; the cost of such
travel will be borne by the Purchaser. This inspection will be
after completion of the work as specified and before the Bidder
delivers the completed unit to Monroe County. The Bidder must
notify the County for this purpose when the vehicle is complete.
Delivery of the unit back to Monroe County is the responsibility of
the Bidder; final acceptance shall be in Monroe County.
2.8.2 The Purchaser reserves the right to make additional on -site
visits, other than those specified in Section 2.8.1, at the
Purchaser's expense.
2.8.3 It shall be the responsibility of the successful Bidder to
transport the vehicle from Monroe County to the Bidder's factory.
2•9 Warranty.
2.9.1 The successful Bidder shall provide a minimum twelve (12) month
warranty on the vehicle which covers defective parts and/or
components, the improper choice of materials, parts and/or
components, improper design or engineering, and poor or improper
workmanship or quality control techniques which were left to the
discretion of the successful Bidder. This warranty shall cover all
work performed by the manufacturer and shall include any and all

costs for labor and parts or materials th4t are required to correct
any and all deficiencies.

2.9.2 It is not the intent of Monroe County that this warranty apply
on parts or components that could normally wear out within the
one (1) year period, such as light bulbs, filters, tires, brake
linings, windshield wiper blades and su*h unless abnormal wear is
caused by a defect in the product, workmanship or engfineering.
2.9.3 Where a component manufacturer provides an independent warranty
which exceeds the twelve (12) month period, the provision of this
warranty shall not be allowed to diminish the normal warranty that
is provided by any component manufacturer. Where a component
manufacturer does not provide a warranty equal in time or which does
not fully cover all costs involved, the successful Bidder is solely
responsible for bearing any additional costs, or if necessary, the
total costs including freight, parts, components, materials, labor
for removal and installation, contractual repair or replacement
service, and the reimbursement for salaries of all Monroe County
employees that are engaged in performing warranty work at the
request of the successful bidder; or reimbursement for Monroe County
salaries shall be provided under the following circumstances, which
shall be a requirement of this warranty agreement.
2.9.4 Within 72 hours after receipt of a verbal or written
notification by Monroe County authority (authority to be identified)
that warranty service is required, the successful Bidder shall
respond verbally, and immediately follow up by letter to the Monroe
County authority with a statement of intent to show how, where and
when the warranty service shall be accomplished. In the event that
there is no response, or if the response exceeds 72 hours, or if the
response that is received is on time but is not acceptable to the
Monroe County authority or is acceptable but not performed at the
specified time, Monroe County will provide for the required warranty
service. The totalcosts of all labor, parts, components, materials
and freight shall be reimbursed to the Monroe County Lower and
Middle Keys Fire and Ambulance District by the successful Bidder
within 45 days after the bill has been mailed to the successful
Bidder. This warranty portion of the Performance Bond shall also be
guaranteed by the surety company, which shall be responsible to
fully reimburse Monroe County within 45 calendar days in the event
that the successful Bidder defaults under the terms of this
warranty. (Refer to Section 2.16 for Performance and Payment Bond).
2.9.5 Warranty shall begin at the acceptance of the manufactured
apparatus by Monroe County. Accepting delivery of the vehicle does

delivery shall have no bearing on the warranty period.
2.9.6 The successful Bidder shall be liable to the Purchaser for
supply of information and material necessary for mandatory
revisions/modifications as determined by the successful Bidder or
sub -contractor or suppliers- at no cost to the purchaser for a

minimum of five (5) years from date ofr equipment acceptance. All
revision information pertaining to the iequipment purchased shall be
supplied to the Purchaser at no cost as 'it becomes available. (This
includes corrections to the instruction manual, etc.)
2.9.7 The duration of the warranty rperidd shall be stated by the
Bidder with his Bid responses and shall b# at least:

2.9.8 Where a manufacturer offers any type of Extended Warranty
Program, then the Bidder is required not only to research and advise
the Purchaser of such program but also reflect the price in the
Option Section.
2.10 Material and Workmanship
2.10.1 All equipment furnished shall be guaranteed to be new and of
current manufacture, meet all requirements of this specification,
and be in an operable condition at the time of delivery.
2.10.2 All parts shall be of high quality materials and workmanship, shall be of new and current manufacture and no part of attachment
shall be substituted or applied contrary to the Manufacturer's
recommendations and standard practices.
2.10.3 All workmanship shall be equal to the highest industry
standards and performed in a professional manner so as to insure a
safe and functional apparatus with an aesthetic appearance.
2.11 Quantities
Proposal is requested for a one refurbished unit as identified
in 1.5.
2.11.1 All mandatory work and equipment requested b

2.12.3 A total of two (2) service manuals shall be provided. These

complete set of 'as built' drawings which will include:

4. All information describing major malfunction identification and
subsequent trouble shooting procedures.
2.12.4 Revision Requirements
All revision information pertaining to the equipment purchased
shall be supplied to the Purchaser at no cost as it becomes
available. (This includes corrections to the instruction manual,
etc.). This information is to be furnished as long as. this
equipment is being produced by the Manufacturer.
2.13 Delivery
2.13.1 Delivery of the unit shall be F.O.B. destination to Monroe
County EMS Office, Marathon, Monroe County, Florida. Final
inspection and acceptance shall take place after delivery to Monroe
County. Delivery shall be 'drive in' to and from each point, no
'piggyback' will be allowed.
2.13.2 All bidders shall provide as part of their Bid proposal a
milestone chart identifying the major projected dates from the
initial step through delivery and acceptance. A delivery schedule
shall be jointly agreed to between the Purchaser and Manufacturer.
2.13.3 Since delivery proposals by the Bidders will weigh heavily in
the determination of award of Bid, the delivery schedules that are
submitted by the Bidders and agreed upon by the Purchaser shall
automatically become binding upon the successful Bidder.
2.13.4 Pre -delivery service shall include the following:
1. Complete lubrication
2• Filling crankcase with oil
3. Adjustment of engine to proper operating condition
4. Inflate tires to proper pressure
5. Insure perfect operation of all mechanical and electrical
fixtures
6. Front end alignment and wheel balancing
7. Check for leaks of*any kind

2.13.5 Delivery shall not exceed sixty (P0) days, maximum, after the
Bidder has received the chassis. j
2.14 Acceptance and Discrepancy Correction Period
2.14.1 The unit shall be delivered wisth a full compliment of
additional equipment as ordered per the purchasing agreement. The
vehicle shall be complete and functiontrig properly. Payment will
not be made if any equipment is back -ordered. w
2.14.2 A list of discrepancies for correction will be provided to the
successful Bidder by Monroe County within thirty (30) working days
or less of the delivery of the vehicle. The successful Bidder shall
have thirty (30) working days to correct all of the listed
discrepancies. If this condition is not met the successful Bidder
may be deemed in default.
2.14.3 If the emergency care vehicle is delivered with major
discrepancies that are not correctable, and by this circumstance the
successful Bidder has demonstrated gross irresponsibility in meeting
the purchasing agreement then Monroe County reserves the right to
find the successful Bidder in default.
2.15 Bid Guaranty
All bids shall be accompanied by a Surety Bond in the amount of
five percent (5%) of the total Bid price, payable to the Monroe
County Board of County Commissioners and conditioned upon the
successful Bidder submitting the specified Performance Bond within
ten (10) days following notice of award, in the form and manner
required by the Purchaser. In case of failure or refusal to do so
within the time stated, the surety submitted with the Bid will be
forfeited as liquidated damages because pf such failure or default.
Bid guarantee will be returned after the bid awarding to all except
the successful Bidder. The bid guarantee of the successful Bidder
will be returned after the bid is awarded and performance bond
delivered.
2.16 Performance and Payment Bond
2.16.1 The Contractor to whom the award is made shall duly execute and
deliver to the Purchaser a Performance and Payment Bond in the
amount of 100 % of the bid price within fifteen (15) days after
award of the bid and receipt of Purchase Order. The Bond shall
provide for a 100 % guarantee that the successful Bidder delivers
all apparatus and equipment to the specifications, special
conditions, general conditions and instructions of the Purchaser.

The Contractor shall indemnify and save the Purchaser harmless
from any and all claims, liability, losses and causes of actions
which may arise out of the fulfillment of the agreement. The
Contractor shall pay all claims and losses of any nature whatever in
connection therewith, and shall defend all suits, Purchaser when applicable, and shall pay all in the name of the
costs and judgements
which may ensue thereafter,
2.18 Patents and Royalties
The Bidder, without exception, shall. indemnify and save
harmless, the Purchaser and its employees from liability of any
nature, including cost and expenses for or on account of any
copyrighted, patented or unpatented invention, proce;3s or article
of manufacture used in the performance- of the Bid, including its use
by the Purchaser. If the Bidder uses any design, device or
materials covered by letters, patent or copyright, it is mutually
agreed and understood, include all royalties without exception, that the Bid price shall

2.19.2 Should a performance failure occur, it will be the
responsibility of the Contractor to no ify the Purchasing Agent of
Monroe County in writing and submit proof of the circumstances for
non-performance. Immediately following the resolution of
circumstances responsible for non-performance, the successful
Bidder must renegotiate delivery E,ahedules to the satisfaction of
Monroe County.
2.20 Program Manager
2.20.1 The successful Bidder shall designate a competent individual
acceptable to the Purchaser to perform the Contractor's program
management function. The Program Manager shall provide a single
point of interface between the Purchaser and the Contractor on all
matters concerning the bid.
2.20.2 The Program Manager shall present a written bi-weekly status
report to the Purchaser on the progress of the fabrication, delivery
schedules and all existing and potential problem.,.
2.20.3 The Program Manager shall be technically oriented and
thoroughly familiar with all the construction techniques used and
shall act as the liaison between the Manufacturer and the Department.
2.21 Proposal in reply to specification
2.21.1 Any exceptions to the specifications must be itemized. Details
concerning the exceptions must be clearly explained. Each exception
will be considered by the Purchaser as to degree of impact and total
effect on the specifications. The proposal shall be arranged so
that rapid reference between the specification and proposal can be
accomplished by the Purchaser. Specification section assignment
numbers shall be referred to in the proposal (see Section 2.4 - Bid
Evaluation).
2.22 Familiarity With Laws
The Bidder is presumed to be familiar with all federal, state,
and local laws, ordinances, code rules., and regulations that may in
any way affect the work for final product. Ignorance on the part of
the Bidder shall in no way relieve him from responsibility.
2.23 Noncompliance
Delivery of the emergency care vehicle which does not meet the
requirements of this specification and the bidder's proposal as
accepted by this agency shall be cause for rejection of the
emergency care vehicle. Liquidated damages in the amount of $100.00
per calendar day shall be deducted from the final payment computed
from the first working day following rejection until deficiencies
are corrected and an acceptable vehicle is delivered. If 'within
thirty (30) days after initial rejection of a vehicle it is not
acceptable, the Bidder shall be in default of his bid and shall
forfeit the performance bond.

2.24 Pre -Award Clarifications
2.24.1 In the event a clarification is requested on the contents of
this specification, the questions shall'- be addressed in writing to

2.24.2 Clarifications or corrections .to t'ie specifications shall not
be valid unless they are in written form and signed by the Public
Safety Director of Monroe County or his designee.
2.24.3 When a Bidder requests a clarification, a copy of the request
and the Purchaser's reply will be forwarded to all qualified bidders.
2.25 Pre -Construction Conference
The successful Bidder shall be required prior to manufacturing
the emergency care vehicle to have a -pre -construction conference;
the conference shall be in Monroe County at the EMS Office in
Marathon. It shall be the responsibility of the Bidder to be sure
that the appropriate personnel attend the pre -construction
conference.
2.26 Performance Test and Requirement
2.26.1 The emergency care vehicle shall conform to all Federal Motor
Vehicle Standards that apply to automotive ambulances. State of
Florida Regulations, Occupation Safety and Health
Administration (OSHA) Standards that apply to the apparatus and
the auxiliary equipment and/or related medical equipment that is
furnished. The vehicle shall conform to the requirements of
KKK-A-1822C, unless otherwise specified by the Purchaser.
2.27 Oral Presentation
The Purchaser may require the Bidders who are reasonably in
contention to make an oral presentation prior to the award so the
Purchaser cannot misinterpret any part of their proposal. The
presentation shall be in Monroe County. The oral presentation is to
be used for clarification of the Bid proposal and specification
only. The oral presentation is not to be used for modifying
specifications or changing bid proposals. The cost of this
presentation will be borne by the Bidder. (Time and place to be
announced, if required.)
2.28 Licenses
All Bidders must have the proper licenses, as required by
Florida State Law and be prepared to submit copies of, them upon
request.

2.29 Contingency i

2.29.1 A contingency in the total sum of,$500.00 shall be included in
the bid price to cover costs of unforeseen items or needed work that
may become apparent during the cMrse of fabrication. Approval of
every such alteration or expenditure mu#t be given in writing to the
successful bidder by the Purchaser, or his representative. Any
unused portion of these funds shall be deducted from the invoice
total.
2.29.2 All work ordered and performed in accordance with the foregoing
will be paid for at the price stipulated in the Purchaser's written
approval. This stipulated price will include a reasonable amount
for the contractor's overhead and profit, and will have been
mutually agreed upon by. the Contractor and the Purchaser or his
representative, as equitable compensation for the additional work.
2.30 Radio Frequency Interference Suppression
2.31
Electrical components, electronic equipment, and devices used
and installed on the vehicle in addition to all sub -systems,
chassis, warning systems, etc. shall be electromagnetic radiation
suppressed, filtered, or shielded to prevent interference to radio
and telemetry equipment aboard the vehicle and surrounding area.
The RFI of the completed vehicle shall not exceed the maximum
limits in SAEJ551.

Upon completion of the remounted ambulance, title to the

3.4.1 Electrical Distribution System
The ambulance body and accessory electrical equipment shall be
served by circuits separate and distinct from the vehicle's
chassis circuits. All wiring between the cab and module shall
be connected to terminal strips located in the electrical
distribution cabinet protected by Schottky diodes and terminal
strips, manual aircraft circuit breakers, relays, soleniods and
other equipment specified elsewhere in this specification shall
be located in the ventilated electrical distribution cabinet that
shall be installed in the interior of the vehicle using the
overhead front wall of the vehicle and the space behind the
attendant seat. If necessary, the space under the attendant seat
may also be used. The vehicle's lock box may have to be
relocated to accomplish this. All new relays or solenoids shall
be used on all cirucits. Circuit power shall not be carried
through the switches in order to increase switch life and reduce
heat in control consoles. All wiring devices, switches, outlets,
etc. shall be rated to carry at least 125 (125%) of the maximum

3.4.3 Wirier
All wiring provided by the Cod%tractor shall be copper and conform
to all SAE J1292 requirement: All installed wiring shall have
S.X.L. high temperature thermoplastic or better insulation
conforming to SAE J1127 and SAE J1128.
The installed wiring shall be color coded as to basic function.
All wires, except ground wires, shall have the specific function
imprinted with descriptive words at no less than 4 inch
intervals. The function description shall be permanently
imprinted on the wire covering. Stick -on labels or non -permanent
marking methods shall not be used.
All wiring shall be routed in convoluted, high temperature looms
with a rating of 300 degrees -Fahrenheit, which will not support
combustion. Wiring shall not be less than 12 gauge, except for
switch to relay wires, which carry less than 1 ampere. All
conduits, looms and wiring shall be secured to the body or frame
with insulated cable straps in order to prevent sagging and
movement, which results in chaffing, pinching or other damage.
All apertures on the vehicle shall be properly grommeted for
passing wiring and conform to SAE J1292. All items used for
protecting or securing wiring shall be appropriate for the
specific application and be standard automotive, marine or
electronic hardware. /

3.4.4 Switches

3.4.14 Engine Hiqh Idler
An engine high idle speed control shall be provided and equipped
with a Vortec voltage monitor sensor device, which automatically
increases the engine (RPM) speed to sustain the ambulance's total
electrical load. The device shall operate only when the
transmission is in the the neutral position. The device shall
disengage when the operator depresses the brake pedal or the
transmission is placed in gear and shall automatically re-engage
when the transmission is placed in neutral.

3.4.20 Rear Load Lights {
The two existing load lights shall be removed from the vehicle.
Two (2) new Whelen Max Beam s�ene lights shall be provided. The
load lights shall be mounted ip housing below the roof line and
above the rear loading doors, which project the light downward at
an angle of 12 to 16 degrees. `The loading lights shall be
activated with the opening of 41he rear entry doors. They shall
also activate when the transmission is placed in reverse to serve
as additional back-up lights.

3.4.21 Spot Lights
The old spot lights on the existing ambulance shall not be used.
They will not be returned to the Purchaser. There shall be a
spot light provided with a minimum 200,000 candle power lamp,
corrosion -proof .housing with momentary switch and minimum eight
foot (8'), heavy duty coiled cord. It shall be hard wired to the
vehicle's 12 volt system and have an accessible holder. Location
to be determined at preconstruction conference. /

3.4.22 Siren
The old existing siren shall be removed and returned to
Purchaser. A new S.V.P. model, #SA430-63F, remote control
electronic siren. The siren shall provide wail, yelp, phaser and
air horn tones. It shall be capable of manual operation and have
a P.A. feature with noise cancelling microphone and adjustable
volume. A rocker switch in the cab console shall allow manual
operation of the siren from the chassis horn control.

3.4.23 Air Horns
The existing air horns will be removed from the light bar and
installed in or behind cut-outs in the front bumper. If one of
the trumpets is too long, it shall be replaced. A foot control
switch shall be installed on the driver's side of the vehicle.

conference. The existing air supply and electronic control
system will be checked and any repairs necessary will be made to
the system.

4.0 Change -Over §Pecifications
4.1 Change Modular Body
Remove the modular body from the old chassis and install on the
new Navistar chassis. The Bidder shall make any and all
necessary changes to the modular wheel well and to the mounting
rails so that the modular box will fit properly on the Navistar
chassis and look aesthetic. The modular body shall remain
capable of being transferred and not permanently attagiied.

4.1.1 Convert to Type I Vehicle
The present modular is a Type III; the successful Bidder will
make the necessary changes to convert the front of the vehicle to
a Type I vehicle. A new aluminum front will be placed on the

4.1.1.1 Attachment
Attachment shall contain a minimum of 12 new case hardened 5/8"

4.1.2 Pass Through Window
A pass through window will be installed in the front of the
modular box to comply to KKK-A-1822C. A flexible, weather -tight
bellows, fabricated from EPDM, Hypalon, sheet or molded rubber or

resists ozone, sunlight, oil, fungus and will not crack, rot or
deteriorate. Shall be installed between the chassis and the
modular body. /

4.1.3 Control Console

preconstruction conference. Monroe County EMS has designed a
console for it's present fleet; the control console of the

in these specifications. The rear control console will be
removed and replaced with a new stainless steel console that will

4.1.10 Flooring
The flooring g+and stainless steel floor plates shall be removed
and new flooring and stainless steel plates shall be installed.
The flooring shall be seamless, one piece, no wax type linoleum
or vinyl, not less than 1/16" thick. It shall be permanently
applied to the floor, cabinet to cabinet and up the sides a
minimum of 311, running full length and width of the patient
compartment working area. Floor covering material shall comply
to FMVSS 302. The covering joints (corners, etc.) where the side
walls and covering must be sealed and the covering shall extend
at least 3" up the side walls. Where trim connects to the wall,
a continuous seal of silicone will be applied to prevent fluids

5.1.4 Federal Lettering
Ambulance marking as required in Federal Specification Ambulance

3, reflectivity 1. The reflective color shall be blue Color A)
and white (Color 1). See figure 4 of KKK-A-1822C.
