Purchase Type I AmbulanceAGREEMENT
THIS AGREEMENT made and entered into this 24th day of
March , 1994, A.D., by and between the Monroe County Board
of County Commissioners, Monroe County, Florida, hereinafter
"COUNTY" and Southern Ambulance Builders, Inc., hereinafter
"CONTRACTOR".
WHEREAS: That the parties hereto, for the consideration
hereafter set forth, mutually agree as follows:
1. SCOPE OF THE WORK
The CONTRACTOR shall furnish all labor, materials,
equipment, machinery, tools, apparatus, and transportation and
perform all other work as described in the Specifications for
the purchase of a 1994 Type I Ambulance, for the Monroe County
Board of County Commissioners, the Notice of Calling for Bids
dated December 1, 1993 and as described in the CONTRACTORS Bid
Proposal: all of which are hereto attached and made part of
this agreement by reference.
2. CONTRACT SUM
a. The COUNTY agrees to pay for the ambulance purchase
delivered in the manner as set forth in the
contract documents the sum of Seventy Five Thousand
Four Hundred Eighty -Six Dollars ($75,486.00) to be paid
to the CONTRACTOR within 45 working days afyter
acceptance of the ambulance at the Monroe Z)ui(ity :,j

copy of the Proposal being a part of the Specifications
and the Contract Documents including contingency, the
aggregate amount in the sum of $75,486; as follows:

3. GENERAL PROVISIONS
a. The CONTRACTOR agrees to indemnify the COUNTY and hold the
COUNTY harmless from and against all claims, damages,
losses and expenses, including reasonable attorneys' fees
in any an action arising out of performance of the work
herein, including bodily injury, illness or death, or for
property damage including loss of use, resulting from the
CONTRACTOR'S work.
b. The CONTRACTOR, warrants that it has not employed,
retained or otherwise had act on its behalf any former
County officer or employee subject to the prohibition of
Section 2 of Ordinance No. 010-1990 or any County Officer
or employee in violation of Section 3 of Ordinance No.
010-1990. For breach or violation of this provision the
County may, in its discretion, terminate this contract
without liability and may also, in its discretion, deduct
from the contract or purchase price, or other wise
recover, the full amount of any fee, commission,
percentage, gift, or consideration paid to the former
County officer of employee.
4. CONTRACT TERM
a. The Contract shall commence on the date on which the
Contract is signed by the last party of the two parties
signing the Contract. Delivery to be within 90 calendar
days of receipt of the chassis.
b. The CONTRACTOR will not be held liable for delay in
delivery caused by strikes, inability to obtain materials
or equipment, production or manufacturing problems and all
other causes beyond the CONTRACTORS control. The
CONTRACTOR shall not be liable for any incidental damages
caused by delays in delivery.
5. CONTRACTOR'S ACCEPTANCE OF CONDITIONS
The CONTRACTOR understands all provisions of this Contract
and of the Specifications and agrees to their sufficiency for
the work to be done. Under no circumstances, conditions or
situations shall this Contract be more strongly construed
against the COUNTY than against the CONTRACTOR.

cost of goods to be delivered shall be amended by an Agreement
Amendment, which must be approved by the Board of County
Commissioners of Monroe County and such modification shall not
become effective until approved in writing by the COUNTY.
INDEPENDENT CONTRACTOR
At all times and for all purposes hereunder CONTRACTOR is
an independent contractor and not an employee of the Board of
County Commissioners of Monroe County. No statement contained
in this Agreement shall be construed so as to find the
CONTRACTOR or any of his/her employees, contractors, servants,
or agents to be employees of the Board of County Commissioners
of Monroe County, and they shall be entitled to none of the
rights, privileges, or benefits of employees of Monroe County.
Notwithstanding the foregoing, the CONTRACTOR is authorized to
act as the COUNTY'S agent for the limited purpose of paragraph
18 of this Agreement.
9. COMPLIANCE WITH LAW
In providing all services pursuant to this Agreement, the
CONTRACTOR shall abide by all statutes, ordinances, rules and
regulations pertaining to, or regulating the provisions of such
goods, including those now in effect and hereinafter adopted.
Any violation of said statutes, ordinances, rules or
regulations shall constitute a material breach of this
Agreement and shall entitle the Board of County Commissioners
to terminate this contract immediately upon delivery of written
notice of termination to the CONTRACTOR.
10. SUBCONTRACTING/ASSIGNMENT
CONTRACTOR shall not assign, sublet, subcontract, sell or
transfer any interest in this contract without the prior
written consent of the COUNTY thereto.
11. NOTICE - GENERAL
Any notice or notices required or permitted to be given
pursuant to this contract may be personally served on the other
party by the party giving such notice, or may be served by
certified mail, return receipt requested, to the following

12. ANTI DISCRIMINATION
CONTRACTOR agrees they will not discriminate against any
of their employees or applicants for employment or against
persons for any other benefit or service, because of their
race, color, religion, sex, or national origin, or physical or
mental handicap where the handicap does not affect the ability
of an individual to perform in a position of employment and to
abide by all Federal and State laws regarding
non-discrimination.
13. NON WAVIER
Any waiver of any breach of covenants herein contained to
be kept and performed by the CONTRACTOR shall not be deemed or
considered as a continuing waiver and shall not operate to bar
or prevent the COUNTY from declaring a forfeiture for any
succeeding breach either of the same conditions or covenants or
otherwise.
14. CONTRACTOR - GENERAL
The CONTRACTOR warrants that it is authorized by law to
engage in the performance of the activities encompassed by the
program herein described, subject to the terms and conditions
set forth in the Attachment, which is attached hereto and
incorporated herein as part of this Agreement.
Each of the signatories for the CONTRACTOR, below,
certifies and warrants that:
a. The CONTRACTOR'S name in this Agreement is the full name
as designated in its corporate charter, if CONTRACTOR is a
corporation; otherwise CONTRACTOR'S name is the business
entity, whether partnership of sole proprietorship, under
which CONTRACTOR normally conducts business.
b. They are empowered to act and contract for the CONTRACTOR,
and
C. CONTRACTOR has, if this contract calls for payment in
excess of $10,000, executed a sworn statement under F.S.
287.133 (3) (a), on public entity crimes. Said statement,
if not attached hereto, is already on file with the EMS
Office/Clerk of Court for the calendar year 1994.
15. ENTIRE AGREEMENT
This Agreement and the specifications attached hereto and
made a part of this Agreement constitute the entire agreement
of the parties hereto with respect to the subject matter hereof
and superseded any and all prior agreements with respect to
such subject matter between CONTRACTOR and the EMS Office or
the COUNTY.
16. CONSENT TO JURISDICTION
This Agreement, its performance, and all disputes arising
hereunder, shall be governed be the laws of the State of
Florida and both parties agree that a proper venue for any
action shall be Monroe County.
17. CONDITIONS OF TERMINATION:
The performance of work or provision of goods under this
agreement may be terminated, delayed, or temporarily suspended by
the COUNTY, in whole or in part, from time to time, wherever the
COUNTY shall determine that such termination is in the best
interest of the COUNTY. The COUNTY shall pay all reasonable costs
incurred by the CONTRACTOR up to the time of termination, and all
reasonable costs to the CONTRACTOR associated with termination.
18. INSPECTION AND CORRECTIONS
The COUNTY shall have the right to inspect the ambulance at the
factory and at the time and place of delivery. Time limited on
acceptance and discrepancy correction shall be as stated in section
2.14 of attached Specification. In the event of any claimed
defects in the chassis or deviations from specifications, the
CONTRACTOR shall have the necessary time to inspect the ambulance
and make any necessary changes or corrections. In the event of any
defect in the chassis, the CONTRACTOR, as agent for the COUNTY,
shall contact the manufacturer of the chassis and advise them of
any necessary changes or corrections needed. COUNTY may elect to
contact the chassis manufacturer directly with regard to defects or
deviations from specifications. Nothing in this paragraph
shall affect any warranties for the ambulance, patent and
royalty indemnification, or any other obligation of the
CONTRACTOR under this agreement (including the Specifications
which are a part hereof) extending beyond the date of the
COUNTY'S acceptance of the ambulance.
19. WARRANTY EXCLUSION FOR CHASSIS
The CONTRACTOR does not warrant the chassis and the COUNTY must
look to the chassis manufacturer for any warranties other than
those specifically called for in section 2.9 of the specification.

SPECIFICATIONS
FOR
EMERGENCY MEDICAL CARE VEHICLE
(AMBULANCE)
1.0 SCOPE
This specification covers a new commercially produced surface
emergency medical care vehicle, hereinafter referred to as Emergency
Care Vehicle. A vehicle in compliance with the specification shall
be also defined as a standard ambulance. This ambulance is in
general accord with the Ambulance Design Criteria of the National
Highway Traffic Safety Administration, U. S. Department of
Transportation, Washington, D. C. This specification is based on
the Federal Ambulance Specification KKK-A-1822C, effective January 1, 1990. Reference numbers used in this specification
refer to appp! licable paragraphs of that document.

1.1 General Intent
This is an engineer, design, construct and delivery type
specification and it is not the intention of Monroe County to write
out vendors or manufacturers of similar or equal equipment of the
types specified. Proposals or alternate bids for any equipment that
will efficiently accomplish the same task will be given careful
consideration. Monroe County shall be the sole judge of the
equipment that is the most advantageous and the decision of the
County shall be final.
This specification details the requirements for general design
criteria of the overall Emergency Care Vehicle including the engine,
transmission, electrical, module, body, painting and equipment.
This specification shall become part of the final contract.
1.2 Material and Standardization
The Emergency Care Vehicle, chassis, ambulance body, equipment,
devices, medical accessories and electronic equipment to be
delivered under this contract shall be standard commercial products
which meet or exceed the requirements of this specification. The
ambulance shall comply with all Federal Motor Vehicle Safety
Standards (FMVSS), and Federal regulations applicable or specified
for the year of manufacture. The chassis components and optional
items shall be as represented in the manufacturer's current
technical data.
The supplier shall provide total standardization and
inter -changeability between vehicles and like equipment and
accessories .as specified. Materials used in the construction shall

be new and not less than the quality conforming to current
engineering and manufacturing practices. Materials shall be free of
defects and suitable for the service intended.
1.3 Classification
Ambulance type, class and floor plan. This specification calls
for the following type of ambulance:

1.4 Definitions
1.4.1 Purchaser: Monroe County, Florida a/k/a the Board of County
Commissioners.
1.4.2 Bidder/Contractor: The individual, firm, partnership,
manufacturer or corporation to whom the bid/contract is awarded by
the Purchaser and who is subject to the terms thereof. For bidding
purposes, the Contractor, Vendor and Bidder are synonymous.
1.4.3 Equal: Shall be taken in its general sense and shall not mean
identical. It These specifications are for the sole purpose of
establishing minimum requirements of level of quality, standards of
performance and design and is in no way intended to prohibit.th�
bidding of any Manufacturer's item of equal material.
The County shall be the sole judge of equality in its beat
interests and decision of the County as to equality shall be final.
1.4.4 Cab Chassis Manufacturer: Will be the Ford Motor Company and
herein referred to as the "Chassis Manufacturer".
1.4.5 Terms - Heavy Duty: The terms Heavy Duty or H. D. as applied
to these specifications shall be interpreted to mean that the item
to which the term is applied shall exceed the usual quality,
quantity, or capacity of that supplied with standard production
vehicles and shall be able to withstand the unusual strain,
exposure, temperature, wear and use to be expected in the intended
service.
2.0 SPECIAL CONDITIONS
No contract shall be considered unless the Contractor can meet
the special conditions stated herein.
2.1 Contractor's Responsibility and otuallifi,.tions
The vehicle and equipment shall be delivered as a complete
unit, serviced and ready for operation. Any omission of details in
these spepifications shall not relieve the Contractor from
furnishing a complete unit.

Minor details of design, construction and materials, where not
otherwise specified, are left to the discretion of the Contractor
who shall be solely responsible that such design, construction and
material shall be in conformance with the intended use.
Drawings and plans showing the size and location of
compartments, doors,. seats, and other equipment not specifically
described in these specifications and not considered minor shall be
submitted for approval before fabrication and assembly of the
ambulance.
2.1.1 Examination of Specification
Each Contractor is required before submitting his proposal, to
be thoroughly familiar with the specifications contained herein. No
additional allowances will be made because of lack of knowledge of
the conditions. It is the responsibility of the successful
Contractor to ascertain if any components of the specification are
unsafe and that if any unsafe or poorly designed criteria are
contained herein that they be thoroughly explained to the Purchaser
in the contract proposal.
2.2 Qualit1. Assurance
It is not the intent of these specifications to call for an
unusual or experimental vehicle. Nor is it the intent of this
department to accept such proposals. Therefore, as proof of the
ability to manufacture vehicles of the type called for in these
specifications, the manufacturer of the vehicle bid must be able to
show proof that they have produced at least 50 vehicles of the type
specified herein.
2.2.1 Contractor shall have in operation a factory adequate for and
devoted to the manufacture of the equipment herein specified. If
equipment is proposed other than of his own manufacture, he will
provide with his proposal a written statement that such equipment
offered is in complete compliance with this specification. The
intent of this section is to ensure maximum single source
responsibility for all equipment proposed by the Contractor.
2.2.2 A list of ten (10) Fire •Departments and/or Emergency Medical
Service providers with contact names and telephone numbers where the
Vendor has sold similar or identical equipment within the last
three (3) years shall be supplied with each proposal.
2.2.3 Each contractor shall disclose any pending or anticipated
litigation between the Contractor and sub -contractors, other parties
and the Contractor or other parties and sub -contractors.
2.2.4 Monroe County shall be advised within the Contract proposals of
any anticipated labor contracts which may be negotiated or
renegotiated during the period of manufacturing. The Manufacturer's
labor contracts, if up for renewal, shall be noted with the
expiration dhte of the Contract and anticipated outcomes.

2.2.5 The Contractor shall provide a list of manufacturer's
authorized service centers where repairs to the modular body, body
components, electrical system, and related components can be
performed.
2.3 Prices and Payments
2.3.1 All contract prices shall be on a F.O.B. Monroe County E.M.S.
Marathon, Florida delivered and accepted at Monroe County, Florida
per specifications and shall include warranty.
2.3.2 Payment shall be made in accordance with the specifications and
the contract proposal upon acceptance by the County of the hardware
and/or services performed by the successful Contractor,
2.3.3 All bid/contract prices must be specified on the bid/contract
proposal form.
2.3.4 Two (2) categories of equipment are specified, "Mandatory Work
and Equipment" and "Optional Work and Equipment". The Contractors
must price and agree to do all work and furnish all of the equipment
listed under both categories, with the mandatory work and equipment
being incl4ded in the apparatus price. It is understood that the
successful Contractor must furnish with the apparatus any part or
all of the optional work and equipment listed that Monroe County
elects to purchase.
2.3.5 Contract prices shall be valid for at least ninety (90) days
from the date of the bid opening, or as otherwise specified herein.
2.3.6 Acceptance of the Emergency Care Vehicle shall occur after the
unit is received, inspected and found to comply with specifications,
free of damage or defect and is properly invoiced. All invoices
shall bear the purchase order number. Payment will be made within
30 working days after acceptance of the unit.
If the unit cannot be accepted for any reason, within 30 days
maximum, of delivery to Monroe County, the successful contractor may
be deemed in default.
2.3.7 Any equipment shipped, rather than delivered with the unit,
shall be shipped pre -paid and shall bear the purchase order number
on the invoice.
2.4 BID/CONTRACT EVALUATION
Bid/Contract proposals will be evaluated by the Purchaser. In
evaluating the Bid/Contract Proposals to determine which proposal is
the most advantageous to the County, major considerations in
addition to price which will be evaluated are:
2.4.1 Commitment to the special and general conditions contained
herein particularly to that which applies to warranty.

2.4.2 Completeness of the proposal, i.e., the degree to which it
responds to all requirements and requests for information contained
herein.
2.4.3 Two (2) complete sets of descriptive material such as plans,
photographs, diagrams, illustrations, drawings, written
descriptions, and manufacturer's literature which will enable the
Purchaser to determine the exact dimension, quality, design, and
appearance of the proposed vehicle shall accompany the
Bid/Contract. In addition, Contractors shall supply at least
two (2) complete sets of technical engineering drawings and complete
specifications covering the vehicle offered, which detail the
dimensions and details of the vehicle. Said plans and drawings will
become part of the final contract.
2.4.4 Manufacturing and delivery schedule.
2.4.5 Contractor's demonstrated capabilities and qualifications and
Contractor's past performance (experience) with Purchaser.
2.4.6 Equipment 'supplier's demonstrated capabilities and
qualifications.

2.4.12 These specifications are based upon design and performance
criteria which have been developed as a result of extensive research
and careful analysis of the data. Subsequently, these
specifications reflect the only type of emergency care vehicle that
is acceptable at this time. Therefore, major exceptions to the
specifications may not be accepted. Certain exceptions may be
accepted, if they are minor, equal, or superior to that which is
specified, and provided that they are listed and fully explained on
a separate page entitled "Exceptions to Specifications". The
exceptions shall refer to the specification's page and paragraph
number. 7n addition the Contractor shall submit with the proposal
these specifications with the "Comply' and Exception" columns
completed, which will indicate whether the Contractor will comply or
take exception to the particular paragraph. In the event the

Contractor takes exception to any items of this specification, the
Contractor shall explain in detail, with full engineering support
data, the reasons why the proposed equipment or process will meet
the intent of this specification (Section 2.21-Reply to
Specification). The Purchaser shall determine which (if any)
exceptions are acceptable and this determination will be final. The
successful Contractor will be held responsible for delivering a
vehicle in strict compliance with these specifications.
2.4.13 Proposals taking total exception to specifications will not be
accepted.
2.4.14 In order for Monroe County to expedite repairs under warranty,
special consideration may be given Contractors who designate
authorized repair facilities within, or in close proximity to,
Monroe County, Florida.
2.5 Bid/Contract Award
2.5.1 The Purchaser reserves the right to reject any or all
bids/contracts deemed to be unresponsive and to accept any
bid/contract which in its best interest most closely meets the
evaluationibriteria of section 2.4. The Purchaser also reserves the
right to waive any informalities, irregularities and technicalities
in procedure.
2.5.2 The Purchaser reserves the right, before awarding the contract,
to require a Contractor to submit additional evidence of his
qualifications as it may deem necessary. Documentation that may be
required is financial, technical and/or other information
substantiating the Contractor's qualification and abilities,
including past performance (experience) with Monroe County. The
Purchaser shall be the final authority in the award of contract.
2.6 Disputes
2.6.1 In case of any doubt or difference of opinion as to the items
to be furnished herein, the decision of the Purchaser shall be final
and binding on both parties.
2.6.2 It is understood that any legal action that may be brought by
either party pursuant to the terms of this contract, will be brought
in the appropriate jurisdictional court in Monroe County, Florida.
2•7 Anti -Collusion Statement
By signing this Contract, the Contractor agrees that his
Bid/Contract is made without any understanding, agreement, or
connection with any other person, firm, or corporation making a
Bid/Contract for the same purpose and that his Contract is in all
respects fair and without collusion or fraud.
2.8 Travel to,Manufacturer

County authority with a statement of intent to show how, where and
when the warranty service shall be accomplished. In the event that
there is no response, or if the response exceeds 72 hours, or if the
response that is received is on time but is not acceptable to the
Monroe County authority or is acceptable but not performed at the
specified time, Monroe County will provide for the required warranty
service. The total costs of all labor, parts, components, materials
and freight shall be reimbursed to Monroe County within 45 days
after the bill has been mailed to the successful Contractor.
2.9.5 Warranty shall begin at the acceptance of the manufactured
apparatus by Monroe County. Accepting delivery of the vehicle does
not imply final acceptance of the vehicle as meeting specifications
or other conditions. Mileage accumulated as a result of testing or
delivery shall have no bearing on the warranty period.
2.9.6 The successful Contractor shall be liable to the Purchaser for
supply of information and material necessary for mandatory
revisions/modifications as determined by the successful Contractor
or sub -contractor or suppliers at no cost to the purchaser for a
minimum of five (5) years from date of equipment acceptance. All
revision information pertaining to the equipment purchased shall be
supplied td�the Purchaser at no cost as it becomes available. (This
includes corrections to the instruction manual, etc.)
2.9.7 The duration of the warranty period shall be stated by the
Contractor with his Bid/Contract responses and shall be at least:
One Year - parts, labor and all components
Four Years - transmission and drive train
Five Years - rust and corrosion
Fifteen Years - module construction
2.9.8 Where a manufacturer offers any type of Extended Warranty
Program, then the Contractor is required not only to research and
advise the Purchaser of such program but also reflect the price in
the Option Section.
2.10 Material and Workmanship
2.10.1 All equipment furnished shall be guaranteed to be new and of
current manufacture, meet all requirements of this specification,
and be in an operable condition at the time of delivery.
2.10.2 All parts shall be of high quality materials and workmanship,
shall be of new and current manufacture and no part of attachment
shall be substituted or applied contrary to the Manufacturer's
recommendations and standard practices.
2.10.3 All workmanship shall be equal to the highest industry
standards end performed in a professional manner so as to insure a
safe and functional apparatus with an aesthetic appearance.
2.11 Technical Information/Exception

Prop'osalsll re requested for a minimum of one (1) emergency care
vehicle fabricated and fully equipped with the option to increase
the purchase to a maximum of three (3) emergency care vehicles. The
additional vehicles may be ordered within six (6) months after
receipt of order for the original vehicle.
2.11.1 All mandatory ' work and equipment requested by this
specification must be included in the contract price. It is
understood that the successful Contractor must furnish the emergency
care vehicle with all required equipment.
2.11.2 Contractor shall furnish free of charge with his bid/contract,
technical information, graphs, charts, photographs, engineering
diagrams, instruction books, or other means to show the the
equipment ordered fully complies with this specification. In the
event the published literature furnished by the Contractor is at
variance with the requirements of any item of this specification,
the Contractor shall explain in detail, with full engineering
support data, the reasons why the proposed equipment will meet this
specification and not be considered an exception thereof.
2.12 Instructional Manuals/Drawings, Schematics
is
The following sets of manuals shall be provided for the
emergency care vehicle:
2.12.1 Two (2) operational manuals for the apparatus, which describe
the total operation of the unit, describe all the operations of all
components attached to that unit and any other supporting documents
which are necessary for an individual operating the unit to be
thoroughly familiar with the total operation of the unit.
2.12.2 The successful Manufacturer shall provide for the Maintenance
and Support Shop one (1) parts manual identifying all parts used on
the unit.
NOTE: The Manufacturer shall identify and cross reference
those components which can be purchased by outside vendors.
Example: Manufacturer's part number equals Lease Nevill's
part number.
2.12.3 A total of two (2) service manuals shall be provided. These
manuals shall provide all technical information for the unit and a
complete set of 'as built' drawings which will include:
1. Equipment specifications
2. Wiring diagrams
3. Equipment elevations
4. All information describing major malfunction identification and
subsequent trouble shooting procedures.
2.12.4 Revision Requirements
All revision information pertaining to the equipment purchased
shall be sLpplied to the Purchaser at no costs as it becomes

available. (This includes corrections to the instruction manual,
etc.). This information is to be furnished as long as this
equipment is being produced by the Manufacturer.
2.13 Delivery
2.13.1 Delivery of the unit shall be F.O.B. destination to Monroe
County EMS Office, Marathon, Monroe County, Florida. Final
inspection and acceptance shall take place after delivery to Monroe
County. Delivery shall be 'drive in' to and from each point, no
'piggyback' will be allowed.
2.13.2 All bidders/contractors shall provide as part of their Contract
proposal a milestone chart identifying the major projected dates
from the initial step through delivery and acceptance. A delivery
schedule shall be jointly agreed to between the Purchaser and
Manufacturer.
2.13.3 Since delivery proposals by the Contractors will weigh heavily
in the determination of award,of Contract, the delivery schedules
that are submitted by the Contractors and agreed upon by the
Purchaser hall automatically become binding upon the successful
Contractor.'
2.13.4 Pre -delivery service shall include the following:
1. Complete lubrication
2. Filling crankcase with oil
3. Adjustment of engine to proper operating condition
4. Inflate tires to proper pressure
5. Insure perfect operation of all mechanical and electrical
fixtures
6. Front end alignment and wheel balancing
7. Check for leaks of any kind
2.14 Acceptance and Discrepancy Correction Period
2.14.1 The unit shall be delivered with a full compliment of
additional equipment as ordered per the purchasing agreement. The
vehicle shall be complete and functioning properly. Payment will
not be made if any equipment is back -ordered.
2.14.2 A list of discrepancies for correction will be provided to the
successful Contractor by Monroe County within thirty (30) working
days or less of the delivery of the vehicle. The successful
Contractor shall have thirty (30) working days to correct all of the
listed discrepancies. If this condition is not met the successful
Contractor may be deemed in default.
2.14.3 If the emergency care vehicle is delivered with major
discrepancies that are not correctable, and by this circumstance the
successful Contractor has demonstrated gross irresponsibility in
meeting the purchasing agreement then Monroe County reserves the
right to find the successful Contractor in default.

2.15 Bid' Guaranty
All bids shall be accompanied by a Surety Bond in the amount of
five percent (5%) of the total Contract price, payable to the Monroe
County Board of County Commissioners. Bid/Contract guarantee will
be returned after the bid awarding to all except the successful
Contractor. The bid guarantee of the successful Contractor will, be
returned after the project contract has been signed by both parties.
2.16 Indemnification and Insurance
The Contractor shall indemnify and save the Purchaser harmless
form any and all claims, liability, losses and causes of actions
which may arise out of the fulfillment of the agreement. The
Contractor shall pay all claims and losses of any nature whatever in
connection therewith, and shall defend all suits, in the name of the
Purchaser when applicable, and shall pay all costs and judgements
which may ensue thereafter.
2.17 Patents and Royalties
The Contractor, without exception, shall indemnify and save
harmless, the Purchaser and its employees from liability of any
nature, including cost and expenses for or on account of any
copyrighted, patented or unpatented invention, process or article
of manufacture used in the performance of the Contract, including
its use by the Purchaser. If the Contractor uses any design, device
or materials covered by letters, patent or copyright, it is mutually
agreed and understood, without exception, that the Contract price
shall include all royalties or cost arising from the use of such
design, device or materials in anyway involved in the work
2.18 Liquidated Damages
2.18.1 If the Contractor fails to deliver the equipment or perform the
services within the' time specified, it is understood and the
successful Contractor hereby agrees that the amount $100.00 per
calendar day may be deducted from the monies due the Contractor for
each intervening calendar day any work remains incomplete, not as a
penalty, but as liquidated damages. The Contractor shall not be
liable if performance failure arises out of causes beyond their
control and without fault or negligence of the Contractor (acts of
God, war, fires, floods, freight embargoes, etc.) The start of
liquidated damages will be based on the delivery schedule agreed to
by both parties.
2.18.2 Should a performance failure occur, it will be the
responsibility of the Contractor to notify the Purchasing Agent of
Monroe County in writing and submit proof of the circumstances for
non-performance. Immediately following the resolution of
circumstances responsible for non-performance, the successful
Contractor must renegotiate delivery schedules to the satisfaction
of Monroe County.

2.19 Program Manager
2.19.1 The successful Contractor shall designate a competent
individual acceptable to the Purchaser to perform the Contractor's
program management function. The Program Manager shall provide a
single point of interface between the Purchaser and the Contractor
on all matters concerning the contract.
2.19.2 The Program Manager shall present a written bi-weekly status
report to the Purchaser on the progress of the fabrication, delivery
schedules and all existing and potential problems.
2.19.3 The Program Manager shall be technically oriented and
thoroughly familiar with all the construction techniques used and
shall act as the liaison between the Manufacturer and the Department.
2.20 Proposal in reply to specification
2.20.1 Any exceptions to the specifications must be itemized. Details
concerning,the exceptions must be clearly explained. Each exception
will be considered'by the Purchaser as to degree of impact and total
effect on �he specifications. The proposal shall be arranged so
that rapid reference between the specification and proposal can be
accomplished by the Purchaser. Specification section assignment
numbers shall be referred to in the proposal (see Section 2.4 - Bid
Evaluation).
2.21 Familiarity With Laws

this speci#ication, the questions shall be addressed in writing to
Monroe County EMS Director, Division of Public Safety, Monroe
County, 490 63rd Street Ocean, Suite 170, Marathon, Florida 33050.

2.23.2 Clarifications or corrections to the specifications shall not
be valid unless they are in written form and signed by the EMS
Director of Monroe County.
2.23.3 When a Bidder/Contractor requests a clarification, a copy of
the request and the Purchaser's reply will be forwarded to all
qualified bidders/contractors.
2.24 Pre -Construction Conference
The successful Contractor shall be required prior to
manufacturing the emergency care vehicle to have a
pre -construction conference at the site of his choosing with
Monroe County Emergency Medical Services to finalize all the
construction details. If the manufacturer requires the conference
to be held at a location other than the Monroe County EMS office,
the successful Contractor shall, at his expense, provide
transportation, lodging, meals, etc. for one (1) person designated
by Monroe County.
2.26 Performance Test and Requirement
2.26.1 The emergency care vehicle shall conform to all Federal Motor
Vehicle Standards that apply'to automotive ambulances. State of
Florida Regulations, Occupation Safety and Health
Administration (OSHA) Standards that apply to the apparatus and
the auxiliary equipment and/or related medical equipment that is
furnished. The vehicle shall conform to the requirements of
KKK-A-1822C, unless otherwise specified by the Purchaser.
2.27 oral Presentation
The Purchaser may require the Bidders/Contractors who are
reasonably in contention to make an oral presentation prior to the
award so the Purchaser cannot misinterpret any part of their
proposal. The presentation shall be in Monroe County. The oral
presentation is to be used for clarification of the Bid/Contract
proposal and specification only. The oral presentation is not to be
used for modifying specifications or changing bid proposals. The
cost of this presentation will be borne by the Contractor. (Time
and place to be announced, if required.)
2.28 Licenses
All Bidders/Contractors must have the proper licenses, as
required by Florida State Law and be prepared to submit copies of
them upon request.
2.29 Contingency
2.29.1 A contingency in the total sum of $500.00 shall be included in
the contract price to cover costs of unforeseen items or needed work
that may become apparent during the course of fabrication. Approval
of every ru6h alteration or expenditure must be given in writing to

the successful contractor by the Purchaser, or his representative.
Any unused portion of these funds shall be deducted from the invoice
total.
2.29.2 All work ordered and performed in accordance with the foregoing
will be paid for at the price stipulated in the Purchasers written
approval. This stipulated price will include a reasonable amount
for the contractor's overhead and profit, and will have been
mutually agreed upon by the Contractor and the Purchaser or his
representative, as equitable compensation for the additional work.
2.30 Radio Frequency Interference Suppression
Electrical components, electronic equipment, and devices used
and installed on the vehicle in addition to all sub -systems,
chassis, warning systems, etc. shall be electromagnetic radiation
suppressed, filtered, or shielded to prevent interference to radio
and telemetry equipment aboard the vehicle and surrounding area.
The RFI of the completed vehicle shall not exceed the maximum
limits in PAEJ551.

l 3.0 TECHNICAL REQUIREMENTS- CAB -CHASSIS.
3.1 General Vehicular Design Types and Floor plan,
The ambulance and the allied equipment furnished under this
specification shall be the manufacturer's current commercial
vehicle of the type and class specified herein; furnished with
such modifications and attachments as may be necessary and
specified to enable the vehicle to function reliably and
efficiently in sustained operation. The design of the vehicle and
the specified equipment shall permit accessibility for servicing,
replacement and adjustment of component parts and accessories
with minimum disturbance to other components and systems. The
term "heavy duty" as used to describe an item, shall mean in
excess of the usual quantity, quality, or capacity, that is
normally supplied with the standard production vehicle or
component.

3.1.2 The ambulance shall be a type I, Class I, and shall be a chassis
furnished with a 2-door conventional cab. Chassis -cab shall be
suitable for subsequent mounting of a modular (containerized),
transferable equipped ambulance body conforming to the
requirements specified herein.
3.1.3 The design of the vehicle shall utilize floor plan "A" loading
arrangement of patients into the patient compartment. All litters
shall be loaded into position with the heads of the patients
forward in the vehicle.
3.2 Vehicle Components Equipment and Accessories
The emergency medical care vehicle, chassis, ambulance body,
equipment, devices, medical accessories and electronic
equipment to be delivered under this contract shall be standard
commercial products, tested and certified, to meet or exceed the
Federal Motor Vehicle Safety Standards (FMVSS) and Federal
Regulations applicable or specified for the year of manufacture.
The chassis, components, and optional items shall be as repre-
sented in the manufacturer's current technical data. Also the
ambulance body, equipment, and accessories shall be as repre-
sedted in their respective manufacturer's current technical data.
Data shall be limited to specifications and technical material
`e identical to that furnished to the authorized company
representatives. The ambulance components and equipment need
not be the products of the same manufacturers.
3.3 Materials.
Materials used in the construction shall be new and not
less than the quality conforming to current engineering and
manufacturing practices. Materials shall be free of defects and
suitable for the service intended.
3.4 Vehicle Operation Performance and -Physical Characteristics.
The following is a description of the Cab -chassis that will meet
the minimum requirements of this specification and it is
expressed as minimums. In addition, the chassis shall comply
with paragraphs 3.4.1 through 3.6.124 of Federal Specification
KKK , A-1822C.

The emergency medical vehicle's electrical system shall be

4.2 Warning Indicator

Floor Construction_
The floor framing shall be a design that provides a full width and
full length extension of the high strength frame structure. The
floor framework at the cab -to -module juncture will have a
lateral cross member of 1.5" x 6" "C" channel. From this header
toward the rear, 2"x 2" cros's members will be located on
approximately 14" centers except at the area of chassis frame
rise over the rear axle. This area, the floor frame members are
welded in place from to rear. This area is additionally
strengthened by the installation of two large, high strength "C"
channels. placed front to rear. One of these "C" channel is is 1.5"x
6" with a .375" wall, and the other is 1.5"x 3" with a .375 wall
thickness. These members shall be installed to provide added
frame strength, and to provide high strength anchor points for the
cot mqunts. To provide added strength, the exterior compartments
will be strengthened by framing reinforcements consisting of
.2510" flat bar, 1 " x 2" box tube, and 1.5" x 3" channel. This

compartment reinforcement shall work to extend framework
strength throughout the exterior compartment areas that would
otherwise be void of framework. Where the floor framework
meets with vertical walls, the juncture will be full -seam welded

x 3" solid flat bars to provide added module frame strength and to

6" beyond the most forward module attachment pad, one on each
side mounted parallel to the chassis frame. The other two bars

Heat shields shall be welded to the underside of the module body
frame above the passage location to the chassis exhaust system.
This shielding will be provided to prevent radiated heat from the
exhaust system through the floor.
A barrier subfloor of .050" aluminum sheet material will be
attached to the top side of the module floor framework. In
addition to the attachment of the barrier floor, the edges of the
floor will be full edge sealed with a high strength adhesive bond.
On top of the barrier subfloor shall be installed a full length and
full width blanket of R14 rated reflectorized air cell insulation.
This insulation must be provided to insure a complete added
barrier of thermal, sound, and moisture protection. On top of the
special insulation barrier will be installed a subfloor of
.75"seven-ply plywood to form a smooth installation surface fro
the patient compartment floor covering. This plywood subfloor

The vehicle shall be equipped with a complete climate
environmental system (s), to supply and maintain clean air
conditions and a comfortable level of inside temperature in both
driver and patient compartments. The various systems for
heating, ventilating, and air conditioning may be separate or
combination systems, which shall permit in control of
the environment in each compartment. The ambulance shall be
equipped with heating , ventilating, and air conditioning systems
that can be made to collectively operate using recirculated air
and ambient air and shall be capable of maintaining interior
temperature within the established comfort zone of 68 degrees
Fahrenheit, to 78 degrees Fahrenheit, when operated between 0
degrees to 95 degrees Fahrenheit ambient. The air systems shall
be high volume capacity with low velocity delivery of minimum
draft circulation while providing a positive pressure within each
closed compartment. Positive pressure may be attained through
the fresh air ventilation system either apart from, or as an
integral part of either the air conditioning system, or in
combination with any of all three. Environmental system
components shall be readily accessible for servicing at the
installed location (s). Connecting hoses for heating and the air
conditioning system shall be supported by rubber insulated metal
clamping devices at least every 12 inches. The driver and patient
compartment environments shall not in any way be dependent
upon each other.

compartment temperature that will automatically adjust to
ambient conditions. This "set it/forget it" feature is to provide

9.0 PREPARATION FOR PAINTING, COLOR AND MARKINGS.
9.1 Golor. Paint, and Finish_
The modular Ambulance body must be pained using a 100%
Sikkens urethane paint, multi -step paint process. The body shall
first be completely sanded to prepare the body for paint adhesion.
The body must then be completely coated with a self -etching CR
primer. After proper dry time, a complete coat of high -build
primer must then be applied. This high -build primer coat is then
finish sanded with 320 grit paper. Any imperfections are body
marked, sanded and reprimed. Following quality control
inspections for finish preparation and smoothness, the body shall
be painted with two (2) complete coats of exterior finish color.
The module exterior finish shall be Bright Polar White to match
the cab color. Following the painting of the finish coats, the
ambulance must be placed in a paint bake booth having a minimum
temperature of 135 degrees for a minimum of two hours in order
to improve paint adhesion and paint cure. To provide maximum
quality, in the paint finish of the ambulance, the paint must be
applied in a temperature controlled, down draft booth. All wheels

roll stiffness using one piece rolled beam design. This limits

The logic expressed in this requirement, is to prevent, limbs from
damaging or breaking lenses. It poses a greater safety hazard by
weakening the corner caps which act as a stress relief point if the
vehicle is involved in a collision (reference 7.5.5 of your
specification). To accomplish wiring of said lights requires the
use of an integrated wye corner extrusion instead of a boxed
extrusion. The wye is simply not as strong as a box extrusion and
compromises strength needed in module construction in case of a
'roll over" accident. Southern proposes to use a low profile
clearance light, attached to the module surface below the roof
extrusion's drip rail. The drip rail will help prvent damage to
the light.
5.7; Southern uses recessed overhead halogen lights manufactured
by weldon and approved by KKK-1822r_.,
7.5.1; Southern utilizes MIG and TIG welding instead of heli-r'rc
welding which is a different, process and aloows for greater heat
and Penetration control, thereby, preventing distortion and
providing for a stronger weld for this particular application.

7.5.10; Southern builds its raised roof option utilizing'standard
stock 1.5" x 4" channel and aluminum flat, stock instead of custom
extrusions which might, not, be readily available over time. The
roof perimeter and body corner posts we incorporate into our design

proposed assembly has been submitted to Atlanta Testing and
Engineering and has been certified to meet, or exceed KKK-1822C
standards.
