THIS AGREEMENT entered into this date by and between MONROE COUNTY
FINE ARTS COUNCIL, with principal offices in Key West, Florida, ("MCFAC"),
and PARVAN BAKARDJIEV, of Key West, Florida, ("PB");
W I T N E S S E T H:
WHEREAS, MCFAC is providing Monroe County, Florida, and surrounding
areas with cultural events for the purpose of contributing to the cultural
life of these communities, and PB has a broad background in the field of
cultural arts, art administration, business management and public
relations; and
WHEREAS, MCFAC is desirous of retaining PB as Executive Director of
MCFAC; and
WHEREAS, PB is desirous of entering into an agreement whereby he will
serve in accordance with the objectives of MCFAC.
NOW, THEREFORE, in consideration of the mutual covenants herein, both
,MCFAC and PB agree as follows:
1. The term of this Contract shall be for a period of two (2) years
beginning January 8, 1990, during which period MCFAC agrees to employ PB as
Executive Director of MCFAC with primary duties to supervise and direct the
following aspects of MCFAC:
SOLE/PRIMARY. RESPONSIBILITIES
a) Administration, including hiring and firing staff and ,other
necessary consultants.
b) Artistic development and contracting.
c) Program development.
d) Planning of events.
e) Publicity, development and control.
f) To carry out the policies and procedures established by the MCFAC
in Ordinance #6-1980.
g) Attend meetings of the Council and/or Associate Members of the
Middle and Upper Keys.
2. During the period of this Agreement, MCFAC agreas to pay
PB as compensation for serving as Executive Director as follows:
i
a) During the period from January 8, 1990 until January 7, 1992,
MCFAC shall pay to PB an amount equal to $47,625.00 per annum payable
$3,968.75 per month beginning January 8, 1990.
b) PB shall be reimbursed for all expenses (not to exceed $10,000.00)
incurred by the Executive Director while acting in such capacity provided
satisfactory vouchers covering such expenses are submitted and provided
such expenses are within the budget approved by MCFAC.
3. The parties hereto agree that PB, as Executive Director, will
devote sufficient time and attention to the rendition of services as
Executive Director so as to accomplish the responsibilities of Executive
Director as set forth herein. PB will comply with all reasonable policies,
standards and regulations of MCFAC established from time to time by MCFAC.
4. This Agreement may be terminated by a vote of two-thirds (2/3) of
the members of the Council of MCFAC upon the occurrence of one or more of
the following:
a) In the event the Executive Director shall be guilty of fraud,
fiscal dishonesty or other similar acts of misconduct in the rendering of
his service on behalf of MCFAC, or
b) In the event the Executive Director shall fail or refuse to
perform the provisions of this Agreement relating to his responsibilities
set forth herein.
5. In the event MCFAC becomes part of the infrastructure of the
County of Monroe, Florida, this Agreement will continue to be the
obligation of MCFAC within the County structure, however, the Executive
Director will not become a County employee.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement in
duplicate originals, this 16 day of 1990.
