The meeting was called to order by the Chairman, Michael Payton. The
Secretary, Neta L Seiber, determined that a quorum was present. Neta Seiber
moved that the minutes be approved as published. Themotion was seconded by
Jane Pangborn and unanimously approved by all present.

The current bank account balance as of May 31, 1994 is S33,154.52; Nxpenditures
for April and May were S43,''1'6.18, income for April and May was S38,079.60;
total expenditures for FY '94-'95 as of May 31, 1994 was $155,016.05; total income
for F'Y '94-'95 as of May 31, 1994 was S169,307.80; excess of revenue over
expenditures as of May 31, 1994 was 14, 191.75; The financial statement for the 2nd
quarter (April -June) will be mailed out in July; accounts receivable from State and
County for '94- 95 was $ I I,S00; to reach FY '94-'95 budgeted income by 9/30/94,
the council needs to raise $28,500 with the following amounts.

The Treasurer Pointed out for the benefit of the guests that the financial
statement for the council is prepared by Kemp & Green, Certified Public
Accountants, that our budget has balanced for the past eight years. The Clerk
of Court approves all county allocations and two signatures are required on all
checks. The council has proposed for the eight years that the County handle its
payroll and finances but have been unable to have this request acted upon by the
County Commissioners because the County only pays a portion of the Council's
budget.
Qgkirman'A: Michael Payton presented the'Chairman's Report. 'rhe
41h Annual Monroe County Youth Arts Competition for 1994 showcased the
marvelous talent of our young people throughout the Keys. The winners
concert/exhibition and awards ceremony were held on May 14, 1994 at Tennessee
Williams Fine Arts Council, Winners performed and were exhibited to an
appreciative audience from throughout the Keys. Awards were presented to
sponsors andwinners by Commissioner Harvey, Michael Payton, Par -van Bakardjiev
and Margaret Pent. Sponsor; were successfully recruited for all thirty-two Youth
Arts competition scholarships. The chairman praised Margaret Pent for the
excellent job she has done with the Youth Arts Competition.
The chairman commented that the various committees had been assigned to
prepare reports for this meeting and would present their reports later on the
agenda. He annOUnced that the next council meeting would be held on September
7, 1994 in Marathon, FL.
Michael Payton then presented his report on the Seventh Annual Mayor's
Ball which will have a theme of 1001 Nights, On June 14, a workshop was held to
determine the theme, committee members, artists participation, promotion, goals
and location. it is intended to be a romantic, fun theme which allow participants
to dress in costumes as they did last year. The Ball will be held at the Sheraton
on Saturday, October 1, 1994. The Ball will be a showcase of Art forms and a get-
together between the arts constituents throughout the Keys. The fund-raising goal
for this benefit is S9,000.00.
Executive ' : Parvan Bakardjicv presented the Executive
Director's Report which covers the many activities of the council and its
management team. By the end of June, 12,000 newsletters will be distributed in
the Florida Keys Magazine. The season brochure will be distributed the first week
of September. The brochure will include our season, Key Players, Marathon
Community Theater, Art & Historical Society, Theater of Key West, Fantasy Fest,

and all art galleries. An additional 5,000 extras will be available for distribution
at the actual events and will also be used in mail -outs.
Parvan read the letter that he had written to Ron Saunders regarding the
Cultural Plan and pointed out that the Cultural Plan would be before the County
Commissioners in Septeinber and that it was important that Monroe County utilize
TDC funds to promote Cultural events and tourism as is done legally in all other
counties within the State of Florida, (Letter attached as Appendix to Minutes).
The Fine Arts Council has sponsored workshops with the Marathon Theater,
Keys Players, Rotary Club, Red Cross and Art and Historical Society together with
the workshop with ilie founders and Theater of Key West. Parvan announced that
he had been very pleased with the response of the participants as well as the
concept of reactivating the tuunng program in the Keys through the arts
consortium, Parvan announced that he had met with the County Administrator for
the 1994 - 1995 budget. Also, we are working with Debra Matsin, the South
Florida Consortiun, Attor,+ey, to bring the Cultural Plan into reality. Parvan
announced that Neta Setber would discuss further our meeting with Ms. Matsin
and recommendations to the council for moving forward with the Cultural Plan and
obtaining TDC funding. Paean reported that he had met with Mr. Feiner to
discuss funding the Cultural Plan as is legally done in other counties through the
use of TDC funds, Mr. Feiner proposed that if the Fine Arts Council were to
"drop the Cultural Plan", that he would recommend $250,000 in funding. Parvan
advised Mr, Feiner that the Cultural Plan was the property of Monroe County and
that Commissioner Cheal was (lie person to talk to.
Parvan stated that the Arts Council was looking for cooperation with various
Chambers of Commerce and that he had met with the Key Largo Chamber
President regarding the Cultural Plan as well as with members of the Big Pine
Chamber, The Council is also preparing for Channel 16 a Youth Arts
Competition tape and a tape from the Steel Bandits and the Horace O'Bryant
workshop. A Bi•Annual Report was prepared and submitted to Commissioner
Cheal,
The June calendar and winter season in review have been mailed to
associate members. The management prepared a report on the Florida State
lntcrnship of Alicia Gunter v.ho was a delightful addition to the staff and of great
benefit to the Council through her expertise and hard work. She successfully
graduated from Florida State, She wrote a letter which was published in several
newspapers stating how pleased she was to have been selected to be an intern with
the Monroe County Fine Arts Council. In addition to the other activities already
discussed, Parvan mentioned that over 100 copies of the Cultural Plan had been
distributed to \arious entities. Parvan announced that he, Ann Lynch and Neta
Sciber had attended the awards luncheon in Palm Beach and the pre -exhibition

showing at the Norton Gallery of the photographic exhibition of
Carol Munder of Key West, Florida. Carol was one of the $15,000
scholarship winners. Parvan also announced that he had held a
workshop in the past with the School Board regarding the Cultural
Plan and a facility for the Upper and Middle Keys as well as
fundings for arts in education. The first consortium of schools
was initiated between Key West, Key Largo and Marathon for a
series of workshops and performances for the forthcoming year.
Parvan expressed his thanks to Joel Day for the Classical
Calendar and Music In Key West. Parvan also announced that he
had met with representatives of Duck Key In contemplating a
December date for Acts Day on Duck Key. Parvan also met with
Channel 16 regarding infomercials on the Cultural Plan as well as
production and scheduling. He also met with representatives of
the Marriott and Holiday Inn, Port Largo, regarding public events
to be held on their properties. During the past season, the Fine
Arts Council sponsored the Wizard of Oz, The Buskerfest and the
Cultural facility in Marathon. Parvan has been working on the
next season Cultural Exhange Program which will focus on exchange
with Mexico. Additionally, the council is working with the South
Florida Consortium on a joint marketing, touring and fellowship
program.
Parvan announced that the auditors from the State had been
Invited as guests to this meeting but had been unable to attend
that evening. As a result of the proposed Cultural Plan and
attempt to obtain the legally authorized TDC funds as is done in
other counties throughout the State, another smear campaign has
been undertaken by certain TDC members and their cohorts. As a
result, incomplete information and incorrrect Information has
been placed before the State so that they are required to review
and audit the Council for the second time in six years. Parvan
pointed out that he received a letter from the State of Florida
today acknowledging that the council's grant application had been
reviewed and met all requirements.
Nominating Committee: Jane Pangborn presentea the nominating
committee's report after having reviewed the applications and
discussed the guidelines and the cesponsibi.lities of the
committee to review the submitted resumes and consider the
individual's work, wealth, widsom, wit and business experience as
well as commitment to the arts. The seats being replaced are:
Joel Day; Beverly Middleton: Peter Horton; Jerry Williams; David
Lyon; Tom Vellanti; and Eliza -Ann Warren. The replacement
nominees are: Mary Sawyer; Bonnie Burnett; David Cohn; Richard
Lewis; Ann Stahlberg; Jean Fode; James M. Hankins; Jamie Grider;
and Eliza -Ann Warren - (reappointment).

Neta Seiber moved that the nominees be approved, seconded by Ann Lynch
and unanimously approved.
GovernMent Relations Committee. Commissioner Wilhelmina Harvey
presented her report, She stated that it was a pleasure to be here as a
representative of the County Commissioners and she was very impressed with the
progress that had been made by the Fi►►e Arts Council in sponsoring the fine arts
and cultural activities in Monroe County. She stated that the Council had now
arrived at a pinnacle, at the very top, and recommended that the next step should
be a positive public relations posture She complemented Parvan and Margaret
for their hard work in developing the Council and in doing more to create a
harmonious relationship with the public than any other entity. Commissioner
Harvey introduced Commissioner Mary Kay Reich who was present as a guest.

Neta Seiber read a letter of June 16, 1994, from Randy Ludacei, the County
Attorney, clearing the proposed contract for legal sufficiency. Dick Drake moved
that the Board approve the contract for Parvan and that it be presented to the
County Commissioners for ratification. The motion was seconded by Ann Lynch
and unanimously approved. Commissioner Hartley stated that she felt there were
some jealous groups in Key West who wanted the money from MCFAC for
themselves and were responsible for negative press. She suggested that since
Parvan's contract does not expire until January of 1995 that it may be better to
wait until a later date before the presentation of the contract to the Council and
asked Parvan for his comments on this thought. Parvan responded that he had had
three previous contracts which have been approved and signed six months in
advance as a professional courtesy for the benefit of both parties and that this was
basically a continuation of the same contract. Ann Lynch and Dick Drake stated
that the Board has extreme confidence in Parvan and totally support him in the
execution of his directorsh►p. Dick Drake asked the chairman for a roll -call vote
of approval for Par-van's contract by the Council and recommended that the
contract be immediately submitted to the County Commissioners without any
delay. The motion was seconded by Ann Lynch. The following Board Members
voted unanimously in favor of submitting the proposal' Michael Payton, Ann
Lynch, Ann Warren, Jane Pangborn, Dick Drake, Beverly Middleton, Neta Seiber,
Joel Day, Mary Sawyer and Wilhelmina Harvey. Parvan thanked the Board for
their confidence, He stated that The Fine Arts Council is the only county agency
in Florida that is required to raise funds from private funding. He suggested that
we might consider exploring a public referendum on the issue of funding as well
as continuation of TDC. Michael Payton, as Chairman, expressed that the Board
stands firmly behind Parvan and will continue to give him total support.

Art's Day_1,ower�: Mary Sawyer gave the Arts Day in Key West report.
Mary stated that she had been working with the Fun-Kruz people in Key West for
an Arts Day the latter part of August or the first week in September. However,
the Fun-Kruz management wanted 518.00 per person with a guarantee of 300
people or $6,000.00, Due to this attitude and the costs involved, she felt that we
should consider returning to the progressive dinners. It is tentatively planned to
utilize the facilities at Little Palm with dessert at the Leda Bruce Gallery in Big
Pine. A bus will be available to transport attendees from the Lower Keys to the
Big Pine area. Since this is election time, she felt that it would be good for
attendance.
Mayor's Ball: Michael Payton stated that he had already presented the
Mayor's Ball committee report wid redueated vulunieera to assist.
Cultural Plan Report: The Cultural Plan report was presented by Neta Seiber.
Neta advised the members that Commissioner Cheal had made several
recommendations for the Cultural Plan. However, in light of the changes that have
already been made, to continue to make additional changes is really not necessary
as we believe that the Plan comports with all legal requirements. She discussed
the meeting with Debra Matsin, Asst. Co. Attorney for Dade County and a So.
Florida Cultural Consortium attorney. She and Parvan spoke extensively with
Debra Matsin as regards successful litigation and challenge to the use of TDC
funds. A public relations campaign was suggested as well as public forums up and
down the Keys. If education of the County Commissioners and the public
remained unfruitful, a declaratory judgment action will be brought to have the
matter decided by the Courts. At present, it is recommended that the Plan be
ready to be placed on the BOCC agenda in September.
Public relations suggestions derived from our discussions with Ms. Matsin and
other members of the So. Florida Consortium as well as attorneys, government
officials, Council Members and staff include: a speakers bureau, handing out
flyers at all events in the Keys, half -page ads in the newspapers, radio interviews
with members of the Council, a letter -writing campaign to the editor of local
papers, increasing membership through direct contact, more frequent and widely
distributed newsletters, more TV coverage on Channel 16 and S, enlisting
volunteers from associates groups and other arts groups to work with Council
members on a public relations committee to be formed and to hire or find a PR
agency or individual willing to donate time to provide professional guidance for
the public relations campaign. Funding for the public relations campaign will
come from private donations and not from county funding, As always, the
utilization of any and all funds will be strictly in accordance with our enabling
charter and state and federal laws 'beta recommended that the chairmari appoint
a public relations committee to develop an actual public relations campaign. Ann

' Lynch suggested putting out a rumor vs, fact sheet for publication. Ann Lynch
volunteered to chair the committee,
Old Business: There was no old business.
Ngw Business: Tom Fouts thanked the Council for its support on the proposed
purchase of the property in the Upper Keys and expressed his disappointment that
It did not appear that a sale would be forthcoming. Beverly Middleton pointed out
that the County had been awarded money to acquire recreational land necessary
to bring the county into confommaiicc with its gruwth development plan. 2.8 acres
were just recently acquired and there is still a potential that a larger useful area
at MM 100 may be acquired. Although the property is not inexpensive, she
announced that the County wab negotiating and it could be used for all types of
community activities. She requested that we urge the County to move forward with
this parcel.
There being no further business before the committee, Ann Lynch moved to
adjourn the weeting, !,ecujided by Neta Seiber. The Motion was unanimously
approved.

THIS AGREEMENT entered into this date by and between MONROE COUNTY FINE
ARTS COUNCIL, with principal offices in Key Largo, Florida, ("MCFAC") and
PARVAN BAKARDJiEV of Key Largo Florida, ("PB");
WITNESSETH:
WHEREAT', MCFAC Is providing Monroe County, Florida, and surrounding areas with
cultural events for the purpose of contributing to the cultural life of these
communities, and PB has a broad background in the field of cultural arts, art
administration, business management and public relations; and
WHEREAS, MCFAC is desirous of PB remaining as Executive Director of
MCFAC; and
WHEREAS, PB Is desirous of entering Into an agreement whereby he will
continue to serve in accordance with the objectives of MCFAC.
NOW, THEREFORE, in consideration of the mutual covenants herein, both
MCFAC and PB agree as follows:
I. The term of this contract shall be for a period of three (3) years
beginning January 8, 1995, during which period MCFAC agrees to employ PB as
Executive Director of MCFAC with primary duties to supervise and direct the
foliowlno aspects of MCFAC:
a) Aaministration, including hiring and firing of staff and other
necessary consultants.
b) Artistic development and contracting.
c) Program development.
d) Planning and financing of events.
e) Publicity, development control.
f) To carry out the policies and procedures established by the
MCFAC in ordinance #6-1980.
g) Attena meetings of the Council and/or Associate members of the
Middle and Lower Keys.
2. During the period of this Agreement, MCFAC agrees to pay PB as
compensation for serving as Executive Director as follows:
a) During the period from January 8, 1995 until January 7, 1996,
MCFAC shall continue to pay an amount equal to $52,851.72 per annum payable
$4,404.31 per month beginning January 8, 1995, and every subsequent year,
receive an increase adjusted to the cost of living index.
b) PB shall be reimbursed yearly for all expenses (not to exceed
$10,000.00) incurred by the Executive Director while acting In such capacity
provided satisfactory vouchers covering such expensed are submitted and
provided such expenses are within the budget approved by MCFAC.
3. The parties hereto agree that PB, as Executive Director, will devote
sufficient time aria attention to the rendition of services as Executive
Director so as to accomplish the responsibilities of Executive Director as set
forth herein. PB will comply with all reasonable policies, standards and
regulations of MCFAC established from time to time by MCFAC.
4. This Agreement may be terminated by a vote of two-thirds (2/3) of
the members of the Council of MCFAC upon the occurrence of one or more of the
following:
a) In the event the Executive Director shall be guilty of fraud,
fiscal dishonesty or other similar acts of misconduct in the rendering of his
service on behalf of MCFAC, or
b) In the event the Executive Director shall fall or refuse to
perform the provisions of this Agreement relating to his responsibilities set
forth herein.
IN WINESS WHEREOF, the partles hereto have executed this Agreement In

During the BOCC meeting on October 20, 1994, Diane
Tolbert Covan, an attorney representing an organiza-
tion known as the Ad Hoc Committee for the Arts, hand-
ed to me and to others present, a document entitled
"Notice of Appeal". That document purports to be an
appeal from the September 22, 1994 decision of the
Monroe County BOCC approving the employment contract
with the executive director of the Fine Arts Council.
Included with my Notice, was a VCR tape containing
that portion of the September 22, 1994, BOCC meeting
that discussed the contract.
Item four (4) of the Notice of Appeal requests on
behalf of the Ad Hoc Committee for the Arts a hear-
ing before the BOCC. The questions that I have for
you are:
1. Is the Ad Hoc Committee for the Arts enti-
tled to a hearing on this issue?
2. Is there in our County Code or any other
legal authorization a procedure whereby such
a hearing would take place in the event
there is a right to an appeal?
3. Do you see any other issues in the attached
"Notice of Appeal" with which we should be
concerned?
I would appreciate your review and response so that if
there is any requirement to hold an appeal, we can do
so in a timely manner.

THE AD HOC COMMITTEE FOR THE ARTS, a coalition of Monroe
County residents who are professional artists, by and through
undersigned counsel, hereby give notice that they hereby appeal
the decision of the -Monroe County Board of County Commissioners
of September 22, 1994, approving an Employment Agreement by and
between the Monroe County Fine Arts Council (MCFAC) and PARVAN
BAKARDJIEV, as Executive Director of that County Agency, and as
grounds therefor state:
1. This appeal is timely because it is submitted to the
Office of the County Administrator and the Mayor within thirty
(30) days of the action which is being appealed.
2. The Ad Hoc Committee for the Arts has standing to to
appeal in this matter because they are individuals who are
residents of Monroe County and who are the intended beneficiaries
of the MCFAC who will be deprived of those benefits due to the
unlawful Employment Agreement.
3. The Employment Agreement is unlawful as drafted and
approved because it creates and funds an employment position
which does not meet the requirements of Florida Statute section
265.32 (1993) and Monroe County Code Ch. 2, Art. VII, Section 2-
280 et sea.
4. The Ad Hoc Committee for the Arts is entitled to, and
hereby requests, a hearing before the Board of County
Commissioners.
5. A videotape of the relevant portion meeting of the Board
of County Commissioners on September 22, 1994, is submitted to
the County Administrator herewith in lieu of a transcript of the
proceedings.

Fast, I would like to protest the 24-hour delay m releasing a document that was distributed to
Parvan Bakarkpov and other members of the Monroe County Fine Arts Council on or before
Nov. 21,1994. We also object to changes that you, in our phone conversation, said were being
made to the document.
As you are aware, the Florida Keys Keynoter's next edition is Wednesday, Nov. 30. We believe
that your delay in releasing the requested document is unnecessary and an intentional means of
preventing the Keynoter from publishing information contained in the requested audit report. I
hereby request immediate compliance with my request of release of the original document, and
that the report be faxed to the Keynoter at (305) 743-9586. Again, the Keynoter will pay copying
fees as provided by Florida law.
In addition, I wish to review all workpapeis and reports related to the requested document. I

MCFAC EXECUTIVE BOARD ISSUES STATEMENT ON COUNTY AUDIT
The Executive Committee of the Monroe County Fine Arts Council
is issuing the following statement regarding the County audit of MCFAC
which began on July 25, 1994. The Preliminary Audit Report dated
November 16, 1994, was received by the MCFAC Councilors this week.
Parvan Bakardjiev, the Executive Director of MCFAC for the past
nine years, is in the process of compiling a comprehensive response to
the more than three month, manpower intensive, Preliminary Audit Report.
Upon our review and consideration of information available at this
time we perceive that Mr. Bakardjiev will be able to poignantly address
the personal and professional issues reviewed in the Preliminary Audit
Report.
Until the report is submitted and reviewed by the Executive
Committee the Monroe Council Fine Arts Council will have no comments
regarding Lhe Preliminary Audit Report. No one on the Council has
been authorized to be a spokes person for the Monroe County Fine Arts
Council at this time. Any statements that have been made to the news
media by MCFAC council members do not reflect the intent of the
Executive Committee or the Council as a whole.

Pursuant to Florida Statutes, Chapter 448.08, a Court may award to a prevailing
party in any action for unpaid wages, cost of the action and a reasonable attorney fee.
Moreover, pursuant to § 448.103, an employee is entitled to (d) compensation for lost
wages, benefits, and other renumeration; and (e) any other compensatory damages
allowable at law. Presently, we believe an amicable resolution regarding these wages
could be reached.

This memorandum is to document the fact that on this date I spoke with attorney
Gabriel F. Zambrano concerning the following matters:
1. A response to a Public Records request from Mr. Zambrano to Mayor
Jack London dated December 9, 1994 that was forwarded to me by Mayor
Pro tem London.
I advised Mr. Zambrano that I did not write any letter to Mayor Pro tem
London as it is outlined and described in an article captioned County to
Eye FAC Spending by Kip Blevin. Further, I advised him that I faxed to
him on December 9, 1994 at 4:28 p.m.,a copy of our letter of July 25, 1994
to Mr. Parvan Bakardjiev, Director of the MCFAC, advising Mr.
Bakardjiev of our intent to conduct an audit; a copy of a letter from Mr.
Bakardjiev to me dated July 28, 1994 advising us that the MCFAC offices
were closed during the month of August; a copy of a letter to Charles
Mansen, Jr., Internal Audit Department, dated August 3, 1994, and a note
attached to that letter indicating that we would reschedule the audit at his
request for September 1994.

2. I advised Mr. Zambrano that in reference to a letter to me dated
November 22, 1994, I have referred my responses to my attorney, Joseph B.
Allen III, and asked that he communicate with him. However, since Mr.
Allen is out of the country, I offered the following comments:
A. His request concerning an opinion regarding the nature of the
organization of the MCFAC should be referred to the County
Attorneys office.
B. The audit was conducted based upon my decision to do so upon
information provided to me by the Auditor from the Florida
Department of State.
C. A copy of the audit standards have been provided to Mr.
Bakardjiev, and that we have evidence of his receipt of those
standards. I referred Mr. Zambrano to the published Generally
Accepted Auditing Standards.
D. There is no manual for audit procedures of grant recipients in that
they are covered by other standards, and County funding is
provided on a reimbursement basis.
Mr. Zambrano advised me that he was satisfied with my response and that I
should ignore a recent communication from him to Mr. Allen relative to a Public
Records request.

This letter is in response to your letter dated December 27, 1994 concerning the
pending wages for the month of November. I am returning the original time sheet
executed by Ms. Pangborn, Secretary to the Council. Monroe County is not in a
position of making payments for the benefit of the Council at this time.
My office is still in the process of reviewing those routine expenses submitted to
the County Commission at their meeting of December 14, 1994 by Ann Lynch of the
Council. I have scheduled a meeting with Ms. Lynch to discuss certain matters
concerning those invoices. However, even after a determination has been made
concerning those invoices deemed acceptable for payment by the County, an appropriate
agreement must still be drawn and approved by both the County Commission and the
Council.
I have discussed your claim for wages with the County Attorney. He has
informed me that since the employer/employee relationship exists between you and the
Council and not Monroe County, that it would be inappropriate for Monroe County to
make payment of wages as you have requested.
If I can be of further service, or if you have any questions regarding the above,
please do not hesitate to contact this office or the County Attorney.
