Re: Maintenance of Street Lights and Traffic Signals
in the Middle and Upper Keys
Dear Mr. Dopp:
Attached you will please find an agreement adopted by the Board of
Trustees at the regular meeting held on June 28, 1976 providing for
the Cooperative to maintain the street lights and traffic signals owned
by the County located within our service area. I believe the agree-
ment contains the provisions of our discussions and should the County
be in agreement with the terms contained in the agreement attached
hereto, we would appreciate having the agreement executed by the
appropriate officials and returned to us for our files. We will make
a photocopy for you and return it to you for your records.
Please advise me should you have any questions, comments or revisions
that might be required before executing the agreement.

MONROE COUNTY
MAINTENANCE OF COUNTY OWNED STREET LIGHTS AND TRAFFIC SIGNALS LOCATED
WITHIN THE SERVICE AREA OF THE FLORIDA KEYS ELECTRIC COOPERATIVE ASSOCIATION,
INCORPORATED, STATE OF FLORIDA, COUNTY OF MONROE.
This agreement made this 13 day of July 1976, by and between the Florida Keys
Electric Cooperative Association, Incorporated, hereinafter called the COOPERATIVE, and the
County of Monroe, Florida, hereinafter called the OWNER.
WHEREAS, the COOPERATIVE is an established electric utility company serving a portion of
Monroe County, Florida with overhead electric distribution lines; and
WHEREAS, the OWNER is engaged in and does now own and maintain street light and traffic
signals within our service area; and
WHEREAS, the OWNER has petitioned the COOPERATIVE to maintain the lighting and traffic
signals due to the fact that the OWNER does not maintain the required staff to perform this
maintenance; and
WHEREAS, the COOPERATIVE agrees to maintain the street lights and traffic signals excluding
the underground duct bank wiring and replacement of ornamental street light standards and
foundations, as consideration therefore, the OWNER shall pay the COOPERATIVE an amount
equal to twice the COOPERATIVE'S cost for both materials used in such maintenance and repair
and labor performed, cost of labor being calculated by the hours of labor by employees of the
COOPERATIVE multiplied by their hourly wage. Payment shall be made by the OWNER to the
COOPERATIVE within*6 days of rendering of statements.

WHEREAS, the OWNER has agreed to furnish the necessary replacement parts and reimburse the
COOPERATIVE for equipment or other related materials that must be purchased in order to repair
these facilities; and
WHEREAS, the County will hold the COOPERATIVE harmless due to the fact that street lighting
or traffic signals become inoperative for any reason and due to the scheduling of personnel the
COOPERATIVE is unable to effect repairs immediately;
NOW, THEREFORE, BE IT RESOLVED, that the Florida Keys Electric Cooperative Association,
Incorporated, agrees to maintain street lights and traffic signals of the OWNER in operating
condition and the County of Monroe will hold the COOPERATIVE harmless for any direct or in-
direct actions that might be incurred due to inoperative street lights or traffic signals for any
reason.
IN WITNESS WHEREOF, the COOPERATIVE, and the OWNER, have set their hands this date
herein named.
