At the April It "' 1995 meeting, the Board granted approval and
authorized execution of a Right -of -Way Easement for Florida Keys
Electric Cooperative, Inc., for the Marathon Airport.
Attached hereto is the original Easement (recorded in the
Official Records of Monroe County) of the subject document for
your use in this matter.

RIGHT-OF-WAY EASEMENT
IT IS HEREBY AGREED, that Monroe County, Florida, Marathon Airport, 94000
Overseas Highway, Marathon, FL 33050, (hereinafter referred to as "Grantor") for
and in consideration of the sum of One Dollar ($1.00) and other good and
valuable considerations, the receipt of which is hereby acknowledge by Grantor,
paid by the Florida Keys Electric Cooperative, Inc., of PO Box 377, Tavernier, FL
33080, hereinafter called the "Cooperative," does hereby grant, sell and convey,
unto Cooperative an easement five feet wide and three hundred sixty-five feet
long, for the underground primary power electrical feeds to the main transformer,
as described on the attached drawing, under the following terms and conditions:
Cooperative, its successors and assigns, shall have the right to
construct, reconstruct, lay, install, operate, maintain, relocate,
repair, replace, improve, remove, and inspect its electrical
distribution line or system in the easement and shall have full right of
ingress and egress thereto and therefrom over, under, and across
the easement area for as long as the easement area is needed for
electrical transmission purposes.

Grantor shall furnish and maintain the easement area free of and
clear from any obstruction and shall not construct, place, or allow
the placing or construction of any obstruction which would interfere
with: (i) Cooperative's safe or proper installation, operation,
maintenance, inspection, or removal of the electrical transmission
and distribution facilities and all the appurtenances thereto located
in the easement area or (ii) any other right granted to Cooperative.
Grantor shall have the right to make any other use of the easement
area which does not interfere with the Cooperative's rights including
but not limited to the construction of paved access roads,
landscaping or other appurtenances Grantor deems necessary in
support of Airport operations. The granting of this easement is to in
no way impact or conflict with the proposed construction activities
of the new Marathon Airport Terminal and related site
improvements. The Cooperative will restore to its original condition
the easement area disturbed by the Cooperative's operations.
Grantor shall bear the cost of any relocation or modification of said
facilities when the change is necessitated by Grantor's
requirements.
All covenants, stipulations, terms, conditions, and provisions of this
agreement shall extend to and be made binding upon respective
successors and assigns of Cooperative and Grantor. It is intended

that this agreement shall be recorded and be binding upon future
owners of the above described property.
The Grantor does hereby warrant good and marketable title for above described
property and that it has full power of authority to grant this easement.
IN WITNESS WHEREOF, the Grantor has hereunto set its hand and seal this
18th day of April , 1995.
