At the July 20, 2011, Board of County Commissioners meeting, the Board granted
approval and authorized execution of Item CIO four 36-month Addendum Agreements to Master
Service Agreement 201012220258UA to provide Internet connectivity and disaster recovery
services for email and critical applications, the first being an AT&T Hosting and Application
Services Pricing Schedule 20101004JK40787 for collocation services with AT&T at their facility
located at 440 NW 79th Ave Miami FL, a second being an AT&T Managed Internet Services
Pricing Schedule CSM110503131854 for 100 Mb/s internet service at the same location, a third
being a Pricing Schedule for AT&T Interstate Broadband Services Provided on Custom Terms
Pursuant to the AT&T Interstate Guidebook FL11-2339-00 for Metro Ethernet services at the
above location in Miami, and a fourth being an Addendum Agreement # FL 11-1478-02 for a
pricing schedule for Metro Ethernet services from AT&T at large County facilities throughout
Monroe County.
Enclosed is a duplicate original the above -mentioned for your handling. Should you have

AT&T Enterprise Hosting Service ("Service" or "Services") is more fully described at
http://www.corp.att.com/abs/serviceguide/docs/eh_Sg.pdf or such other location designated by AT&T.

The effective date of this Pricing Schedule is the date on which the last party signs this Pricing Schedule or the date that the
initial Service Component is enabled for Customer use ("Service Activation Date"), whichever is later ("Effective Date").
Customer will not have access to Customer Space ("Client Managed Services") or Customer servers ("AT&T Managed" and
"Enhanced Managed Services") until such time. If AT&T grants Customer access prior to completing provisioning of the
Service, such access date will be considered the Service Activation Date for Service. This Pricing Schedule may be withdrawn
by AT&T if not accepted by the Customer and returned to AT&T within 30 calendar days of the Date Created referenced
above.
There is a minimum payment period on 100% of the monthly recurring charges for all Equipment Service Components
extending until the end of the Pricing Schedule Term, but not less than 12 months per component. There is a minimum
payment period on 50% of the monthly recurring charges for all non -Equipment Service Components extending until the end
of the Pricing Schedule Term, but not less than 12 months per component. There is a minimum retention period of 12 months
on all Service Components for which an installation charge has been waived.
There is no MARC under this Pricing Schedule, and any Services provided hereunder do not contribute towards any MARC
under any other agreement with AT&T.
AT&T may, upon prior written notice to Customer, increase the price of any electricity or power related element of Service.
Each such price increase will be directly attributable to AT&T's electricity or power cost increases and will not exceed 5% of
the monthly recurring charges for the then current Services under the Pricing Schedule.
Installation charges are invoiced in advance of installation and availability of the Services to Customer.
Both parties agree to comply with privacy laws applicable to their respective businesses. Customer shall obtain any User
consents legally required relating to handling of Users Content. If Customer believes that, in the course of providing Services
under this Agreement, AT&T will have access to data Customer does not want AT&T personnel to comprehend, Customer
should encrypt such data so that it will be unintelligible.
MRC billing begins on the date that the initial Hosting Service Component is enabled for Customer use and is not delayed due
to provisioning of other services such as Back -End Connectivity circuits (i.e. private line or vpn).
Power Density Clause: POWER DENSITY: "Customer may not exceed a sustained power draw of 2.3 kW (Maximum Draw)
in the 19.2 square foot, 1 rack space. In addition, active/passive pairs of circuits may not draw greater than 80% circuit breaker
rating of the active circuit but total loading of space shall not exceed Maximum Draw. AT&T will periodically review
Customer's usage of these circuits to verify that Customer is not exceeding the Maximum Draw. If AT&T determines
Customer is exceeding Maximum Draw, AT&T will require Customer purchase additional Space to support the necessary
cooling, if space is available, or require the customer to bring their usage below the Maximum Draw. If Customer does not
purchase additional Space or bring their usage to acceptable
levels, AT&T, in the exercise of its reasonable discretion (30 business days), reserves the right to take immediate action and
bring the total usage below the Maximum Draw."

This Pricing Schedule is part of the Agreement between AT&T and Customer referenced above.

Service in Alaska. The rates stated in this Pricing Schedule apply
to Service locations and/or Service Components in Alaska only
in the event that a Service Component and/or Service location is
not listed in the Addendum for Service in Alaska. In the event of
the conflict between this Pricing Schedule and the Addendum for
Service in Alaska, the Addendum for Service in Alaska controls.

NOTE 2: If Customer orders the MPLS PNT feature under
Section I, Tables 30 and 31 as part of the MIS service, Customer
will be billed for PNT transport and uplifts and all applicable

forth in Section I, Table 25 through 27 are waived for Sites at

The following terms and conditions apply to the Services subscribed to by Customer under this Pricing Schedule.
1. DEFINITIONS
"Cutover Date" is the date, with respect to any new Service provisioned under this Pricing Schedule, when such Service is
first provisioned or otherwise available for Customer's use pursuant to this Pricing Schedule.
"Commingling" means the connecting, attaching or otherwise linking of an unbundled network element, or a combination of
unbundled network elements, to one or more facilities or services that a requesting telecommunications carrier has obtained at
wholesale from AT&T, or the combining of an unbundled network element, or a combination of unbundled network elements
with one or more such facilities or services. Commingling of Services provided under this Pricing Schedule is prohibited.
2. GENERAL DESCRIPTION OF SERVICE TO BE PROVISIONED INSTALLED AND MAINTAINED
The Service(s) described below are provided solely by the AT&T entity(ies) identified above and are not jointly provided with
any other carrier. Service(s) are provided pursuant to the terms and conditions set forth in the Guidebook. If there is a conflict
between this Pricing Schedule and the Guidebook, this Pricing Schedule will take precedence. If there is a conflict between
the Agreement and this Pricing Schedule or the Guidebook, this Pricing Schedule and/or the Guidebook will take precedence.
Service Description
Metro Ethernet Metro Ethernet (ME) is a high speed packet transport that is based on Ethernet transmission
Service parameters. ME provides various transport capabilities that range from 2 Mbps through 1Gbps in
Basic, Premium, Dedicated, and Virtual arrangements.
3. TERM START DATE• PRICING SCHEDULE TERM: PROVISION OF SERVICES AFTER PRICING SCHEDULE TERM
(a) Pricing Schedule Term. For the Service(s) offered under this Pricing Schedule, the Term Start Date shall be the Effective
Date of this Pricing Schedule (if this Pricing Schedule covers any existing Services) or, if this Pricing Schedule, covers only
new Services, the Term Start Date shall be the later of (i) the Cutover Date of the first Service to be installed under this Pricing
Schedule, or (ii) the end of the Ramp -up Period (if any) specified in Section 10.1 below. The term of this Pricing Schedule
shall be thirty-six (36) months after the Term Start Date ("Pricing Schedule Term"). Rates or discounts under this Pricing
Schedule shall be applied on the Term Start Date. Unless otherwise specified herein or in the Guidebook, Services offered
under this Pricing Schedule may be purchased at any time during the Pricing Schedule Term. New or additional Services may
not be purchased under this Pricing Schedule after the end of the Pricing Schedule Term.
(b) Minimum Service Term. The rates and charges specified in this Pricing Schedule shall apply to any new Service(s)
purchased under this Pricing Schedule during the Pricing Schedule Term, and to any existing Services incorporated into this
Pricing Schedule, until the expiration of the applicable minimum service term for such Service(s) ("Minimum Service Term").
Upon the expiration of the Minimum Service Term, no rates or discounts provided under this Pricing Schedule will:1 apply to the
Service(s). For the Service(s) provided under this Pricing Schedule, upon expiration of the Minimum Service Term, Customer
will have the option to either (a) cease using the Service(s) (which will require Customer to take all steps required by AT&T to
terminate the Service(s)), or (b) continue using the Service(s) on a month -to -month service arrangement, during which the
prices in the Pricing Schedule will automatically be changed to the then -current monthly extension rates (if any) or month -to -
month rate specified in the applicable Guidebook. After expiration of the Minimum Service Term, AT&T may Modify rates,
terms and conditions applicable to the Service(s) on thirty (30) days notice. The Minimum Service Term for any Service(s)
purchased under this Pricing Schedule shall be thirty-six (36) months, and shall start upon the Effective Date of this Pricing
Schedule (for any existing Services) or upon the Cutover Date (for any new Services). This Pricing Schedule will expire when
Service(s) or Service Component(s) are no longer provided under this Pricing Schedule.

Unless otherwise stated herein, for all moves and changes of any Service provided hereunder, Customer will pay the
prevailing Guidebook nonrecurring charge, plus any additional cost recovery that may be assessed. If the Service or Service
Component is available only under an individual case pricing, then for all moves and changes of any Service provided
hereunder Customer will pay AT&T's price for such move or change, as determined by AT&T at the time of the move or
change. Any additional services other than the Service(s) provided under this Pricing Schedule will be provided at the
prevailing Guidebook rates, terms and conditions unless otherwise mutually agreed in writing, and must be purchased under
either a separate Pricing Schedule or an amendment to this Pricing Schedule, signed by both Customer and AT&T.
"Upgrade in Service" is defined as: upgrade to a higher bandwidth capacity for Service(s) listed in this Pricing Schedule.
Upgrade in Service permitted under this Pricing Schedule is defined by Service Category in Section 4.1 below and limited to
Upgrade in Service within the specified category of Service. If the equipment and facilities (such as outside plant, cable,
capacity and memory) are available, Service provided herein as requested by Customer as an Upgrade will be provided at the
monthly rates set forth in Section 10.2 below for the duration of the Minimum Service Term for the Service receiving the
Upgrade, but shall be subject to any applicable nonrecurring charges at prevailing Guidebook rates. If the equipment or
facilities are not available, special construction charges may apply. For an Upgrade, Customer will be responsible for payment
for the Upgraded Service in lieu of the charge for Service receiving the Upgrade, but downgrade of any Service(s) Will result in
termination liability charges as identified elsewhere within this Pricing Schedule. Upgrades may be purchased at any time
during the Pricing Schedule Term.
"Add" is defined as: additional Service(s) or Service Component(s) that may be ordered and provided under this Pricing
Schedule which ride on or are otherwise dependent upon or part of the specific Service(s) initially purchased by Customer as
identified in this Pricing Schedule. Adds permitted under this Pricing Schedule are defined by Service Category in Section 4.1
below and limited to Adds within the specified category of Service, and are subject to availability of equipment and facilities.
Customer will be responsible for payment for the Adds in addition to any Service(s) initially or subsequently installed under this
Pricing Schedule. Adds will be provided at the monthly rates set forth in Section 10.2 below for the duration of the Minimum
Service Term for the Service with which the Add is associated, but shall be subject to any applicable nonrecurring charges at
prevailing Guidebook rates. If the equipment or facilities are not available, special construction charges may apply. Adds may
be purchased at any time during the Pricing Schedule Term.
4.1 Add & Upgrade Capability

Adds to Service listed in this Pricing Schedule are allowed as described in Section 4 above.
5. PRICING
The Customer must pay the prevailing Monthly Rates listed in the applicable Section of the Guidebook. The Customer will
receive a credit ("Reward Credit") in an amount equal to the stated percentage(s) in Section 10.2 below of the prevailing
Monthly Rates listed in the applicable Section of the Guidebook (e.g., Reward Credit of 10% of prevailing Guidebook Monthly
Rate). The Monthly Rates identified in Section 10.2 are the Monthly Rates after the Reward Credits have been applied at the
preparation date of this Pricing Schedule. Reward Credits will be applied monthly, in arrears. Taxes, if applicable, will be
charged on the corresponding Monthly Rates listed In the Guidebook, but will not be included in the Reward Credits applied to
the Customer's bill. For the purposes of this Section, the prevailing Guidebook Monthly Rates shall be deemed to be the rates
set forth in Payment Plan A (such reference to such Payment Plan is solely for the purpose of designating the rates payable
under this Pricing Schedule; Customer is not subscribing to such Payment Plan under this Pricing Schedule).
6. TAXES & OTHER CHARGES
6.1 Other Rate Elements. Any rate elements not described herein will be subject to the applicable rates and charges outlined
in the Guidebook.

6.2 Additional Charges and Taxes. Rates set forth in this Pricing Schedule and the Guidebook are exclusive of, and
Customer will pay, all current and future taxes (excluding those on AT&T's net income), surcharges, recovery fees, custom
clearances, duties, levies, shipping charges, and other similar charges (and any associated interest and penalties resulting
from Customer's failure to timely pay such taxes or similar charges) relating to the sale, transfer of ownership, installation,
license, use or provision of the Services, except to the extent Customer provides satisfactory proof of a valid tax exemption
prior to the delivery of Services. To the extent Customer is required by law to withhold or deduct any applicable', taxes from
payments due to AT&T, Customer will use reasonable commercial efforts to minimize any such taxes to the extent' allowed by
law or treaty, and Customer will furnish AT&T with such evidence as may be required by relevant taxing authorities to establish
that such tax has been paid so that AT&T may claim any applicable credit.
7. TERMINATION BEFORE EXPIRATION OF MINIMUM SERVICE TERM (E.G., TERMINATION FOR CONVENIENCE)
7.1 If Customer terminates Service(s), in whole or in part, for any reason other than default by AT&T, or AT&T terminates for
Customer's default, prior to the Cutover Date, the Customer must reimburse AT&T for all expenses incurred in processing the
Order and installing the required equipment and facilities completed up to the date of termination, and termination liability as
provided in this section below shall not apply.
7.2 If Customer terminates Service(s), in whole or in part, for any reason other than default by AT&T, or AT&T terminates for
Customer's default, on or after the Cutover Date but before the scheduled completion of the Minimum Service Temh applicable
to such Service(s), Customer shall pay a termination liability of an amount equal to (a) all unpaid nonrecurring charges
(including nonrecurring charges that were waived or incorporated into the monthly recurring rates), (b) fifty percent (50%) of
the monthly rates for the terminated Service(s) as set forth in this Pricing Schedule, multiplied by the number of months
remaining in the minimum term applicable to such Service(s) at the time of termination, and (c) any unpaid special construction
liabilities.
7.3 Unless otherwise stated herein, Service(s) provided under this Pricing Schedule must remain at the location(s) listed in
Section 11 or in such other locations the Service(s) are installed for the entire Minimum Service Term applicable to such
Service(s). If Customer fails to maintain the Service(s) provided under this Pricing Schedule at the locations required under
the preceding sentence for any reason other than default by AT&T, Customer shall be liable for termination charge$ calculated
in the manner specified in this Section.
8. ADDITIONAL PROVISIONS
8.1 Materially Adverse Changes. If AT&T revises the Guidebook and the revision has a materially adverse impact on
Customer, and AT&T does not effect revisions that remedy such materially adverse impact within thirty (30) days',after notice
from Customer, then Customer may, as Customer's sole remedy, elect to terminate the affected Service Components on thirty
(30) days notice to AT&T, given not later than ninety (90) days after Customer first learns of the revision to the 'Guidebook.
However, a revision to the Guidebook will not be considered materially adverse to Customer if it changes prices that are not
fixed (stabilized) in this Pricing Schedule, if the price change was mandated by a governmental authority, or if the charge is
affected by Additional Charges and Taxes as provided in Section 6 of this Pricing Schedule; or if the revision is to Part 3
Sections 2, 4, 5, 7 and/or 13 of the Guidebook.
8.2 Access Right. Customer will in a timely manner allow AT&T to access property and equipment that Customer controls as
reasonably required to provide the Services, and Customer will obtain, at Customer's expense, timely access for AT&T to
property that Customer does not control (other than public property) as reasonably required to provide the Services. Access
rights include the right to construct, install, repair, maintain, replace and remove access lines and network facilities, as well as
to use ancillary equipment space within a building, as necessary for Customer's connection to AT&Ts network. Customer
must provide AT&T timely information and access to Customer's facilities and equipment as AT&T reasonably', requires to
provide the Services, subject to Customers reasonable security policies. Customer will f imish any conduit, holes, wireways,
wiring, plans, equipment, space, power/utilities, and other items reasonably required to perform installation of the Services,
and obtain any necessary licenses, permits and consents (including easements and rights -of -way). Customer will have the
Site ready for AT&T to perform its work according to a mutually agreed schedule.

10. CUSTOMER COMMITMENT AND RATES
10.1 Customer Commitment

At the end of the Ramp -up Period and no less than annually on the anniversary of the execution of this Pricing' Schedule,
AT&T will review the quantity of Services purchased and maintained pursuant to the requirements of this Pricing Schedule
to determine if the Minimum Quantity Requirement for each Service listed above has been met and is being Maintained
during each month of the Pricing Schedule. Services for which Customer has not been billed, or billed and Customer has
not paid, will not contribute to the Minimum Quantity Requirement. Failure on the part of AT&T to perform this review shall
not be considered a waiver of this provision. For each month of the term of this Pricing Schedule that the puantity of
Services is less than the applicable Minimum Quantity Requirement, Customer shall be billed a commitment shrtfall. The
commitment shortfall for such service shall be equal to the Minimum Quantity Requirement minus the quantity of installed
Services multiplied by the rates set forth in this Pricing Schedule ("Commitment Shortfall"). Termination charges will not
apply upon disconnection of a Service where Customer will incur a Commitment Shortfall for the disconnection of that
Service.
The nonrecurring charges identified in Section 12 below are waived for the installation of new Services (but not for moves,
adds or changes as described in Section 4 above) installed after the Effective Date of this Pricing Schedule. Upon
disconnection of any Service for which Customer will incur a Commitment Shortfall or a termination liability charge as
specified above, and for which these charges were waived at installation, Customer will be charged nonrecurring charges,
as identified in Section 12 below, in addition to Customer's obligation to pay the Commitment Shortfall for the remainder of
the Pricing Schedule Term and any termination liability charges incurred as provided herein.
10.2 Rates
The Rate Elements (aka Service Components), Nonrecurring Charges, Monthly Rates, and USOCs for the Service provided

This Addendum ("Addendum") changes Contract Service Arrangement FL07-2033-01 to a Pricing Schedule ("Pricing
Schedule") to the above referenced Unified Agreement.
AT&T ("Company") and Monroe County, by and through its Board of County Commissioner, a political subdivision of the State

Schedule FL07-2033-01. This Pricing Schedule Addendum Agreement is based upon the following terms and conditions as

1. Customer acknowledges that Customer has read and understands this Addendum Agreement and agrees to be bound by
its terms and conditions. Customer further agrees that this Agreement, and any orders, constitute the complete and
exclusive statement of the Addendum Agreement between the parties, superseding all proposals, representations, and/or
prior agreements, oral or written, between the parties relating to the subject matter of the Addendum Agreement.
2. Acceptance of any order by Company is subject to Company credit and other approvals. Following order acceptance, if it
is determined that: (i) the initial credit approval was based on inaccurate or incomplete information; or (ii) the customer's

Item Background
As Monroe County becomes increasingly dependent on its wide area network to carry more and
more of its critical services including email, voice communications, network traffic for the
Constitutional Officers' networks, streaming video and video on demand, improvements in the
reliability of this network are necessary.
We live in a County with a very unique geography where by the "wires" that connect us are,. in
many places, single points of failure. With the additional dangers of hurricanes, these "wires"
become very thin indeed. Because we rely on these wires more and more for information
necessary for our jobs, it is important that these connections be as robust as possible.
Technical Services, the Sheriff, the Property Appraiser's Office and the Courts have merged
their networks over the past several years to reduce overall costs and share resources as
appropriate. We are also working with the Clerk of Courts, the Health Department, and the State
Attorney's Office to connect them to our network backbone.
A glaring defect of our network infrastructure is that we connect to the Internet in Key West,
which is the furthermost point south in our network and therefore the most exposed to an outage.
Despite the fact that this communication occurs almost instantly, there are still physical
vulnerabilities for every mile our traffic must traverse. Furthermore, placing the Internet
connection point in Key West is more costly than locating it somewhere on the mainland due to
Key West's isolated connectivity and limited choices of providers. Our current network
utilization is running at 100% of available capacity during normal business hours.
Furthermore, using "hosted" applications has become more and more the norm today as an
alternative means to deliver information and provide support to our citizens. There are several
examples of this already today at work in Monroe County. The County's budget and finance
software system has been hosted in Sarasota County for at least the last 4 years. Our library has
recently moved from an in-house to a hosted solution for its integrate library system software last
year. It appears as though the Court Administration will be moving to a fully hosted email
solution in the next several months. Our Growth Management department has had discussions
regarding the hosting of their GIS software instead of using an internal server.
There are several reasons to move to a hosted solution. We no longer have to maintain a server
with its drivers, operating system updates, etc. We do not have to worry about backing up the
server as our contract with the provider includes disaster recovery protection for our data. We
can focus on the use and function of the application instead. Of course, this means that this
application and our ability to use it become completely dependent on our users ability to reach.

In this vein, the County pursued colocation services with two vendors, AT&T and a company
called Terremark, which operates a colocation facility in downtown Miami. After 3 months of
negotiations, we received quotations for these services from each of them.
This proposal will create a new connection point for our internal network at a Category 5 data
center in central Dade County. We intend to relocate our Internet connection to this facility as
well. By doing so, we are able to acquire significantly more bandwidth at nearly the costs we are
currently paying. At the same time, due to the grid nature of infrastructure on the mainland, the
reliability of these connections is enhanced greatly.
Several systems and critical servers will be moved to this location including our application
servers for Emergency Management, our web component of Growth Management's permitting
application, our VPN server, an email backup server to provide push email services for
smartphones, and the County's internet proxy server. If a network disruption were to occur at a
point south of say Marathon, then offices north of the break would still have connectivity to the
internet and the rest of the network. Eventually, much of our production server environment will
be moved to Miami.
Proposal Analysis
Each proposal we received included a single 7-foot "rack" with a lock for our equipment along
with two redundant 20 Amp 120 volt circuits and raised floor cooling, a 100 Mb/s connection to
the Internet with 62 IP addresses, and cross -connects from our cabinet to the Internet and to our
private wide area network.
Currently we pay $4,500 per month for 20 Mb/s of Internet bandwidth in Key West. It is a
primary goal of this solution that we secure this additional bandwidth without increasing the
costs of what we currently pay. We expected that this would be easy to achieve because Internet
services in Miami are extremely competitive.
The first proposal we received was from AT&T. Their solution results in a monthly total charge
of 4,690 dollars per month which is $190 more than what we pay today. The second quotation
we received was from Terremark. Their solution results in a monthly total charge of 4,549'
dollars per month which is $49 more than what we pay today.
During the course of the negotiations, AT&T indicated that they would bundle their solution
together with discounted pricing on our Metro Ethernet wide area network should we elect to
place our equipment at their facility. With these additional discounts, the net result is a monthly
savings of $2,680. However not all of these savings will be realized as we wish to use some of it
to purchase additional bandwidth for our internal wide area network to the facility.
This additional savings enables us to increase the bandwidth on our wide area connection such
that each of our main offices will be able to drive data to that location at full speed. One of the
weaknesses of the Terremark solution was that we were purchasing as much bandwidth for our
internal connection as to the Internet. The net result would be that any traffic for backup and
disaster recovery would take away from the available bandwidth for Internet traffic. At this
time, we need all of the Internet bandwidth we can reasonably afford to purchase. AT&T's
bundled solution will allow the County to purchase 10 times the bandwidth on our private
connection as on our Internet connection. This means that we will fully utilize the 100 Mb/s for
Internet and have 900 Mb/s available for backup and disaster recovery.
It is the recommendation of Technical Services that the Board of County Commissioners select
the proposal from AT&T in its entirety, due to the amount of bandwidth available in the solution
and the cost savings, which are more than $4,000 per year.
Included Documentation
The first document is an AT&T Hosting and Application Services Pricing Schedule to the Master
Agreement that provides pricing for the rental of a single 7-foot rack with power, cooling and the
necessary network connections for us to connect to the Internet and our internal network. We
will install our servers and networking equipment into this enclosure.
The second document is the AT&T Managed Internet Services Pricing Schedule that provides
pricing for the Internet services itself. The speed of this connection is 100 Mb/s and provides 62
public IP addresses that we will share with each of the entities that will use our facilities.
The third document after the contract summary is the Pricing Schedule for AT&T Interstate,
Broadband Services Provided on Custom Terms Pursuant to the AT&T Interstate Guidebook that
contains pricing for the Metro Ethernet service at the hosting facility. This connection enables
the rest of our offices to connect to the Internet service in Miami and provides for sufficient',
bandwidth to support a server farm there as well.
The fourth document is the Pricing Schedule to the Master Agreement that provides new pricing
for our existing Metro Ethernet locations at a discount from our present contract.
We have also included several additional documents after this item background. The first
document is the Technical Order Form that lists the specific contacts for the hosting services and
their contact information as well as the specific lists of services that we have ordered
The second document is a copy of the competing proposal from Terremark for their Internet
services. They were unable to provide us with a quote for Metro Ethernet services.
