U'. WHEREAS, the TDC/BOCC has trade show activities that necessitate a part-time trade show assistant to attend trade shows, when the Sales and Marketing Coordinator is attending other trade shows or familiarization trips. This agreement is entered into this , day of January, 1991 by and between the Monroe County Board of County Commissioners and Betty Hibbs, contractor. Now, therefore, the parties of mutual convenants and promises agree as follows: 1. The BOCC agrees to hire contractor Hibbs and contractor agrees to be employed as a trade show assistant for the Monroe County Tourist Development Council. 2. Contractor shall attend trade shows and familiarization trips as directed by the Monroe County Tourist Development Council. The trades show assigned, include but are not limited to the following: International Dive and Travel Show, October 11-14, 1990; National Tour Association, November 11-14, 1990; American Bus Association, December 2-5, 1990 Dive Equipment Manufacturers Association, February 7-10, 1991 Miami International Boat Show, February 14-20, 1991; Underwater Canada, April 1-4, 1991 3. Payment: The Board of County Commissioners will pay up to $2,250.00 to the contractor plus travel expenses under limits of Florida Statute 112.061. The contractor will be paid at a rate of $10. 00 per hour for inter -office work (i.e. trade show preparation and followup ) and a rate of $100. 00 per day for trade show days and $50.00 per day for setup and travel days. 4. Term of Contract: The contract is retroactive to October 1, 1990 and will terminate on April 30, 1991. 1 5. Duties of the trade show assistant include coordination of travel and accommodations arrangements, transport of various trade show booths and equipment including collateral, attendance at trade or consumer shows when the Sales & Marketing Coordinator is unable to attend due to attendance at conflicting trade shows, responding to attendees verbal requests, recording of requests to be fulfilled by collateral not available at show. Maintain State of Florida voucher for reimbursement of traveling expenses for reimbursement by Monroe County. All backup documentation shall be submitted with travel voucher. This position reports directly to the Administrative Director of the TDC. 6. Relation of BOCC/TDC: It is the intent of the parties hereto that the contractor shall be legally considered as an independent contractor and the contractor shall not, under any circumstances, be considered a servant or agent of the BOCC/TDC and the BOCC/TDC shall at no time be legally responsible for any negligence on the part of said successful contractor, its employees or agents, resulting in either bodily or personal injury or property damage to any individual, firm or corporation. 7. Disclosure: The contractor shall be required to list any or all potential conflicts of interest, as defined by Florida State 112 and Monroe County Ethics Ordinance. The contractor shall disclose all actual or proposed conflicts of interest, financial or otherwise, direct or indirect, involving any client's interest which may conflict with the interest of the BOCC/TDC. a. Assignment: The contractor shall not assign, transfer, convey, sublet or otherwise dispose of this contractor, or any or all of its right, title or interest therein, or his of its power to execute such contract to any person, company or corporation without prior consent of the BOCC/TDC. 9. Indemnification and Hold Harmless: The contractor, agrees to indemnify and hold Monroe County harmless for any and all claims, liability, losses and causes of action which may arise out of the fulfillment of the agreement. 2 It agrees to pay all claims and losses and shall defend all suits filed due to the negligent acts, errors or omissions of the contractor, employees and/or agents, including related court costs. 10. The contractor will provide TDC with proof of all required licenses, including occupational licenses.
