05/30/1990 AgreementZ-.-) .10 OLD CITY HAIL HURRICANE SHUTTER AGREEIriEFT THIS AGREEMENT, entered into this 30th day of May, 1990, by and between the Board of County Commissioners of Monroe County of Monroe County [hereinafter referred to as the County] and the Historic Florida Keys Preservation Board of Trustees [hereinafter referred to as HFKPB. WITNESSETH WHEREAS, the Board of County Commissioners of Monroe County, is the governing body of the County of Monroe, and WHEREAS, the Historic Florida Keys Preservation Board of Trustees is empowered by Florida Statute Sec. 266.206 to enter into contracts and to "construct, reconstruct, alter, repair and improve" facilities, and WHEREAS, the purposes of the HFKPB include restoration, maintenance and preservation of historic buildings, and WHEREAS, the Board of County Commissioners of Monroe County may, pursuant to Monroe County Code §2-391 and Florida Statutes 125.01(p) and 163.01, enter into interlocal agreements, and WHEREAS, the County is desirous of maintaining, protecting and preserving buildings of historical and architectural value, and WHEREAS, the Old City Hall of Key West is deemed to be of historical value to the community; NOW THEREFORE, pursuant to this Agreement and through an ordinance adopted by the County (Ordinance No. 004-1990) the parties, set forth herein, agree as follows: 1. The County shall provide the sum of $25,000.00 for the sole purpose of applying such sum for the provision of hurricane shutters for Old City Hall. Such funding by the County is contingent upon the HFKPB providing a matching contribution of $25,000.00 for the sole purpose of providing shutters for Old City Hall and upon a commitment that the Old City Hall be used as hurricane refuge. 2. The HFKPB shall provide the sum of $25,000.00 to be applied solely to the purchase of hurricane shutters for Old City Hall and attachment thereto. 3. This Agreement shall be in effect for one year from the date hereof, and if the requisite $25,000.00 matching contribution by the HFKPB has not been paid within said year or there has been no official commitment or designation of Old City Hall for use as a hurricane refuge, then this Agreement shall expire and the County will have no obligation hereunder. 4. Payment of funds by the County shall be made only upon receipt of a commitment or designation of Old City Hall for use as a hurricane refuge and upon receipt of documentation that the matching funds have been supplied by the HFKPB and that the HFKPB has entered into a contract or otherwise legally obligated itself to pay for shutters to be placed upon City Hall. 5. The County shall, as a condition of providing funds for the Old City Hall hurricane shutters, have a right to approve, within reasonable standards of approval, the contractor providing the shutters for Old City Hall. 6. The contract into which the HFKPB enters to obtain the shutters shall specify that the contractor absolves and holds harmless the County from any liability in connection with said contract. 7. The contract into which the HFKPB enters to obtain the shutters shall provide for the contractor to post a bond or otherwise insure completion of the project.
