Nelson Government Center (MENGC) building for use as dressing rooms. Attached is a duplicate original of the subject document for your handling. Should you have any questions, please feel free to contact my office. Cc: County Attorney Finance File CONTRACT FOR PROFESSIONAL SERVICES BETWEEN OWNER AND ARCHITECT/ENGINEER For THE M.E.N.G.C. DRESSING ROOMS THIS CONTRACT made as of the 21 day of September 2011, FOR PROFESSIONAL SERVICES BETWEEN OWNER AND ARCHITECT (the "Contract" or "Agreement") is made and entered into by MONROE COUNTY, BOARD OF COUNTY COMMISSIONERS (the "Owner° or "County"), a political subdivision of the State of Florida, whose address is 1100 Simonton Street, Key West, Florida 33040, its successors and assigns through the Monroe County Board of County Commissioners ( "BOCC "), and CURRIE, SOWARDS, AGUILA, ARCHITECTS (the "Architect"), whose address is 134 Northeast First Avenue, Delray Beach, FL 33444, its successors and assigns. NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements stated herein, and for other good and valuable consideration, the sufficiency of which hereby acknowledged, the Owner and the Architect agree: 1. This Contract is in accordance to the Continuing Contract as approved by the BOCC on January 20, 2010 where professional services are to be rendered for projects in which the estimated construction costs of each individual project under contract does not exceed Two Million Dollars ($2,000,000.00). All terms and conditions of the continuing contract approved by the BOCC shall apply to this contract. Modifications to the existing contract consist of the following: A. The Architect shall not disclose, publish, or authorize others to disclose or publish, design data, drawings, specifications, reports, or other information pertaining to the services performed by Architect or other information to which the Architect has had access during the Term of the Continuing Contract without the prior written approval of the County, _ during the Term of the Continuing Contract and for a period of two years after the Q.-: -- 4 termination of the Continuing Contract. Nevertheless, the parties agree the Architect may ° cv < yse and publish the County's name and give a general description of the work provided 7 by the Architect for the purpose of informing other clients and potential clients of the a: a- Architect's work experience and qualifications. B: Should the County receive a request for documents pursuant to Chapter 119, Florida c c� - Statutes, Architect shall cooperate with the County to facilitate the County's compliance =- with Chapter 119, Florida Statutes. Should the Architect assert any exemptions to the reCtUirements of Chapter 119 and related statutes, the burden of establishing such exemption, by way of injunctive or other relief as provided by law, shall be upon the Architect. Failure by the Architect to cooperate with the County in connection with a Public Records request shall be grounds for immediate unilateral cancellation of the Continuing Contract by the County. C. PROJECT DESCRIPTION This Project provides for the preparation of permit and construction documents for the exterior wall enclosure of approximately 715 square feet of an area of the Murray E. Nelson Govemment Center (MENGC) building labeled "covered Patio" on the west side of the building. It is intended that once enclosed, the area is to be used primarily for 1 Page dressing rooms and the bid documents will include two toilet rooms with showers as an add- altemate. D. SCOPE OF SERVICES The Architect and Consulting Engineers will prepare construction documents as needed for a proper bid and issuance of permit to provide for the endosure of an existing space of approximately 715 square feet to be used as future dressing rooms. It is intended that all required services will be provided by either modifications to existing systems or connections to services previously installed and capped for future use. Prior to commencement of document preparation, the Architect and his consultants will visit the site and confirm availability of required systems, including electrical, mechanical, and plumbing services. As to potable water, this proposal is based on a new tap after the existing BFP and service line to serve the new plumbing. As to sanitary, plans will indicate that the selected General Contractor will be required to design, permit, provide, and install a fully operating sanitary grinder pump system as required for connection of the new plumbing sanitary system to the existing project lift station. Electrical connections will be indicated to the existing panel and it is assumed to have required capacity. Disciplines indude architecture, structural, and MEP engineering services. Architect shall supply 4 sets of signed and sealed complete drawing, one signed and sealed set of specifications and on electronic copy of each. E. EXCLUSIONS The following services are specifically excluded as deemed to be provided by the Owner or not required for the scope of work anticipated. • Surveys, including boundary, tree, or topographic surveys • Civil engineering services • Lift station design • Interior design or FF &E selection • Cost estimating • Landscape/irrigation design • Permit or agency review fees • Construction Administration F. PAYMENTS Professional services for the scope indicated above will be a total fee of Fourteen Thousand Five Hundred Dollars (14,500.00) and No Cents, plus direct (reimbursable) expenses, which is not anticipated to exceed $250.00 unless previously approved in writing by the Owner. Direct (reimbursable) expenses indude the following: • Additional Reproductions at cost • In -house black and white plotting at the rate of $1.15 per sheet • In -house color plotting at the rate of $8.00 per sheet • Courier service if required at cost Invoicing will be monthly based on percent completion, each invoice will indude a description of the work completed and the percentage of completion represented by the work. The percentage of completion shall be agreed upon between the Owner and the 2IPage Architect in writing on the invoice. G. COMPLETION DATE Services required will be completed as expeditiously as possible but in no event more than forty-five days following a written notice to proceed. 2. AU other terms and conditions of this Contract shall comply with the Continuing Contract dated January 20, 2010, which shall be made a part of this contract as if written herein in its entirety. 3. 1N ?.
