AGENDA ITEM WORDING: Approval to negotiate a contract with Currie Sowards Aguila
Architects to draw a preliminary design for a parking facility on Thomas Street to service the Freeman
Justice Center, Jackson Square, and visitors of Key West. The preliminary design is important because
it will enable the County to vet the parking facility to the City of Key West and the neighborhood prior
to spending the money for a full blown project.
ITEM BACKGROUND: The drawings do not require a competitive bidding process because the cost
of the lowest price quote ($12,500.00), falls within the authority of the County Administrator, and the
department solicited two price quotes as called for in the County Purchasing Policy, Chapter 2(F).
BOCC approval is required under F.S. 125.74 (m). The two quotes are attached. A preliminary design
of the parking facility by an Architect/Engineer is required to complete documents needed to obtain a
Development Approval from the City of Key West. This contract is for a preliminary design only and
will not include construction drawings or permitting drawings.
PREVIOUS RELEVANT BOCC ACTION: Monroe County Purchased the property in question by
Special Warranty Deed dated 2/20/1991.

This confirms your request for the CURRIE 50WARD5 AGUILA ARCHITECTS (the Architect) to
provide professional architectural services for the above referenced Project as detailed herein
for Monroe County (The Client).
ARTICLE 1- DESCRIPTION OF PROFESSIONAL SERVICES
1.1 The scope of Professional Services as described In this Agreement generally consists of
preparation of a conceptual design for a new multi -story public parking garage on the
south Side of Thomas Street behind the Freeman Justice Center in Key West, Florida.
1.2 The garage is anticipated to consist of a ground level, levels 2 and 3, and an open roof-
top level consisting of approximately 300 parking spaces. The intent of the conceptual
design is to illustrate the potential of the design and to seek support from the
adjacent residents, the public and City Leaders prior to funding.
1.3 5ervices by other consultants such as civil engineering, landscape architect, MEP
engineering and others are not included. Formal site plan and conditional use approvals
are not included but may be provided for an added fee or at the firm's standard hourly
rates as noted below.
ARTICLE 2 - FEES
2.1 Professional fees for the services described in Article 1 of this Agreement shall be a lump -
sum fee of Twelve Thousand Five Hundred Dollars (12,500.00) and No Cents.

2.3 Direct project expenses (reimbursable expenses) are in addition to compensation
described in Article 2.1 above and include — but are not limited to — actual expenditures
made by the Architect or its consultants in the interest of the Project as follows:

3.2 Schedule for final delivery of work product will be no more than thirty days from written
notice of acceptance of proposal and receipt of an updated boundary survey which will be
used as a basis for site constraints.
ARTICLE 4 - MISCELLANEOUS
4.1 Payment on account of the Architect's services, as well as any direct project expenses,
shall be made in accordance with the terms of the current Contract for Services dated
January 10, 2010.
4.2 The Architect will rely on the Informatlon provided by the Client for providing services
described herein without independent verification. This applies to compliance with LOR
requirements, allowable use, and approval of final conceptual design.

DESIGN DEVELOPMENT AND APPROVAL PROCESS
1. Scope of Services
A. Design Professional shall provide architectural and engineering services for Design Development and City
approval process of property at 500 Thomas Street, Aftemate Key 8732791, for parking garage structure.
Scope or work is limited to City approval process. Refer to Appendix A for an expanded scope of services.
It. Conditions
A. Client and Design Professional each agree to indemnify and hold the other harmless, and their respective
officers and employees from and against liability for losses, damages and expenses, to the extent such
losses, damages, or expenses are caused by indemnifying party's negligent ads, error or omissions. in
the event claims, losses, damages or expenses are caused by the joint or concurrent negligence of Client
and Design Professional, they shall be bome by each party in proportion to its negligence.
III. Compensation
A. For services described in Section IA, the Client agrees to pay a fixed fee of SEVENTEEN THOUSAND
FIVE HUNDRED DOLLARS ( $17,500 ) as required to complete the services, unless otherwise agreed to
in writing by Client.
B. In addition to compensation in Paragraph III (A), Client shall pay Design Professional for any and all
reimbursable expenses. Reimbursable expenses are defined as the actual expenses increased by 10%
incurred by the Design Professional in connection With the Project, such as expenses for reproduction of
reports, drawings, and specifications; renderings; and similar Project -related items. All additional
consultants required for work will be billed at direct cost + 10%.
C. Any items beyond those specifically outlined and described herein, are considered to be Additional
Services and are chargeable at the standard hourly rate.
D. The following is a listing of hourly rates assigned by staffing type for mbi I k2m Architecture, Inc. and only
applies for services authorized beyond that as defined In Appendix A. Hourly rates quoted are for the
current calendar year and are subject to change thereafter.

SCHEDULE
The Design Professional shall perform its services as expeditiously as is consistent with professional skill and care
and the orderly progress of the Work.
This agreement represents the entire integrated agreement between Client and Design Professional and supersedes
all prior negotiations, representations or agreement, whether written or oral. This agreement may be amended only
in writing and signed by both Client and Design Professional. This proposal remains valid for thirty days after which
time Design Professional reserves the right to modify or amend the Agreement.
