Dear Mr. Fouts:
Please be advised that as of this date your representation of
American Medical Affiliates, Inc. and /or Keys Community Hospital with
reference to the sale of the tract of ground located at the southwest
corner of High Point Road and U.S. 1 on Plantation Key is cancelled.
•
Your misrepresentation with respect to the ground available
at the recent meeting of County Commissioners leave us no alternative.
However, should a sale be consummated with Monroe County covering parcels
A and C, as described in the survey made by Bailey and Post under date
of October, 1976 within 90 days from the date hereof, at a price exceed-
ing $150,000, we will honor our commitment to you -- namely 25% of any
monies received over $150,000. -

Dear Mr. Aylsworth;

With reference to your letter to me of January 25, 1977, copy attached,
I understand from the public records of Monroe County, Florida a lease ,
purchase agreement was signed between your organization and the Monroe
County Commission on April 4, 1977 in the amount of one hundred sixty
. thousand six hundred eighty dollars and no cents ($160,680.00).
This amount exceeds the $150,000.00 mentioned in your letter of 1/5/77
by $10,680.00. Twenty five per cent of this amount is $2,670.00, there-
fore you may consider this as my request for payment in this amount as
per your letter of January 5, 1977.

Re: Lease - Purchase Agreement between County
and American Medical Affiliates
Dear Mr. White:
Presently, the status of the matter is thus: Mr. Tittle, who
represents American Medical Affiliates, has been advised that
prior to closing on this property and exchange of deeds, etc.,
the Lessors will have to clear title for us which involves the
following:
1. Satisfaction of Release of the Rene Roy Mortgage of
record.
2. Satisfaction or Release of the Levin mortgage.
3. A hold harmless agreement with reference to any final
judgment for money that may be rendered against the
hospital as a result of any of the seven suits presently
pending against the hospital.
4. Affidavit of Continuous Marriage of Mrs. Levin (setting
forth her survivorship as his wife at his death.)
5. Non -lien affidavit.
When Mr. Tittle furnishes me these documents, I will be in a position
to prepare a closing statement and request the Board to approve war-
rants in the amounts shown on the closing statement. No lease - purchase
payment =should be made until I am in receipt of these recorded documents.

Pursuant to our telephone conversation I am enclosing a
copy of the Assignment of Proceeds of Sale of property
on Plantation Key to the County by the American Medical
Affiliates.
The First National Bank of the Upper Keys entered into
an Agreement wherein it loaned to American Medical Affiliates
$70,000.00 for the purpose of clearing up the outstanding
obligations owing on the properties which it sold to the
County.
The company assigned the proceeds of the transaction to
this bank as collateral for the aforementioned loan. We
would appreciate your acknowledgement of the enclosed
assignment.
Trusting this information will expedite your payments to
