02/07/1989 • AGREEMENT THIS AGREEMENT, made and entered into this 7I'k day of reAratArs) , A.D. 1989 , by and between the BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, a body corporate and politic existing under the laws of the State of Florida, hereinafter called the SPONSOR, and Kathleen Edgerton whose mailing address is P. 0. Box 1618 Big Pine Key, • Florida • hereinafter called the CONTRACTOR. WITNESSETH WHEREAS, the SPONSOR desires to utilize the services of the CONTRACTOR for the purpose of providing nutrition consultation in the Older Americans Act, Title III -C, Nutrition Program in Monroe • County and the CONTRACTOR is willing to provide said services upon the terms and conditions of this Agreement, NOW, THEREFORE, in consideration of the parties mutual covenants contained herein and for other good and valuable considerations, the parties agree as follows: • The CONTRACTOR hereby agrees to furnish consultation ser vices in accordance with Attachment "A" of this Agreement and to accept as full payment $20.00 per hour for said services. • II The SPONSOR agrees to reimburse the CONTRACTOR for consulta- tion services at the rate of $20.00 per hour, payment to be made • to the CONTRACTOR no more than thirty (30) days after receipt by the SPONSOR of the CONTRACTOR'S claim. Claims for reimbursement shall be submitted with sufficient information to allow for 'proper audit and shall be submitted as promptly as practicable after the 10th of each month. 111 If additional services are requested by the SPONSOR, the parties shall mutually negotiate and enter into written contract for such additional services including cost of providing same to be paid to the CONTRACTOR. This Agreement shall only be modified in writing. • • IV • The obligations of the SPONSOR under this Agreement are •subject to the availability of funds lawfully appropriated for this purpose by Monroe County, Florida, and on the availability of funds through contract or grant programs. V • The CONTRACTOR hereby agrees to indemnify Monroe County, its officers, agents, and employees, for any and all claims of any sort whatsoever that may arise from the CONTRACTOR'S performance under this Agreement. In this respect; the CONTRACTOR agrees to hold the County harmless and to assume any and all responsibility for any claims, damages, or liabilities of any sort whatsoever resulting from her activities pursuant to this agreement. . The CONTRACTOR agrees to defend and to pay and all costs incurred in connection with such defense, including attorney's fees, costs of court, and all such expenses related to any such claims, damages, or liabilities, should the same occur. VI This Agreement may be terminated by either party giving written notice to the other party of its intention to do so thirty (30) days prior to said termination. VII . . This Agreement shall continue in effect to and including the 31st day of December 1989, at which time the CONTRACTOR'S obligation hereunder shall cease, unless terminated sooner as provided for herein. 2 • • IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and year first above written. Review and modify as necessary monthly menus prepared by caterers which meet one - third the recommended dietary allowance for elderly adults and follow the State mandated menu pattern; 2. Submit reviewed /modified menus to Nutrition Director at least 45 days prior to utilization; • 3. Develop nutrition education packages in cooperation with other consultants and staff for quarterly presentations at the Key West, Big Pine, and Marathon congregate meal sites; 4. In conjunction with other consultants and director, develop a training packet for use by the Site Managers. as presenters. Arrange for training of Site Managers as necessary; 5. Arrange for quarterly presentation of nutrition education at the sites named above; 6. Develop a plan in conjunction with staff to service home delivery participants with nutrition education material; 7. Evaluate effects of nutrition education among participants at least once a year using Nutrition Education Survey fora; 8. Report to Nutrition Program Director the results of nutrition education not less than quarterly; 9. Inspect food service preparation and service delivery at meal sites at least twice yearly. Portion control and temperature control to be checked quarterly; • 10. Otherwise provide nutrition consultation as requested by the • Nutrition Director; 11. Provide no less than forty -eight (48) hours of service - an ive =age of four (4) hours per month - during the contract period. 12. Submit timely outlines of each Nutrition Education presenta- tion and site visit reports to program director. • .�„ _
