Stanford, President Stanford & Company 100 Second Avenue, South Suite 205 St. Petersburg, Florida 33701 Re: Consulting Services Agreement Dear Ms. Stanford The above agreement, executed by yourself on behalf of Stanford and Co., clearly incorporated your proposal for services as a part thereof. Your response to the minimum insurance coverage section of the response was that you would be willing to maintain the require- ments mentioned therein. You further elaborated this willingness on page seven (7) of your response, and I quote; "the consultant will provide the Board with certification of professional liability during the term of services provided, and for three years after conclusion of all services performed under the agree- ment, through insurance and other risk management mechanisms." Because of your good faith effort to obtain the minimum coverage for professional liability, as stated in the original agreement dated August 2, 1988, and your own indication that a reduced coverage amount of $500,000 was already in place, the Board of County Commissioners approved a contract amendment, dated Septem- ber 20, 1988, reducing liability coverage from $1,000,000 to $500,000. Evidently this amendment contained wording you found to be unde- sirable, hence your changes. While our County Attorney advised us that it would be improper for the Board to revisit this par- ticular amendment, another amendment was couched using language suggested by yourself. It now appears you are dissatisfied with your own language. I find your comments in paragraph two (2) of your letter dated January 3, 1989, to be of great interest. Both items quoted are paragraph titles. Should your contention be that one has nothing to do with the other, I suggest you revisit your response to "minimum insurance coverage" on page two (2) of the original agreement. Your response to the question was "yes, see details on page 7, insurance coverage." At this point in time you do not appear to be in compliance with the terms and conditions of the agreement dated August 2, 1988. You are requested to either execute the revised amendment provid- ed by Donna Perez with her cover letter dated December 14, 1988, or provide minimum coverage as per the original agreement through insurance and other risk management mechanisms. Again, let me point out that the proposed amendment incorporates language suggested by yourself. It is our intent to assist you in this matter, and I am sure you understand that the current agreement must be complied with unless and until properly amend- ed. Mr. Ludacer related to me that a reduction in coverage below that already agreed to by the Board will not be considered. He also advised that you either execute the revised amendment pro- viding for a reduction in coverage to $500,000 or provide that stipulated in the original agreement. - Should you not proceed with one of these remedies, it is my im- pression that the Attorney's Office will seek cancellation of the agreement for noncompliance. Dear Mr. Harper: I am returning herewith the executed amendment to our Consulting Services Agreement reducing professional liability coverage from $1 million to $500,000. It is my assumption, based upon our discussions with the County and the letter to me dated August 9, 1988. from Mr. Brown, that the combined coverage of $500,000 limits of my Associate. and the $250.000 limits from my policy, making a total of $750,000 in total coverage, meets the terms of this amendment.
