SIEMENS INDUSTRY, INC.
THIS AGREEMENT, made and entered into this 17 day of April, 2013 by and
between the MONROE COUNTY, a political subdivision of the State of Florida hereinafter
called "County ", whose address is 1100 Simonton Street, Key West, Florida 33040 and
Siemens Industry, Inc., Building Technologies Division, a Delaware corporation,
hereinafter called "Contractor ", whose address is 3021 North Commerce Parkway,
Miramar, FL 33025
WHEREAS, the County is in need of Fire Alarm and Detection System replacement at its
Monroe County Detention Center facility; and
WHEREAS, the Contractor is licensed, qualified, properly equipped and is in the business
of performing Fire Alarm and Detection System replacements; now, therefore
IN CONSIDERATION of the premises and of mutual covenants and promises hereinafter
contained, the parties hereto do hereby agree as follows:
1. THE CONTRACT
The contract between the County and the Contractor, of which this Agreement is a part,
consists of the contract documents, as specified in paragraph 2.
2. THE CONTRACT DOCUMENTS
The contract documents consist of the Agreement, the Request for Bid, the Specifications,
all Change Orders and any addenda, the Contractor's Bid documents, any other amendments
hereto executed by the parties, together with the required County documents furnished as
part of the Bid or required to be furnished by the BID and all required insurance
documentation. In the event of a discrepancy between the documents, precedence shall be
determined by the order of the documents as just listed.

Existing system as -built drawings as provided by MARIS Power and Communications
Technology dated 3/3/94 is attached for reference only, as Exhibit A. Monroe County does
not guarantee or warrant the fitness of these drawings. Contractor is to confirm all as -built
conditions.
3. SCOPE OF THE WORK — FIRE DETECTION AND ALARM SYSTEM
REPLACEMENT — Monroe County Detention Center, 5501 College Road, Stock Island,
Florida 33040.
A. The Contractor shall perform all of the work required, implied or reasonably inferable
from this agreement. The term "work" shall mean whatever is done by or required of the
contractor to perform and complete its duties under this agreement, including the following:
construction of the whole or a designated part of the project; furnishing of any required
surety bonds and insurance; and the provision or famishing of labor, supervision,
engineering services, material, supplies, equipment, fixtures, appliances, facilities, tools,
transportation, storage, power, debris disposal, the payment of any applicable sales and use
taxes; procurement and payment of any required permits from local, state or Federal
authorities having jurisdiction, royalties and product license fees; fuel, heat, light, cooling,
and all other utilities as required by this contract. The work is to not disrupt or jeopardize
Detention Center operations. Contractor is responsible for all required permitting and
coordination with the Local Authority Having Jurisdiction. Contractor is to abide by all
MCDC security rules and regulations of which includes tool control and employee
background checks. The work to be performed by the contractor is generally described as
follows:
3.01 DESCRIPTION
A. Provide all labor, material, equipment, and tools as required for:
1.1.1 Summary - Fire
This performance specification provides the minimum requirements for the Life Safety
System. The work shall include, but not limited to all equipment, materials, labor,
documentation and services necessary, including electrical, to remove the existing GE
Security IRC -3 fire alarm system and install a new Siemens XLS fire alarm system that
will communicate with, the existing Non -UL Listed Insight Workstation located in the
Engineering office. All devices will be connected to the main control panel and there
will be no transponders.
The DJJ and Sheriffs office building are not part of this contract and will remain as is
and still communicate to the existing FireWorks Workstation.
The New fire alarm system will also be connected to an existing MCSO Workstation
for monitoring purposes only and a system annunciator will be provided in the control
room that will have the ability to acknowledge, silence and reset the system.
The existing heat detectors that are in the chase between the cells will be re -used. A new
Siemens monitor module will be installed to monitor these devices.

1.1.2 Manufacturer
Acceptable fire alarm system manufacturers include:

All equipment and components shall be the manufacturer's current model. The materials,
appliances, equipment and devices shall be tested and listed by a nationally recognized
approvals agency for use as part of a protected premises protective signaling (fire alarm)
system. The authorized representative of the manufacturer of the major equipment, such
as control panels, shall be responsible for the satisfactory installation of the complete
system.
The contractor shall provide, from the acceptable manufacturer's current product lines,
equipment and components, which comply, with the requirements of these
specifications. Equipment or components, which do not provide the performance and
features, required by these specifications are not acceptable, regardless of manufacturer.

Electromagnetic Compatibility Requirements
1.3 System Description
1.3.1.1 General — Fire
The Contractor shall furnish all labor, services and materials necessary to install a
one for one replacement, functional fire alarm system (System). The system is not
intended to be upgraded to ADA. The System shall comply with all pertinent codes,
rules, regulations and laws of the Authority having local jurisdiction. The Contractor
shall obtain approval and final acceptance from the Authority having local
jurisdiction. The System shall comply in all respects with the requirements of the
specifications, manufacturer's recommendations and Underwriters Laboratories Inc.
(UL) listings.
This project will consist of the replacement of all existing IRC -3 Life Safety Panels
and upgrading those to new Life Safety Panels and the replacement of existing
System Sensor addressable annunciating, initiating and control devices to new
addressable annunciating, initiating and control devices. The intent is to replace the
Fire Alarm system in a phased manner. First, install the new XLS Panel near the
existing panel. Then the existing panel will monitor the XLS panel and the XLS will
monitor the existing panel. Then move individual circuits from the existing panel to
the new panel, as field devices are replaced, keeping downtime to a minimum. Once
all circuits are moved to the XLS panel, the existing panel will be removed.
1.3.1.2 Existing System Components
1. There are 299 Smoke Detectors
2. There are 38 Heat Detectors
3. There are 192 Heat Sensors with M507 MF address modules mounted inside
the duct of each cell
4. There are 20 duct mounted smoke detectors at air handling units
5. There is an IRC -3 Main Panel, RMDP -IN with and enclosed CM2N
6. There are 3 remote sub -panels - CM2N
7. There are control outputs to a smoke control panel, door control system and
fire pump.
8. There are 101 Audio /Visual Appliances (Horns, Strobes & Bells) of which are on
a 4 -wire system
9. All devices are labeled EST or FAST system sensor

1.3.2.1 Description — Fire

Provide and install a complete new fire detection and alarm system of which includes
but is not limited to the following:
Fire command center
Remote control panel(s)
Detention grade lockable Manual pull stations
Area smoke detection
Area heat detection
Duct smoke detection
Monitor the sprinkler system water flow(s) and valve supervisory switch(s).
Monitor the stand -alone suppression systems
Audible and visual appliances shall be provided.
Provide fan shutdown control and necessary outputs for Smoke Control.
Provide direct interface to the building automation system.
Provide necessary outputs and control for the Fire Door Egress System.
Provide elevator recall functions for primary and alternate floors and elevator power
shunt trip activation.
All required labor, material and licenses to interface with the existing Non -UL Listed
Insight Graphic Workstations located in Main Control and Public Works
Engineering office.
Expand existing system to include adequate fire detection and alarm coverage to
Laundry and MCSO Supply areas.
Remove the existing fire detection and alarm system(s) devices.
1.3.3 Operations
1.3.3.1 Sequence of Operations
1.3.3.1.1 General
Upon the alarm activation of any area smoke detector, heat detector, manual pull
station, sprinkler water -flow, the following functions shall automatically occur:

1. The internal audible device shall sound at the control panel and Non -UL
Listed Insight Workstation.
2. The LCD display shall indicate all applicable information associated with the
alarm condition including; device type, device location and time /date.
3. Any remote or local annunciator LCD's associated with the alarm zone shall be
illuminated.
4. Activate notification audible appliances, general alarm evacuation. The
audible appliances shall silence when the "Alarm Silence" is pressed.
5. Activate visual strobes notification appliances general alarm evacuation.
6. Transmit signal to the building automation system.
7. All automatic events programmed to the alarm point shall be executed and the
associated outputs activated.
8. All self - closing fire /smoke doors held open shall be released.
9. All events shall be reported to and annunciated on the existing Non -UL Listed
Insight Workstation in the Fire Command Room.
1.3.3.1.2 Duct Smoke Activation — Supervisory
The supervisory activation of any duct smoke detector, the following functions
shall automatically occur:
1. The internal audible device shall sound at the control panel or command
center.
2. All events shall be reported to and annunciated on the existing Non -UL Listed
Insight Workstation in the Fire Command Room.
3. The LCD display shall indicate all applicable information associated with the
supervisory condition including; zone, device type, device location and
time /date.
4. Any remote or local annunciator LCD's associated with the alarm zone shall be
illuminated.
5. Transmit signal to the building automation system.
6. Shutdown the local air - handling unit.
7. All automatic events programmed to the alarm point shall be executed and the
associated outputs activated.
1.3.3.1.3 Supervisory Operation
Upon supervisory activation of any sprinkler valve supervisory switch, fire pump
off - normal, clean agent fire suppression system trouble, the following functions
shall automatically occur:
1. The internal audible device shall sound at the control panel or command
center.
2. All events shall be reported to and annunciated on the existing Non -UL Listed
Insight Workstation in the Fire Command Room.
3. The LCD display shall indicate all applicable information associated with the
supervisory condition including; zone, device type, device location and
time /date.

4. Any remote or local annunciator LCD's associated with the supervisory zone
shall be illuminated.
1.3.3.1.4 Trouble Operation
Upon activation of a trouble condition or signal from any device on the system,
the following functions shall automatically occur:
1. The internal audible device shall sound at the control panel or command
center.
2. All events shall be reported to and annunciated on the existing Non -UL
Listed Insight Workstation in the Fire Command Room
3. The LCD keypad display shall indicate all applicable information associated
with the trouble condition including; zone, device type, device location and
time /date.
4. Any remote or local annunciator LCD's associated with the trouble zone shall
be illuminated.
1.3.3.2 Graphic Workstation
1.3.3.2.1 Existing Graphic Workstation
The existing Non -UL Listed Insight Workstations located in Main Control and in
Public Works Engineering office Graphic Command Workstation shall be fully
integrated with the new Fire Alarm System for monitoring only.
Summary of required Graphic Command Workstation Functions
All Events
Display the address of the alarm or off normal point with type and description
and time of the event in a prioritized color -coded event list. Highlighting an
event in the event list shall automatically cause the other three quadrants
(described below) to display information relating to the highlighted event.
Display color graphical representation of the area in which the alarm or off
normal device is located. It shall be possible for the operator to manually drill
down to any portion of a vector -based graphic without aliasing, artifacting, or
pixilation of the image. Preset zoom levels shall not be considered equal.
Display a set of written operator instructions for each event of which the
contractor shall provide the initial document input through coordination with the
Owner, including instructions on acknowledging an alarm or trouble, silencing
an alarm or trouble and resetting the system, site programmability of the message
must be provided allowing modification by the end user to suit occupancies and
emergency plans. The Workstation must provide simple control via a two button
mouse.
Display a preset stored image of the device
Log operator's comments for each event to history with time and date.

Log all events and operator actions to history for future review.
Fire alarms
Display the address of the alarm with type and description and time of the event
in a prioritized color -coded event list.
Display color graphical representation of the area in which the alarm is located.
An annunciator is to be provided in the control room, which will give the ability
to acknowledge, silence and reset the system
1.3.4 System Configuration
1.3.4.1 General
All Life Safety System equipment shall be arranged and programmed to provide the
early detection of fire, the notification of building occupants, the override of the
HVAC system operation, and the activation of other auxiliary systems to inhibit the
spread of smoke and fire, and to facilitate the safe evacuation of building occupants
of which includes the Fire Door Egress System and Smoke Control System. Existing
wiring may be utilized, it is the Contractor's responsibility if high or low voltage
circuits have to be extended, added or repaired.
1.3.4.2 Power Supply
Standby power supply shall be an electrical battery with capacity to operate the
system under maximum supervisory load for 4 hours and capable of operating the
system for 5 minutes in the alarm mode at 100% load. The system shall include a
charging circuit to automatically maintain the electrical charge of the battery. The
system shall automatically adjust the charging of the battery to compensate for
temperature.
1.3.4.3 Display
The main display interface shall show the first and most recent highest priority
system events without any operator intervention. All system events shall be directed
to one of four message queues. Messages of different types shall never intermix to
eliminate operator confusion. A "Details" switch shall provide additional information
about any device highlighted by the operator.
1.3.4.4 Initiating Device Circuits
Initiating device circuits monitoring manual fire alarm stations, smoke and heat
detectors, waterflow switches, valve supervisory switches, fire pump functions, and
air pressure supervisory switches shall be Class B (Style "B ").
1.3.4.5 Notification Appliance Circuits
All notification appliance circuits shall be Class B (Style "Y "). All notification
appliance circuits shall have a minimum circuit output rating of. 2 amps @ 24 vdc.

The notification circuits shall be power limited. Non -power limited circuits are not
acceptable.
1.3.4.6 Signaling Line Circuits
When a signaling line circuit covers more than one fire /smoke compartment, a wire -
to -wire short shall not affect the operation of the circuit from the other fire /smoke
compartments. The signaling line circuit connecting network panel/nodes,
annunciators, command centers, shall be Class B (style 4). The media shall be
copper.
The signaling line circuit connecting to addressable /analog devices including,
detectors, monitor modules, control modules, isolation modules, intrusion detection
modules and notification circuit modules shall be Class B (style 4).
The signaling line circuit connecting to access control card reader controller and
keypads /displays shall be < Class A (style 6) >< Class B (style 4).>
1.3.4.7 DACT (MDACT)
The system shall have the ability to provide off premise communications capability
(DACT) for transmitting system events to multiple Central Monitoring Station
(CMS) receivers. The system shall provide the CMS(s) with point identification of
system events using Contact ID or SIA DCS protocols. The system shall provide an
individual CMS account for each tenant, and send the required signals to the one or
more CMS(s) and account(s) specified by each tenant. In the event of a panel CPU
failure during a fire alarm condition, the DACT degrade mode shall transmit a
general fire alarm signal to the CMS.
1.4 Submittals
1.4.1 Project
The contractor shall not proceed with installation of the system specified herein until the
owner has approved the project submittals in their entirety and has returned them to the
contractor. It is the responsibility of the contractor to meet the entire intent and
functional performance detailed in these specifications. Approved submittals shall only
allow the contractor to proceed with the installation and shall not be construed to mean
that the contractor has satisfied the requirements of these specifications. The contractor
shall submit three (3) complete sets of documentation.
Each submittal shall include a cover letter providing a list of each variation that the
submittal may have from the requirements of the contract documents. In addition the
Contractor shall provide specific notation on each shop drawing, sample, catalog cut,
data sheet, installation manual, etc. submitted for review and approval, of each such
variation.
Product Data
Data sheets with the printed logo or trademark of the manufacturer for all equipment.
Indicated in the documentation will be the type, size, rating, style, and catalog number

for all items proposed to meet the system performance detailed in this specification.
Shop Drawings
A complete set of shop drawings shall be supplied. The shop drawings shall be
reproduced electronically in digital format. This package shall include but not be limited
to:
Control panel wiring and interconnection schematics.
Riser diagrams.
Complete floor plan drawing locating all system devices. Owner will provide ACAD
and/or pdf. drawings for the successful contractor to use in development of fire alarm
shop drawings.
Detailed system operational description. Any Specification differences and deviations
shall be clearly noted and marked.
Complete system bill of material.
All drawings shall be reviewed and signed off by an individual having a minimum of an
Electrical PE or Fire Protection PE in the state of Florida.
Quality Assurance /Control Submittals
Installer's Certification
The engineered systems distributor must be licensed in Florida and have been
incorporated in the business in Florida for a minimum of 5 years.
Submit a copy of the system supplier's training certification issued by the manufacturer
of the integrated life safety system.
System Calculations
Complete calculations shall be provided which show the electrical load on the following
system components:
Each system power supply, including stand -alone booster supplies.
Each standby power supply (batteries).
Each notification appliance circuit.
Each auxiliary control circuit that draws power from any system power supply.
1.4.2 Close Out
Two (2) copies of the following documents shall be delivered to the building owner's
representative at the time of system acceptance. The close out submittals shall include:
Project specific operating manuals covering the installed integrated life safety system.
The manual shall contain a detailed narrative description of the system architecture,
inputs, notification signaling, auxiliary functions, annunciation, sequence of operations,
expansion capability, application considerations and limitations. Manufacturer's data
sheets and installation manuals /instructions for all equipment supplied including the
Graphical Workstation. A generic or typical owner's instruction and operation manual
shall not be acceptable to fulfill this requirement.

As -Built drawings consisting of. a scaled plan of each zone showing the placement of
each individual item of the Integrated Life Safety System equipment as well as
conductor size, quantity, and color. All drawings must reflect point to point wiring,
device address and programmed characteristics as verified in the presence of the
engineer and/or the end user unless device addressing is electronically generated, and
automatically graphically self - documented by the system.
The application program listing for the system as installed at the time of acceptance by
the building owner and/or local AHJ (disk, hard copy printout, and all required
passwords).
Complete information and drawings describing and depicting the entire system(s) as
installed, including all information necessary for maintaining, troubleshooting, and/or
expanding the system(s) at a future date.
Complete documentation of system(s) testing per Paragraph 3.2.
Certification that the entire system(s) has /have been inspected and tested, is /are installed
entirely in accordance with the applicable codes, standards, manufacturer's
recommendations and UL listings, and is /are in proper working order. Contractor shall
use "Fire Alarm System Certification and Description" as required by NFPA 72 - 2007
or latest edition.
Provide the name, address and telephone of the authorized factory representative.
A filled out Record of Completion similar to NFPA 72, 2007.
1.5 Quality Assurance
1.5.1 Qualifications of Contractor
1.5.1.1 Fire
The contractor shall have in -house engineering and project management capability
consistent with the requirements of this project. Qualified and approved
representatives of the system manufacturer shall perform the detailed engineering
design of central and remote control equipment. Qualified and approved
representatives of the system manufacturer shall produce all panel and equipment
drawings and submittals, operating manuals. The contractor is responsible for
retaining qualified and approved representative(s) of those system manufacturers
specified for detailed system design and documentation, coordination of system
installation requirements, and final system testing and commissioning in accordance
with these specifications.
1.6 Warranty and Maintenance

The contractor shall warranty all materials, installation and workmanship for two (2)
years from date of acceptance, unless otherwise specified. A copy of the manufacturer's
warranty shall be provided with closeout documentation and included with the operation
and installation manuals.
The System Supplier shall maintain a service organization with adequate spare parts
stocked within 150 miles of the installation. Any defects that render the system
inoperative shall be repaired within 24 hours of the owner notifying the contractor.
PART 2 Products
2.1 Manufacturer
2.1.1 Fire
The manufacturer of the system equipment shall be regularly involved in the design,
manufacture, and distribution of all products specified in this document. These processes
shall be monitored under a quality assurance program that meets the ISO 9000
requirements.
All System components shall be the cataloged products of a single supplier. All products
shall be listed by the manufacturer for their intended purpose.
2.2 Panel Components & Functions
2.2.1 General
2.2.1.1 General — Fire (Siemens XLS)
The control panel(s) shall be a multi - processor based networked system designed
specifically for fire. The control panel shall be listed and approved for the
application standard(s) as listed under the General section.
The control panel shall include all required hardware, software and site - specific
system programming to provide a complete and operational system. The control
panel(s) shall be designed such that interactions between any application can be
configured, and modified using software provided by a single supplier. The control
panel operational priority shall assure that life safety takes precedence among the
activities coordinated by the control panel.
The control panel shall include the following capacities:
Support up to 2500 analog/addressable points.
Support network connections up to 63 other control panels and annunciators.
Support multiple digital dialers and modems
Support multiple communication ports and protocols
Support up to 1740 chronological events.
The network of control panels shall include the following features:
Ability to download all network applications and firmware from the configuration
computer from a single location on the system.

Provide electronic addressing of analog/addressable devices.
Provide an operator interface control/display that shall annunciate, command and
control system functions.
Provide an internal audible signal with different programmable patters to distinguish
between alarm, supervisory, trouble and monitor conditions.
Provide a discreet system control switch provided for reset, alarm silence, panel
silence, drill switch, previous message switch, next message switch and details
switch.
Provide system reports that provide detailed description of the status of system
parameters for corrective action or for preventative maintenance programs. Reports
shall be displayed by the operator interface or capable of being printed on a printer.
Provide an authorized operator with the ability to operate or modify system functions
like system time, date, passwords, holiday dates, restart the system and clear control
panel event history file.
Provide an authorized operator to perform test functions within the installed system.
The control panel shall contain a standby power supply that automatically supplies
electrical energy to the system upon primary power supply failure. The system shall
include a charging circuit to automatically maintain the electrical charge of the
battery.
2.2.2 Operator's Interface
2.2.2.1 Annunciation (SSD -C)
The system shall be designed and equipped to receive, monitor, and annunciate
signals from devices and circuits installed throughout the building.
Manufacturers' standard control switches shall be acceptable if they provide the
required operation, including performance, supervision and position indication.
Receipt of alarm, trouble, and supervisory signals shall activate integral audible
devices at the control panel(s) and at each remote annunciation device. The integral
audible devices shall produce a sound output upon activation of not less than 85 dBA
at 10 feet. The annunciator shall contain the following system status indicators:

2.2.3 DACT Dialer (MDACT)
The system shall provide off premise communications capability sing a digital alarm
communications transmitter (DACT) for sending system events to multiple central
monitoring station (CMS) receivers. The system shall provide the CMS(s) with point
identification of system events using Contact ID or SIA DCS protocols. <The system
shall also transmit an alphanumeric system activity message, by event, to a commercial
paging system of the owners choice, using TAP Pager protocol.> The system shall
provide an individual CMS account for each tenant, and send the required signals to the
one or more CMS(s) and account(s) specified by each tenant. In the event of a panel
CPU failure during a fire alarm condition, the DACT degrade mode shall transmit a
general fire alarm signal to the CMS.
2.2.4 Power Supply (S PSC -12 and PSX -12)
System power supply(s) shall provide multiple power limited 24 VDC output circuits as
required by the panel.
Upon failure of normal (AC) power, the affected portion(s) of the system shall
automatically switch over to secondary power without losing any system functions.
Each system power supply shall be individually supervised. Power supply trouble
signals shall identify the specific supply and the nature of the trouble condition.
All standby batteries shall be continuously monitored by the power supply. Low battery
and disconnection of battery power supply conditions shall be immediately annunciated
as battery trouble and identify the specific power supply affected.
All system power supplies shall be capable of recharging their associated batteries, from
a fully discharged condition to a capacity sufficient to allow the system to perform
consistent with the requirements of this section, in 48 hours maximum.
All AC power connections shall be to the building's designated emergency electrical
power circuit and shall meet the requirements of NFPA 72 - The AC power circuit shall
be installed in conduit raceway. The power circuit disconnect means shall be clearly
labeled FIRE ALARM CIRCUIT CONTROL and shall have a red marking. The
location of the circuit disconnect shall be labeled permanently inside each control panel
the disconnect serves.
2.3 Graphic Command Workstation
2.3.1 Fire
2.3.1.1 General
The command center shall function as the center point for all operational and
administration functions required for the systems provided within the specification.
The command center shall contain a console that will display and house any

equipment necessary for system operation. A single non -UL listed graphical
workstation shall be provided that will enable monitoring of the systems provided by
this specification. An operator shall not have to operate multiple workstations to
receive, view, process and record system events for each system provided.
Equipment in the command center shall include:
System annunciation and controls for.
Fire detection.
Fire suppression.
Fire pump status
2.4 Field Mounted System Components
2.4.1 Fire Initiating Devices
2.4.1.1 Smoke Detectors & Accessories
2.4.1.1.1 Smoke Detector — Photoelectric ( HFP -11)
Some old FAST /System Sensor addressable devices have no equivalent,
therefore, provide replacement analog/addressable photoelectric smoke detectors
at existing locations. Add new devices where coverage is being expanded. The
detector shall have the ability to set the sensitivity and alarm verification of each
of the individual detectors on the circuit. It shall be possible to automatically
change the sensitivity of individual analog/addressable detectors for the day and
night periods. Each smoke detector shall be capable of transmitting pre -alarm
and alarm signals in addition to the normal, trouble and need cleaning
information. It shall be possible to program control panel activity to each level.
Each smoke detector may be individually programmed to operate at any one of
five (5) sensitivity settings. Each detector microprocessor shall contain an
environmental compensation algorithm that identifies and sets ambient
environmental thresholds approximately six times an hour. The microprocessor
shall monitor the environmental compensation value and alert the system
operator when the detector approaches 75% and 100% of the allowable
environmental compensation value.
2.4.1.2 Heat Detectors (HFPT -11)
2.4.1.2.1 Fixed Temperature -ROR Heat Detector
Provide analog/addressable combination fixed temperature / rate -of -rise
detectors. The heat detector shall have a nominal fixed temperature alarm point
rating of 135 °F (57 °C) and a rate of rise alarm point of 15 °F(9 °C) per minute.
The heat detector shall be rated for ceiling installation at a minimum of 70 ft
(21.3m) centers and be suitable for wall mount applications.
2.4.1.3 Detector Bases (DB -11)
2.4.1.3.1 Detector Base - Standard
Provide standard detector mounting bases suitable for mounting on either North

American 1 -gang, 3% or 4 inch octagon box and 4 inch square box. The base
shall, contain no electronics and support all series detector types.
2.4.1.4 Manual Stations
2.4.1.4.1 Manual Station - Double Action Single Stage ( MSM -INST)
Provide security type, lockable analog/addressable double action, single stage
fire alarm stations. The fire alarm station shall be of polycarbonate construction
and incorporate an internal toggle switch. A locked test feature shall be
provided. The station shall be finished in red with silver "PULL IN CASE OF
FIRE" lettering. The manual station shall be suitable for mounting on North
American 2 'h (64mm) deep 1 -gang boxes and 1 '/z (38mm) deep 4 square boxes
with 1 -gang covers.
2.4.2 Notification Appliances
2.4.2.1 Low Profile Horn - Strobes (ZH -MC -R)
Provide low profile wall mount horn/strobes. The horn/strobe shall provide an
audible output of 84 dBA at 10 ft. when measured in reverberation room per UL-
464. Strobes shall provide synchronized flash outputs. The strobe output shall be
determined as required by its specific location and application from a device with
multiple setting of 15cd, 30cd, 75cd & 110cd devices. The horn shall have a
selectable steady or synchronized temporal output and high and low dB. In and
out screw terminals shall be provided for wiring. Low profile horn/strobes shall
mount in a North American 1 -gang box.
2.4.2.2 Low Profile Strobes (ZR -MC -R)
Provide low profile wall mounted strobes. In and out screw terminals shall be
provided for wiring. Strobes shall provide synchronized flash output that shall be
switch selectable for output values of 15cd, 30cd, 75cd & 110cd devices. Low
profile strobes shall mount in a North American 1 -gang box.
2.4.2.3 Existing Notification Devices and Booster Power Supplies (PAD -3)
All existing notification devices and booster power supplies operating existing
notification devices shall be evaluated for operation and visual coverage that
meets NFPA 72. If any devices or coverage areas are determined not to meet
NFPA 72, they shall be provided and installed by the Contractor.
2.4.3 Initiation & Control Modules
2.4.3.1 Control Relay Module (HTRI -R)
Provide intelligent control relay modules. The Control Relay Module shall provide
one form "C" dry relay contact rated at 2 amps @ 24 Vdc to control external
appliances or equipment shutdown. The control relay shall be rated for pilot duty
and releasing systems. The position of the relay contact shall be confirmed by the
system firmware. The control relay module shall be suitable for mounting on North
American 2 'h" (64mm) deep 1 -gang boxes and 1 'h" (38mm) deep 4" square boxes
with 1 -gang covers.

2.4.3.2 Dual Input Module (HTRI -D)
Provide intelligent dual input modules. The Dual Input Module shall provide two (2)
supervised Class B input circuits each capable of a minimum of 4 personalities, each
with a distinct operation. The module shall be suitable for mounting on North
American 2 V? (64mm) deep 1 -gang boxes and 1 V? (38mm) deep 4" square boxes
with 1 -gang covers. The dual input module shall support the following circuit types:
• Normally -Open Alarm Latching (Manual Stations, Heat Detectors, etc.)
• Normally -Open Alarm Delayed Latching (Waterflow Switches)
• Normally -Open Active Non - Latching (Monitor, Fans, Dampers, Doors, etc.)
• Normally -Open Active Latching (Supervisory, Tamper Switches)
2.4.3.3 Single Input Module (HTRI -S or HTRI -M)
Provide intelligent single input modules. The Single Input Module shall provide one
(1) supervised Class B input circuit capable of a minimum of 4 personalities, each
with a distinct operation. The module shall be suitable for mounting on North
American 2 'h" (64mm) deep 1 -gang boxes and 1 'h" (38mm) deep 4" square boxes
with 1 -gang covers. The single input module shall support the following circuit
types:
• Normally -Open Alarm Latching (Manual Stations, Heat Detectors, etc.)
• Normally -Open Alarm Delayed Latching (Waterflow Switches)
• Normally -Open Active Non - Latching (Monitor, Fans, Dampers, Doors, etc.)
• Normally -Open Active Latching (Supervisory, Tamper Switches)
2.4.3.4 Single Input Signal Module (HCP)
Provide intelligent single input signal modules. The Single Input (Single Riser
Select) Signal Module shall provide one (1) supervised Class B output circuit
capable of a minimum of 2 personalities, each with a distinct operation. When
selected as a telephone power selector, the module shall be capable of generating its
own "ring tone ". The module shall be suitable for mounting on North American 2
%z" (64mm) deep 2 -gang boxes and 1 %" (38mm) deep 4" square boxes with 2 -gang
covers, or European 100mm square boxes. The single input signal module shall
support the following operations:
• AudibleNisible Signal Power Selector (Polarized 24 Vdc @ 2A, 25Vrms @50w
or 70 Vrms @ 35 Watts of Audio)
• Telephone Power Selector with Ring Tone (Fire Fighter's Telephone)
PART 3 Execution
3.1 Installation
3.1.1 Installation Sequence
3.1.1.1 Install Sequence
It shall be determined through a site visit as to the best way to replace each IRC -3
panel and bring the new Siemens XLS panels on -line while providing maximum life

safety protection. Contractor is to submit installation sequence and schedule that is
acceptable to the Local Authority Having Jurisdiction and the Owner. Work shall not
commence until the sequence and schedule is approved by the AHJ and Owner. If at
any time, an area is unprotected due to the fire alarm system being off line the
owners representatives shall be notified and the Contractor shall take appropriate
measures as needed.
3.2 Field Quality Control
3.2.1 Test, Inspection & Training
Testing of the system once it has been installed will be completed at the same time as the
annual certification of the facility.
All intelligent analog addressable devices shall be tested for current address, sensitivity,
and user defined message.
All wiring shall be tested for continuity, shorts, and grounds before the system is
activated.
All test equipment, instruments, tools and labor required to conduct the tests shall be
provided by the installing contractor.
The system including all its sequence of operations including the Graphical Command
Workstation, Fire Door Egress System and Smoke Control System shall be demonstrated
to the Owner, his representative, and the local fire inspector. In the event the system
does not operate properly, the test shall be terminated. Corrections shall be made and
the testing procedure shall be repeated until it is acceptable to the Owner, his
representatives and the fire inspector.
At the final test and inspection, a factory- trained representative of the system
manufacturer shall demonstrate that the system functions properly in accordance with
these specifications. The representative shall provide technical supervision, and
participate during all of the testing for the system.
All fire alarm testing shall be in accordance with National Fire Alarm Code, NFPA 72.
A letter from the Contractor certifying that the system is installed entirely in accordance
with the system manufacturer's recommendations and within the limitations of the
required listings and approvals, that all system hardware and software has been visually
inspected and functionally tested by a manufacturer's certified representative, and that
the system is in proper working order
After successful acceptance testing, a minimum of four (4) one -hour training sessions
shall be provided, scheduled and conducted by the Contractor to the satisfaction of the
Owner, on the functionality, control and operation of the Life Safety Systems and the
Non -UL Listed Insight Workstation. One month after the initial training sessions,
another four (4) one -hour training sessions shall be provided, scheduled and conducted

by the Contractor.
3.2.2 Quality Assurance
A. The Contractor is responsible for the quality of the work performed by his work
force of any tier on this project as well as the quality of the material, equipment and
supplies furnished by the contractor that is to be incorporated into the work.
B. The Contractor will designate a Quality Control Representative who will be on site
at all times while the work is in progress and will have the authority and responsibility
to accept or reject items of work. The Quality Control Representative will be fluent in
the English language and may be the Project Superintendent.
C. The Contractor is responsible for the scheduling of all required testing and
inspections. The Contractor will provide personnel, equipment and documentation to
perform operational and commissioning testing of the equipment, facilities, systems or
equipment constructed, fabricated or installed under this agreement. The Contractor
shall coordinate with the Owner in scheduling such tests and final inspection with at
least ten days notification.
D. Daily Construction/QC Reports shall be submitted by the Contractor on a weekly
basis. A form can be provided or the Contractor can provide the form containing the
following information
1. Title of Project
2. Name of Contractor
3. Date and day of Report information
4. Note any major shipments received on that day
5. Note major equipment used that day
6. Note manpower used and designate what trades
7. Note any deficiencies in the work and corrective action taken
8. Note any safety violations and corrective action taken
9. Provide a description of work performed by employees and subcontractors along
with any problems or unusual conditions
10. Report is to be signed by the authorized representative of the Contractor and
should the signature not be legible, the name shall be printed next to the signature
E. Weekly coordination meetings shall be scheduled and conducted between the Owner
and Contractor. Daily Construction/QC Reports may be submitted at that time.

3.3 JOB CONDITIONS
A. Safety
1. Each Contractor and Subcontractor shall conduct work in a safe and practical manner
in conformance with the OSHA Safety and Health Regulations and the latest edition
of the Manual of Accident Prevention, Associated General Contractors of America.
2. Each Contractor and Subcontractor shall observe all applicable Federal, State, local
and project laws and regulations pertaining to safety and health, pollution control,
water supply, fire protection, sanitation facilities, waste disposal and other related
items.
Good housekeeping shall be observed at all times. Waste, debris and garbage shall
be removed daily or placed in appropriate waste containers. Special attention shall
be provided by the Contractor while working in occupied areas regarding noise
pollution, dust containment and keeping the areas clean and safe for occupants and
visitors.
3.4 GUARANTEE
A. All work performed by the Contractor in completing the subject project shall be
guaranteed by the Contractor against all defects resulting from the use of materials,
equipment and workmanship for a period of two years from the date of Final Completion
of the project.
B. If, within any guarantee period, repairs or changes are required in connection with the
guarantee work, which in the opinion of the Owner is rendered necessary as a result of
the use of materials, equipment or workmanship which are defective or inferior or not in
accordance with the terms of the Contract, the Contractor shall, promptly upon receipt of
notice from the Owner and without expense to the Owner, proceed to
Place in satisfactory condition in every particular all of such guaranteed work,
correct all defects therein; and
Make good all damages to the structure or site or equipment or contents thereof,
which, in the opinion of the Owner, is the result of the use of materials, equipment or
workmanship which are inferior, defective or not in accordance with the terms of the
Contract; and
Make good any work or materials or the equipment and contents of structures or site
disturbed in fulfilling any such guarantee.
If the Contractor, after receipt of any such written notice, fails within seventy-two (72)
hours to commence at the job site with performance of the work necessary to remedy all
defects in the work described in such notice so as to provide the Owner with the subject

project completed in accordance with all requirements of the Contract Documents, or
fails to complete the performance of such remedial work with a reasonable time after
commencing same, the Owner shall be entitled to have such defective work remedied on
the account of the Contractor, in which event, the Contractor shall be fully liable for all
costs and expenses reasonably incurred by the Owner in having such defective work
remedied.
4. THE CONTRACT AMOUNT
A. The Owner shall pay the Contractor in current funds for the Contractor's performance of
the Contract per Paragraph 4.B of which follows, the Contract sum of : Two hundred
and seventy thousand five hundred eighty and 00 /100 Dollars ($270,580.00).
B. This paragraph specifies administrative and procedural requirements necessary to
prepare and process Applications for Payment.
1. Progress Schedule: Prepare and submit to the Owner for approval within
ten days of Notice to Proceed, construction progress schedules for the work, with
as needed sub - schedules of related activities, which are essential to its progress.
Incorporate manpower loading related to each activity identified on the progress
schedule.
a. Contactor is to submit format of schedule for approval
b. Submit revised/updated progress schedules with each payment
application.
C. Time line between Notice to Proceed and Project Completion date
shall not exceed 180 calendar days unless approved by the Owner.
d. The Contractor's recovery of damages and sole remedy for any delay
caused by the Owner shall be an extension of time on the Contract.
e. Indicate complete sequence of construction by activity, with dates for
beginning and completion for each element of construction.
f. Identify work of separate stages and other logically grouped activities.
g. Provide sub - schedules as needed to define critical portions of the
schedule
h. With each schedule submission, indicate progress of each activity to
date and the projected completion date of each activity.
Identify activities modified since previous submittal, major changes in
scope and other identifiable changes.

Note: It is not incumbent upon the Owner or Engineer to notify the
Contractor when to begin, to cease or to resume work, nor to give
early notice neither of faulty or defective work, nor in any way to
superintend to relieve the Contractor of responsibility or of any
consequence of neglect or carelessness.
2. SCHEDULE OF VALUES
a. The Schedule of Values allocated to the various portions of the Work
shall be submitted to the Owner within ten days after the issuance of a
Notice to Proceed.
b. Upon the request of the Owner, revise and/or support the values with
data of which will substantiate their correctness.
C. The Schedule of Values forms the basis for the Contractor's
Applications for Payment
d. Type schedule on AIA G703 Form; Contractor's standard forms and
automated printout will be considered by the Owner upon the
Contractor's request. Identify schedule with:
1. Title of Project and location
2. Owner
Date of Submission
e. List the installed value of the component parts of the Work in
sufficient detail to serve as a basis for computing values for progress
payment during construction
f. For each major line item list sub - values of major products or
operations under the item.
g. Include a directly proportional amount of the Contractor's overhead
and profit for each item.
h. The sum of values listed in the schedule shall equal the total Contract
Sum.
i. After review by the Owner, revise and resubmit schedule as required.
3. Application for Payment: Partial progress payments may be issued to the
Contractor with the Owner's approval and with submission of properly executed
invoice and partial release of liens. Ten percent retainage will be withheld on all
progress payments. When the final work is accepted by the owner, the contractor
shall invoice the County for full and final payment.

a. The owner may decline to make payment, may withhold funds under this
agreement only, and if necessary, may demand the return of some or all of
the amounts previously paid to the contractor, to protect the owner from
loss because of
defective work not remedied by the contractor nor, in the opinion of the
owner, likely to be remedied by the contractor;
2. claims of third parties against the owner or the owner's property;
3. failure by the contractor to pay subcontractors or others in a prompt and
proper fashion;
4. evidence that the balance of the work cannot be completed in accordance
with the contract for the unpaid balance of the contract price;
5. persistent failure to carry out the work in accordance with the contract;
6. damage to the owner or a third party to whom the owner is, or may be,
liable.
In the event that the owner makes written demand upon the contractor for
amounts previously paid under this agreement by the owner as
contemplated in this subparagraph, the contractor shall promptly comply
with such demand.
b. When all of the work is finally complete and the contractor is ready for a
final inspection, it shall notify the owner thereof in writing. Thereupon, the
owner will make final inspection of the work and, if work and all
submissions are complete, in full accordance with this contract and this
contract has been fully performed, the owner will promptly issue a final
certificate for payment certifying that the project is complete and the
contractor is entitled to the remainder of the unpaid contract price, less any
amount withheld pursuant to this contract. Guarantees required by the
contract shall commence on the date of final completion of the work. If
the owner is unable to issue its final certificate for payment and is required
to repeat its final inspection of the work, the contractor shall bear the cost
of such repeat final inspection(s), which cost may be deducted by the owner
from the contractor's final payment.
c. The contractor shall not be entitled to payment unless and until it submits to
the owner invoices with supporting documentation acceptable to the Clerk
of Court of which may include partial and final releases and waivers of
lien; releases and waivers of lien from all subcontractors of the contractor
and of any and all parties required by the owner. Acceptability to the Clerk
is based on generally accepted accounting principles and such laws, rules
and regulations as may govern the Clerk's disbursal of funds. The County

designates the Clerk of Courts as its agent under the Local Government
Prompt Payment Act, Florida Statues Section 218.735
3. Acceptance of final payment by the contractor shall constitute a waiver of all
claims against the owner by the contractor except for those claims previously
made in writing against the owner by the contractor, pending at the time of final
payment, and identified in writing by the contractor as unsettled at the time of its
request for final payment.
C. Final payment, constituting the entire unpaid balance of the Contract Amount, shall be
made by the Owner to the Contractor when the Contract has been fully performed by
the Contractor.
5. WARRANTY
A. The contractor warrants to the owner that all labor furnished to progress the work under
this contract will be competent to perform the tasks undertaken, that the product of such
labor will yield only first -class results, that materials and equipment furnished will be
of good quality and new unless otherwise permitted by the contract, and that the work
will be of good quality, free from faults and defects and in strict conformance with the
contract and warrant same for a period of two years commencing at final completion.
This two -year warranty is inclusive of all labor, transportation, equipment and material
cost with no cost to the owner. All work not conforming to these requirements may be
considered defective.
6. CHANGES IN THE WORK
A. Changes in the work within the general scope of this contract, consisting of additions,
deletions, revisions, or any combination thereof, may be ordered without invalidating
this agreement, by change order or by field order.
B. Change order shall mean a written order to the contractor executed by the owner,
issued after execution of this agreement, authorizing and directing a change in the
work or an adjustment in the contract price or the contract time, or any combination
thereof. The contract price and the contract time may be changed only by change
order.
C. Any change in the contract price resulting from a change order shall be determined as
follows: (a) by mutual agreement between the owner and the contractor as evidenced
by (1) the change in the contract price being set forth in the change order, (2) such
change in the contract price, together with any conditions or requirements related
thereof, being initialed by both parties and (3) the contractor's execution of the change
order, or (b) if no mutual agreement occurs between the owner and the contractor, then
the change in the contract price, if any, shall then be determined by the owner on the
basis of the reasonable expenditures or savings of those performing, deleting or
revising the work attributable to the change, including, in the case of an increase or
decrease in the contract price, an allowance for direct job site overhead of 5 %, and
profit 5% will be utilized.

D. The execution of a change order by the contractor shall constitute conclusive evidence
of the contractor's agreement to the ordered changes in the work, this agreement as
thus amended, the contract price and the contract time. The contractor, by executing
the change order, waives and forever releases any claim against the owner for
additional time or compensation for matters relating to or arising out of or resulting
from the work included within or affected by the executed change order.
7. CONTRACTOR'S ACCEPTANCE OF CONDITIONS
A. This Agreement and the provision of the services at the location listed have been fully
considered by the Contractor, who understands the same and agrees to their sufficiency
and suitability. Under no circumstances, conditions, or situations shall this Contract be
more strongly construed against the County than against the Contractor.
B. The passing, approval, and/or acceptance by the County of any of the services
furnished by the Contractor shall not operate as a waiver by the County of strict
compliance with the terms of this Contract, and specifications covering the services.
Failure on the part of the Contractor, immediately after Notice to Correct shall entitle
the County, if it sees fit, to correct the same and recover the reasonable cost of such
replacement and/or repair from the Contractor, who shall in any event be jointly and
severally liable to the County for all damage, loss, and expense caused to the County
by reason of the Contractor's breach of this Contract and/or his failure to comply
strictly and in all things with this Contract and with the specifications.
8. INDEMNIFICATION/HOLD HARMLESS
Contactor agrees to indemnify, hold harmless and defend County from and against any and
all liabilities, demands, claims, fines, penalties, damages, forfeitures and suits, together with
reasonable attorney's and witnesses fees and other costs and expenses of defense and
settlement, which County may incur, become responsible for or pay out as a result of death or
bodily injury or threat thereof to any person, destruction of or damage to any property,
contamination of or adverse effect on natural resources or the environment, any violation of
local, state, or federal laws, regulations or orders or any other damages claimed by third
parties (collectively, "Damages "), to the extent such Damages are caused by the negligence
or willful misconduct of contractor or contractor's agents, invitees or assigns.
In the event that the service is delayed or suspended because of the Contractor's failure to
purchase or maintain the required insurance, the Contractor shall indemnify the County from
any and all increased expenses or lost revenue resulting from such delay.
The first ten dollars ($10.00) of remuneration paid to the Contractor is for the
indemnification provided for above. The extent of liability is in no way limited to, reduced,
or lessened by the insurance requirements contained elsewhere within this agreement. The
provisions of this section shall survive the expiration or earlier termination of this agreement.
9. INDEPENDENT CONTRACTOR

At all times and for all purposes under this agreement the Contractor is an independent
contractor and not an employee of the Board of County Commissioners for Monroe County.
No statement contained in this agreement shall be construed so as to find the Contractor or
any of his/her employees, contractors, servants, or agents to be employees of the Board of
County Commissioners for Monroe County.
10. ASSURANCE AGAINST DISCRIMINATION
The Contractor shall not discriminate against any person on the basis of race, creed, color,
national origin, sex, age, or any other characteristic or aspect which is not job related, in its
recruiting, hiring, promoting, terminating, or any other area affecting employment under this
agreement or with the provision of services or goods under this agreement.
11. ASSIGNMENT /SUBCONTRACT
The Contractor shall not assign or subcontract its obligations under this agreement, except in
writing and with the prior written approval of the Board of County Commissioners for
Monroe County, which approval shall be subject to such conditions and provisions as the
Board may deem necessary. This paragraph shall be incorporated by reference into any
assignment or subcontract and any assignee or subcontractor shall comply with all of the
provisions of this agreement. Unless expressly provided for therein, such approval shall in
no manner or event be deemed to impose any obligation upon the board in addition to the
total agreed -upon price of the services /goods of the Contractor and compensation to County.
12. COMPLIANCE WITH LAW
In providing all services /goods pursuant to this agreement, the Contractor shall abide by all
statutes, ordinances, rules and regulation pertaining to, or regulating the provisions of, such
services, including those now in effect and hereinafter adopted. Any violation of said
statutes, ordinances, rules and regulations shall constitute a material breach of this agreement
and shall entitle the Board to terminate this contract immediately upon delivery of written
notice of termination to the Contractor. The Contractor shall possess proper licenses to
perform work in accordance with these specifications throughout the term of this contract.
13. INSURANCE
Prior to execution of this agreement, and maintained throughout the life of the contract, the
Contractor shall furnish to the County Certificates of Insurance indicating the minimum
coverage limitation as listed below:
A. General Liability — include as a minimum:

• Blanket Contractual Liability
• Personal Injury Liability

The minimum limits acceptable shall be $1,000,000 Combined Single Limit

An Occurrence Form policy is preferred. If coverage is changed to or provided on a
Claims Made Policy, its provisions should include coverage for claims filed on or after
the effective date of this contract. In addition, the period for which claims may be
reported should extend for a minimum of twelve (12) months following the final
acceptance of work by the County.

Person; $1,000,000 per Occurrence; and $100,000 Property Damage.

In addition, the Contractor shall obtain Employers' Liability Insurance with limits of not
less than:
$500,000 Bodily Injury by Accident
$500,000 Bodily Injury by Disease, policy limits
$500,000 Bodily Injury by Disease, each employee
Coverage shall be provided by a company or companies authorized to transact business
in the State of Florida and the company or companies must maintain a minimum rating
of A -VI, as assigned by the A.M. Best Company.
If the Contractor has been approved by Florida's Department of Labor, as an authorized
self - insurer, the County shall recognize and honor the Contractor's status. The
Contractor may be required to submit a Letter of Authorization issued by the Department
of Labor and Certificate of Insurance, providing details on the Contractor's Excess
Insurance Program.

If the Contractor participates in a self - insurance fund, a Certificate of Insurance will be
required. In addition, the Contractor may be required to submit updated financial
statements from the fund upon request from the County.
14. CONTRACTOR'S RESPONSIBILITY
The Contractor warrants that it is authorized by law to engage in the performance of the
activities encompassed herein, subject to the terms and conditions set forth in these contract
documents. Contractor shall at all times exercise independent judgment and shall assume
responsibility for the services to be provided.
15. NOTICE REQUIREMENT
Any notice required or permitted under this agreement shall be in writing and hand delivered
or mailed, postage prepaid, to the other party by certified mail, returned receipt requested, to

16. CANCELLATION
A) In the event that the Contractor shall be found to be negligent in any aspect of
installation, stocking, maintenance, repair, or service, the County shall have the right
to terminate this agreement after five days written notification to the Contractor.

B) This contract may be terminated for convenience by County upon ten
(10) days written notice to contractor delivered by hand or certified mail, return
receipt requested, of intent to terminate and the date on which such
termination becomes effective. Contractor shall cease work as directed. In such
case, Contractor shall be paid for all work executed and termination expenses,
and expenses incurred prior to termination. No payment shall be made for profit
for work which has not been performed.
17. GOVERNING LAWS, VENUE, INTERPRETATION, COSTS, FEES
This Agreement shall be governed by and construed in accordance with the laws of the State
of Florida applicable to contracts made and to be performed entirely in the State.
In the event that any cause of action or administrative proceeding is instituted for the
enforcement or interpretation of the agreement, the County and Contractor agree that venue
shall lie in the appropriate court or before the appropriate administrative body in Monroe
County, Florida. This Agreement shall not be subject to arbitration.
Mediation proceedings initiated and conducted pursuant to this Agreement shall be in
accordance with the Florida Rules of Civil Procedure and usual and customary procedures
required by the circuit court of Monroe County.
18. RECORDKEEPING
Contractor shall maintain all books, records, and documents directly pertinent to
performance under this Agreement in accordance with generally accepted accounting
principles consistently applied. Each party to this Agreement or their authorized
representatives shall have reasonable and timely access to such records of each other party
to this Agreement for public records purposes during the term of the Agreement and for four
years following the termination of this Agreement. If an auditor employed by the County or
Clerk determines that monies paid to Contractor or not paid to County pursuant to this
Agreement were spent for purposes not authorized by this Agreement or wrongfully retained
by Contractor, the Contractor shall repay the monies together with interest calculated
pursuant to Sec. 55.03, FS, running from the date the monies were to have been paid.
19. SEVERABILITY
If any term, covenant, condition or provision of this Agreement (or the application thereof to
any circumstance or person) shall be declared invalid or unenforceable to any extent by a
court of competent jurisdiction, the remaining terms, covenants, conditions and provisions of
this Agreement, shall not be affected thereby, and each remaining term, covenant, condition
and provision of this Agreement shall be valid and shall be enforceable to the fullest extent
permitted by law unless the enforcement of the remaining terms, covenants, conditions and
provisions of this Agreement would prevent the accomplishment of the original intent of this
Agreement. The County and Contractor agree to reform the Agreement to replace any
stricken provision with a valid provision that comes as close as possible to the intent of the
stricken provision.

20. ATTORNEY'S FEES AND COSTS
The County and Contractor agree that in the event any cause of action or administrative
proceeding is initiated or defended by any party relative to the enforcement or interpretation
of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees, court
costs, investigative, and out -of- pocket expenses, as an award against the non - prevailing
party, and shall include attorney's fees, court costs, investigative, and out -of- pocket
expenses in appellate proceedings.
21. BINDING EFFECT
The terms, covenants, conditions, and provisions of this Agreement shall bind and inure to
the benefit of the County and Contractor and their respective legal representatives,
successors, and assigns.
22. AUTHORITY
Each party represents and warrants to the other that the execution, delivery and performance
of this Agreement have been duly authorized by all necessary County and corporate or
individual action, as required by law.
23. CLAIMS FOR FEDERAL OR STATE AID
Contractor and County agree that each shall be, and is, empowered to apply for, seek, and
obtain federal and state funds to further the purpose of this Agreement; provided that all
applications, requests, grant Bids, and funding solicitations shall be approved by each party
prior to submission.
24. ADJUDICATION OF DISPUTES OR DISAGREEMENTS
County and Contractor agree that all disputes and disagreements shall be attempted to be
resolved by meet and confer sessions between representatives of each of the parties. If no
resolution can be agreed upon within 30 days after the first meet and confer session, the
issue or issues shall be discussed at public meeting of the Board of County Commissioners.
If the issue or issues are still not resolved to the satisfaction of the parties, then any party
shall have the right to seek such relief or remedy as may be provided by this Agreement or
by Florida law. This provision does not negate or waive the provisions of Paragraph 16
concerning cancellation.
25. COOPERATION
In the event any administrative or legal proceeding is instituted against either party relating
to the formation, execution, performance, or breach of this Agreement, County and
Contractor agree to participate, to the extent required by the other party, in all proceedings,
hearings, processes, meetings, and other activities related to the substance of this Agreement
or provision of the services under this Agreement. County and Contractor specifically agree

that no party to this Agreement shall be required to enter into any arbitration proceedings
related to this Agreement.
26. NONDISCRIMINATION
County and Contractor agree that there will be no discrimination against any person, and it
is expressly understood that upon a determination by a court of competent jurisdiction that
discrimination has occurred, this Agreement automatically terminates without any further
action on the part of any party, effective the date of the court order. County or Contractor
agree to comply with all Federal and Florida statutes, and all local ordinances, as applicable,
relating to nondiscrimination. These include but are not limited to: 1) Title VI of the Civil
Rights Act of 1964 (PL 88 -352) which prohibits discrimination on the basis of race, color or
national origin; 2) Title IX of the Education Amendment of 1972, as amended (20 USC ss.
1681 -1683, and 1685- 1686), which prohibits discrimination on the basis of sex; 3) Section
504 of the Rehabilitation Act of 1973, as amended (20 USC s. 794), which prohibits
discrimination on the basis of handicaps; 4) The Age Discrimination Act of 1975, as
amended (42 USC ss. 6101 -6107) which prohibits discrimination on the basis of age; 5) The
Drug Abuse Office and Treatment Act of 1972 (PL 92 -255), as amended, relating to
nondiscrimination on the basis of drug abuse; 6) The Comprehensive Alcohol Abuse and
Alcoholism Prevention, Treatment and Rehabilitation Act of 1970 (PL 91 -616) as amended,
relating to nondiscrimination on the basis of alcohol abuse or alcoholism;; 7) The Public
Health Service Act of 1912, ss. 523 and 527 (42 USC ss. 690dd -3 and 290ee -3), as
amended, relating to confidentiality of alcohol and drug abuse patient records; 8) Title VIII
of the Civil Rights Act of 1968 (42 USC s. et seq.) as amended, relating to
nondiscrimination in the sale, rental or financing of housing; 9) The Americans with
Disabilities Act of 1990 (42 USC s. 1201 NoteO, as maybe amended from time to time,
relating to nondiscrimination on the basis of disability; 10) Any other nondiscrimination
provisions in any federal or state statutes which may apply to the parties to, or the subject
matter of, this Agreement. Monroe County Code Ch. 13, Art. VI, prohibiting discrimination
on the basis of race, color, sex, religion, disability, national origin, ancestry, sexual
orientation, gender identity or expression, familial status or age. 11) Any other
nondiscrimination provisions in any Federal or state statutes which may apply to the parties
to, or the subject matter of, this Agreement.
27. COVENANT OF NO INTEREST
County and Contractor covenant that neither presently has any interest, and shall not acquire
any interest, which would conflict in any manner or degree with its performance under this
Agreement, and that only interest of each is to perform and receive benefits as recited in this
Agreement.
28. CODE OF ETHICS

County agrees that officers and employees of the County recognize and will be required to
comply with the standards of conduct for public officers and employees as delineated in
Section 112.313, Florida Statues, regarding, but not limited to, solicitation or acceptance of
gifts; doing business with one's agency; unauthorized compensation; misuse of public
position, conflicting employment or contractual relationship; and disclosure or use of certain
information.
29. NO SOLICITATION/PAYMENT
The County and Contractor warrant that, in respect to itself, it has neither employed nor
retained any company or person, other than a bona fide employee working solely for it, to
solicit or secure this Agreement and that it has not paid or agreed to pay any person,
company, corporation, individual, or firm, other than a bona fide employee working solely
for it, any fee, commission, percentage, gift, or other consideration contingent upon or
resulting from the award or making of this Agreement. For the breach or violation of the
provision, the Contractor agrees that the County shall have the right to terminate this
Agreement without liability and, at its discretion, to offset from monies owed, or otherwise
recover, the full amount of such fee, commission, percentage, gift, or consideration.
30. PUBLIC ACCESS
The County and Contractor shall allow and permit reasonable access to, and inspection of,
all documents, papers, letters or other materials in its possession or under its control subject
to the provisions of Chapter 119, Florida Statues, and made or received by the County and
Contractor in conjunction with this Agreement; and the County shall have the right to
unilaterally cancel this Agreement upon violation of this provision by Contractor.
31. NON - WAIVER OF IMMUNITY
Notwithstanding the provisions of Sec. 768.28, Florida Statues, the participation of the
County and the Contractor in this Agreement and the acquisition of any commercial
liability insurance coverage, self - insurance coverage, or local government liability
insurance pool coverage shall not be deemed a waiver of immunity to the extent of liability
coverage, nor shall any contract entered into by the County be required to contain any
provision for waiver.
32. PRIVILEGES AND IMMUNITIES
All of the privileges and immunities from liability, exemptions from laws, ordinances, and
rules and pensions and relief, disability, workers' compensation, and other benefits which
apply to the activity of officers agents or employees of any of any public agents or
employees of the County, when performing their respective functions under this Agreement
within the territorial limits of the County shall apply to the same degree and extent to the

performance of such functions and duties of such officers agents, volunteers, or employees
outside the territorial limits of the County.
33. LEGAL OBLIGATIONS AND RESPONSIBILITIES
Non - Delegation of Constitutional or Statutory Duties. This Agreement is not intended to,
nor shall it be construed as, relieving any participating entity from any obligation or
responsibility imposed upon the entity by law except to the extent of actual and timely
performance thereof by any participating entity, in which case the performance may be
offered in satisfaction of the obligation or responsibility. Further, this Agreement is not
intended to, nor shall it be construed as, authorizing the delegation of the constitutional or
statutory duties of the County, except to the extent permitted by the Florida constitution,
state statute, and case law.
34. NON - RELIANCE BY NON - PARTIES
No person or entity shall be entitled to rely upon the terms, or any of them, of the
Agreement to enforce or attempt to enforce any third -party claim or entitlement to or benefit
of any service or program contemplated hereunder, and the County and the Contractor agree
that neither the County nor the Contractor or any agent, officer, or employee of either shall
have the authority to inform, counsel, or otherwise indicate that any particular individual or
group of individuals, entity or entities, have entitlements or benefits under this Agreement
separate and apart, inferior to, or superior to the community in general or for the purposes
contemplated in this Agreement.
35. ATTESTATIONS
Contractor agrees to execute such documents as the County may reasonably require, to
include a Public Entity Crime Statement, an Ethics Statement, and a Drug -Free Workplace
Statement.
36. NO PERSONAL LIABILITY
No covenant or agreement contained herein shall be deemed to be a covenant or agreement
of any member, officer, agent or employee of Monroe County in his or her individual
capacity, and no member, officer, agent or employee of Monroe County shall be liable
personally on this Agreement or be subject to any personal liability or accountability by
reason of the execution of this Agreement.
37. EXECUTION IN COUNTERPARTS

This Agreement may be executed in any number of counterparts, each of which shall be
regarded as an original, all of which taken together shall constitute one and the same
instrument any of the parties hereto may execute this Agreement by signing any such
counterpart.
38. SECTION HEADINGS
Section headings have been inserted in this Agreement as a matter of convenience of
reference only, and it is agreed that such section headings are not a part of this Agreement
and will not be used in the interpretation of any provision of this Agreement.
39. CONTINGENCY STATEMENT
Monroe County's performance and obligation to pay under this contract is contingent upon
an annual appropriation by the Monroe County Board of County Commissioners.
40. SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES
Anything herein notwithstanding, in no event shall either Buyer or Contractor be liable to
the other party for special, indirect, incidental or consequential damages, including
commercial loss, loss of use, or lost profits, even if either party has been advised of the
possibility of such damages.
41. LIMITATION OF LIABILITY
Contractor's aggregate liability for any and all claims, losses or expenses arising out of this
Agreement, or out of any goods or services furnished under this Agreement, whether based
in contract, negligence, strict liability, agency, warranty, trespass, indemnity or any other
theory of liability, shall be limited to the lesser of $1,000,000 or the total compensation
received by Contractor from County under this Agreement.
42. FAR LIMITATIONS
Anything within the Contract Documents notwithstanding, Contractor represents it is
providing "commercial items" and services within the definition of FAR 2.101. In keeping
with its commercial market, Contractor is exempt from any Cost Accounting Standards and
any Cost & Pricing Data Requirements. Contractor utilizes a commercial accounting system
under Generally Acceptable; Accounting Principles (GAAP) and cannot comply with FAR
part 31 requirements. Siemens is a Foreign Owned, Controlled, of Influenced ( "FOCI ")
firm, under the definition contained in the National Industrial security Program Operational
Manual ( "NISPOM ") and cannot obtain a security clearance, or perform work requiring
FAR 52.204 -2 Security Requirements. County agrees to provide Contractor a full list of any
incorporated FAR Flow -Down Clauses from the prime contract when submitting any
Purchase Orders /Work Orders or Task Orders issued pursuant to this Agreement. County
will allow Contractor a reasonable amount of time to review and respond to any Flow -Down
Terms &Conditions.

43. MUTUAL REVIEW
This agreement has been carefully reviewed by Contractor and the County, therefore this
agreement is not to be construed against either party on the basis of authorship.
