SECOND LEASE AMENDMENT
THIS SECOND AMNENDMENT to the Original Agreement is made and entered into at Key West, Monroe
County, Florida, this 16th day of September, 2015, by and between OLD TOWN TROLLEY TOURS OF WASHINGTON
INC., hereinafter referred to as "Landlord "; and MONROE COUNTY BOARD OF COUNTY COMMISSIONERS on behalf
of PUBLIC DEFENDER, hereinafter referred to as "Tenant".
WHEREAS, Landlord and Tenant entered into a 5 year Lease Agreement (hereafter Original Agreement) on the 16"'
day of March 2011; and
WHEREAS, Landlord and Tenant entered into a 4 year Lease Extension and Amendment Agreement (hereafter First
Amendment) on the 18` day of February 2015; and
WHEREAS, Landlord has available, and has agreed to provide the Public Defender's Office with, an additional
2146 sq. ft. of space in the existing leasehold; and
WHEREAS, the parties have found the Original Agreement and the First Amendment to be mutually beneficial;
now, therefore,
IN CONSIDERATION of the mutual promises and covenants set forth below, the parties agree as follows
1. Paragraph 1 of the Original Agreement is amended to read:
1. LEASEHOLD PREMISES. Landlord hereby leases unto tenant, and tenant hereby leases from
Landlord, 7,338.83 square feet of commercial space comprising a portion of those premises which are
located at 801 Eisenhower Drive, Key West, Florida, depicted on a sketch of the Premises (the "Premises ").
Landlord reserves the right to use 2 parking spots during the term of this Agreement. Tenant shall
otherwise have exclusive use of the parking spaces at 801 Eisenhower Drive.
Effective September 15, 2015, Landlord will have additional office space available at 801 Eisenhower
Drive, Key West, Florida, and will hereby lease unto Tenant and Tenant will hereby lease from Landlord
an additional 2,146 square feet of office space, for a total of 9,484.83 square feet of commercial space as
depicted in attached Exhibit "A ", showing a net increase of 2,146 square feet of the leased space.
2. Paragraph 3 of the Original Agreement is amended to read
2. RENT. Rent for the period beginning April 1, 2015 through September 30, 2015 is $26,363.12
per month for 7,338.83 sq. ft of commercial space. Rent for 2146 square feet of additional space shall be
$4,000 per month and shall be prorated for the period of September 16, 2015 through September 30, 2015.
Beginning October 1, 2015 through March 31, 2016 base rent for the total 9,484.83 sq. ft. leasehold shall
be $30,363.12 per month. Said rent shall be payable in arrears upon receipt of a proper invoice pursuant to
the Florida Prompt Payment Act, Sections 218.70, Florida Statutes, et. seq.
Beginning with the April 1 2016 anniversary date, and annually thereafter, there shall be an adjustment to
the base rent which shall be derived by taking the preceding year's rent and increasing the same by three
percent (3 %)

For any partial month within the term hereof said rent shall be payable on a prorated basis. All rents shall
be paid when due and interest for late payments shall be as set by the Prompt Payment Act.
In the event that funds cannot be obtained or cannot be continued at a level sufficient to pay the lease price
or the Public Defender's office acquires adequate office space in a County-owned or State -owned building,
this lease may be terminated without penalty by the Tenant providing to Landlord at least nine (9) months
prior written notice of the termination. NO rental shall accrue and neither party shall have any further
obligations under the terms of the lease after the effective date of the notice. Payment under a multiple year
agreement is contingent upon annual appropriation by the Board of County Commissioners.
Except as set forth in sections one and two of this Second Lease Amendment, in all other respects, the terms and
conditions of the original agreement dated March 16, 2011 and the Lease and Extension Agreement dated February 18, 2015
not inconsistent herewith shall remain in full force and effect.

representative.
