AMENDENT TO LEASE AGREEMENT
FLORIDA KEYS MARATHON AIRPORT
MARATHON LANDING AND FLYING CLUB, INC.
THIS AMENDMENT (hereafter Amendment) is made and entered into this 21st day of
October, 2015, by and between Monroe County, a political subdivision of the State of Florida,
whose address is Gato Building, 1100 Simonton Street, Key West, FL 33040 (hereinafter"County",
"Lessor" or "Owner"), and Marathon Landing and Flying Club, Inc., whose address is 2460 Coco
Plum Drive,Marathon, Florida, 33050 (hereinafter"Tenant" or"Lessee").
WHEREAS, on the 6th day of January 2014, the County entered in to a lease (hereinafter
Original Lease) with the Lessee for construction of a new hangar; and
WHEREAS, the hangar is being built in front of an existing vehicle gate, as a condition
precedent to commencement of construction of the hangar, the Original Lease required that the
Lessee remove the existing airfield vehicle gate, replace the fencing and relocate the vehicle gate;
and
WHEREAS, the Original Lease requires that the construction of the new hangar commence
within 2 years of the effective date of the Original Lease; and
WHEREAS, through no fault of Lessee, completion of the vehicle gate was delayed
significantly and the gate was not completed until August 2015; and
WHEREAS,the commencement of construction of the hangar has been impacted as a result
of the delay in completing the gate relocation, now therefore,
IN CONSIDERATION of the premises and of the mutual covenants and agreements herein
contained, and other valuable considerations, the parties agree as follows:
SECTION 1. ARTICLE 2. Term. The term of the lease is for twenty five (25) years beginning on
the effective date of this lease agreement, with an option, at LESSEE discretion, to renew for one
additional five (5) year term under the same rate agreement in paragraph 3. Development of the
parcel must begin within 12 months of the effective date of this agreement. For purposes of this
agreement, development will be deemed to have commenced when LESSEE enters in to a signed
agreement with a general contractor for construction of the proposed hangar project. Unless
extended in writing, THIS LEASE TERMINATES 3 YEARS AFTER THE EFFECTIVE DATE
OF THE AGREEMENT IF DEVELOPMENT HAS NOT COMMENCED.
Except as set forth in Section one of this Amendment To Lease Agreement, in all other
respects, the original agreement dated January 6, 2014 not inconsistent herewith, shall remain in full
force and effect.
IN WITNESS WHEREOF each party hereto has caused this agreement to be executed in
duplicate by its duly authorized representative.
