the following:
Approved and authorized execution of a Landscape Maintenance Agreement between
Monroe County and Anthony M. Bona d/b/a Garden's of Eden to provide landscape maintenance
at the Key West International Airport.
Approved and authorized execution of an Agreement for Sale and Assignment between
Monroe County and Robert T. Feldman for hangar space at the Key West International Airport to

LANDSCAPE MAINTENANCE AGREEMENT
THIS AGREEMENT, made and entered into the 19t11 day of
between Monroe County, Florida, (hereinafter called "Owner" or
Bona, dlbla Garden's of Eden (hereinafter called "Contractor").

WITNESSETH:
The parties hereto, for the consideration hereinafter set forth, mutually agree as follows:
1. SCOPE OF WORK. The Contractor shall provide all labor. tools, and equipment
necessary to provide landscaping maintenance services at Key West International Airport (KWIA).
The Contractor shall furnish all labor, materials, equipment. machinery, tools, apparatus, and
transportation and perform all of the work described in the Specification entitled: Landscaping
Services Specifications and his bid dated October 11. 1999, attached hereto and incorporated as'
part of this contract document. and shall do everything required by this Contract and other
Contract Documents, or as directed by the Airport Manager.
2. CONTRACT SUM. The Owner shall pay to the Contractor for the faithful
performance of the Contract, in lawful money of the United States, as follows:
The Owner shall pay the Contractor for the performance of said service on a monthly
arrears basis on or before the fifteenth of the following month, The Contractor shall invoice the
Owner monthly for the landscape maintenance performed under the Contract Documents
contained herein. The Contract amount shall be as stated by the Contractor's proposal as
follows: $25.00 per man hour. The total compensation to be paid the Contractor during the term
of the Contract may not exceed $77,000.00.
3. CONTRACTOR'S ACCEPTANCE OF CONDITIONS.
A. The Contractor hereby agrees that he has carefully examined the site and has
made an investigation to fully satisfy himself that his bid is correct based on such examination and
investigation and contains no errors and that he assumes full responsibility therefor. The provisions
of the Contact shall control any inconsistent provisions contained in the specifications. All
Specifications have been read and carefully considered by the Contractor, who understands the
same and agrees to their sufficiency for the work to be done. Under no circumstances,
conditions, or situations shall this Contract be more strongly construed against the Owner than
against the Contractor.
B. Any ambiguity or uncertainty in the Specifications shall be interpreted and
construed by the Owner, and his decision shall be final and binding upon all parties.
C. The passing, approval. andlor acceptance of any part of the work or material by
the Owner shall not operate as a waiver by the Owner of strict compliance with the terms of this
Contract, and Specifications covering said work, Failure on the part of the Contractor,
immediately after Notice to correct workmanship shall entitle the Owner, if it sees fit, to correct the
same and recover the reasonable cost of such correction from the Contractor, who shall in any

4. TERM OF CONTRACT/RENEWAl. This contract shall be for a period of one (1) year,
commencing on the date first above written with two one year options upon mutual agreement
of the parties.
5. HOLD HARMLESS. The Contractor shall defend, indemnify and hold harmless the
County from any and all c1aim(s) and demand(s) that may be made against the County from
any act or omission of the Contractor arising out of his duties and obligations under this Contract,
excluding any claims or demands predicated solely on act(s) or omission(s) of the County.
6. INDEPENDENT CONTRACTOR. At all times and for all purposes under this
agreement the Contractor is an independent contractor and not an employee of the Monroe
County Board of County Commissioners (BOCC). No statement contained in this agreement shall
be construed so as to find the Contractor or any of hislher employees, contractors, servants, or
agents to be employees of the Monroe County Board of County Commissioners.
7. ASSURANCE AGAINST DISCRIMINATION. The Contractor shall not discriminate
against any person on the basis of race, creed, color, national origin, sex, age, or any other
characteristic or aspect which is not job related, in its recruiting. hiring. promoting, terminating, or
any other area affecting employment under this agreement or in connection with the provision of
services or goods under this agreement.
8. ASSIGNMENT/SUBCONTRACT. The Contractor shall not assign or subcontract this
agreement, except in writing and with the prior written approval of the BOCC, for which approval
shall be subject to such conditions and provisions as the Board may deem necessary. This
agreement shall be incorporated by reference into any assignment or subcontract and any
assignee or subcontractor shall comply with all of the provisions of this agreement. Unless
expressly provided for therein, such approval shall in no manner or event be deemed to impose
any obligation upon the Board in addition to the total agreed-upon price of the services of the
Contractor.
9. COMPLIANCE WITH lAW. In providing all services pursuant to this agreement. the
Contractor shall abide by all statues, ordinances, rules and regulations pertaining to, or regulating
the provisions of, such services, including those now in effect and hereinafter adopted. Any
violation of said statutes. ordinances, rules and regulations shall constitute a material breach of
this agreement and shall entitle the Board to terminate this contract immediately upon delivery of
written notice of termination to the Contractor. The Contractor shall possess proper licenses to
perform work in accordance with these specifications throughout the term of this contract.
10. INSURANCE. Prior to execution of this agreement. the Contractor shall furnish the
Owner Certificates of Insurance indicating the minimum coverage limitations as indicated on the
attached forms identified as Exhibit A which is attached hereto and incorporated as part of this
contract document.
11. FUNDING AVAILABILITY. Notwithstanding anything contained elsewhere in this
contract, if funds for KWIA services are partially reduced by the BOCC or cannot be obtained or
cannot be continued at level sufficient to allow for the purchase of the serviceslgoods specified
herein. this contract may then be terminated immediately at the option of the BOCC by written
notice of termination delivered in person or by mail to the Contractor. The BOCC shall not be
obligated to pay for any services provided by the Contractor after the Contractor has received
written notice of termination.
12. PROFESSIONAL RESPONSIBILITY. The Contractor warrants that it is authorized by
law to engage in the performance of the activities encompassed by the project herein described.
The Contractor shall at all times exercise independent professional judgment and shall assume
professional responsibility for the services to be provided. Continued funding by the Board is
contingent upon retention of appropriate local. state, andlor federal certification andlor
licensure of Contractor.
13. NOTICE REQUIREMENT. Any notice required or permitted under this contract shall
be in writing and hand delivered or mailed, postage prepaid, to the other party by certified mail.

14. CANCELLATION. The County may cancel this contract for cause with seven (7)
days notice to the Contractor. Cause shall constitute a breach of the obligations of the
Contractor to perform the services enumerated as the Contractor's obligations under this
contract. Either of the parties hereto may cancel this contract without cause by giving the other
party sixty (60) days written notice of its intention to do so.
15. GOVERNING LAWS. This contract is governed by the laws of the State of Florida.
Venue for any litigation arising under this contract must be in Monroe County, Florida.

LANDSCAPING SERVICES SPECIFICATIONS
To provide landscaping services at the Key West International Airport tenninal,
3491 South Roosevelt Blvd., Key West, FL 33040, for the parking lot areas, access roads
and the runway/taxiway/aircraft ramp areas. Services are to be provided five days per
week as follows:
PARKING LOT AREAS
Daily, pick up trash and refuse throughout all parking lot areas.
Empty refuse containers on an as required basis.
Mow and trim all grass areas as needed.
Water potted plants as required.
Fertilize plants, pots, shrubs and grass as needed.
Trim palm trees to insure that fronds do not interfere with traffic.
Trim and shape shrubbery as necessary. /
After mowing or trimming, remove all debris and blow area.
ACCESS ROADS

BIDDING SPECIFICS
Due to the fluctuations in the grass-growing season, the amount of time involved
in mowing around the taxiway and runway will vary with the seasons. The resulting
landscaping effort could vary from a low of approximately 40 man hours per week in the
dry season, to a high of 80-90 man houroS during the rainy or growing season. For this
reason, it is desired that bids be made ill terms of cost per man-hour. Additionally, the
airport presently owns equipment necessary to accomplish most of the landscaping tasks
(tractor with mower, two lawn mowers, and two gas powered string trimmers). All bids
should specifY whether the contractor is basing the bid on using his/her own equipment or
on using the airport equipment.

· In parking lot areas: Mowing, trimming, watering, fertilizing (when needed), trimming ofpahns, and shrubs,
and blowing and cleaning will all be performed tasks. All grassy areas will be edged as to present a neat and
attractive appearance. '
· On the access roads: Daily trash & refuse pick-up, mowing & trimming grass, shrubbery, and pahns as
necessary, blowing and removal of all debris will be performed tasks. All grassy areas will be edged as to

· At runway & taxiway areas: Mowing & trimming of all grass areas between aircraft parking ramps and
taxiway, taxiway and runway: assuring that taxiway lights are clear of grass and visible. All grassy areas will

· At least one person will be on site and working 40 hrs., 5 days a week or however long it takes to complete
