Should you have any questions, please feel free to contact our office. cc: County Attorney Finance File ✓ 500 Whitehead Street Suite 101, PO Box 1980, Key West, FL 33040 Phone: 305-295-3130 Fax: 305-295-3663 3117 Overseas Highway, Marathon, FL 33050 Phone: 305-289-6027 Fax: 305-289-6025 88820 Overseas Highway, Plantation Key, FL 33070 Phone: 852-7145 Fax: 305-852-7146 III SECOND AMENDMENT TO THE AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN FLORIDA STATE UNIVERSITY AND MONROE COUNTY THIS SECOND AMENDMENT (hereinafter "Contract/Agreement"') is made and entered into this 15th day of June 2016 by Monroe County (hereinafter "COUNTY"), a political subdivision of the State of Florida, whose address is 1100 Simonton Street, Suite 205, Key West, Florida 33040, and FLORIDA STATE UNIVERSITY (hereinafter "FSU"), having a principal place of business at: 874 Traditions Way, SSB 3rd Floor, Tallahassee, Florida, 32306-4166: WITNESSETH: WHEREAS, the County and FSU entered into that certain Agreement for Professional Services dated the 15th of July, 2015, which by this reference is hereby incorporated as if fully stated herein; and WHEREAS, the County and FSU entered into that certain First Amendment to the above - referenced Agreement for Professional Services, dated the loth of February, 2016, which by this reference is hereby incorporated as if fully stated herein; and WHEREAS, the County and FSU mutually desire to enter into this Second Amendment to the above -referenced Agreement for Professional Services, as amended; and NOW, THEREFORE, in consideration of the mutual covenants and obligations contained thereof and herein, and other good and valuable consideration, the receipt, sufficiency, and adequacy of which are hereby expressly acknowledged, the undersigned parties agree as follows: 1. The recitals contained herein are true and correct and are incorporated herein by reference as if fully stated herein. 2. The above -described Agreement for Professional Services, as amended, between the parties is hereby incorporated by reference as if fully stated herein. 3. Section 3 of the above -described Agreement for Professional Services, as amended, is hereby amended to read as follows: Section 3. TIME OF COMPLETION The services to be rendered by the FSU shall be commenced upon execution of this agreement by the undersigned parties and the work shall be completed in accordance with the schedule mutually agreed to by the COUNTY and FSU as shown in Exhibit A, and shall be completed no later than July #1a�-31, 2016, unless it shall be modified in a signed document, by the mutual consent of the COUNTY and FSU. Subsequent services shall be performed in accordance with schedules of performance which shall be mutually agreed to by COUNTY Page 1 of 3 y and FSU. COUNTY, through its Assistant County Administrator, shall have the authority to amend the schedule. 4. This Amendment is retroactive to May 1, 2016, and it is the intention of the parties that this Agreement, as amended, be continuously effective from May 1, 2016, through July 31, 2016, subject to the terms, covenants, conditions, and provisions of this Agreement, as amended. 5. All of the other terms, covenants, conditions, and provisions of the above -described Agreement for Professional Services, as amended, except those expressly modified and rendered inconsistent by this Amendment, remain in full force and effect and binding upon the parties. 6. Each party agrees that they have authority to execute this Amendment on behalf of each party and represents and warrants that such person has the full right and authority to enter into this Amendment on behalf of such party and to fully bind such party to the terms and obligations of this Amendment.
