authorized execution of item S2 Approval of Amendment #2 between Care in the Keys, Inc., d/b/a
Island Private Care and Monroe County Board of County Commissioners/Monroe County Social
Services beginning June 15, 2016 and ending on December 31, 2016.

2nd AMENDMENT TO ISLAND PRIVATE CARE AGREEMENT
CARE IN THE KEYS, INC
THIS AGREEMENT made this 15th day of June, 2016 by and between Care in the Keys,
Inc., also termed herein as "Island Private Care" (hereafter "Consultant/Contractor") whose
physical/mailing address is 22978 Overseas Highway, Cudjoe Key, FL 33042, and whose
remittance address is 1200 4'h Street #170, Key West, FL 33040 and Monroe County Board of
County Commissioners, whose address is 1100 Simonton Street, Key West, Florida 33050
(hereafter "County");
WHEREAS, on the 21s' day of January, 2015, the parties entered into a contract for In -
Home Services with a term that began on January 1, 2015 and terminated on December 3 1 " 2015,
hereafter original agreement (Agreement); and
WHEREAS, on the 9`h day of December 2015 the Agreement was renewed for an
additional one year period and the signature line was updated from "Island Home Care Agency,
Inc., d/b/a Island Private Care" to "Care in the Keys, Inc. d/b/a Island Private Care" to reflect a
change in the Contractor's fictitious name; and
WHEREAS, on the 28`h day of January 2016 the parties entered into the I" Amendment to
the Island Private Care Agreement in order to update the Notification provision of the Agreement;
and
WHEREAS, the Contractor is requesting an increase to the unit rates paid for the services
provided, and
WHEREAS, grant funding is sufficient to approve a modest increase for some of the
services so long as the County provides In Home Services (in -home respite, homemaker, personal
care, chore, companionship) to all CCDA and OAA clients and does not refer them to Island
Private Care;
WHEREAS, the County will only refer ADI, CCE (in -home respite, homemaker, personal
care, chore, companionship), and OA3E (caregiver training/support group & individual) clients
for In Home Services to Island Private Care;
NOW THEREFORE in consideration of the promises, and of the mutual covenants to be
legally bound hereby, the parties hereto agree as follows:
Section 1. Article 5, subparagraph "C" of the Original Agreement is amended to read as follows:
C. The Contractor will provide In -Home Services during the term of this contract for
the unit rates as agreed upon and that follow: $21.00/unit for in -home respite care, $21.06/unit for
homemaker, $25.00/unit for personal care, $23.00/unit for chore, and $15.00/unit for
companionship, $50.00/unit for individual caregiver training, and $75.00/unit for support group
caregiver training. A unit for each service is defined by DOEA Handbook issued July 2015 and
AHCA guidelines as noted above, and any subsequent revisions thereto. The number of units of
services performed for each client must be pre -authorized by the County in accordance with the
Activity Plan.
Except as provided in section 1 of this 2"`i Amendment to the Island Private Care
Agreement, all of the terms and conditions of the Original Agreement dated September 14, 2015
and the 1" Amendment Dated January 28, 2016 not inconsistent herewith, remain in full force and
effect.
IN WITNESS WHEREOF, the parties have caused these presents to be executed by their
respective officer or representative thereunto duly authorized the day and year first written above.
