Consulting, Inc. (hereinafter called the "Contractor "). That the parties hereto, for the consideration hereinafter set forth, mutually agree as follows: THE CONTRACT The contract between the owner and the Contractor shall consist of this agreement, the proposal submitted by the Contractor (Attachment A), County Forms executed by the Contractor (Attachment B), and any other amendments hereto executed by the parties hereafter. 2. SCOPE OF WORK The scope of work shall consist of those services as specified in Attachment A to this Agreement, and in consistency with the structure and format of all existing Annexes to Monroe County's Comprehensive Emergency Management Plan. 3. THE CONTRACT SUM The total contract price for the work specified in the Scope of Services shall be thirty seven thousand five hundred dollars ($37,500.00), inclusive. Payments will be made according to the tasks outlined on Attachment A, as follows: Eighteen thousand seven hundred and fifty dollars ($18,750.00) of the contract price shall be paid upon successful completion of an approved Plan; Fifteen thousand dollars ($15,000.00) of the contract price shall be paid upon successful completion of the functional exercise, and; Three thousand seven hundred and fifty dollars ($3,750.00) shall be paid upon the completion of approved after action report and improvement plan matrix. The Contractor shall submit to the County an invoice with supporting documentation acceptable to the Clerk upon completion of each of the above - referenced Tasks. Acceptability to the Clerk is based on generally accepted accounting principles and such laws, rules and regulations as may govern the Clerk's disbursal of funds. The Contractor will submit such invoice according to milestones for services provided during the period. The invoice will include a record of employee time worked and differentiate time worked at the rate for the different classification. Upon receipt of the Contractor's invoice in the proper form as stipulated above and upon acceptance by the Clerk, Monroe County will make payment in arrears in accordance with the Florida Local Government Prompt Payment Act, Section 218.70, Florida Statutes. 4. TERM OF CONTRACT /RENEWAL This contract shall be effective from July 15, 2015, through December 31, 2015. Emergency Management 2 5. HOLD HARMLESS The Contractor covenants and agrees to indemnify and hold harmless Monroe County Board of County Commissioners from any and all claims for bodily injury (including death), personal injury, and property damage (including property owned by- Monroe County) and any other losses, damages, and expenses (including attorney's fees) which arise out of, in connection with, or by reason of services provided by the Contractor or any of its Subcontractor(s) in any tier, occasioned by the negligence, errors, or other wrongful act of omission of the Contractor or its Subcontractors in any tier, their employees, or agents. In the event the completion of the project (to include the work of others) is delayed or suspended as a result of the Contractor's failure to purchase or maintain the required insurance, the Contractor shall indemnify the County from any and all increased expenses resulting from such delay. The first ten dollars ($10.00) of remuneration paid to the Contractor is for the indemnification provided for above. The extent of liability is in no way limited to, reduced, or lessened by the insurance requirements contained elsewhere within this agreement. 6. INDEPENDENT CONTRACTOR At all times and for all purposes under this agreement the Contractor is an independent contractor and not an employee of the Board of County Commissioners for Monroe County. No statement contained in this agreement shall be construed so as to find the Contractor or any of his /her employees, contractors, servants, or agents to be employees of the Board of County Commissioners for Monroe County. 7. ASSURANCE AGAINST DISCRIMINATION County and Contractor agree that there will be no discrimination against any person, and it is expressly understood that upon a determination by a court of competent jurisdiction that discrimination has occurred, this Agreement automatically terminates without any further action on the part of any party, effective the date of the court order. County or Contractor agree to comply with all Federal and Florida statutes, and all local ordinances, as applicable, relating to nondiscrimination. These include but are not limited to: 1) Title VI of the Civil Rights Act of 1964 (PL 88 -352) which prohibits discrimination on the basis of race, color or national origin; 2) Title IX of the Education Amendment of 1972, as amended (20 USC ss. 1681 -1683, and 1685- 1686), which prohibits discrimination on the basis of sex; 3) Section 504 of the Rehabilitation Act of 1973, as amended (20 USC s. 794), which prohibits discrimination on the basis of handicaps; 4) The Age Discrimination Act of 1975, as amended (42 USC ss. 6101- 6107) which prohibits discrimination on the basis of age; 5) The Drug Abuse Office and Treatment Act of 1972 (PL 92 -255), as amended, relating to nondiscrimination on the basis of drug abuse; 6) The Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation Act of 1970 (PL 91 -616), as amended, relating to nondiscrimination on the basis of alcohol abuse or alcoholism; 7) The Public Health Service Act of 1912, ss. 523 and 527 (42 USC ss. 690dd -3 and 290ee -3), as amended, relating to confidentiality of alcohol and drug abuse patent records; 8) Title VIII of the Civil Rights Act of 1968 (42 USC s. et seq.), as amended, relating to nondiscrimination in the sale, rental or financing of housing; 9) The Americans with Disabilities Act of 1990 (42 USC s. 1201 Note), as maybe amended from time to time, relating to nondiscrimination on the basis of disability; 10) Monroe County Code Ch. 13, Art. VI, prohibiting discrimination on the bases of race, color, sex, religion, disability, national origin, ancestry, sexual orientation, gender identity or expression, familial status or age; Emergency Management 3 and 11) any other nondiscrimination provisions in any Federal or state statutes which may apply to the parties to, or the subject matter of, this Agreement. 8. ASSIGNMENT /SUBCONTRACT The Contractor shall not assign or subcontract its obligations under this agreement, except in writing and with the prior written approval of the Board of County Commissioners for Monroe County and Contractor, which approval shall be subject to such conditions and provisions as the Board may deem necessary. 9. COMPLIANCE WITH LAW The Contractor shall abide by all statutes, ordinances, rules and regulations pertaining to, or regulating the provisions of the services covered by this agreement. Any violation of said statutes, ordinances, rules and regulations shall constitute a material breach of this agreement and shall entitle the Board to terminate this contract immediately upon delivery of written note of termination to the Contractor. The Contractor shall possess proper licenses to perform work in accordance with these specifications throughout the term of this contract. 10. INSURANCE Contractor shall provide documentation of insurance coverage required for those individuals or firms that perform work for or on behalf of the County, as specified in the Monroe County Risk Management Policy and Procedures Manual as follows: A. General Liability Insurance. Coverage shall be maintained throughout the life of the contract and include, as a minimum: • Premises Operations • Products and Completed Operations • Blanket Contractual Liability • Personal Injury Liability • Expanded Definition of Property Damage The minimum limits acceptable shall be: $300,000 Combined Single Limit (CSL) If split limits are provided, the minimum limits acceptable shall be: $100,000 per Person $300,000 per Occurrence $ 50,000 Property Damage An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy, its provisions should include coverage for claims filed on or after the effective date of this contract. In addition, the period for which claims may be reported should extend for a minimum of twelve (12) months following the acceptance of work by the County. Emergency Management 4 The Monroe County Board of County Commissioners, 1100 Simonton Street, Suite 2- 205, Key West, Florida, 33040, shall be named as Additional Insured on all policies issued to satisfy the above requirements. B) Vehicle Insurance. Recognizing that the work governed by this contract requires the use of vehicles, the Contractor, prior to the commencement of work, shall obtain Vehicle Liability Insurance. Coverage shall be maintained throughout the life of the contract, and to include, as a minimum, liability coverage for: • Owned, Non - Owned, and Hired Vehicles The minimum limits acceptable shall be: $100,000 Combined Single Limit (CSL) If split limits are provided, the minimum limits acceptable shall be: $ 50,000 per Person $100,000 per Occurrence $ 25,000 Property Damage The Monroe County Board of County Commissioners shall be named as additional Insured on all policies issued to satisfy the above requirements. C) Workers Compensation insurance: Prior to the commencement of work governed by this contract, the Contractor shall obtain Workers' Compensation Insurance with limits sufficient to respond to Florida Statute 440. In addition, the Contractor shall obtain Employers' Liability Insurance with limits of not less than: $100,000 Bodily Injury by Accident $500,000 Bodily Injury by Disease, policy limits $100,000 Bodily Injury by Disease, each employee Coverage shall be maintained throughout the entire term of the contract. Coverage shall be provided by a company or companies authorized to transact business in the state of Florida. 11. FUNDING AVAILABILITY This contract is subject to annual appropriation by the Board of County Commissioners. 12. Either of the parties hereto may cancel this agreement without cause by giving the other party sixty days written notice of its intention to do so. B. In the event that the Contractor shall be found to be negligent in any aspect of completion of the Scope of Work, the County shall have the right to terminate this agreement after five days written notification to the Contractor. 14. GOVERNING LAWS, VENUE Agreement shall be governed by and construed in accordance with the laws of the State of Florida applicable to contracts made and to be performed entirely in the State. In the event that any cause of action or administrative proceeding is instituted for the enforcement or interpretation of the Agreement, the County and Contractor agree that venue will lie in the appropriate court or before the appropriate administrative body in Monroe County, Florida. 15. RECORDKEEPING Contractor shall maintain all books, records, and documents directly pertinent to performance under this Agreement in accordance with generally accepted accounting principles consistently applied. Each party to this Agreement or their authorized representatives shall have reasonable and timely access to such records of each other party to this Agreement for public records purposes during the term of the Agreement and for four years following the termination of this Agreement. If an auditor employed by the County or Clerk determines that monies paid to Contractor pursuant to this Agreement were spent for purposes not authorized by this Agreement, the Contractor shall repay the monies together with interest calculated pursuant to Sec. 55.03, FS, running from the date the monies were paid to Contractor. The Contractor will: (a) Keep and maintain public records that ordinarily and necessarily would be required by the public agency in order to perform the service. (b) Provide the public with access to public records on the same terms and conditions that the public agency would provide the records and at a cost that does not exceed the cost provided in this chapter or as otherwise provided by law. (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. Emergency Management 6 (d) Meet all requirements for retaining public records and transfer, at no cost, to the public agency all public records in possession of the contractor upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the public agency in a format that is compatible with the information technology systems of the public agency. 16. SEVERABILITY If any term, covenant, condition or provision of this Agreement (or the application thereof to any circumstance or person) shall be declared invalid or unenforceable to any extent by a court of competent jurisdiction, the remaining terms, covenants, conditions and provisions of this Agreement, shall not be affected thereby; and each remaining term, covenant, condition and provision of this Agreement shall be valid and shall be enforceable to the fullest extent permitted by law unless the enforcement of the remaining terms, covenants, conditions and provisions of this Agreement would prevent the accomplishment of the original intent of this Agreement. The County and Contractor agree to revise the Agreement to replace any stricken provision with a valid provision that comes as close as possible to the intent of the stricken provision. 17. ATTORNEY'S FEES AND COSTS The County and Contractor agree that in the event any cause of action or administrative proceeding is initiated or defended by any party relative to the enforcement or interpretation of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees, court costs, investigative, and out -of- pocket expenses, as an award against the non - prevailing party, and shall include attorney's fees, courts costs, investigative, and out -of- pocket expenses in appellate proceedings. 18. AUTHORITY Each party represents and warrants to the other that the execution, delivery and performance of this Agreement have been duly authorized by all necessary County and corporate actions, as required by law. 19. COOPERATION In the event any administrative or legal proceeding is instituted against either party relating to the formation, execution, performance, or breach of this Agreement, County and Contractor agree to participate, to the extent required by the other party, in all proceedings, hearings, processes, meetings, and other activities related to the substance of this Agreement or provision of the services under this Agreement. County and Contractor specifically agree that no party to this Agreement shall be required to enter into any arbitration proceedings related to this Agreement. 20. NO SOLICITATION /PAYMENT The County and Contractor warrant that neither has employed nor retained any company or person, other than a bona fide employee working solely for it, to solicit or secure this Agreement and that it has not paid or agreed to pay any person, company, corporation, individual, or firm, other than a bona fide employee working solely for it, any Emergency Management 7 fee, commission, percentage, gift, or other consideration contingent upon or resulting from the award or making of this Agreement. For the breach or violation of the provision, the Contractor agrees that the County shall have the right to terminate this Agreement without liability and, at its discretion, to offset from monies owed, or otherwise recover, the full amount of such fee, commission, percentage, gift, or consideration. 21. EXECUTION OF COUNTERPARTS This Agreement may be executed in any number of counterparts, each of which shall be regarded as an original, all of which taken together shall constitute one and the same instrument and any of the parties hereto may execute this Agreement by signing any such counterpart. OVERVIEW This quote for services provides how the Advanced Planning Consultants will furnish the necessary personnel, materials, and services to provide assistance to Monroe County, Florida, for the development of a comprehensive water supply loss response /coordination plan and the execution of a Homeland Security Exercise and Evaluation Program (HSEEP) compliant functional exercise. The general requirements to be provided by APC under this proposal include the following: 1. Provide by- weekly status reports to the designated Monroe County EM project point of contact 2. Provide qualified staff to perform all items detailed in the scope of work 3. Provide all administrative support equipment necessary to perform all of the items detailed in the scope of work 4. Coordinate all administrative and logistical support needed for any meetings and exercises associated with this project 5. Provide a registration system for all meetings and exercise 6. Maintain accurate records, documentation and notes throughout the life of the project and provide Monroe County EM with copies B. TASKS The tasks to be provided by APC under this proposal include the following: 1. Phase 1 - Collaboratively develop a comprehensive water supply loss response and coordination plan with the following provisions: i. Conduct a minimum of 2 planning meetings, in person or virtual, with appropriate stakeholders (approx. 10 -15 entities) *Monroe County EM will identify the appropriate participants and provide contact information for agency designees Monroe County Advanced Planning Consultants Loss of Water Supply Request for Proposal ii. Provide a detailed response coordination plan for the response and recovery from any loss of water supply iii. Ensure plan consistency with the structure and format of all existing Annexes to Monroe County's CEMP iv. Clearly define the roles and responsibilities of the agencies /entities involved in the response to a loss of water supply V. Identify the resources that would be needed to respond and recover from any loss of water supply vi. Involve all appropriate stakeholders throughout plan development vii. Provide Monroe County EM with a minimum of one draft version of the plan and allow sufficient time for comments /changes before producing a final product 2. Phase 2 - Design, coordinate, conduct and evaluate a functional exercise to test the newly developed water supply loss response and coordination plan. i. Develop a functional exercise that tests the validity of the concepts and principles detailed in the Water Supply Loss Response and Coordination Plan *The scope of the exercise will be refined once the development of the plan is complete and the concepts are better defined ii. Follow and comply with the Homeland Security Exercise and Evaluation Program standards process iii. Conduct a minimum of 3 planning meetings, in person or virtual, with appropriate stakeholders (approx. 15 -20 entities) * Monroe County EM will identify the appropriate participants and provide contact information for agency designees iv. Develop a scenario based on a terrorist attack of the water supply lines with the intent to cut the Florida Keys off from a fresh water supply and cause long term damage to the local economy V. Manage the logistics required to support the exercise design and execution * Monroe County EM and partners will support where possible vi. Provide an appropriate number of controllers to successfully conduct the exercise vii. Provide an appropriate number of subject matter experts to evaluate the exercise and to offer suggestions for improving the plan viii. Provide Monroe County EM with an After Action Report and Improvement Plan focused on enhancing the Loss of Water Supply Plan 2 Monroe County Advanced Planning Consultants Loss of Water Supply Request for Proposal ix. PROJECT TIMELINE This project utilizes grant funds and as such APC will make every effort to comply with the appropriate grant guidance and deadlines for delivery of final products. PROJECT COSTS f PAYMENT Total Fixed Project Costs: $37,500 Payment will be dispersed by Monroe County Office of Emergency Management to the Advanced Planning Consultants using the following benchmarks: 1. 50% after the successful completion of an approved plan 2. 40% after the successful completion of the functional exercise 3. 10% after the submittal of an approved After Action Report and Improvement Plan Matrix E.
