ITEM BACKGROUND: This Renewal provides for the Agreement to be extended for 2 additional years commencing on March 16, 2017 and ending on March 15, 2019. The existing contract allows the County an option to renew the contract for two (2) additional two (2) year terms, this being the first two year extension. The existing contract also allows for the County to adjust the contract amount annually in accordance with the percentage change in the Consumer Price Index for all urban consumers (CPI -U) for the most recent twelve (12) months available. The County exercises the option to amend the agreement and adjust in accordance annually with the percentage change in the U.S. Department of Commerce Consumer Price Index (CPI -U) for March 2016 of .9% and March 2017 of 2.1 %. PREVIOUS RELEVANT BOCC ACTION: On November 22nd, 2016 the BOCC granted approval of Addendum No. 3 to add one additional delivery for the Public Works and Engineering, 300 Magnolia, Key Largo 431. On August 16th, 2016 the BOCC granted approval of Addendum No. 2 to remove one delivery for the Department of Health, Roosevelt Sands Center, Key West 42B. On July 20th, 2016 the BOCC granted approval of Addendum No. 1 to add one additional delivery for the Tax Collector on Big Pine Key 41OC. On March 18th, 2015 the BOCC granted approval to award bid and authorized execution of a two (2) year contract with an option to renew for two (2) additional two (2) year periods. WHEREAS, on March 18` 2015, the parties entered into a two (2) year agreement for courier services for Monroe County, commencing; on the 16` day of March, 2015 and ending on the 15 °i day of March, 2017. The County has an option of renewing this contract for two (2) additional two (2) year terns; and WHEREAS, the contract agreement expires on March 15 1x ', 2017 and both parties desire to renew the original agreement for two additional years; this being the first renewal, and WHEREAS, the contract provides for a Consumer Price Index (CPI) adjustment and this arnenrinlent now includes the CPI adjustment that was previously applied; NOW, THEREFORE, IN CONSIDERATION of the mutual promises contained herein, the parties hereby agree to renew the existing agreement as follows: 1. In accordance with Paragraph 4 of the 2015 agreement, the bounty exercises the option to amend the agreement and the amount shall be adjusted in accordance annually with the percentage change in the U.S. Department of Commerce Consumer Price Index (CPI -U) for all Urban Consumers as reported by the U-S. Bureau of Labor Statistics for the most recent twelve months available ending March 31 of .3 %. This CPl -U adjustment shall be retroactively approved to March 16, 2016. 2. In accordance with Paragraph 4 of the 2015 agreement, the County exercises the option to amend the agreement and the amount shall be adjusted in accordance annually with the percentage change in the U.S. Department of Commerce Consumer Price Index (CPI -U) for all Urban Consumers as reported by the U.S. Bureau of Labor Statistics for the most recent twelve months available ending December 31 of 2.1 %. This CPI -U adjustment shall be effective March 16, 2017. 3. In accordance with Paragraph 4 of the 2015 agreement, the County hereby exercises its option to renew the agreement for an additional two -year term. beginning March 15, 2017 and ending March 15, 2019. 4. In all other respects, the agreement entered March 18, 2015, as amended July 20` 2016, August 17` 2016 and November 22 nd , 2416 shall remain in full force and effect. WITNESSED: that the parties hereto, for the consideration hereinafter set forth, mutually agree WIMP= The contract documents consist of this agreement, the RFP, and any addenda issued hereafter, any other amendments hereto executed by the parties hereafter, together with the bid proposal and all required insurance documentation. zrfm The contractor shall provide courier service as specified herein. A. Locations to be serviced see exhibit A. 13. Times specified in Exhibit A for pick up and deliveries by Contractor are approximate with the exception of the locations in Key West which remain firm. C. Deliveries — Deliveries to Stop # I made will include opening the bags and distributing mail in department mail boxes in the Mailroom. Pick up and delivery is required Monday through Friday with the exception of holidays. A list of holidays will be provided to the Contractor and the Contractor will be notified should changes to the list occur. Deliveries to all locations en route from the Key Largo area west (south) to Key West Gato Building and including Monroe County Courthouse and Harvey Government Building, Key West will be made prior to 8:00 A.M. daily. Daily service will be available when needed from Key Largo to Key West with delivery in the afternoon. D. Materials to be transported . Contractor will be required to transport mail, cash, computer printouts, office supplies, etc. contained in colored courier bags, transporting of not more than three boxes for the Building Department office locations, general office supplies as long as they are boxed, sealed and weigh no more than 50 pounds per box. Boxes being used for the transportation of copy machine paper and general office supplies may no longer than 18" wide, 15" deep and 10" high. E. Provision of Lock Boxes. Lock boxes for the purpose of temporarily storing items until such time as they are picked up by Contractor will be installed at each location. Exceptions: Stop # I through Stop 4 8 will not need a lock box as they are serviced during normal office hours. Owner will be responsible for the purchase of Lock Boxes to be installed at each location serviced, and such purchases will be made in accordance with Monroe County Purchasing Policies and Procedures. Lock Boxes will be a minimum of 24" wide, 17" deep and 48" high. F. Provision of mail bags. Mail bags are to be used as the transportation media of choice and are to be provided by Owner. Mail bags being used for transportation may be larger than 18" wide, 5" deep and 30" high. A. The County shall pay to the Contractor for the faithful performance of said service on a per month in arrears basis on or before the 30"' day of the following month in each of twelve (12) months. The Contractor shall invoice the County monthly for services rendered in accordance with the rates agreed by both parties. A. All specifications have been read and carefully considered by the Contractor, who understands the same and agrees to their sufficiency for the work to be done. Under no circumstances, conditions, or situations shall this Contract be more strongly construed against the owner than against the Contractor. B. Any ambiguity, or uncertainty in the specifications shall be interpreted and construed by the Owner, and his decision shall be final and binding upon all parties. C. The passing, approval, and/or acceptance by the Owner of any of the services furnished by the Contractor shall not operate as a waiver by the Owner of strict compliance with the terms of this Contract, and specifications covering the services. Failure on the part of the Contractor, immediately after Notice to Correct shall entitle the Owner, if it sees fit, to correct the same and recover the reasonable cost of such replacement and/or repair from the Contractor, who shall in any event be jointly and severally liable to the Owner for all damage, loss, and expense caused to the Owner by reason of the Contractor's breach of this Contract and/or his failure to comply strictly and in all things with this Contract and with the specifications. 1.04 TERM OF CONTRACT RENEWAL A. This contract shall be for a period of two (2) years commencing on March 16"', 2015 and terminating March 15 2017, unless the option to renew is exercised by the Owner and Contractor. B. The County shall have the option to renew this agreement after the second year and each succeeding year for two additional two (2) year periods. The contract amount agreed herein might be adjusted annually in accordance with the percentage change in the Consumer Price Index for all urban consumers (CPI- U) for the most recent twelve (12) months available. 1.05 HOLD HARMLESS The Contractor covenants and agrees to indemnify and hold harmless Monroe County Board of County Commissioners from any and all claims for bodily injury (including death), personal injury, and property damage (including property owned by Monroe County) and any other losses, damages and expenses (including attorney's fees) which arise out of, in connection with, or by reason of services provided by the Contractor or any of its Subcontractor(s) in any tier, occasioned by the negligence, errors, or other wrongful act of omission of the Contractor or its Subcontractor(s) in any tier, their employees, or agents. In the event that the services are delayed or suspended as a result of the Contractor's failure to purchase or maintain the required insurance, the Contractor shall indemnify the County from any and all increased expenses resulting from such delay. The first ten dollars ($10.00) of remuneration paid to the Contractor is for the indemnification provided for above. The extent of liability is in no way limited to, reduced, or lessened by the insurance requirements contained elsewhere within this agreement. l At all times and for all purposes under this agreement the Contractor is an independent contractor and not an employee of the Board of County Commissioners for Monroe County. No statement contained in this agreement shall be construed so as to find the contractor or any of his/her employees, contractors, servants, or agents to be employees of the Board of County Commissioners for Monroe County. 1.07 ASSURANCE AGAINST DISCRIMINATION The contractor shall not discriminate against any person on the basis of race, creed, color, national origin, sex, age, or any other characteristic or aspect which is not job related, in its recruiting, hiring, promoting, terminating, or any other are affecting employment under this agreement or with the provision of services or goods under this agreement. 1.08 ASS I GNMENT/SU BCONTRACT The Contractor shall not assign or subcontract its obligations under this agreement, except in writing and with the prior written approval of the Board of County Commissioners for Monroe County and Contractor, which approval shall be subject to such conditions and provisions as the Board may deem necessary. This paragraph shall be incorporated by reference into any assignment or subcontract and any assignee or subcontractor shall comply with all of the provisions of this agreement. Unless expressly provided for therein, such approval shall in no manner or event be deemed to impose any obligation upon the board in addition to the total agreed —upon price of the services/goods of the contractor. 1.09 COMPLIANCE WITH LAW In providing all services/goods pursuant to this agreement, the contractor shall abide by all statutes, ordinances, rules and regulation pertaining to, or regulating the provisions of, such services, including those now in effect and hereinafter adopted. Any violation of said statutes, ordinances , rules and regulations shall constitute a material breach of this agreement and shall entitle the Board to terminate this contract immediately upon delivery of ,NTitten notice of termination to the contractor. The contractor shall possess proper licenses to perform work in accordance with these specifications throughout the term of this contract. rwI '� Prior to execution of this agreement, the contractor shall furnish the Owner Certificates if Insurance indicating the minimum coverage limitations as indicated by an "X" on the attached forms identified as INSCK[,ST 1- 5, as further detailed on forms WC 1, GL 1, and VL2, each attached hereto and incorporated as part of this contract document, and all other requirements found to be in the best interest of Monroe County as may be imposed by the Monroe County Risk Management Department. 1.11 FUNDING AVAILABILITY In the event that, funding from Purchasing Office Contractual Services are partially reduced or cannot be obtained or cannot be continued at level sufficient to allow for the purchase of the services/goods specified herein, this agreement may then be terminated immediately at the option of the Board of County Commissioners by written notice of termination delivered in person or by mail to the contractor. The Board shall not be obligated to pay for any services provided by the contractor after the contractor has received written notice of termination. ff%ffmm�� The Contractor warrants that it is authorized by law to engage in the performance of the activities encompassed by the project herein described, subject to the terms and conditions set forth in these contract documents. "The contractor shall at all times exercise independent, professional judgment and shall assume professional responsibility for the services to be provided. Continued funding by the Owner is contingent upon retention of appropriate local, state, and/or federal certification and/or licensure of contractor. Cause shall constitute a breach of obligations of the Contractor to perform the services enumerated as the Contractor's obligations under this contract. B. Either of the parties hereto may cancel this agreement without cause by giving the party sixty (6 0) days written notice of its intention to do so. 1.15 GOVERNING LAWS This Agreement is governed by the laws of the State of Florida, Venue for any litigation arising under this Agreement must be in Monroe County, Florida. In the event of any litigation, the prevailing party is entitled to attorney's fees and costs. 1.16 CONTINGENCY STATEMENT Monroe County's performance and obligation to pay under this contract is contingent upon an annual appropriation by the Monroe County Board of County Commissioners. The COUNTY and CONTRACTOR shall allow and permit reasonable access to, and inspection of, all documents, papers, letters or other materials in its possession or under its control subject to the provisions of Chapter 119, Florida Statutes, and made or received by the COUNTY and CONTRACTOR in conjunction with this Agreement; and the COUNTY shall have the right to unilaterally cancel this Agreement upon violation of this provision by CONTRACTOR. Pursuant to F. S. 119.0 7011, Contractor and its subcontractors shall comply with all public records laws of the State of Florida, including but not limited to: (a) Keep and maintain public records that ordinarily and necessarily would be required by Monroe County in order to perform the service. (b) Provide the public records on the terms and conditions that Monroe County would provide the records and at a cost that does not exceed the cost provided in Florida Statutes, Chapter 119 or as otherwise provided by law. (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed as except as authorized by law. (d) Meet all requirements for retaining public records and transfer, at no cost, to Monroe County all public records in possession of the contractor upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to Monroe County in a format that is compatible with the information technology systems of Monroe County. 1. 18 NON-WAIVER OF IMMUNITY Notwithstanding the provisions of sec. 76 .28, Florida Statutes, the participation of COUNTY and CONTRACTOR in this Agreement and the acquisition of any commercial liability insurance coverage, self-insurance coverage, or local government liability insurance pool coverage shall not be deemed a waiver of immunity to the extent, of liability coverage, nor shall any Agreement entered into by the County be required to contain any provision for waiver. 1.19 SEVERABILITY If any term, covenant, condition or provision of this Agreement (or the application thereof to any circumstance or person) shall be declared invalid or unenforceable to any extent by a court of competent jurisdiction, the remaining terms, covenants, conditions and provisions of this Agreement, shall not be affected thereby; and each remaining term, covenant, condition and provision of this Agreement shall be valid and shall be enforceable to the fullest extent permitted by law unless the enforcement of the remaining terms, covenants, conditions and provisions of this Agreement would prevent the accomplishment of the original intent of this Agreement. The COUNTY and CONTRACTOR agree to perform the Agreement to replace any stricken provision with a valid provision that come as close as possible to the intent of the stricken provision. 1. 0 ATTORNEYS FEES AND COSTS COUNTY and CONTRACTOR agree that in the event any cause of action or administrative proceeding ids initiated or defended by any party relative to the enforcement or interpretation of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees and attorney's fees in appellate proceedings. Each party agrees to pay its own court costs, investigative, and out-of-pocket expenses whether it is the prevailing party or not, through all levels of the court system. 1.21 ADJUDICATION OF DISPUTES OR DISAGREEMENTS COUNTY and CONTRACTOR agree that all disputes and disagreements shall be attempted to be resolved by meet and confer sessions between representatives of COUNTY and CONTRACTOR. If no resolution can be agreed upon within 30 days after the first meet and confer session, the issue or issues shall be discussed at a public meeting of the Board of County Commissioners. If the issue or issues are still not resolved to the satisfaction of COUNTY and CONTRACTOR, then any party shall have the right to seek such relief or remedy as may be provided by this Agreement or by Florida law. 1.22 COOPERATION In the event any administrative or legal proceeding is instituted against either party relating to the formation, execution, performance, or breach of this Agreement, COUNTY and CONTRACTOR agree to participate, to the extent required by the other party, in all proceedings, hearings, processes, meetings, and other activities related to the substance of this Agreement or provision of the services under this Agreement. COUNTY and CONTRACTOR specifically agree that no party to this Agreement shall be required to enter into any arbitration proceedings related to this Agreement. The terms, covenants, conditions, and provisions of this Agreement shall bind and inure to the benefit of COUNTY and CONTRACTOR and their respective legal representatives, successors, and assigns. 1.24 PRIVILEGES AND IMMUNITIES All of the privileges and immunities from liability, exemptions from laws, ordinances, and rules and pensions and relief, disability, worker's compensation, and other benefits which apply to the activity of officers, agents, or employees of any public agents or employees of the COUNTY, when performing their respective functions under this Agreement within the territorial limits of the COUNTY shall apply to the same degree and extent to the performance of such functions and duties of such officers, agents, volunteers, or employees outside the territorial limits of the COUNTY. fN WITNESS WHEREOF the parties hereto have executed this Agreement on the I date first written above in four (4) counterparts, be deemed an original contract.
