This assignment formalizes that the County approves of the assignment from the old corporation (DRC, Inc.) to the new corporation (DRC Emergency Services, LLC). Assignment of Agreement For Disaster Response and Recovery Services This Assignment to Agreement is made and entered into this Iq day of July 2006, between the County of Monroe, Florida, a political subdivision of the State of Florida ("COUNTY"), whose address is 1100 Simonton Street, Key West, Florida 33040 and DRC, INC., 740 Museum Drive, Mobile, Alabama 36608. WHEREAS, DRC, Inc. and Monroe County have entered into a non- exclusive Agreement on February 13, 2002, whose effective date was April 1, 2002; and WHEREAS, said Agreement for Disaster Response and Recovery Services is still in effect; and WHEREAS, said Agreement has previously been amended on September 17, 2003. November 16, 2005, March 15, 2006 and May 15, 2006; and NOW THEREFORE, in consideration of the mutual covenants contained herein the parties have agreed as follows: 1. The principals of DRC, Inc. have formed DRC Emergency Services, LLC, in order to concentrate their efforts more effectively on disaster management contracts. It is therefore agreed between the parties that the contract executed on February 13, 2002, between DRC, Inc., and Monroe County shall be assigned by DRC, Inc. to DRC Emergency Services, LLC. 2. All references in the contract between DRC, Inc., and Monroe County, FL, shall pertain to, and are binding upon DRC Emergency Services, LLC and Monroe County. 3. The remaining provisions of the Agreement dated February 13, 2002, as previously amended and not inconsistent herewith, remain in full force and effect.
