AGENDA ITEM WORDING: Approval to enter into a contract with Michael Baker International,
Inc. for professional mobile LiDAR elevation, surveying and mapping services for County roads and
facilities, including a roadway asset management program, in the amount of $530,886.43, of which
$425,000 is budgeted in Sustainability in Fund 102 and $105,886.43 is budgeted in Engineering &
Roads in Fund 102.
ITEM BACKGROUND: The GreenKeys Sustainability Action Plan recommended obtaining
improved elevation data as a year 1 project (located on the GreenKeys website under the 5 -Year
Work plan section, Item 1 -18.) The Data collected from this project will provide more accurate
elevation data of County- maintained roads, Ocean Reef roads, and first floor elevations of most
County facilities to assist in preparing for sea level rise. An asset management system for roads will
also be developed and provided.
The County is in need of the more accurate elevations for Count - maintained roads, land and
buildings to allow it to measure and evaluate the low -lying areas and to assess areas for sea level rise
evaluation and capital planning use. The data gathered will be implemented in practical applications
for roads maintenance as well as be used in conceptual modeling in FY18's "streets analysis"
proj ect.
The availability of accurate elevations will enable a number of tasks of interest to the County in the
contract, including:
• Road elevation data - will help quantify and prioritize road work needed to adapt for Sea
Level Rise
• Mobile LiDAR survey information - to assist with roadway engineering design
• Road maintenance
• Road drainage analysis
• Roadway asset extraction system - to create up a GIS -based road asset management and
maintenance system
The County is not at this time gathering the LiAR data for use in state and federal hazard
mitigation and flood reduction grant programs. The data important to these purposes includes grade
elevations adjacent to structures, as well as more detailed "first floor" elevations than what is being
gathered for sea level rise purposes. The contract may be amended in the future to provide these
additional services if needed.
On January 17th, 2017, the Monroe County BOCC approved advertising a solicitation for
professional mobile LiAR elevation mapping services. A Request for Proposals was subsequently
issued by staff in March. On April 13th the proposal opening was held and 5 proposals were
received. The publicly noticed selection committee meeting was held on May 18th to score and rank
the respondents. Michael Baker International, Inc. was selected as the top ranked firm.
PREVIOUS RELEVANT BOCC ACTION:
08/17/16: Authorize a contract with Parsons Engineering, Inc. in an amount not to exceed
$33,680.00 to provide professional consulting services to assist the County with evaluating our
LiAR elevation data mapping needs and preparing a solicitation for LIDAR elevation data
collection.

06/21/17: Approval to negotiate a contract with Michael Baker International, Inc., the highest ranked

DEVELOPMENT OF LIDAR ELEVATION DATA
BETWEEN
MONROE COUNTY BOARD OF COUNTY COMMISSIONERS
AND
MICHAEL BAKER INTERNATIONAL, INC.
THIS AGREEMENT is made and entered into this 20th day of Se tember 2017 by
MONROE COUNTY ( "COUNTY "), a political subdivision of the State of Florida, whose
address is 1100 Simonton Street, Suite 2 -205, Key West, Florida 33040 and MICHAEL
BAKER INTERNATIONAL, INC. ( "CONTRACTOR "), whose address is 5020 West
Linebaugh Avenue, Suite 240, Tampa, FL 33624.
WITNESSETH

WHEREAS, sea -level rise is a high priority issue in low -lying areas throughout the world
and Monroe County is experiencing first hand these impacts on its roads and facilities;
and L)
WHEREAS, the County is interested in determining more accurate elevations for roads,
land and buildings to measure and evaluate the low -lying areas and to assess areas that
are vulnerable to sea level rise; and
WHEREAS, the availability of accurate elevations will enable a number of other tasks of
interest to the County, including road maintenance, road elevations, pavement condition
evaluation, road drainage analysis, utility infrastructure location inventory, and vegetation
management; and
WHEREAS; the Federal Emergency Management Agency (FEMA) will be publishing new
flood hazard maps for Monroe County in 2017, and the information contained in those
maps may have an adverse effect on the property insurance rates for homeowners and
commercial establishments; and
WHEREAS, the existing mapping elevation data that FEMA used may not be accurate
enough to potentially dispute the elevation data that FEMA is updating; and
WHEREAS, the AGREEMENT may be amended in the future to include LiDAR work to
dispute the FEMA maps, as such work is not included at this time; and
WHEREAS, Monroe County ( "County ") solicited technical proposals from qualified and
experienced firms to develop more accurate LiDAR elevation data for the County's roads
and County facilities to help the County prepare for sea level rise and to provide a roads
asset management system, ; and
WHEREAS, the CONTRACTOR is a professional firm qualified to render said services
and has responded to the RFP by submitting its proposal in response to the RFP
( "Proposal "); and
WHEREAS, the COUNTY desires to engage the CONTRACTOR to provide such
services to the COUNTY according to the terms and subject to the conditions set forth
herein.
NOW, THEREFORE, for and in consideration of the mutual covenants and promises as
hereinafter set forth and of the faithful performance of such covenants and conditions, the
COUNTY and CONTRACTOR do hereby agree as follows:
Section 1. SCOPE OF SERVICES
CONTRACTOR shall perform and carry out in a professional and proper manner certain
duties as described in the Scope of Services — Exhibit A — which is attached hereto and
made a part of this agreement. CONTRACTOR shall provide the scope of services in
Exhibit A for the COUNTY. CONTRACTOR warrants that it is authorized by law to engage
in the performance of the activities herein described, subject to the terms and conditions
set forth in these Agreement documents. The CONTRACTOR shall at all times exercise
independent, professional judgment and shall assume professional responsibility for the
services to be provided. Contractor shall provide services using the following standards,
as a minimum requirement: :n
A. The CONTRACTOR shall maintain adequate staffing levels to provide the
services required under the Agreement.
B. The personnel shall not be employees of or have any contractual
relationship with the County. To the extent that Contractor uses
subcontractors or independent contractors, this Agreement specifically
requires that subcontractors and independent contractors shall not be an
employee of or have any contractual relationship with County.
C. All personnel engaged in performing services under this Agreement shall
be fully qualified, and, if required, to be authorized or permitted under State
and local law to perform such services.
Section 2. COUNTY'S RESPONSIBILITIES
2.1 The County will provide such data as specified herein as is required by the
Contractor and is mutually agreed upon.
2.2 The County will make payments as outlined in Section 4 of this Agreement.
Section 3. TERM OF AGREEMENT
3.1 Except as noted below, this Agreement shall begin on the 20 day of September,
2017 and will conclude with delivery of the deliverables outlined in Section 1 of
this Agreement, which shall not be later than six (6) months, terminating on March
19, 2018.
Section 4. CONTRACT SUM AND PAYMENT TO CONTRACTOR
4.1 The County shall pay the Contractor in current funds for the Contractor's
performance of the Contract for Mobile LiDAR Services the Contract sum of Five
Hundred Thirty Thousand Eight Hundred Eighty Six Dollars and Forty Three Cents,
($530,886.43), subject to additions and deductions as provided in the Contract
document.
4.2 Payment will be made according to the Deliverable Schedule attached as
Exhibit B, and according to the Florida Local Government Prompt Payment Act,
Section 218.70, Florida Statutes. The Provider shall submit to the County an
invoice with supporting documentation in a form acceptable to the Clerk and to
Monroe County. Acceptability to the Clerk is based on generally accepted
accounting principles and such laws, rules and regulations as may govern the
Clerk's disbursal of funds. Acceptability to Monroe County is based on Monroe
County rules. The Project Manager will review the request, note approval on the
request and forward it to the Clerk for payment. L)
4.3 Any extension of this Agreement beyond the term noted in Section 3 is contingent
upon annual appropriation by Monroe County. :n
Section 5. CONTRACT TERMINATION
Either party may terminate this Agreement because of the failure of the other party to
perform its obligations under the Agreement. COUNTY may terminate this Agreement
with or without cause upon thirty (30) days' notice to the CONTRACTOR. COUNTY shall
pay CONTRACTOR for work performed through the date of termination.
Section 6. CONTRACTOR'S ACCEPTANCE OF CONDITIONS
A. CONTRACTOR hereby agrees that he has carefully examined the RFP, his
response, and this Agreement and has made a determination that he/she has the
personnel, equipment, and other requirements suitable to perform this work and
assumes full responsibility therefore. The provisions of the Agreement shall
control any inconsistent provisions contained in the specifications. All
specifications have been read and carefully considered by CONTRACTOR, who
understands the same and agrees to their sufficiency for the work to be done.
Under no circumstances, conditions, or situations shall this Agreement be more
strongly construed against COUNTY than against CONTRACTOR.
B. Any ambiguity or uncertainty in the specifications shall not be construed against
the drafter.
C. The passing, approval, and /or acceptance by COUNTY of any of the services
furnished by CONTRACTOR shall not operate as a waiver by COUNTY of strict
compliance with the terms of this Agreement, and specifications covering the
services.

D. CONTRACTOR agrees that County Administrator or his designated
representatives may visit CONTRACTOR'S facility (ies) periodically to conduct
random evaluations of services during CONTRACTOR'S normal business hours.
E. CONTRACTOR has, and shall maintain throughout the term of this Agreement,
appropriate licenses and approvals required to conduct its business, and will at all
times conduct its business activities in a reputable manner. Proof of such licenses
and approvals shall be submitted to COUNTY upon request.
Section 7. NOTICES
Any notice required or permitted under this agreement shall be in writing and hand
delivered or mailed, postage prepaid, to the other party by certified mail, returned
receipt requested, to the following:

Public Records Compliance. Contractor must comply with Florida public records laws,
including but not limited to Chapter 119, Florida Statutes and Section 24 of article I of the
Constitution of Florida. The County and Contractor shall allow and permit reasonable
access to, and inspection of, all documents, records, papers, letters or other "public
record" materials in its possession or under its control subject to the provisions of Chapter
119, Florida Statutes, and made or received by the County and Contractor in conjunction
with this contract and related to contract performance. The County shall have the right to
unilaterally cancel this contract upon violation of this provision by the Contractor. Failure
of the Contractor to abide by the terms of this provision shall be deemed a material breach
of this contract and the County may enforce the terms of this provision in the form of a
court proceeding and shall, as a prevailing party, be entitled to reimbursement of all
attorney's fees and costs associated with that proceeding. This provision shall survive
any termination or expiration of the contract.
The Contractor is encouraged to consult with its advisors about Florida Public Records
Law in order to comply with this provision.
Pursuant to F.S. 119.0701 and the terms and conditions of this contract, the Contractor
is required to:
(1) Keep and maintain public records that would be required by the County to
perform the service.
(2) Upon receipt from the County's custodian of records, provide the County with
a copy of the requested records or allow the records to be inspected or copied
within a reasonable time at a cost that does not exceed the cost provided in this

chapter or as otherwise provided by law.
(3) Ensure that public records that are exempt or confidential and exempt from
public records disclosure requirements are not disclosed except as authorized by
law for the duration of the contract term and following completion of the contract if
the contractor does not transfer the records to the County.
(4) Upon completion of the contract, transfer, at no cost, to the County all public
records in possession of the Contractor or keep and maintain public records that
would be required by the County to perform the service. If the Contractor transfers
all public records to the County upon completion of the contract, the Contractor
shall destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the Contractor keeps and
maintains public records upon completion of the contract, the Contractor shall meet
all applicable requirements for retaining public records. All records stored
electronically must be provided to the County, upon request from the County's
custodian of records, in a format that is compatible with the information technology
systems of the County.
(5) A request to inspect or copy public records relating to a County contract must
i)
be made directly to the County, but if the County does not possess the requested
records, the County shall immediately notify the Contractor of the request, and the
Contractor must provide the records to the County or allow the records to be
inspected or copied within a reasonable time.
IF THE CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF
CHAPTER 119, FLORIDA STATUTES, TO THE CONTRACTOR'S DUTY TO PROVIDE
PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE CUSTODIAN
OF PUBLIC RECORDS, BRIAN BRADLEY, AT (305) 292 -3470.
Section 9. EMPLOYEES SUBJECT TO COUNTY ORDINANCE NO. 010 & 020 -1990
The CONTRACTOR warrants that it has not employed, retained or otherwise had act on
its behalf any former County officer or employee subject to the prohibition of Section 2 of
Ordinance No. 010 -1990 or any County officer or employee in violation of Section 3 of
Ordinance No. 020 -1990. For breach or violation of this provision the COUNTY may, in
its discretion, terminate this agreement without liability and may also, in its discretion,
deduct from the agreement or purchase price, or otherwise recover the full amount of any
fee, commission, percentage, gift, or consideration paid to the former County officer or
employee.
Section 10. CONVICTED VENDOR
By signing this agreement, CONTRACTOR represents that the execution of this
Agreement will not violate the Public Entities Crime Act (Section 287.133, Florida
Statutes). Violation of this section shall result in termination of this Agreement and
recovery of all monies paid hereto, and may result in debarment from County's
competitive procurement activities.
A person or affiliate who has been placed on the convicted vendor list following a
conviction for public entity crime may not submit a bid on an Agreement with a public
entity for the construction or repair of a public building or public work, may not perform
work as a CONTRACTOR, supplier, subcontractor, or CONTRACTOR under Agreement
with any public entity, and may not transact business with any public entity in excess of
the threshold amount provided in Section 287.017 of the Florida Statutes, for the Category
Two for a period of 36 months from the date of being placed on the convicted vendor list.
Section 11. GOVERNING LAW, VENUE, INTERPRETATION, COSTS AND FEES
This Agreement shall be governed by and construed in accordance with the laws of the
State of Florida applicable to Agreements made and to be performed entirely in the State.
In the event that any cause of action or administrative proceeding is instituted for the
enforcement or interpretation of this Agreement, the COUNTY and CONTRACTOR agree
that venue shall lie in the appropriate court or before the appropriate administrative body
in Monroe County, Florida.

Section 12. SEVERABILITY W
If any term, covenant, condition or provision of this Agreement (or the application thereof
to any circumstance or person) shall be declared invalid or unenforceable to any extent
�a
by a court of competent jurisdiction, the remaining terms, covenants, conditions and
provisions of this Agreement, shall not be affected thereby; and each remaining term,
covenant, condition and provision of this Agreement shall be valid and shall be
enforceable to the fullest extent permitted by law unless the enforcement of the remaining
terms, covenants, conditions and provisions of this Agreement would prevent the
accomplishment of the original intent of this Agreement. The COUNTY and
CONTRACTOR agree to reform the Agreement to replace any stricken provision with a
valid provision that comes as close as possible to the intent of the stricken provision.
Section 13. ATTORNEY'S FEES AND COSTS
The COUNTY and CONTRACTOR agree that in the event any cause of action or
administrative proceeding is initiated or defended by any party relative to the enforcement
or interpretation of this Agreement, the prevailing party shall be entitled to reasonable
attorney's fees, and court costs, as an award against the non - prevailing party. Mediation
proceedings initiated and conducted pursuant to this Agreement shall be in accordance
with the Florida Rules of Civil Procedure and usual and customary procedures required
by the Circuit Court of Monroe County.
Section 14. BINDING EFFECT
The terms, covenants, conditions, and provisions of this Agreement shall bind and inure
to the benefit of the COUNTY and CONTRACTOR and their respective legal
representatives, successors, and assigns.

Section 15. AUTHORITY
Each party represents and warrants to the other that the execution, delivery and
performance of this Agreement have been duly authorized by all necessary County and
corporate action, as required by law.
Section 16. ADJUDICATION OF DISPUTES OR DISAGREEMENTS
COUNTY and CONTRACTOR agree that all disputes and disagreements shall be
attempted to be resolved by meet and confer sessions between representatives of each
of the parties. If no resolution can be agreed upon within 30 days after the first meet and
confer session, then any party shall have the right to seek such relief or remedy as may
be provided by this Agreement or by Florida law. This Agreement shall not be subject to
arbitration.
Section 17. COOPERATION

In the event any administrative or legal proceeding is instituted against either party

relating to the formation, execution, performance, or breach of this Agreement, COUNTY
and CONTRACTOR agree to participate, to the extent required by the other party, in all
proceedings, hearings, processes, meetings, and other activities related to the substance
of this Agreement or provision of the services under this Agreement. COUNTY and
CONTRACTOR specifically agree that no party to this Agreement shall be required to
enter into any arbitration proceedings related to this Agreement.
Section 18. NONDISCRIMINATION
COUNTY and CONTRACTOR agree that there will be no discrimination against any
person, and it is expressly understood that upon a determination by a court of competent
jurisdiction that discrimination has occurred, this Agreement automatically terminates
without any further action on the part of any party, effective the date of the court order.
COUNTY or CONTRACTOR agree to comply with all Federal and Florida statutes, and
all local ordinances, as applicable, relating to nondiscrimination. These include but are
not limited to: Title VII of the Civil Rights Act of 1964 (PL 88 -352) which prohibits
discrimination on the basis of race, color or national origin; Title IX of the Education
Amendment of 1972, as amended (20 USC ss. 1681 -1683, and 1685 - 1686), which
prohibits discrimination on the basis of sex; Section 504 of the Rehabilitation Act of 1973,
as amended (20 USC s. 794), which prohibits discrimination on the basis of handicaps;
The Age Discrimination Act of 1975, as amended (42 USC ss. 6101 -6107) which prohibits
discrimination on the basis of age; The Drug Abuse Office and Treatment Act of 1972 (PL
92 -255), as amended, relating to nondiscrimination on the basis of drug abuse; The
Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation
Act of 1970 (PL 91 -616), as amended, relating to nondiscrimination on the basis of alcohol
abuse or alcoholism; The Public Health Service Act of 1912, ss. 523 and 527 (42 USC
ss. 690dd -3 and 290ee -3), as amended, relating to confidentiality of alcohol and drug
abuse patient records; Title VIII of the Civil Rights Act of 1968 (42 USC s. et seq.), as
amended, relating to nondiscrimination in the sale, rental or financing of housing; The
Americans with Disabilities Act of 1990 (42 USC s. 1201 Note), as may be amended from
time to time, relating to nondiscrimination on the basis of disability; Any other
nondiscrimination provisions in any Federal or state statutes which may apply to the
parties to, or the subject matter of, this Agreement.
Section 19. COVENANT OF NO INTEREST
COUNTY and CONTRACTOR covenant that neither presently has any interest, and shall
not acquire any interest, which would conflict in any manner or degree with its
performance under this Agreement, and that only interest of each is to perform and
receive benefits as recited in this Agreement.
Section 20. CODE OF ETHICS
The parties understand that officers and employees of the COUNTY are required to
comply with the standards of conduct for public officers and employees as delineated in
Section 112.313, Florida Statutes, regarding, but not limited to, solicitation or acceptance i)
of gifts; doing business with one's agency; unauthorized compensation; misuse of public
position, conflicting employment or contractual relationship; and disclosure or use of
certain information.
Section 21. NO SOLICITATION/PAYMENT
The COUNTY and CONTRACTOR warrant that, in respect to itself, it has neither
employed nor retained any company or person, other than a bona fide employee working
solely for it, to solicit or secure this Agreement and that it has not paid or agreed to pay
any person, company, corporation, individual, or firm, other than a bona fide employee
working solely for it, any fee, commission, percentage, gift, or other consideration
contingent upon or resulting from the award or making of this Agreement. For the breach
or violation of the provision, the CONTRACTOR agrees that the COUNTY shall have the
right to terminate this Agreement without liability and, at its discretion, to offset from
monies owed, or otherwise recover, the full amount of such fee, commission, percentage,
gift, or consideration.
Section 22. NON - WAIVER OF IMMUNITY
Notwithstanding the provisions of Sec. 768.28, Florida Statutes, the participation of the
COUNTY and the CONTRACTOR in this Agreement and the acquisition of any
commercial liability insurance coverage, self- insurance coverage, or local government
liability insurance pool coverage shall not be deemed a waiver of immunity to the extent
of liability coverage, nor shall any Agreement entered into by the COUNTY be required
to contain any provision for waiver.
Section 23. PRIVILEGES AND IMMUNITIES
All of the privileges and immunities from liability, exemptions from laws, ordinances, and
rules and pensions and relief, disability, workers' compensation, and other benefits which

apply to the activity of officers, agents, or employees of any public agents or employees
of the COUNTY, when performing their respective functions under this Agreement within
the territorial limits of the COUNTY shall apply to the same degree and extent to the
performance of such functions and duties of such officers, agents, volunteers, or
employees outside the territorial limits of the COUNTY.
Section 24. LEGAL OBLIGATIONS AND RESPONSIBILITIES
Non - Delegation of Constitutional or Statutory Duties. This Agreement is not intended to,
nor shall it be construed as, relieving any participating entity from any obligation or
responsibility imposed upon the entity by law except to the extent of actual and timely
performance thereof by any participating entity, in which case the performance may be
offered in satisfaction of the obligation or responsibility. Further, this Agreement is not
intended to, nor shall it be construed as, authorizing the delegation of the constitutional
or statutory duties of the COUNTY, except to the extent permitted by the Florida
constitution, state statute, and case law.

Section 25. NON - RELIANCE BY NON- PARTIES
No person or entity shall be entitled to rely upon the terms, or any of them, of this
Agreement to enforce or attempt to enforce any third -party claim or entitlement to or
benefit of any service or program contemplated hereunder, and the COUNTY and the
CONTRACTOR agree that neither the COUNTY nor the CONTRACTOR or any agent,
officer, or employee of either shall have the authority to inform, counsel, or otherwise
indicate that any particular individual or group of individuals, entity or entities, have
entitlements or benefits under this Agreement separate and apart, inferior to, or superior
to the community in general or for the purposes contemplated in this Agreement.
Section 26. ATTESTATIONS
CONTRACTOR agrees to execute such documents as the COUNTY may reasonably
require, including, but not being limited to, a Public Entity Crime Statement, an Ethics
Statement, and a Drug -Free Workplace Statement, Lobbying and Conflict of Interest
Clause, and Non - Collusion Agreement.
Section 27. NO PERSONAL LIABILITY
No covenant or agreement contained herein shall be deemed to be a covenant or
agreement of any member, officer, agent or employee of Monroe County in his or her
individual capacity, and no member, officer, agent or employee of Monroe County shall
be liable personally on this Agreement or be subject to any personal liability or
accountability by reason of the execution of this Agreement.
PURSUANT TO SECTION 558.0035, FLORIDA STATUTES, AN
INDIVIDUAL EMPLOYEE OR AGENT OF CONSULTANT
MAY NOT BE HELD INDIVIDUALLY LIABLE FOR

NEGLIGENCE.
Section 28. EXECUTION IN COUNTERPARTS
This Agreement may be executed in any number of counterparts, each of which shall be
regarded as an original, all of which taken together shall constitute one and the same
instrument and any of the parties hereto may execute this Agreement by signing any such
counterpart.
Section 29. SECTION HEADINGS
Section headings have been inserted in this Agreement as a matter of convenience of
reference only, and it is agreed that such section headings are not a part of this
Agreement and will not be used in the interpretation of any provision of this Agreement.
Section 30. INSURANCE POLICIES

30.1 General Insurance Requirements for Other Contractors and
Subcontractors.
As a pre - requisite of the work governed, the CONTRACTOR shall obtain, at his/her own
expense, insurance as specified in any attached schedules, which are made part of this
contract. The CONTRACTOR will ensure that the insurance obtained will extend
protection to all Subcontractors engaged by the CONTRACTOR. As an alternative, the
CONTRACTOR may require all Subcontractors to obtain insurance consistent with the
attached schedules; however CONTRACTOR is solely responsible to ensure that said
insurance is obtained and shall submit proof of insurance to COUNTY. Failure to provide
proof of insurance shall be grounds for termination of this Agreement.
The CONTRACTOR will not be permitted to commence work governed by this contract
until satisfactory evidence of the required insurance has been furnished to the COUNTY
as specified below. Delays in the commencement of work, resulting from the failure of
the CONTRACTOR to provide satisfactory evidence of the required insurance, shall not
extend deadlines specified in this contract and any penalties and failure to perform
assessments shall be imposed as if the work commenced on the specified date and time,
except for the CONTRACTOR's failure to provide satisfactory evidence.
The CONTRACTOR shall maintain the required insurance throughout the entire term of
this contract and any extensions specified herein. Failure to comply with this provision
may result in the immediate suspension of all work until the required insurance has been
reinstated or replaced and/or termination of this Agreement and for damages to the
COUNTY. Delays in the completion of work resulting from the failure of the
CONTRACTOR to maintain the required insurance shall not extend deadlines specified
in this contract and any penalties and failure to perform assessments shall be imposed
as if the work had not been suspended, except for the CONTRACTOR's failure to
maintain the required insurance.

The CONTRACTOR shall provide, to the COUNTY, as satisfactory evidence of the
required insurance, either:
• Certificate of Insurance, or
• A Certified copy of the actual insurance policy.
The County, at its sole option, has the right to request a certified copy of any or all
insurance policies required by this contract. All insurance policies must specify that they
are not subject to cancellation, non - renewal, material change, or reduction in coverage
unless a minimum of thirty (30) days prior notification is given to the County by the
insurer.
The acceptance and/or approval of the Contractor's insurance shall not be construed as
relieving the Contractor from any liability or obligation assumed under this contract or
imposed by law.
The Monroe County Board of County Commissioners, its employees and officials will be
included as "Additional Insured" on all policies, except for Workers' Compensation and
Professional Liability.
30.2 General Liability
Prior to the commencement of work governed by this contract, the CONTRACTOR shall
obtain General Liability Insurance. Coverage shall be maintained throughout the life of
the contract and include, as a minimum:
• Premises Operations
• Bodily Injury Liability
• Expanded Definition of Property Damage
The minimum limits acceptable shall be $500,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:
$250,000 per Person
$500,000 per Occurrence
$ 50,000 Property Damage
An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy,
its provisions should include coverage for claims filed on or after the effective date of this
contract. In addition, the period for which claims may be reported should extend for a
minimum of twelve (12) months following the acceptance of work by the County.
The Monroe County Board of County Commissioners shall be named as Additional
Insured on all policies issued to satisfy the above requirements.
30.3 Vehicle Liability Insurance requirements
Recognizing that the work governed by this contract requires the use of vehicles, the
CONTRACTOR, prior to the commencement of work, shall obtain Vehicle Liability
Insurance. Coverage shall be maintained throughout the life of the contract and include,
as a minimum, liability coverage for:
• Owned, Non - Owned, and Hired Vehicles
The minimum limits acceptable shall be:
$300,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:
$100,000 per Person
$300,000 per Occurrence
$ 50,000 Property Damage
The Monroe County Board of County Commissioners shall be named as Additional
Insured on all policies issued to satisfy the above requirements
30.4 Workers' Compensation Insurance Requirements

Prior to commencement of work governed by this contract, the CONTRACTOR shall
obtain Workers' Compensation Insurance with limits sufficient to respond to the applicable
state statutes. :n
In addition, the CONTRACTOR shall obtain Employers' Liability Insurance with limits of
not less than:
$500,000 Bodily Injury by Accident
$500,000 Bodily Injury by Disease, policy limits
$500,000 Bodily Injury by Disease, each employee
Coverage shall be maintained throughout the entire term of the contract. Coverage shall
be provided by a company or companies authorized to transact business in the state of
Florida.
30.5 Professional Liability Requirements
Recognizing that the work governed by this contract involves the furnishing of advice or
services of a professional nature, the Contractor shall purchase and maintain, throughout
the life of the contract, Professional Liability Insurance which will respond to damages
resulting from any claim arising out of the performance of professional services or any
error or omission of the Contractor arising out of work governed by this contract.
The minimum limits of liability shall be $500,000 per occurrence /$1,000,000 Aggregate.
Section 31. INDEMNIFICATION
The CONTRACTOR does hereby consent and agree to indemnify and hold harmless the
COUNTY, its Mayor, the Board of County Commissioners, appointed Boards and
Commissions, Officers, and the Employees, and any other agents, individually and
collectively, from all fines, suits, claims, demands, actions, costs, obligations, attorney's

fees, or liability of any kind arising out of the sole negligent actions of the CONTRACTOR
or substantial and unnecessary delay caused by the willful nonperformance of the
CONTRACTOR and shall be solely responsible and answerable for any and all accidents
or injuries to persons or property arising out of its performance of this contract. The
amount and type of insurance coverage requirements set forth hereunder shall in no way
be construed as limiting the scope of indemnity set forth in this paragraph. Further the
CONTRACTOR agrees to defend and pay all legal costs attendant to acts attributable to
the negligent act of the CONTRACTOR.
Section 32. INDEPENDENT CONTRACTOR.
At all times and for all purposes hereunder, the CONTRACTOR is an independent
contractor and not an employee of the Board of County Commissioners. No statement
contained in this agreement shall be construed so as to find the CONTRACTOR or any
of his /her employees, contractors, servants or agents to be employees of the Board of
County Commissioners for Monroe County. As an independent contractor the
CONTRACTOR shall provide independent, professional judgment and comply with all

federal, state, and local statutes, ordinances, rules and regulations applicable to the
services to be provided.
Section 33. COMPLETENESS OF WORK.
The CONTRACTOR shall be responsible for the completeness and accuracy of its work,
plan, supporting data, and other documents prepared or compiled under its obligation for
this project, and shall correct at its expense all significant errors or omissions therein
which may be disclosed. The cost of the work necessary to correct those errors
attributable to the CONTRACTOR and any damage incurred by the COUNTY as a result
of additional costs caused by such errors shall be chargeable to the CONTRACTOR. This

provision shall not apply to any maps, official records, contracts, or other data that may

be provided by the COUNTY or other public or semi - public agencies.
The CONTRACTOR agrees that no charges or claims for damages shall be made by it
for any delays or hindrances attributable to the COUNTY during the progress of any

portion of the services specified in this contract. Such delays or hindrances, if any, shall
be compensated for by the COUNTY by an extension of time for a reasonable period for
the CONTRACTOR to complete the work schedule. Such an agreement shall be made
between the parties.
Section 34. STANDARD OF CARE
The standard of care applicable to the CONTRACTOR's services is the degree of skill
and diligence normally employed by engineers or providers of technical services
performing the same or similar services.
Section 35. WAIVER OF CONSEQUENTIAL DAMAGES
In no event shall either the CONTRACTOR or the COUNTY have any claim or right

against the other, whether in contract, warranty, tort (including negligence), strict liability
or otherwise, for any special, indirect, incidental, or consequential damages or any kind
or nature whatsoever, such as but not limited to loss of revenue, loss of profits on revenue,
loss of customers or contracts, loss of use of equipment or loss of data, work interruption,
increased cost of work or cost of any financing, howsoever caused, even if same were
reasonably foreseeable.
Section 36. FORCE MAJEURE
In no event shall either the CONTRACTOR or the COUNTY have any claim or right
against the other for any failure of performance where such failure of performance is
caused by or is the result of causes beyond the reasonable control of the other party due
to any occurrence commonly known as a "force majeure," including, but not limited to:
acts of God; fire, flood, or other natural catastrophe; acts of any governmental body; labor
dispute or shortage; national emergency; insurrection; riot; or war.
Section 37. INVENTIONS AND PATENTS
Inventions conceived solely by employees of the COUNTY shall belong exclusively to the
COUNTY. Inventions conceived solely by employees of the CONTRACTOR shall belong
exclusively to the CONTRACTOR. Inventions conceived jointly by the parties hereto in
the course of work called for by this Agreement shall belong to the COUNTY, but the
COUNTY shall grant a paid -up irrevocable perpetual worldwide license to the
CONTRACTOR, whom may market, re- engineer and make derivatives as the
CONTRACTOR sees fit.

EXHIBIT A — SCOPE OF WORK
1.1 Background
Monroe County, FL, has selected a firm to develop a more accurate representation of
ground elevations in the developed portion of the County to help guide important planning
and design activities in preparation for sea level rise. The Contractor shall develop ground
elevations and structural elevations in areas as noted herein. This effort shall include
Mobile LiDAR scanning and data extraction for all of the roadway centerlines within the
unincorporated County limits and also the development of spot elevations for first floor
elevations for County facilities located throughout the County. More information on the
potential use of this data is provided below for reference.
While nearly 90 percent of the County's land mass is located on the mainland in the
Everglades, less than 1 percent of the County's population lives in this area -- -more than
99 percent of the population lives on the islands known as the Florida Keys, The Florida
Keys are a series of islands of varying elevations that are connected via bridges that
extend from Key Largo to Key West. The project area for this effort will consist of the

portion of the County represented by the roads in unincorporated Monroe listing contained
in Appendix A and the County facilities throughout all of the County represented by the
facility listing contained in Appendix B..
The work under this contract will be primarily focused on developing information that the
County may use to consider long -term environmental changes expected in the County.
Sea -level rise, for example, is an increasing concern since much of the County is located
in low -lying areas where slight increases in sea level would affect large areas within the
County, The data generated by this effort will supply the County with the data platform it
needs to guide decisions that will help avoid or mitigate such concerns.
1.2 Project Overview
The County is interested in determining more accurate elevations for road rights -of -way
(ROW) and other land areas, and obtaining information on the land and building first floor
elevations as a means of improving its long -term decision- making. The anticipated uses
include:
Identifying road elevations and surrounding land elevations to be used in roadway
planning and design
Identify land elevations in low -lying areas of the County that are currently covered
by foliage in order to better identify flood elevations in such areas.
Determine land and facility elevations to enable sea level rise planning and design
efforts

Obtaining "first floor" and surrounding natural grade elevations for public and
private structures, as well as building envelope dimensions
Other tasks (all requiring better land elevation data)
The County desires mobile LiDAR data on all roadway centerlines within unincorporated
Monroe County. The County recognizes that the benefit of the mobile LiDAR will extend
beyond the study of topography, flooding, and sea level rise to other uses in the
developed areas of the County. The County wishes to use this information for other
infrastructure projects in the near future.
The desired outcome of this effort is to identify to the greatest extent possible accurate
land elevations in areas of the County that are of interest to various County agencies. The
contractor will perform Mobile LiDAR as a means of collecting land and building first floor
elevations.
1.3 Project Location L)
The project is located in Monroe County, FL and will be limited to the unincorporated
portion of the Florida Keys from Key Largo to Key West for the roads portion. The project
location for the first floor elevations for County -owned facilities will be located throughout
unincorporated Monroe County and the municipalities. The County has provided a shape
file showing the road center lines and land areas that are to be scanned and processed
- represented in Appendix A. Is
At this time, the County is excluding the municipalities of Layton, Islamorada, Key Colony
Beach, Marathon, and Key West for mobile LiDAR collection of municipal owned roads.
In addition, the County is excluding U.S. Highway 1 throughout the entire County. The
Contractor, at their option and expense, may elect to collect these portions "at risk" which
may be utilized by the County or aforementioned municipalities at a later time.
1.4 Project Phases
The project may be performed in a single phase of Mobile LiDAR data collection -
punctuated by the delivery of a pilot region for inspection and validation by the County.
The Contractor will coordinate with the County's representative(s) to identify a target area
for pilot collection, determine the appropriate methods of data collection, and then
implement LiDAR data collection subject to County oversight.
Demonstration phase to indicate accuracy of data provided and ability to
accurately LiDAR roads and facilities.
Mobile LiDAR collection to include all County roads in unincorporated Monroe from
Angelfish Key to Key West, including Ocean Reef Club, and the County facilities
included in Appendix "B ";

Mobile Li DAR collection for all non - private, municipal roads within the incorporated
limits of Islamorada, Key Colony Beach, Layton, Marathon and Key West, along
with U.S. 1, may be collected by the contractor at their option and expense. The
ownership of the collected data, if collected, remains with the contractor until such
time as the County, municipality or FDOT enters into a contract for procurement of
said data with the contractor.
The Contractor will initially target, collect, scan and process the area designated as the
Demonstration Area. Upon review and acceptance of Demonstration Area data, the
contractor will collect and process the data for the remaining areas. The Contractor, at
their option and risk, may elect to collect the data for all areas prior to the County's review
of the data in the Demonstration area. The Demonstration Phase is anticipated to serve
as a pilot for data collection efforts to be conducted County -wide, with regular coordination
between the data collection team and a team of County officials who will provide input on
desired data, interact with the contractor on results and findings, and provide final
direction on the data methods to be collected in other areas of the County. If the County
does not accept the data from the demonstration phase, the Contractor will revise its L)
methods and provide another demonstration area until such time as the County accepts
the data from the Demonstration area.
The project area for this effort will consist of the Florida Keys portion of the County
represented by the road listing contained in Appendix A.
1.5 Specifications:
A. General
The Contractor will use a terrestrial vehicle to collect georeferenced images and LiDAR
data. The vehicle will travel at or slower than the posted speed limits and will be conscious
of traffic conditions and will not cause traffic hazards. The contractor must adhere to the
guidelines in NCHRP 15 -44 Report entitled, "The Guidelines for the Use of Mobile LiDAR
in Transportation Applications."
B. Equipment and Software
Equipment and software needed to complete this project successfully will be the
responsibility of the contractor. In some cases, there may be vegetation along the
roadway that will cause obstructions. To decrease "no data" areas along the ROW, the
contractor will utilize dual head scanning systems to ensure comprehensive coverage of
off -road structures. The contractor will ensure that the equipment is properly calibrated
and in working order to meet the project's accuracy specifications.
C. Targets
The contractor will be responsible for the placement and surveying of targets, along with
any associated costs (police detail, if necessary). The targets shall be small "x's ", chevron
tips, intersections or ends of painted lines. The targets will be placed in locations where
the ground is generally flat. The targets shall not be placed on sloped areas. Of all the

evaluated surveyed control points, 67% of the points will be within 0.05 feet, 95% within
0.10 feet and 99.7% will be within 0.15'.
The contractor will reconnoiter and recover readily available National Geodetic Survey
(NGS) control monumentation and local point points as provided by Monroe County.
Following recovery of control monuments, contractor will validate monumentation by
performing Real -time Kinematic (RTK) GPS observations between control points.
The Mobile LiDAR ground control targets will be established utilizing RTK -GPS. Each
target will be observed through two (2) independent 3- minute observations. The two
observations will be inversed to ensure the positions are within 0.1' in both the horizontal
and vertical planes.
D. Datum
All data will be collected in the Florida State Plane Coordinate System, East Zone, NAD83
(NSRS 2011) horizontal and NAVD88 (Geoid 20126) vertical.

E. Survey Conditions
The data will be collected during daylight hours only. The road shall be dry; data will not
be collected during any precipitation, including fog.
F. Images
The contractor will submit imagery that is calibrated and collected by the on -board
UDAR system cameras. For each image, the following information will be provided:
• Camera /Lens model (unique for each camera used)
• Camera Location (State Plane Coordinates for each image)
Camera Orientation (defined with respect to the projects reference)
Image quality will be consistent and will be a minimum of 5 megapixels. The contractor
shall propose the resolution and field of view of the cameras that will be used. Images will
exhibit clarity without any significant blur, reflection or distortion. The images will be
sufficiently calibrated that the point cloud data is within 5 pixels. In order to evaluate the
alignment, the contractor will extract approximately 20 CAD line elements representing
edges in the point cloud such as building corners, painted lines or other straight lines that
can viewed.
G. Flight Line Alignment
Mobile LiDAR data collected over individual passes along the corridor will be identified as
Flight Lines. A flight line is a set of data that is comprised of the point cloud and images
collected over a single trajectory in one direction along a road or highway. Each flight line
will be identified by a unique ID number in its LAS file. The contractor shall collect at a
minimum two flight lines for each corridor. The trajectories do not need to be in the same
lane, but they should have a significant amount of common area covered especially on

the roadway surfaces. The deviations between these flight lines shall not exceed 0.05
feet.
The individual flight lines will be combined and tiled to ensure that ail available LiDAR
data within a discrete boundary is provided in a single LAS file. Upon issuance of Notice
to Proceed, the contractor will develop the tiling schema for review and acceptance by
the County.
H. Point Cloud
Point cloud data will be accurate to within 0.05 feet or 0.6 inches (one sigma at the 67th
percentile) and 0.10 feet (two sigma at the 95th percentile), as measured against control
and validation points established according to above Paragraph C — Targets. The
aforementioned absolute accuracy is intended to permit the application of County -wide
engineering analysis and design. It is anticipated that supplemental verification surveys
will be required by the engineer of record for individual projects.
Any data to be found non - compliant according to the specifications defined herein will i)
require recollection or readjustment to achieve the required results.
The point cloud must achieve a relative accuracy of 0.03 foot for horizontal and vertical.
The collection must be performed in a manner to achieve a minimum point density of 20
points per square foot within 20 feet from the edge of pavement — precluding any
obstructions.
The Mobile LiDAR point cloud will be provided to the limits of sensor range or limiting
obstruction. The Contractor will not perform any reduction, thinning or clipping of the data
except the removal of "noise" as defined herein.
I. Random Noise
The random noise level shall not exceed a peak -to -peak value exceeding 0.04 foot ( +-
0.02 foot). The data will be filtered to remove "noise" that could be caused by other
vehicles, along the road surface and shoulder, or errors caused by other objects that do
not represent the ground surface or fixed objects (i.e. trees, houses, utilities, etc.).
J. Data Storage
The contractor will provide the rectified data on network accessible storage devices.
The data will be housed by the contractor on a network that is outside of the County's
network. The rectified data will be accessible for a minimum of two years with an option
to make the data available for a longer period of time. The data will be stored in a way
that the County can download any portion of the project.
1.6 Deliverables to be provided by the Contractor
The contractor shall provide the following items prior to commencement of field
activities:
• Proiect_Schedule with tasks, dates and milestones clearly defined.

• Proiect Manual that outlines the process and procedures involved in the project.
The data collection strategy, equipment and the methods used to validate accuracy
will be described. The software and data formats will also be described.
•
Quality Control/QualitV Assurance Procedures will be described by the contractor.
This includes the techniques to assure complete, efficient and accurate data
collection along with the processes involved with the calibration of the equipment.
The contractor will provide the following items for the Pilot delivery and entire County
maintained roadways:
• All survey notes and raw survey data, including:
o Survey Field Book Pages
o GPS Log and Receiver Files
o Electronic Field Logs
o Mark Recovery Forms
o Pictures of Control
o Mobile LiDAR Real -time Vehicle Trajectory logs in Excel and KMZ formats
• LAS data, both processed and classified (bare -earth) in LAS v1.2 format
• An ESRI Geodatabase containing Z- enables feature layers of data layers collected
o Edge of Roadway — Pavement, Gravel or other surface type
o Road Centerline
o Curb — represented as back of curb, top of curb and curb flow line
• FGDC Compliant Metadata
• A MicroStation TIN (GEOPAK or InRoads compatible) model of the roadway
surface and within the limits of the right of way
o The TIN model will be extracted from break line vertices every 5 feet
(maximum).
o Break lines will be included in the development of the TIN. Road center
lines, edge of all paved surfaces, curb /gutter lines, top front and top back of
curb, driveways, sidewalks and any other areas where break lines are

needed to properly define the ground surface will be extracted as three -
dimensional breaklines.
o The TIN model will be developed for engineering purposes to ensure an
accuracy of the TIN to X0.05 foot accuracy on the road surface and any
other paved surface within the right of way. The soft ground surfaces will
be developed to ensure an accuracy of the TIN to less than 0.1 foot
accuracy.
o For the purposes of this task, the limits of the right of way are as defined by
the Monroe County Property Appraiser Tax Map.
• Two sets of the individual data sets will be provided on external hard drive.
• Mobile mapping trajectory data will be provided for each collection.
o Google Earth KMZ
o TerraSolid TRJ File
• All images will be provided in JPEG or a similar format, referenced to the point
cloud with date /time imbedded with each image.
• Project Report with Executive Summary — 10 hard copies of the Executive
Summary and 5 hard copies of the entire project report. Project report will also be
provided in Adobe Acrobat PDF format.
Transportation Asset GIS:
Additional post - processing will include detailed extraction of transportation and roadway
features including:
• Pavement Markings: A line feature will be created for linear pavement markings
including solid and skip lane lines. The features will be attributed with fine type.
Cross walks, gore chevrons and other similar linear features will be extracted at
the marking centerline and attributed with marking type. Symbol markings (turn
arrows) will be extracted as a point feature at the tip of the feature and attributed
with feature type.
• Sign Post: A 3D point will be placed at the base of a sign post. The point feature
will be attributed with a unique Sign Identification Number (ID) for each sign
mounted on the post. The ID will join to a corresponding record in the Signs
feature class.
• Signs: A 3D point will be placed at the middle - bottom of each sign. The feature
will be attributed with:

• Inlets: A 3D point will be placed at the center of all visible curb inlets and catch
basins within 20' from the edge of pavement.
• Edge of Pavement. A 3D line feature will be extracted along the edge of
pavement. The line will be attributed with the edge type: curb, paved shoulder,
grass, etc.
• Guard Rail: A 3D line feature will be extracted at the top of the guard rail. The
feature will be attributed with the type of guard rail per FDOT Standards and end
treatments.
Prior to feature extraction, the Contractor will submit a data dictionary and look -up tables
to the County to review feature types and classifications. Only upon acceptance of the
data delivery format by the County will the Contractor proceed with feature extraction.
