Construct Group Corp. (CGC) et. al. and CGC v. County, et. al., case no. 15-CA-000844-A001KW, and case no. 15-CA-000563- Agreement. ITEM BACKGROUND: On January 16, 2014, CGC and Monroe County entered into an Agreement for CGC to construct bike lanes on CR 905 Bike Lanes Project. Metric Engineering, Inc. (Metric) and Monroe County entered into an Agreement for Metric to provide construction, engineering, and inspection services on the project. CGC and Metric undertook performance of their their Agreement and non-conforming construction work and negligent CEI services. The County gave Metric and CGC and its surety, Berkley Regional Ins. Co. (Berkley) notice of default and notice of disputes and claims. The parties attempted to resolve the disputes at a confidential meet and confer conference. On August, 26, 2015, the County filed a lawsuit against CGC and Berkley. On August 27, 2015, CGC filed a lawsuit against County and the County's engineer of record, EAC Consulting, Inc. And engineer Shari Ramirez, P.E. On August 27, 2015, the parties were unable to resolve the disputes at a confidential mediation. The parties have negotiated a Settlement Agreement and Limited Mutual Waiver and Release (attached as backup). The proposed Settlement Agreement between the County, CGC, Metric, EAC, and Ramirez resolves the litigation for the County and releases and waives all claims that the parties brought or could have taken against each other relating to these claims. Part of the settlement includes that a Limited Mutual Waiver and Release be executed by all parties (including Metric, as a non-party in either lawsuit). Bulk approval of this item will eliminate the need for item K2, a closed session in this matter. PREVIOUS RELEVANT BOCC ACTION: 5/20/15 - BOCC held a discussion and direction session regarding the disputes and claims between CGC and County. 6/10/15 - BOCC held a discussion and direction session regarding the disputes and claims between Metric and County. At these meetings the BOCC also approved the County Attorney to proceed with all dispute resolution 4EGOIX4K 7 mechanisms up to and including litigation. 9/16/15 - ce to attempt to resolve the litigation. 2/10/16 - BOCC directed the County Attorney's Office to continue attempts to resolve the litigation and gave authority to negotiate settlement terms and an agreement. 5/18/16 - BOCC approved to reschedule a properly announced closed session on the matter from 5/18/16 to 6/15/16.
