ITEM BACKGROUND: Monroe County's geographical limitation dictates that majority of the
drinking/potable water must be brought down from Florida's mainland through a series of pipes that
stretch for more than 126 miles. Given the limited useable land mass in the Florida Keys those critical
pipes must follow the one main roadway and cross 42 bridges which assures their vulnerability to a
host of natural hazards and man-made incidents. Further complicating matters is that while there are
areas where repair work can be done without an interruption in service, due to remoteness of the
environment, there are many places where disruption in service would cause a prolonged loss of water.
Depending on the location, it could ,be several days to several weeks and in the case of a bridge loss,
the interruption could be on the magnitude of months. To address and secure this key vulnerability
Monroe County seeks to hire a consultant to collaboratively develop a comprehensive .water loss
response and coordination plan and subsequently design, coordinate and execute a functional exercise
to test the plan.

CONTRACT
THIS AGREEMENT ("Agreement"), made and entered into this day. of , 2015,
A.D by and between MONROE COUNTY, FLORIDA, (hereinafter called the "Owner"), and
Advance Planning Consultants LLC. Consulting, Inc. (hereinafter called the "Contractor").
That the parties hereto, for the consideration hereinafter set forth, mutually agree as follows:
THE CONTRACT
The contract between the owner and the Contractor shall consist of this agreement, the
proposal submitted by the Contractor (Attachment A), County Forms executed by the
Contractor (Attachment B), and any other amendments hereto executed by the parties
hereafter.
2. SCOPE OF WORK
The scope of work shall consist of those services as specified in Attachment A to this
Agreement, and in consistency with the structure and format of all existing Annexes to Monroe
County's Comprehensive Emergency Management Plan.
3. THE CONTRACT SUM
The total contract price for the work specified in the Scope of Services shall be thirty seven
thousand five hundred dollars ($37,500.00), inclusive. Payments will be made according to the
tasks outlined on Attachment A, as follows:
Eighteen thousand seven hundred and fifty dollars ($18,750.00) of the contract price shall be
paid upon successful completion of an approved Plan;
Fifteen thousand dollars ($15,000.00) of the contract price shall be paid upon successful
completion of the functional exercise, and;
Three thousand seven hundred and fifty dollars ($3,750.00) shall be paid upon the completion of
approved after action report and improvement plan matrix.
The Contractor shall submit to the County an invoice with supporting documentation
acceptable to the Clerk upon completion of each of the above -referenced Tasks.
Acceptability to the Clerk is based on generally accepted accounting principles and such
laws, rules and regulations as may govern the Clerk's disbursal of funds. The .Contractor will
submit such invoice according to milestones for services provided during the period. The
invoice will include a record of employee time worked and differentiate time worked at the
rate for the different classification. Upon receipt of the Contractor's invoice in the proper
form as stipulated above and upon acceptance by the Clerk, Monroe County will make
payment in arrears in accordance with the Florida Local Government Prompt Payment Act,
Section 218.70, Florida Statutes.
4. TERM OF CONTRACT/RENEWAL
This contract shall be effective from July 15, 2015, through December 31, 2015.

5. HOLD HARMLESS 2
The Contractor covenants and agrees to indemnify and hold harmless Monroe County Board of
County Commissioners from any and all claims for bodily injury (including death), personal
injury, and property damage (including property owned by Monroe County) and any other
losses, damages, and expenses (including attorney's fees) which arise out of, in connection
with, or by reason of services provided by the Contractor or any of its Subcontractor(s) in any
tier, occasioned by the negligence, errors, or other wrongful act of omission of the Contractor or
its Subcontractors in any tier, their employees, or agents.
In the event the completion of the project (to include the work of others) is delayed or
suspended as a result of the Contractor's failure to purchase or maintain the required
insurance, the Contractor shall indemnify the County from any and all increased expenses
resulting from such delay. The first ten dollars ($10.00) of remuneration paid to the Contractor
is for the indemnification provided for above. The extent of liability is in no way limited to,
reduced, or lessened by the insurance requirements contained elsewhere within this
agreement.
6. INDEPENDENT CONTRACTOR
At all times and for all purposes under this agreement the Contractor is an independent
contractor and not an employee of the Board of County Commissioners for Monroe County.'Nc
statement contained in this agreement shall be construed so as to find the Contractor or any of
his/her employees, contractors, servants, or agents to be employees of the Board of County
Commissioners for Monroe County.
7. ASSURANCE AGAINST DISCRIMINATION
County and Contractor agree that there will be no discrimination against any person, and it is
expressly understood that upon a determination by a court of competent jurisdiction that
discrimination has occurred, this Agreement automatically terminates without any further action
on the part of any party, effective the date of the court order. County or Contractor agree to
comply with all Federal and Florida statutes, and all local ordinances, as applicable, relating to
nondiscrimination. These include but are not limited to: 1) Title VI of the Civil Rights Act of 1964
(PL 88-352) which prohibits discrimination on the basis of race, color or national origin; 2) Title
IX of the Education Amendment of 1972, as amended (20 USC ss. 1681-1683, and 1685-
1686), which prohibits discrimination on the basis of sex; 3) Section 504 of the Rehabilitation
Act of 1973, as amended (20 USC s. 794), which prohibits discrimination on the basis of
handicaps; 4) The Age Discrimination Act of 1975, as amended (42 USC ss. 6101- 6107)
which prohibits discrimination on the basis of age; 5) The Drug Abuse Office and Treatment Act
of 1972 (PL 92-255), as amended, relating to nondiscrimination on the basis of drug abuse; 6)
The Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation
Act of 1970 (PL 91-616), as amended, relating to nondiscrimination on the basis of alcohol
abuse or alcoholism; 7) The Public Health Service Act of 1912, ss. 523 and 527 (42 USC ss.
690dd-3 and 290ee-3), as amended, relating to confidentiality of alcohol and drug abuse patent
records; 8) Title VIII of the Civil Rights Act of 1968 (42 USC s. et seq.), as amended, relating to
nondiscrimination in the sale, rental or financing of housing; 9) The Americans with Disabilities
Act of 1990 (42 USC s. 1201 Note), as maybe amended from time to time, relating to
nondiscrimination on the basis of disability; 10) Monroe County Code Ch. 13, Art. VI,
prohibiting discrimination on the bases of race, color, sex, religion, disability, national origin,
ancestry, sexual orientation, gender identity or expression, familial status or age;

and 11) any other nondiscrimination provisions in any Federal or state statutes which may
apply to the parties to, or the subject matter of, this Agreement.
8. ASSIGNMENT/SUBCONTRACT
The Contractor shall not assign or subcontract its obligations under this agreement, except in
writing and with the prior written approval of the Board of County Commissioners for Monroe
County and Contractor, which approval shall be subject to such conditions and provisions as
the Board may deem necessary. .
9. COMPLIANCE WITH LAW
The Contractor shall abide by all statutes, ordinances, rules and regulations pertaining to, or
regulating the provisions of the services covered by this agreement. Any violation of said
statutes, ordinances, rules and regulations shall constitute a material breach of this agreement
and shall entitle the Board to terminate this contract immediately upon delivery of written note of
termination to the Contractor. The Contractor shall possess proper licenses to perform work in
accordance with these specifications throughout the term of this contract.
lo. INSURANCE
Contractor shall provide documentation of insurance coverage required for those individuals or
firms that perform work for or on behalf of the County, as specified in'the Monroe County Risk
Management Policy and Procedures Manual as follows:
A. General Liability Insurance. Coverage shall be maintained throughout the life of the
contract and include, as a minimum:

• Personal Injury Liability
• Expanded Definition of Property Damage
The minimum limits acceptable shall be:
$300,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:
$100,000 per Person
$300,000 per Occurrence
$ 50,000 Property Damage
An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy, its
provisions should include coverage for claims filed on or after the effective date of this contract.
In addition, the period for which claims may be reported should extend for a minimum of twelve
(12) months following the acceptance of work by the County.

The Monroe County Board of County Commissioners, 1100 Simonton Street, Suite 2- 205, Key
West, Florida, 33040, shall be'named as Additional Insured on all policies issued to satisfy the
above requirements.
B) Vehicle Insurance. Recognizing that the work governed by this contract requires the
use of vehicles, the Contractor, prior to the commencement of work, shall obtain Vehicle
Liability Insurance. Coverage shall be maintained throughout the life of the contract, and
to include, as a minimum, liability coverage for:
• Owned, Non -Owned, and Hired Vehicles
The minimum limits acceptable shall be:
$100,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:
$ 50,000 per Person
$100,000 per Occurrence
$ 25,000 Property Damage
The Monroe County Board of County Commissioners shall be named as
additional Insured on all policies issued to satisfy the above requirements.
C) Workers Compensation insurance: Prior to the commencement of work governed by
this contract, the Contractor shall obtain Workers' Compensation Insurance with limits
sufficient to respond to Florida Statute 440.
In addition, the Contractor shall obtain Employers' Liability Insurance with
limits of not less than:
$100,000 Bodily Injury by Accident
$500,000 Bodily Injury by Disease, policy limits
$100,000 Bodily Injury by Disease, each employee
Coverage shall be maintained throughout the entire term of the contract.
Coverage shall be provided by a company or companies authorized to
transact business in the state of Florida.
11. FUNDING AVAILABILITY
This contract is subject to annual appropriation by the Board of County Commissioners.
12. NOTICE REQUIREMENT
Any notice required or permitted under this agreement shall be in writing and hand delivered or
mailed, postage prepaid, to the other party be certified mail, returned receipt requested, to the

13. CANCELLATION
A. Either of the parties hereto may cancel this agreement without cause by giving
the other party sixty days written notice of its intention to do so.
B. In the event that the Contractor shall be found to be negligent in any aspect of
completion of the Scope of Work, the County shall have the right to terminate
this agreement after five days written notification to the Contractor.
14. GOVERNING LAWS; VENUE
Agreement shall be governed by and construed in accordance with the laws of the State
of Florida applicable to contracts made and to be performed entirely in the State.
In the event that any cause of action or administrative proceeding is instituted for the
enforcement or interpretation of the Agreement, the County and Contractor agree that
venue will lie in the appropriate court or before the appropriate administrative body in
Monroe County, Florida.
15. RECORDKEEPING
Contractor shall maintain all books, records, and documents directly pertinent to
performance under this Agreement in accordance with generally accepted accounting
principles consistently applied. Each party to this Agreement or their authorized
representatives shall have reasonable and timely access to such records of each other
party to this Agreement for public records purposes during the term of the Agreement
and for four years following the termination of this Agreement. If an auditor employed by
the County or Clerk determines that monies paid to Contractor pursuant to this
Agreement were spent for purposes not authorized by this Agreement, the Contractor
shall repay the monies together with interest calculated pursuant to Sec. 55.03, FS,
running from the date the monies were paid to Contractor.
The Contractor will:
(a) Keep and maintain public records that ordinarily and necessarily would be required
by the public agency in order to perform the service.
(b) Provide the public with access to public records on the same terms and conditions
that the public agency would provide the records and at a cost that does not exceed the
cost provided in this chapter or as otherwise provided by law.
(c) Ensure that public records that are exempt or confidential and exempt from public
records disclosure requirements are not disclosed except as authorized by law.

(d) Meet all requirements for retaining public records and transfer, at no cost, to the
public agency all public records in possession of the contractor upon termination of the
contract and destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. All records stored electronically
must be provided to the public agency in a format that is compatible with the information
technology systems of the public agency.
16. SEVERABILITY
If any term, covenant, condition or provision of this Agreement (or the application
thereof to any circumstance or person) shall be declared invalid or unenforceable to any
extent by a court of competent jurisdiction, the remaining terms, covenants, conditions
and provisions of this Agreement, shall not be affected thereby; and each remaining
term, covenant, condition and provision of this Agreement shall be valid and shall be
enforceable to the fullest extent permitted by law unless the enforcement of the
remaining terms, covenants, conditions and provisions of this Agreement would prevent
the accomplishment of the original intent of this Agreement. The County and Contractor
agree to revise the Agreement to replace any stricken provision with a valid provision
that comes as close as possible to the intent of the stricken provision.
17. ATTORNEY'S FEES AND COSTS
The County and Contractor agree that in the event any cause of action or administrative
proceeding is initiated or defended by any party relative to the enforcement or
interpretation of this Agreement, the prevailing party shall be entitled to reasonable
attorney's fees, court costs, investigative, and out-of-pocket expenses, as an award
against the non -prevailing party, and shall include attorney's fees, courts costs,
investigative, and out-of-pocket expenses in appellate proceedings.
18. AUTHORITY
Each party represents and warrants to the other that the execution, delivery and
performance of this Agreement have been duly authorized by all necessary County and
corporate actions, as required by law.
19. COOPERATION
In the event any administrative or legal proceeding is instituted against either party
relating to the formation, execution, performance, or breach of this Agreement, County
and Contractor agree to participate, to the extent required by the other party, in all
proceedings, hearings, processes, meetings, and other activities related to the
substance of this Agreement or provision of the services under this Agreement. County
and Contractor specifically agree that no party to this Agreement shall be required.to
enter into any arbitration proceedings related to this Agreement.
20. NO SOLICITATION/PAYMENT
The County and Contractor warrant that neither has employed nor retained any
company or person, other than a bona fide employee working solely for it, to solicit or
secure this Agreement and that it has not paid or agreed to pay any person, company,
corporation, individual, or firm, other than a bona fide employee working solely for it, any

fee, commission, percentage, gift, or other consideration contingent upon or resulting
from the award or making of this Agreement. For the breach or violation of the
provision, the Contractor agrees that the County shall have the right to terminate this
Agreement without liability and, at its discretion, to offset from monies owed, or
otherwise recover, the full amount of such fee, commission, percentage, gift, or
consideration.
21. EXECUTION OF COUNTERPARTS
This Agreement may be executed in any number of counterparts, each of which shall be
regarded as an original, all of which taken together shall constitute one and the same
instrument and any of the parties hereto may execute this Agreement by signing any
such counterpart.
IN WITNESS WHEREOF the parties hereto have executed this Agreement on the day
and date first written above in four (4) originals, each of which shall, without proof or
accounting for the other counterparts, be deemed an original contract.

Loss of Water Supply Plan Development and Functional Exercise

A. OVERVIEW
This quote for services provides how the Advanced Planning Consultants will furnish the
necessary personnel, materials, and services to provide assistance to Monroe County,
Florida, for the development of a comprehensive water supply loss response/coordination
plan and the execution of a Homeland Security Exercise and Evaluation Program (HSEEP)
compliant functional exercise.
The general requirements to be provided by APC under this proposal include the following:
1. Provide by -weekly status reports to the designated Monroe County EM project point
of contact
2. Provide qualified staff to perform all items detailed in the scope of work
3. Provide all administrative support equipment necessary to perform all of the items
detailed in the scope of work
4. Coordinate all administrative and logistical support needed for any meetings and
exercises associated with this project
S. Provide a registration system for all meetings and exercise
6. Maintain accurate records, documentation and notes throughout the life of the
project and provide Monroe County EM with copies
B. TASKS
The tasks to be provided by APC under this proposal include the following:
1. Phase 1 - Collaboratively develop a comprehensive water supply loss response and
coordination plan with the following provisions:
i. Conduct a minimum of 2 planning meetings, in person or virtual, with
appropriate stakeholders (approx. 10-15 entities)
*Monroe County EM will identify the appropriate participants and provide
contact information for agency designees

ii. Provide a detailed response coordination plan for the response and recovery
from any loss of water supply
iii. Ensure plan consistency with the structure and format of all existing Annexes
to Monroe County's CEMP
iv. Clearly define the roles and responsibilities of the agencies/entities involved
in the response to a loss of water supply
V. Identify the resources that would be needed to respond and recover from
any loss of water supply
vi. Involve all appropriate stakeholders throughout plan development
vii. Provide Monroe County EM with a minimum of one draft version of the plan
and allow sufficient time for comments/changes before producing a final
product
2. Phase 2 -Design, coordinate, conduct and evaluate a functional exercise to test the
newly developed water supply loss response and coordination plan.
i. Develop a functional exercise that tests the validity of the concepts and
principles detailed in the Water Supply Loss Response and Coordination Plan
*The scope of the exercise will be refined once the development of the
plan is complete and the concepts are better defined
ii. Follow and comply with the Homeland Security Exercise and Evaluation
Program standards process
iii. Conduct a minimum of 3 planning meetings, in person or virtual, with
appropriate stakeholders (approx. 15-20 entities)
Monroe County EM will identify the appropriate participants and
provide contact information for agency designees
iv. Develop a scenario based on a terrorist attack of the water supply lines with
the intent to cut the Florida Keys off from a fresh water supply and cause
long term damage to the local economy
V. Manage the logistics required to support the exercise design and execution
* Monroe County EM and partners will support where possible
vi. Provide an appropriate number of controllers to successfully conduct the
exercise
vii. Provide an appropriate number of subject matter experts to evaluate the
exercise and to offer suggestions for improving the plan
viii. Provide Monroe County EM with an After Action Report and Improvement
Plan focused on enhancing the Loss of Water Supply Plan

Payment will be dispersed by Monroe County Office of Emergency Management to the
Advanced Planning Consultants using the following benchmarks:
1. 50% after the successful completion of an approved plan
2. 40% after the successful completion of the functional exercise
3. 10% after the submittal of an approved After Action Report and Improvement Plan
Matrix
E. DELIVERABLES
Project deliverables to include:
I. Provide biweekly status reports to the designated Monroe County EM project point

Plan Development and Exercise Proposal
Situation
Monroe County's geographical limitations dictates that majority of the drinking/potable water
must be brought down from Florida's mainland through a series of pipes that stretch for more
than 126 miles. Given the limited useable land mass in the Florida Keys those critical pipes
must follow the one main roadway and cross 42 bridges which assure their.vulnerability to a
host of natural hazards and man-made emergencies. Further complicating matters is that while
there are areas where repair work can be done without an interruption in service, due to
remoteness of the environment, there are many places where disruption in service would cause
a prolonged loss of water. Depending on the location, it could be several days to several weeks
and in the case of a bridge loss, the interruption could be on the magnitude of months.
Project Proposal
To address and secure this key vulnerability Monroe County seeks to hire a consultant to
execute a 2-phased project:
■ Phase 1 — Collaboratively develop a comprehensive water supply loss response and
coordination plan
■ Phase 2 -- Design, coordinate, conduct and evaluate a functional exercise to test the
newly developed water supply loss response and coordination plan.
Project Expectations
■ " This project utilizes grant funds and as such all parties will make every effort to comply
with the appropriate grant guidance and deadlines for delivery of final products
■ Monroe County Emergency Management is the lead for this project and will been active
participant throughout the life of the project

This quote for services provides how the Advanced Planning Consultants will furnish the
necessary personnel, materials, and services to provide assistance to Monroe County,
Florida, for the development of a comprehensive water supply loss response/coordination
plan and the execution of a Homeland Security Exercise and Evaluation Program (HSEEP)
compliant functional exercise.
The general requirements to be provided by APC under this proposal include the following:
1. Provide by -weekly status reports to the designated Monroe County EM project point
of contact
2. Provide qualified staff to perform all items detailed in the scope of work
3. Provide all administrative support equipment necessary to perform all of the items
detailed in the scope of work
4. Coordinate all administrative and logistical support needed for any meetings and
exercises associated with this project

6. Maintain accurate records, documentation and notes throughout the life of the

the intent to cut the Florida Keys off from a fresh water supply and cause

Monroe County Water Supply Loss Response and Coordination
Plan Development
Enclosed you will find a Professional Services Quote to develop a comprehensive Water
Supply Loss Response and Coordination Plan for Monroe County, Florida. Monroe
County Emergency Management will serve as the sponsoring agency for this planning
project. Emergency Response Educators and Consultants, Inc. (EREC) staff assigned
to this program shall conduct activities pursuant to this scope of work with the support of
and consistent with the direction of the Monroe County Planning Committee. The work
tasks for EREC include the following activities:
Scope of Work:
1. EREC will review relevant and supporting plans in the development of a Water
Supply Loss Response and Coordination Plan;
2. EREC will clearly define the roles and responsibilities of the agencies/entities
involved in the response and coordination of a loss of water supply;
3. EREC will identify the response that would be needed to respond to and recover
from a loss of water supply;
4. EREC will provide a detailed response coordination plan for the response and
recovery from a loss of water supply;
5. EREC will develop the plan in a collaborative fashion to involve all appropriate
stakeholders;
6. EREC will maintain compliance with all Federal, State and local laws, rules,
practices and regulations that affect the publication and acceptance of the plan;
7. EREC will meet the standards and requirements as set forth by the Authority
Having Jurisdiction (AHJ);
8. EREC will maintain consistency with and in compliance with the National Incident
Management System (NIMS) to be used by the whole community;
9. EREC will maintain consistency with and in compliance with National
Infrastructure Protection Plan (2013) for critical infrastructure security and
resilience,

10. EREC will maintain consistency with and in compliance with National Protection
Framework (2014) for community and Infrastructure protection for the whole
community;
11. EREC will ensure the plan is consistent with the structure and format of all
existing Annexes to the Monroe County's CEMP;
12. EREC will provide bi-weekly (every two weeks) Status Reports to the designated
Monroe County EM Project Manager;
13. EREC will provide qualified staff to perform all items detailed in the scope of
work;
14. EREC will provide all administrative support equipment necessary to perform all
of the items detailed in the scope of work;
15.EREC will coordinate all administrative and logistical support needed for any
meetings associated with this project;
16.EREC will provide a web -based registration and notification system for all
meetings;
17. EREC will facilitate three (3) planning meetings with appropriate stakeholders for
10 -15 entities
a. Initial Kick-off Meeting
b. Agency Technical Meeting
c. DRAFT Plan Meeting
18. EREC will develop meeting sign -in sheets, meeting agendas, and meeting
minutes;
19. EREC will maintain accurate records, documentation and notes throughout the
life of the project and provide Monroe. County EM with copies;
20. EREC does not intend on using subcontractors. It is understood that
subcontractors may not be used without the prior written consent of Monroe
County Emergency Management; and
21.This Professional Service Quote (PSQ) does not include the development of
SOPs or SOGs
Project Timeline:
1. Review relevant and supporting plans within 10 working days of receipt;
2. Conduct .Initial Kick-off Meeting within 20 working days of receipt of purchase
order;

Meeting;
4. DRAFT Plan Meeting within 45 working days of the Initial Kick-off Meeting.
5. County review and comments on the DRAFT Plan to be completed within 5
working days of receipt of the DRAFT Plan.
6. Incorporate County's comments in to the FINAL Plan within 5 working days from
receipt.
7. FINAL Plan is due within 5 working days from receipt of County comments.
Planning Approach
1. EREC will develop a comprehensive Water Supply Loss Response and
Coordination Plan for Monroe County, Florida. This plan will address the roles
and responsibilities of all appropriate agencies/entities involved in the response
and coordination of a loss of water supply,. Identify the response that would be
.needed to respond to and recover from a loss of water. supply. Provide a
detailed response coordination plan for the response and recovery from a loss of
water supply.
2. Monroe County will provide relevant and supporting plans electronically and in
hard copy to help in the development of a comprehensive Water Supply Loss
Response and Coordination Plan.
3. EREC will review relevant and supporting plans in preparation for facilitating the
Initial Kick-off Meeting and plan development.
4. EREC will facilitate the Initial Kick-off Meeting to include developing sign -in
sheets, agenda, and meeting minutes. All municipalities and other local
jurisdictions within Monroe County will be encouraged and invited to participate to
their maximum extent possible in a collaborative fashion to involve all appropriate
stakeholders.
5. EREC will facilitate the Agency Technical Meeting to include developing sign -in
sheets, agenda, and meeting minutes.
6. EREC will prepare and submit a DRAFT Water Supply Loss Response and
Coordination Plan that will be submitted to Monroe County Emergency
Management for review and comments.
7. EREC will facilitate the DRAFT Plan Meeting to include developing sign -in
sheets, agenda, and meeting minutes. After county review and comments,
EREC will meet with the Planning Committee to discuss modifications

8. EREC will incorporate review comments in to the FINAL Water Supply Loss
Response and Coordination Plan for submittal to Monroe County Emergency
Management.
9. The FINAL Water Supply Loss Response and Coordination Plan will be provided
in hardcopy along with electronic data files. All associated information developed
specifically for this project will become the property of Monroe County..
10. EREC will provide a Master Planning Closeout Package (final closeout report) to
include all correspondences, all meeting sign -in rosters, all meeting agendas, all
meeting minutes, process evaluations and evaluation summary.
Monroe County's Assistance with Logistical Arrangements
1. Identify the appropriate participants and provide contact information for agency
designees.
2. County Planning Liaison
3. Provide mutually agreed upon locations within Monroe County, Florida to host
and conduct plan development meetings at no charge to EREC.
Appropriate Licensure, Bonds and Insurance
There are no applicable licensure requirements for this type of work. EREC was
established as a corporation under the laws of the State of Florida on November 7,
1996. EREC carries appropriate general liability, professional liability and automobile
insurance. Copies of appropriate insurance policies will be provided upon issuance of
the bid acceptance.

The fixed project cost for conducting all aspects of this planning process, as described
is eighteen thousand two hundred twenty-five dollars ($18,225.00). EREC shall be
reimbursed for costs incurred in the satisfactory performance of work as outlined in this
Scope of Work in the amount of,$18 225 00)
The Total Fixed Project Cost budget formula for this project is broken down as:
1. Conduct Initial Kickoff Meeting 25%
2. Submittal of DRAFT Plan for County review 50%
3. Submittal of FINAL Plan and Planning Closeout Package 25%
This fee schedule shall serve to meet the Performance Measures and Financial
Consequences for the Florida Division of Emergency Management.
All EREC invoices are due and payable upon presentation and become delinquent after
30 days. Delinquent payments accrue a late fee at the rate of 1'/2% per month or
portion thereof.
Performance Measures and Financial. Consequences:
EREC's quote is based on a fixed project cost. Monroe County may impose a penalty
for non-performance or failure to accomplish planning milestones on the part of EREC's
negligence or failure to act. If the client selects to eliminate any planning milestone
identified in this scope of work no penalty will be imposed by Monroe County on EREC.

ITEM BACKGROUND: Monroe County's geographical limitation dictates that majority of the
drinking/potable water must be brought down from Florida's mainland through a series of pipes that
stretch for more than 126 miles. Given the limited useable land mass in the Florida Keys those critical
pipes must follow the one main roadway and cross 42 bridges which assures their vulnerability to a
host of natural hazards and man-made incidents. Further complicating matters is that while there are
areas where repair work can be done without an interruption in service, due to remoteness of the
environment, there are many places where disruption in service would cause a prolonged loss of water.
Depending on the location, it could be several days to several weeks and in the case of a bridge loss,
the interruption could be on the magnitude of months. To address and secure this key vulnerability
Monroe County seeks to hire a consultant to collaboratively develop a comprehensive water loss
response and coordination plan and subsequently design, coordinate and execute a functional exercise
to test the plan.

THIS AGREEMENT ("Agreement"), made and entered into this day Of -, 201
A.D by and between MONROE COUNTY, FLORIDA, (hereinafter called the "Owner"), and
Advance Planning Consultants LLC, Consulting, Inc. (hereinafter called the "Contractor"). I
That the parties hereto, for the consideration hereinafter set forth, mutually agree as follows:
1 . THE CONTRACT
The contract between the owner and the Contractor shall consist of this agreement, the
proposal submitted by the Contractor (Attachment A), County Forms executed by the
Contractor (Attachment B), and any other amendments hereto executed by the parties
hereafter.
2. SCOPE OF WORK
The scope of work shall consist of those services as specified in Attachment A to this
Agreement, and in consistency with the structure and format of all existing Annexes to Monroe
County's Comprehensive Emergency Management Plan,
3. THE CONTRACT SUM
The total contract price for the work specified in the Scope of Services shall be thirty seven
thousand five hundred dollars ($37,500.00), inclusive. Payments will be made according to the
tasks outlined on Attachment A, as follows:
Eighteen thousand seven hundred and fifty dollars ($18,750.00) of the contract price shall be
paid upon successful completion of an approved Plan -
Fifteen thousand dollars ($15,000.00) of the contract price shall be paid upon successful
completion of the functional exercise, and -
Three thousand seven hundred and fifty d011ars ($3,750.00) shall be paid upon the completion of
approved after action report and improvement plan matrix.

4. TERM OF CONTRACT/RENEWAL
This contract shall be effective from July 15, 2015, through December 31, 2015,

5HOLD HARMLESS 2
The Contractor covenants and agrees to Indemnify and hold harmless Monroe County Board of
County Commissioners from any and all claims for bodily injury (including death), personal
injury, and property damage (including property owned by Monroe County) and any other
losses, damages, and expenses (including attorney's fees) which arise out of, in connection
with, or by reason of services provided by the Contractor or any of its Subcontractor(s) in any
tier, occasioned by the negligence, errors, or other wrongful act of omission of the Contractor or
its Subcontractors in any tier, their employees, or agents.
In the event the completion of the project (to include the work of others) is delayed or
suspended as a result of the Contractor's failure to purchase or maintain the required
insurance, the Contractor shall indemnify the County from any and all increased expenses
resulting from such delay. The first ten dollars ($10.00) of remuneration paid to the Contractor
is for the indemnification provided for above. The extent of liability is in no way limited to,
reduced, or lessened by the insurance requirements contained elsewhere within this
agreement,
6. INDEPENDENT CONTRACTOR
At all times and for all purposes under this agreement the Contractor is an independent
contractor and not an employee of the Board of County Commissioners for Monroe County. No
statement contained in this agreement shall be construed so as to find the Contractor or any of
his/her employees, contractors, servants, or agents to be employees of the Board of County
Commissioners for Monroe County.

and 11) any other nondiscrimination provisions in any Federal or state statutes which may
apply to the parties to, or the subject matter of, this Agreement.
8. ASSIGNIVIENT! SUBCONTRACT
The Contractor shall not assign or subcontract its obligations under this agreement, except in
writing and with the prior written approval of the Board of County Commissioners for Monroe
County and Contractor, which approval shall be subject to such conditions and provisions as
the Board may deem necessary.
9. COMPLIANCE WITH LAW
The Contractor shall abide by all statutes, ordinances, rules and regulations pertaining to, or
regulating the provisions of the services covered by this agreement. Any violation of said
statutes, ordinances, rules and regulations shall constitute a material breach of this agreement
and shall entitle the Board to terminate this contract immediately upon delivery of written note of
termination to the Contractor. The Contractor shall possess proper licenses to perform work in
accordance with these specifications throughout the term of this contract.

Contractor shall provide documentation of insurance coverage required for those individuals or
firms that perform work for or on behalf of the County, as specified in the Monroe County Risk
Management Policy and Procedures Manual as follows:

above requirements.
13) Vehicle Insurance. Recognizing that the work governed by this contract requires the
use of vehicles, the Contractor, prior to the commencement of work, shall obtain Vehicle
Liability Insurance. Coverage shall be maintained throughout the life of the contract, and
to include, as a minimum, liability coverage for:

13. CANCELLATION
A. Either of the parties hereto may cancel this agreement without cause by giving
the other party sixty days written notice of its intention to do so.
B, In the event that the Contractor shall be found to be negligent in any aspect of
completion of the Scope of Work, the County shall have the right to terminate
this agreement after five days written notification to the Contractor.
14GOVERNING LAWS, VENUE
Agreement shall be governed by and construed in accordance with the laws of the State
of Florida applicable to contracts made and to be performed entirely in the State,
In the event that any cause of action or administrative proceeding is instituted for the
enforcement or interpretation of the Agreement, the County and Contractor agree that
venue will lie in the appropriate court or before the appropriate administrative body in
Monroe County, Florida.
The Contractor will:
(a) Keep and maintain public records that ordinarily and necessarily would be required
by the public agency in order to perform the service.
(b) Provide the public with access to public records on the same terms and conditions
that the public agency would provide the records and at a cost that does not exceed the
cost provided in this chapter or as otherwise provided by law.
(c) Ensure that public records that are exempt or confidential and exempt from public
records disclosure requirements are not disclosed except as authorized by law.

(d) Meet all requirements for retaining public records and transfer, at no cost, to the
public agency all public records in possession of the contractor upon termination of the
contract and destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements, All records stored electronically
must be provided to the public agency in a format that is compatible with the information
technology systems of the public agency.

The County and Contractor agree that in the event any cause of action or administrative
proceeding is initiated or defended by any party relative to the enforcement or
interpretation of this Agreement, the prevailing party shall be entitled to reasonable
attorney's fees, court costs, investigative, and out-of-pocket expenses, as an award
against the non -prevailing party, and shall include attorney's fees, courts costs,
investigative, and out-of-pocket expenses in appellate proceedings.
18. AUTHORITY
Each party represents and warrants to the other that the execution, delivery and
performance of this Agreement have been duly authorized by all necessary County and
corporate actions, as required by law.
M COOPERATION
In the event any administrative or legal proceeding is instituted against either party
relating to the formation, execution, performance, or breach of this Agreement, Count
and Contractor agree to participate, to the extent required by the other party, in all
proceedings, hearings, processes, meetings, and other activities related to the
substance of this Agreement or provision of the services under this Agreement. Coun
and Contractor specifically agree that no party to this Agreement shall be required to
onter into any arbitration proceedings related to this Agreement.
20. NO SOLICITATIONVIPAYMENT
The County and Contractor warrant that neither has employed nor retained any
company or person, other than a bona fide employee working solely for it, to solicit or
secure this Agreement and that it has not paid or agreed to pay any person, company,
corporation, individual, or firm, other than a bona fide employee working solely for it, any

from the award or making of this Agreement. For the breach or violation of the

A. —OVERVIEW
This quote for services provides how the Advanced Planning Consultants will furnish the
necessary personnel, materials, and services to provide assistance to Monroe County,
Florida, for the development of a comprehensive water supply loss response/coordination
plan and the execution of a Homeland Security Exercise and Evaluation Program (HSEEP)
compliant functional exercise.
The general requirements to be provided by APC under this proposal include the following:
1. Provide by -weekly status reports to the designated Monroe County EIS project point
of contact
2. Provide qualified staff to perform all items detailed in the scope of work
3. Provide all administrative support equipment necessary to perform all of the items
detailed in the scope of work
4Coordinate all administrative and logistical support needed for any meetings and
exercises associated with this project
S. Provide a registration system for all meetings and exercise
6. Maintain accurate records, documentation and notes throughout the life of the
project and provide Monroe County EM with copies

1. Phase I — Collaboratively develop a comprehensive water supply loss response and
