AGENDA ITEM WORDING: Approval of proposal from Oceanside Investors, LLC and
Pritam Singh for the purchase of the Hickory House for a purchase price in the amount of Two

ITEM BACKGROUND: The bid opening for the latest RFP on the Hickory House was held on
May 20, 2014. A proposal was received from Oceanside Investors, LLC and Pritam Singh. The
committee met and reviewed the Proposal. They voted to present the proposal to the BOCC for
consideration. If the BOCC approves the proposal, the County and the Proposer will enter into
negotiations of a Purchase and Sale Agreement. The Agreement shall be brought to the BOCC for
approval at the next available meeting following acceptance and signing of the agreement by
Oceanside Investors, LLC and Pritam Singh.
PREVIOUS RELEVANT BOCC ACTION: In August 2006, the County purchased the
property located at 5948 Peninsula Avenue, Stock Island, Florida. A bid from King's Pointe
Marina LLC (KPM) was initially accepted, and then canceled in August 27, 2008. Subsequent
RFPs were rejected by the BOCC on August 19, 2009, November 19, 2009, October 20, 2010 and
September 21, 2011. In April 2004 the latest RFP was advertised, the opening was set for May
20, 2014.

Pritam Singh's real estate career spans nearly four decades, beginning in 1979 when he
purchased a condemned building in Portland, Maine, which he successfully converted into ten
apartments. Soon, Mr. Singh was rejuvenating foreclosed and low cost properties, and his
endeavors rendered him one of the driving forces in the revitalization of downtown Portland.
His early successes in Maine ranged from apartment and hotel renovations, to conversion of
historic properties into mixed use developments, to development of outlet malls. By 1985, Mr.
Singh had developed more than $75 million worth of property in Maine, Massachusetts, New
Mexico, and California.'
In the mid-1980s, Singh began turning his attention to development in Monroe County, a
landscape that had captured his attention during a months -long stay at the age of 17. He seized
his opportunity when the 43-acre Truman Annex property came to public auction.z
'The sheer number of projects Mr. Singh has completed outside of Monroe County does not reasonably
permit listing here. In the interest of brevity, and in the interest of assisting Monroe County with respect
to determining whether Mr. Singh and Oceanside Investors possess the requisite qualifications for this
specific project, only projects in Monroe County have been included in the Project History.
2 The Singh Company was the corporate entity responsible for developing Truman Annex, and Pritam
Singh has developed projects utilizing various other corporate entities. Oceanside Investors was formed
in November, 2012 for the specific purpose of purchasing and redeveloping Oceanside. While Oceanside
Investors has not completed any projects similar in scope and size to the proposed use of the Hickory
House or the attendant resort and marina, Mr. Singh has personally completed multiple comparable
projects in Monroe County through other corporate entities which he managed or controlled. To that
end, the following list of completed projects includes projects developed by Mr. Singh through other
corporate entities.

In 1986 Mr. Singh purchased the distressed Truman Annex Naval Station, a 43 acre parcel
managed by the Government Services Administration, at public auction and began an ambitious
redevelopment which entailed entering into one of the first private formal development
agreements under Florida's newly passed Development of Regional Impact legislation. Over the
next decade, Mr. Singh embarked on a complex redevelopment project comprising over
800,000 square feet, with 425 classic conch style, single family homes, high end condominiums,
a hotel, affordable housing, parks, a marina, retail space, commercial space, and museums. The
community includes several properties designated on the National Register of Historic Places,
most significantly the Harry S. Truman Little White House.
3 If awarded the contract to purchase the Hickory House, Oceanside Investors will develop the property
with a swimming pool, poolside restaurant and bar with watersports concierge services. While
geographically separate from the Oceanside Property, the Hickory House Property will be developed in
concert with the resort and marina located on the Oceanside Property. To that end, the following list of
completed projects includes the development of resorts/marinas.

In 2004, with his acquisition of the dilapidated Buccaneer Hotel, Mr. Singh ended a 30 year
hiatus from major development within the City of Marathon. Tranquility Bay Beach House
Resort was completed in 2005, with a creative double crescent site plan which showcases the
beauty of the middle keys and Florida Bay. Tranquility Bay boasts 103 homes on 12 acres, 1,000
feet of linear shoreline with two and a half acres of private beaches, three swimming pools, a
beachfront restaurant and bar, and world-renowned art throughout. Mr. Singh tied the inland
areas of the resort to Florida Bay with a thoughtful layout including two saltwater lagoons
leading to the open water.
IndigoReef Marina Homes Resort
In 2004 Mr. Singh transformed the Key Lime Resort, an aging timeshare in Marathon situated
on 14 acres on the Gulf of Mexico, into a 67 home marina development. Working with the State
of Florida and Monroe County, Mr. Singh envisioned and implemented Indigo Reef Marina
Homes Resort, a seamless home -marina concept wherein each Conch -style home enjoys its
own appurtenant boatslip. Mr. Singh developed the residential and marina components of the
property, working closely with the State of Florida for the preservation of 24 acres of hardwood
hammock as part of the Florida Keys Ecosystem Tropical Flyway Preserve, a chain of hardwood
hammocks providing habitat for migrating birds. Indigo Reef was completed in 2006 and
includes a resort style swimming pool, an onsite dock master, and access to dockside water and
electricity.
Parrot Key Resort
Located where Salt Run Channel and Florida Bay converge in Key West, the former Hampton
Inn was a deteriorated, unaesthetic development situated an a beautiful piece of property. In
2004, Mr. Singh purchased the parcel and began developing the property into Parrot Key, an
expression of its full potential. By 2008, Singh had transformed the property with the
construction of Conch -style townhouses punctuated by four lush tropical gardens each with its
own swimming pool. Parrot Key now functions as a 3.48 key hotel and resort with dense tropical
landscaping, winding, art -lined pathways and a poolside tiki bar.

Recognizing the need for boating access in the Middle Keys, Mr. Singh assembled a collection of
parcels adjacent to the aging Coral Lagoon Resort in Marathon in 2006. The renewed Coral
Lagoon Resort was completed in 2007, with a layout that allows each of the 25 three bedroom,
three bath homes to enjoy a waterfront view from both the first and second level porches. In
2007, Mr. Singh set out to revitalize the adjacent marina and dry storage facility, navigating the
extensive land use and permitting process for a new marina and state of the art dry storage
facility. The Boathouse Marina now provides wet dockage for 69 boats up to 50 feet in length,
and dry storage for 200 vessels. Applying the aesthetic vision that weaves throughout all of his
developments, Mr. Singh fitted the new, high quality dry storage facility with corner turrets to
disrupt the building outline, and large Bahama -style shutters reminiscent of a historic
waterfront warehouse.

Recommendation: The selection committee unanimously found the only submission to be
responsive to the solicitation and to meet all the requirements of R-FP-21-0-2014/ec. The
committee recommends that the Board of County Commissioners (BOCC) accept the proposal.
Basis for Recommendation:
i . The offer is the highest dollar value offered to date for the property,
2. There are no contingencies in the offer other than a 90 day closing requirement.
3. The return of the property to the tax rolls will increase County revenues.
4. The proposed development of the property will be a positive for the neighborhood.
5. The proposer has an exemplary track record of development in the County.
Background:
The selection committee convened at 15:00 on 28 May 2014 in the 1st floor conference room of the
Gato building, as advertised. All three (3) selection committee members were present. The
members were Tina Boan, Beth Leto, and Kevin Wilson. Also present for the County was
Assistant County Attorney Natileen Cassel who acted as the recording secretary. The committee
selected the author as the committee chair.
The committee unanimously agreed that the only submission received from Oceanside Investors,
LLC and Pritarn Singh did not have any irregularities and deemed it responsive. Committee
members noted in discussion that the proposers have a long record of successful developments in
the County. The proposed sale price was noted as substantially lower than the original price paid
by the County but that its sale and subsequent development would return a significant portion of
the County's money and would increase tax revenues with the return of the property to the tax
rolls. A committee member noted that the architectural details for the proposed development were
limited, the developer's track record is well above average and that this proposed development
would be a positive addition to the South Stock Island community. The committee unanimously
recommended that the BOCC consider accepting the offer if its members were satisfied with the
offered cash price.
